We are a specialty finance company that provides debt and equity growth capital to technology-related companies at all stages of development from seed and emerging growth to expansion and established stages of development. We primarily finance privately-held companies backed by leading venture capital and private equity firms, and may also finance select publicly listed companies and lower middle market companies. Our principal office is located in the Silicon Valley and we have additional offices in Boston, Boulder and Chicago. Our goal is to be the leading structured debt financing provider of choice for venture capital and private equity backed technology-related companies requiring sophisticated and customized financing solutions. Our strategy is to evaluate and invest in a broad range of companies active in the technology and life science industries and to offer a full suite of growth capital products up and down the capital structure. We invest primarily in structured debt with warrants and, to a lesser extent, in senior debt and equity investments. We use the term structured debt with warrants to refer to any debt investment, such as a senior or subordinated secured loan, that is coupled with an equity component, including warrants, options or rights to purchase common or preferred stock. Since October 2003, Manuel A. Henriquez has been the co-founder, chairman and CEO of Hercules Technology Growth Capital, Inc. (NASDAQ: HTGC), a leading debt and equity growth capital provider to technology and life science companies. Prior to co-founding Hercules, Mr. Henriquez was a partner at VantagePoint Venture Partners, a $2.5 billion multi-stage venture capital firm, where he was an active equity investor and board member of many leading communications and software companies. From 1997 to March 2000, Mr. Henriquez was at Comdisco Ventures, where he was the president and chief investment officer, along with other senior level positions. While at Comdisco Ventures, he co-headed the investment activities for more than $2 billion in investments to venture backed companies. Earlier in his career, Mr. Henriquez was a vice president at Robertson Stephens & Co.'s late stage equity venture fund, CrossLink Capital (fka Omega Ventures). From 1987 to early 1991, Mr. Henriquez was a vice president at BancBoston Ventures, the Bank of Boston's early stage venture capital fund. He also was in the Bank of Boston's specialized High Technology Lending Group. In addition to his extensive debt and equity investment experience, Mr. Henriquez has held various senior executive level operating positions at companies, including ON Technology (NASDAQ: ONTC), a Kleiner Perkins Caufield & Byers venture backed software company acquired by Symantec (NASDAQ: SYMC). He was also the founder of various technology companies including HealthyPets, acquired by Petopia.com. Mr. Henriquez earned his B.S. in Business Administration and Finance from Northeastern University. David M. Lund joined us in July 2005 as Vice President of Finance and Corporate Controller, and was promoted to Chief Financial Officer on October 2, 2006. Mr. Lund is our principal financial and accounting officer. He has over 20 years of experience in finance and accounting serving companies in the technology sector. Prior to joining Hercules, Mr. Lund served in senior financial positions for publicly traded companies: InterTrust Technologies, Centillium Communications and Rainmaker Systems, and in private companies: Urban Media, Scion Photonics and APT Technology. Mr. Lund also served in public accounting with Ernst & Young LLP and Grant Thornton LLP. H. Scott Harvey is a co-founder of the company and has been our Chief Legal Officer since December 2003. Mr. Harvey has over 20 years of legal and business experience with leveraged finance and financing public and private technology-related companies. Since July 2002, and prior to joining us, Mr. Harvey was in a diversified private practice. Previously, Mr. Harvey was Deputy General Counsel of Comdisco, Inc., a leading technology and financial services company, from January 1997 to July 2002. Diane Earle joined Hercules as Managing Director Senior Credit Officer in September of 2008. Diane has over 25 years of experience in lending to middle market and emerging growth companies. Before joining Hercules, she was the Senior Credit Officer and a co-founder of Life Sciences Capital, LLC, a subsidiary of Emigrant Bank. From 2001 to 2007, she was the Risk Manager of GE Life Science Finance, where her team was responsible for a $500 million portfolio and underwrote over $200 million in new transactions annually in the US and European life science markets. From 1999 to 2001, Diane was Treasurer of Leasing Technologies International, Inc. For the 17 years prior, she was a relationship manager providing financial services across a broad array of industries at Bank of New England, NatWest USA and Fleet Bank. Ms. Earle holds a B.A. in Economics from the Fairfield University.

Kathleen Conte joined the company as a Managing Director of Life Sciences in November 2004. From December 2003 to November 2004, she worked as an independent consultant. Kevin Grossman joined Hercules in September 2006 as a Managing Director. Mr. Grossman previously served as a Senior Relationship Manager and Senior Vice President in Silicon Valley Bank's Colorado office servicing technology and life sciences companies throughout Arizona, New Mexico, Utah, and Colorado. He was SVB's lead Business Development representative for these high-tech communities. His teams in this region that support the bank's overall efforts to provide a wide variety of financial services (Commercial Banking, Investment Banking, International Trade Finance) to the 120+ clients they work with. Prior to joining SVB in 1999, Mr. Grossman spent a year with Fremont Financial in a Business Development capacity providing $1-10MM Asset Based Lending facilities. Prior to that he served two years at the National Bank of Canada providing $3-$25MM Asset Based Lending deals with Portfolio Management responsibilities. Prior to those roles he opened two offices for a small asset based lending company in the Pacific Northwest. Each of these companies worked with either highly leveraged entities or those experiencing difficult times, attempting to "turnaround" their business. Mr. Grossman earned a Bachelor's degree in Business Economics at the University of California at Santa Barbara and a Master's degree in Business Administration from Northern Arizona University. Mr. Grossman is a member of the Board of Advisors for Agility Leasing, and a member of Association for Corporate Growth, Rockies Venture Club, and the Colorado Venture Capital Association. He is on the Board of Directors of the Denver Metro YMCA and serves as Program Chairman for the Duncan Family Branch.

Mr. Jadot is a Managing Director at Hercules Technology Growth Capital, focusing on the life science group. Prior to joining Hercules, Jadot served as vice president of the Life Sciences Group at Silicon Valley Bank (SVB) in Newton, Mass. Samir Bhaumik joined the company in November 2004 as a Managing Director and was promoted to Senior Managing Director in September 2006. Mr. Bhaumik previously served as Vice President—Western Region of the New York Stock Exchange from March 2003 to October 2004. Prior to working for the New York Stock Exchange, Mr. Bhaumik was Senior Vice President of Comerica Bank, previously Imperial Bank, from April 1993 to February 2003. Sean J. Holland III joined the company as a Managing Director in May 2008. Mr. Holland's acquisition and growth financing background including technology and middle-market investing spans MetLife, Goldman Sachs Specialty Lending Group and ORIX USA Corp. Ms. Baron joins Hercules with over nine years of experience in technology, retail and consulting. Prior to joining Hercules, she was a finance business manager at Cisco Systems, Inc., responsible for implementing lean manufacturing and cost reduction initiatives. Previously, Ms. Baron was a finance manager at Levi Strauss & Company, where she was responsible for the sales team’s revenue and operating expense plans, along with incentive programs. She also was a senior associate at PricewaterhouseCoopers, in both its consulting and audit divisions. Ms. Baron earned a Bachelor of Arts degree in Human Biology from Stanford University, a Master of Arts degree in Sociology from Stanford University and a Master of Business Administration degree with an emphasis in Finance from the University of California, Berkeley, Haas School of Business. She is a Certified Public Accountant in the state of California.

Arip Tirta joined Hercules Technology as an Analyst in August 2004. He interned previously as a Business Analyst at BT Commercial/NAI, where he honed his skills at data analysis and the application of sophisticated mathematical models to real-world business problems. Mr. Tirta graduated from UCLA in 2002 with a B.S. in Mathematics of Computation with Honors, and he completed his M.S. at Stanford in 2004 in Scientific Computing and Computational Mathematics. Nelson Bostrom, a Silicon Valley native, joined Hercules Technology Growth Capital as an associate in May 2008. Nelson started at Hercules as an intern in August 2007 while completing his Juris Doctorate at Santa Clara University School of Law. Nick Martitsch is our Associate General Counsel. Nick has over 20 years of experience in the financial services industry as both an attorney and executive. He worked in the fields of mergers and acquisitions and asset-based finance with Goldman Sachs & Co. and CIT, and in venture lending and leasing with Silicon Valley Bank. Nick also has experience in private law practice with Brown & Wood (now Sidley Austin LLP) and Jackson Tufts Cole & Black, focusing on secured transactions, equipment leasing and securitizations. In addition, Nick was general counsel of Dell Financial Services LP as part of the founding management team of that vendor-finance joint venture between Dell Computer Corporation and CIT. Nick graduated from Princeton University in 1981 with a B.A. in Philosophy and earned a J.D. from Washington & Lee University School of Law in 1986. He is a member of the State Bars of California and New York and holds NASD Series 7 and 66 licenses.

Bill Allen joined Hercules as an Associate in August of 2006 and works in our Palo Alto office. He was recently promoted to the role of Principal in January of 2007. Bill has over 15 years experience in operations and finance. He worked at BBN Technologies in Emerging Business Operations from 1998 to 2000. Bill was actively involved in the spin out of BBN Planet, the sale of CyberTrust to Baltimore Securities and the merger between GTE and Bell Atlantic, now Verizon. From 2000 to 2002, Bill was the Director of Structured Finance for Comdisco's IT business unit. As one of four directors throughout North America, Bill was directly responsible for business development, deal structuring and credit underwriting for the East Coast and Canada. Prior to working at Hercules, Bill worked as a relationship manager with Silicon Valley Bank focusing on software. Bill holds a B.S. in Economics from the University of Southern Maine and an MBA from Boston University.

Joseph W. Chow is executive vice president responsible for developing strategy for emerging economies. Mr. Chow serves as a member of the Asia-Pacific Executive Board, the company’s executive committee that oversees operations in the Asia-Pacific region, as well as on State Street’s Asset Liability and Major Risk committees. Mr. Chow previously served as head of risk and corporate administration and head of credit and risk policy. Prior to joining State Street in 1990, he held a number of international and corporate banking positions with the Bank of Boston.
