Hercules Technology Growth Capital Inc.

Since October 2003, Manuel A. Henriquez has been the co-founder, chairman and CEO of Hercules Technology Growth Capital, Inc. (NASDAQ: HTGC), a leading debt and equity growth capital provider to technology and life science companies. Prior to co-founding Hercules, Mr. Henriquez was a partner at VantagePoint Venture Partners, a $2.5 billion multi-stage venture capital firm, where he was an active equity investor and board member of many leading communications and software companies. From 1997 to March 2000, Mr. Henriquez was at Comdisco Ventures, where he was the president and chief investment officer, along with other senior level positions. While at Comdisco Ventures, he co-headed the investment activities for more than $2 billion in investments to venture backed companies. Earlier in his career, Mr. Henriquez was a vice president at Robertson Stephens & Co.'s late stage equity venture fund, CrossLink Capital (fka Omega Ventures). From 1987 to early 1991, Mr. Henriquez was a vice president at BancBoston Ventures, the Bank of Boston's early stage venture capital fund. He also was in the Bank of Boston's specialized High Technology Lending Group. In addition to his extensive debt and equity investment experience, Mr. Henriquez has held various senior executive level operating positions at companies, including ON Technology (NASDAQ: ONTC), a Kleiner Perkins Caufield & Byers venture backed software company acquired by Symantec (NASDAQ: SYMC). He was also the founder of various technology companies including HealthyPets, acquired by Petopia.com. Mr. Henriquez earned his B.S. in Business Administration and Finance from Northeastern University. Mr. Henriquez has also served on the board of directors of many technology companies, including Alopa Networks (acquired by C-Cor: CCBL), Asiner, S.A. (Mexico City), eAssist Solutions (acquired by Talisma), New Channel (acquired by LivePerson: LPSN), Qiva (acquired by TradeBeam). Savvion, STSN, and Think Engines (acquired by Cognitronics: CGN).

David M. Lund joined us in July 2005 as Vice President of Finance and Corporate Controller, and was promoted to Chief Financial Officer on October 2, 2006. Mr. Lund is our principal financial and accounting officer. He has over 20 years of experience in finance and accounting serving companies in the technology sector. Prior to joining Hercules, Mr. Lund served in senior financial positions for publicly traded companies: InterTrust Technologies, Centillium Communications and Rainmaker Systems, and in private companies: Urban Media, Scion Photonics and APT Technology. Mr. Lund also served in public accounting with Ernst & Young LLP and Grant Thornton LLP. He received a B.S. degree in Business Administration with an emphasis in Accounting from San Jose State University and a B.S. degree in Business Administration with an emphasis in Marketing from California State University, Chico. Mr. Lund is a Certified Public Accountant in the State of California.

H. Scott Harvey is a co-founder of the company and has been our Chief Legal Officer since December 2003. Mr. Harvey has over 20 years of legal and business experience with leveraged finance and financing public and private technology-related companies. Since July 2002, and prior to joining us, Mr. Harvey was in a diversified private practice. Previously, Mr. Harvey was Deputy General Counsel of Comdisco, Inc., a leading technology and financial services company, from January 1997 to July 2002. From 1991 to 1997, Mr. Harvey served as Vice President of Marketing, Administration & Alliances with Comdisco, Inc. and was Corporate Counsel from 1983 to 1991. Mr. Harvey received a B.S. in Agricultural Economics from the University of Missouri, a J.D. and LLM in taxation from The John Marshall Law School and an M.B.A. from Illinois Institute of Technology.

Diane Earle joined Hercules as Managing Director Senior Credit Officer in September of 2008. Diane has over 25 years of experience in lending to middle market and emerging growth companies. Before joining Hercules, she was the Senior Credit Officer and a co-founder of Life Sciences Capital, LLC, a subsidiary of Emigrant Bank. From 2001 to 2007, she was the Risk Manager of GE Life Science Finance, where her team was responsible for a $500 million portfolio and underwrote over $200 million in new transactions annually in the US and European life science markets. From 1999 to 2001, Diane was Treasurer of Leasing Technologies International, Inc. For the 17 years prior, she was a relationship manager providing financial services across a broad array of industries at Bank of New England, NatWest USA and Fleet Bank. Ms. Earle holds a B.A. in Economics from the Fairfield University.

Gregory K. Roth joined the company as a Managing Director in July, 2007. Mr. Roth brings 15 years of technology investment banking experience from companies including Credit Suisse and Piper Jaffray. He has completed a variety of technology financing and advisory transactions with an aggregate transaction value in excess of $25 billion. Mr. Roth earned his M.B.A. at The Wharton School of Business at the University of Pennsylvania, and received his B.A. from Brown University.

John D. Hershey joined the company in September 2005 as a Managing Director. From July 2004 to August 2005, he worked as an independent consultant. From October 2000 to June 2004, Mr. Hershey served as a Managing Director at Infinity Capital, an early stage venture capital firm where he co-managed the firm's software and services investing group. Prior to Infinity Capital, Mr. Hershey worked as a Managing Director at Banc of America Securities from May 1995 to September 2000. At Banc of America Securities, Mr. Hershey managed the firm's Internet Investment Banking group and served on the firm's Fairness Opinion Commitment Committee. From July 1990 to November 2003, Mr. Hershey was an Associate at James D. Wolfensohn, Inc., where he helped manage Wolfensohn Associates L.P., an all stage venture capital fund. Mr. Hershey received a B.A. degree in Economics from University of California, Davis and an M.B.A from the University of Chicago.

Kathleen Conte joined the company as a Managing Director of Life Sciences in November 2004. From December 2003 to November 2004, she worked as an independent consultant. From 1993 to December 2003, she served as Senior Vice President at Comerica Bank running its West Coast Life Sciences Group. Ms. Conte was at Prudential Capital Corporation from 1987 to 1993 originating structured private placements. Prior to that she spent 13 years at Wells Fargo Bank in various lending positions. Ms. Conte holds a B.A. degree and an M.B.A. from the University of Delaware.

Kevin Grossman joined Hercules in September 2006 as a Managing Director. Mr. Grossman previously served as a Senior Relationship Manager and Senior Vice President in Silicon Valley Bank's Colorado office servicing technology and life sciences companies throughout Arizona, New Mexico, Utah, and Colorado. He was SVB's lead Business Development representative for these high-tech communities. His teams in this region that support the bank's overall efforts to provide a wide variety of financial services (Commercial Banking, Investment Banking, International Trade Finance) to the 120+ clients they work with. Prior to joining SVB in 1999, Mr. Grossman spent a year with Fremont Financial in a Business Development capacity providing $1-10MM Asset Based Lending facilities. Prior to that he served two years at the National Bank of Canada providing $3-$25MM Asset Based Lending deals with Portfolio Management responsibilities. Prior to those roles he opened two offices for a small asset based lending company in the Pacific Northwest. Each of these companies worked with either highly leveraged entities or those experiencing difficult times, attempting to "turnaround" their business. Mr. Grossman earned a Bachelor's degree in Business Economics at the University of California at Santa Barbara and a Master's degree in Business Administration from Northern Arizona University. Mr. Grossman is a member of the Board of Advisors for Agility Leasing, and a member of Association for Corporate Growth, Rockies Venture Club, and the Colorado Venture Capital Association. He is on the Board of Directors of the Denver Metro YMCA and serves as Program Chairman for the Duncan Family Branch.

Mark S. Denomme joined the company as a Managing Director in September 2006. Mr. Denomme has over 18 years of experience in financial services. Prior to joining the company, Mr. Denomme was a Senior Vice President at Brown Brothers Harriman & Co., focusing on investments in middle market healthcare companies. From 2000 to 2006, Mr. Denomme was a Managing Director and co-founder of Consilium Partners, an investment banking firm focused on sell-side and buy-side engagements for middle market companies. From 1997 to 2000, Mr. Denomme was a Director in the Leveraged Finance group of BancBoston Robertson Stephens, focusing on originating loan syndication and high yield debt opportunities for the firm’s technology and media clients. From 1988 to 1997, Mr. Denomme was a commercial lender with Bank of Boston focused on structured debt opportunities with technology and media-related companies. Mr. Denomme holds a BBA degree from the University of Michigan and his series 7, 63 and 24 NASD licenses.

Parag I. Shah joined the company in November 2004 as Managing Director of Life Sciences and was promoted to Senior Managing Director in September 2006. From April 2000 to April 2004, Mr. Shah served as a Senior Vice President in Imperial Bank’s Life Sciences Group, which was acquired by Comerica Bank in early 2001. Prior to working at Comerica Bank, Mr. Shah was an Assistant Vice President at Bank Boston from January 1997 to March 2000. Bank Boston was acquired by Fleet Bank in 1999. Mr. Shah completed his Masters degrees in Technology, Management and Policy as well as his Bachelors degree in Molecular Biology at the Massachusetts Institute of Technology (MIT). During his tenure at MIT, Mr. Shah conducted research at the Whitehead Institute for Biomedical Research and was chosen to serve on the Whitehead Institute’s Board of Associates in 2003.

Mr. Jadot is a Managing Director at Hercules Technology Growth Capital, focusing on the life science group. Prior to joining Hercules, Jadot served as vice president of the Life Sciences Group at Silicon Valley Bank (SVB) in Newton, Mass. At SVB, Jadot co-managed a group dedicated to New England-based life science clients including biotechnology, medical device, and healthcare IT clients ranging from start-up to post-IPO stages, in addition to life science venture funds. From 1997 until 2001, Jadot was the vice president of the Software Group at Silicon Valley Bank in Palo Alto and Santa Clara where he managed a portfolio of software companies with emphasis on the negotiation of loan transactions, warrants and direct investment options. Prior to Silicon Valley Bank, Mr. Jadot worked with the Banque Nationale de Paris (BNP) where in managed a portfolio of “Fortune 500” syndicated credits in the software and life sciences space. Jadot earned a bachelor’s degree in economics and government from California State University at Sacramento; is a veteran of the US Army and is fluent in French.

Roy Y. Liu joined the company as a Managing Director in April 2004. Mr. Liu has over 20 years experience in operations and finance of technology companies. Formerly, Mr. Liu was a Vice President at GrandBanks Capital, an early-stage, information technology-focused venture capital firm. From 2000 to 2002, Mr. Liu was a founding principal of VantagePoint Structured Investments, a debt fund affiliated with VantagePoint Venture Partners. Prior to joining VantagePoint, Mr. Liu was VP Finance and Chief Financial Officer for toysmart.com, Inc. Prior to joining toysmart.com, he was a First Vice President and co-founded Imperial Bank’s Emerging Growth Industries Boston office in 1997, where he focused specifically on debt financing for venture-backed companies. Prior to co-founding Imperial Bank’s Emerging Growth Industries Boston office, Mr. Liu was the Chief Financial Officer of Microwave Bypass Systems, Inc. Prior to joining Microwave Bypass, Mr. Liu was Vice President and head of the High Tech Lending group for State Street Bank & Trust Co. Mr. Liu started his finance career in the Acquisition Finance Division of the Bank of Boston. Prior to his career in finance, Mr. Liu worked four years at IBM in research and product development. He holds a B.S. degree in Electrical Engineering and an M.B.A. from the University of Michigan.

Samir Bhaumik joined the company in November 2004 as a Managing Director and was promoted to Senior Managing Director in September 2006. Mr. Bhaumik previously served as Vice President—Western Region of the New York Stock Exchange from March 2003 to October 2004. Prior to working for the New York Stock Exchange, Mr. Bhaumik was Senior Vice President of Comerica Bank, previously Imperial Bank, from April 1993 to February 2003. Mr. Bhaumik received a B.A. from San Jose State University and an M.B.A from Santa Clara University. He serves on the advisory boards of Santa Clara University Leavey School of Business, Junior Achievement of Silicon Valley and the American Electronics Association-Bay Area council.

Sean J. Holland III joined the company as a Managing Director in May 2008. Mr. Holland's acquisition and growth financing background including technology and middle-market investing spans MetLife, Goldman Sachs Specialty Lending Group and ORIX USA Corp. Mr. Holland was also an investment banker at J.P. Morgan Chase structuring and underwriting high yield securities for financial sponsors and corporations in New York and London. Previously, he was a CPA at Ernst & Young. Mr. Holland received his B.S. in Accounting from Babson College and his M.B.A from the Stern School of Business at New York University. Mr. Holland is a Fellow of the Explorers Club.

Ms. Baron joins Hercules with over nine years of experience in technology, retail and consulting. Prior to joining Hercules, she was a finance business manager at Cisco Systems, Inc., responsible for implementing lean manufacturing and cost reduction initiatives. Previously, Ms. Baron was a finance manager at Levi Strauss & Company, where she was responsible for the sales team’s revenue and operating expense plans, along with incentive programs. She also was a senior associate at PricewaterhouseCoopers, in both its consulting and audit divisions. Ms. Baron earned a Bachelor of Arts degree in Human Biology from Stanford University, a Master of Arts degree in Sociology from Stanford University and a Master of Business Administration degree with an emphasis in Finance from the University of California, Berkeley, Haas School of Business. She is a Certified Public Accountant in the state of California.

Arip Tirta joined Hercules Technology as an Analyst in August 2004. He interned previously as a Business Analyst at BT Commercial/NAI, where he honed his skills at data analysis and the application of sophisticated mathematical models to real-world business problems. Mr. Tirta graduated from UCLA in 2002 with a B.S. in Mathematics of Computation with Honors, and he completed his M.S. at Stanford in 2004 in Scientific Computing and Computational Mathematics. He has worked on several finance projects with Citibank and several asset management companies in asset allocation, credit spread, portfolio optimization and asset pricing.

Cassidy joined Hercules Technology Growth Capital as an Associate in May 2007 to focus on providing debt and equity investments to companies in the life sciences and technology space. Prior to joining Hercules, Mr. Chroust was an associate with Silicon Valley Bank's commercial lending group where he focused on privately-held emerging technology companies and on the public technology sector in New England. Mr. Chroust gained financing experience at Fifth Third Bancorp based in Cincinnati, OH. He holds a BA in Economics from Denison University.

David joined Hercules Technology Growth Capital as an Associate in February 2007 to focus on providing debt and equity investments to early stage companies in the technology space. Prior to joining Hercules, Mr. Roh was a technology investment banking analyst at Cowen and Company in San Francisco where he was involved in a variety of M&A transactions and equity offerings across various industries, including software, digital media, semiconductor and communications equipment. Prior to Cowen and Company, Mr. Roh gained M&A and valuation experience in the technology space through Houlihan Lokey, a private investment bank. David earned a B.S. in Business Administration with an emphasis in Finance and International Business from Georgetown University.

Jason Cook joined Hercules Technology Growth Capital as an Associate in September 2008. Mr. Cook focuses on debt and equity investments in the Life Sciences and Technology space. Prior to joining Hercules Mr. Cook was an Associate at Piper Jaffray where he originated and structured senior and mezzanine loans, high-yield bonds and bridge loans for public and private technology, life science and other middle-market companies. Mr. Cook received a B.A. in Economics from Harvard University.

Nelson Bostrom, a Silicon Valley native, joined Hercules Technology Growth Capital as an associate in May 2008. Nelson started at Hercules as an intern in August 2007 while completing his Juris Doctorate at Santa Clara University School of Law. Previously, he was a summer analyst with Cowen & Company's Technology, Media, and Telecom Investment Banking Group, and interned with Farr Financial as a futures, commodity, and options trader, and with law firm Atwood, Haiman & Westerberg in real estate litigation and transactions. Nelson is a 2008 graduate of Santa Clara University School of Law and he earned a B.S.C. in Finance at Santa Clara University in 2005.

Nick Martitsch is our Associate General Counsel. Nick has over 20 years of experience in the financial services industry as both an attorney and executive. He worked in the fields of mergers and acquisitions and asset-based finance with Goldman Sachs & Co. and CIT, and in venture lending and leasing with Silicon Valley Bank. Nick also has experience in private law practice with Brown & Wood (now Sidley Austin LLP) and Jackson Tufts Cole & Black, focusing on secured transactions, equipment leasing and securitizations. In addition, Nick was general counsel of Dell Financial Services LP as part of the founding management team of that vendor-finance joint venture between Dell Computer Corporation and CIT. Nick graduated from Princeton University in 1981 with a B.A. in Philosophy and earned a J.D. from Washington & Lee University School of Law in 1986. He is a member of the State Bars of California and New York and holds NASD Series 7 and 66 licenses.

Roderick Purwana joined Hercules Technology Growth Capital in 2005 as an Analyst, where he provides analytical support to the Managing Directors and helps conduct due diligence for proposed investments. Prior to joining Hercules, Roderick completed his M.S. in Management Science and Engineering from Stanford University with a concentration in Productions Operations, Services, and Manufacturing. Roderick graduated magna cum laude from Cornell University with a B.S. in Food Science and Technology.

Bill Allen joined Hercules as an Associate in August of 2006 and works in our Palo Alto office. He was recently promoted to the role of Principal in January of 2007. Bill has over 15 years experience in operations and finance. He worked at BBN Technologies in Emerging Business Operations from 1998 to 2000. Bill was actively involved in the spin out of BBN Planet, the sale of CyberTrust to Baltimore Securities and the merger between GTE and Bell Atlantic, now Verizon. From 2000 to 2002, Bill was the Director of Structured Finance for Comdisco's IT business unit. As one of four directors throughout North America, Bill was directly responsible for business development, deal structuring and credit underwriting for the East Coast and Canada. Prior to working at Hercules, Bill worked as a relationship manager with Silicon Valley Bank focusing on software. Bill holds a B.S. in Economics from the University of Southern Maine and an MBA from Boston University.

Joseph W. Chow is executive vice president responsible for developing strategy for emerging economies. Mr. Chow serves as a member of the Asia-Pacific Executive Board, the company’s executive committee that oversees operations in the Asia-Pacific region, as well as on State Street’s Asset Liability and Major Risk committees. Mr. Chow previously served as head of risk and corporate administration and head of credit and risk policy. Prior to joining State Street in 1990, he held a number of international and corporate banking positions with the Bank of Boston. Mr. Chow received a Bachelor of Arts in economics from Brandeis University, a Master in City Planning from the Massachusetts Institute of Technology and a Master of Science in Management from the MIT Sloan School of Management.
