ARNOLD G. LANGBO, age 71, retired in 2000 as Chairman of Kellogg Company, Battle Creek, Michigan, a producer of cereal and convenience foods. He held that position from January 1992 and also served as Chief Executive Officer from January 1992 until May 1999. He is a director of Johnson & Johnson, Whirlpool Corporation and Weyerhaeuser Company. A Hershey director since 2007, he chairs the Compensation and Executive Organization Committee and is a member of the Executive Committee. He was elected by the holders of the Common Stock voting separately as a class.

Charles A. Davis has served as a director since our inception. Since June 2005, Mr. Davis has been a member and the Chief Executive Officer of Stone Point Capital LLC. From 1998 until May 2005, he was with MMC Capital, Inc., a subsidiary of Marsh & McLennan Companies, Inc., serving as the Chief Executive Officer from 1999 to 2005 and Chairman from 2002 to 2005. He also served as a Vice Chairman of Marsh & McLennan Companies, Inc. from 1999 to November 2004. Prior to joining MMC Capital in 1998, Mr. Davis spent 23 years at Goldman, Sachs & Co., where, among other positions, he served as head of Investment Banking Services worldwide, head of the Financial Services Industry Group, a General Partner, a Senior Director and a Limited Partner. Mr. Davis also is a director of Media General, Inc., The Hershey Company and The Progressive Corporation.

Mr. Strauss served as President and Chief Executive Officer of Unilever United States, Inc., a primary business group of Unilever, the international food and home and personal care organization ("Unilever"), from May 2000 until his retirement in December 2004. Mr. Strauss is a member of the Board of Directors of Aegis Group plc and The Hershey Company.

Edward "Ned" Kelly was named Chief Financial Officer of Citi in March 2009. He is responsible for the financial management of the company in addition to Strategy & M&A and Productivity & Reengineering. Prior to being named CFO, Ned was Head of Global Banking, Citi Private Bank and President and Chief Executive Officer of Citi Alternative Investments in Citi's Global Institutional Bank. He is a member of Citi's Senior Leadership and Executive Committees. Mr. Kelly joined Citi in February 2008 from The Carlyle Group, a private investment firm, where he was a Managing Director. Prior to joining Carlyle in July 2007, he was a Vice Chairman at The PNC Financial Services Group following PNC's acquisition of Mercantile Bankshares Corporation in March 2007. He was Chairman, Chief Executive and President of Mercantile from March 2003 through March 2007 and Chief Executive and President from March 2001 to March 2003. Before Mercantile, Mr. Kelly was at J.P. Morgan Chase & Co. where he was Managing Director and head of Global Financial Institutions and co-head of Investment Banking Client Management. He joined J.P. Morgan in 1994 as its General Counsel and Secretary. In 1996, he became a Managing Director and subsequently ran various parts of J.P. Morgan's investment banking business, including Global Financial Institutions and Latin America. Prior to joining J.P. Morgan, Mr. Kelly was a partner at the law firm of Davis Polk & Wardwell, where he specialized in matters related to financial institutions. Early in his career, Mr. Kelly served as a law clerk to Supreme Court Justice William J. Brennan, Jr. and U.S. Court of Appeals Judge Clement F. Haynsworth, Jr. Prior to law school, he served as a legislative assistant and, later, press secretary to U.S. Senator Richard S. Schweiker. He serves on the Boards of Directors of The Hartford Financial Services Group, CSX Corporation and SIFMA. He also serves on the Boards of Trustees of Johns Hopkins Medicine and the University of Virginia Law School Foundation. In the past, he has served on the Boards of Directors of CIT Group, Axis Capital Holdings, Paris Re Holdings, Constellation Energy, the American Stock Exchange, Johns Hopkins University and The Hershey Company, among others. Mr. Kelly received his bachelor's degree from Princeton University and his J.D. from the University of Virginia School of Law.

LeRoy S. Zimmerman is Vice President of the Society. He was Pennsylvania's first elected Attorney General, a position he held for eight years, beginning in 1981. Immediately preceding that, he served as Dauphin County District Attorney for 15 years. Currently, Mr. Zimmerman is Senior Counsel for the firm of Eckert Seamans Cherin & Mellott, LLC. He is Chairman of the Milton Hershey School Board of Managers and the Hershey Trust Company Board of Directors and is active in numerous professional and civic organizations. LeRoy S. Zimmerman is a graduate of Villanova University and the Dickinson School of Law.

ROBERT F. CAVANAUGH, age 50, is Managing Director of DLJ Real Estate Capital Partners, Los Angeles, California, a subsidiary of Credit Suisse and a leading global investment banking firm. He has held that position since October 1999. He is a director of Hershey Trust Company and a member of the board of managers of Milton Hershey School. A Hershey director since 2003, he is a member of the Audit Committee and the Compensation and Executive Organization Committee.
