DAVID E. BERGES has served as Chairman of the board of directors and Chief Executive Officer of Hexcel since July 2001, and as President of Hexcel from February 2002 to February 2007. Prior to joining Hexcel, Mr. Berges was President of the Automotive Products Group of Honeywell International Inc. from 1997 to July 2001 and Vice President and General Manager, Engine Systems and Accessories, at AlliedSignal Aerospace from 1994 to 1997. Previously, Mr. Berges was President and Chief Operating Officer of Barnes Aerospace, a division of Barnes Group Inc.. Mr. Berges spent the first fifteen years of his career in a variety of managerial and technical positions with the General Electric Company. Mr. Berges joined the board of directors of Dana Corporation in April 2004.

DORON D. GROSMAN has served as President since February 2009. Prior to joining Hexcel, Mr. Grosman was President of the Magazine Printing Solutions Division of Quebecor World from 2007 to 2008. From 2002 to 2007, he was with the American Standard Companies, where he served as Chief Financial Officer of Trane Commercial Air Conditioning and led day to day operations worldwide, including distribution, services and manufacturing. From 1991 to 2002, Mr. Grosman held a variety of management and executive positions with the General Electric Company, the last being Vice President and General Manager of GE Plastic's petrochemicals business from 1998-2002. Prior to joining GE, Mr. Grosman worked as a senior engagement manager for Bain & Company, a business and strategy consulting firm.

MARK I. MARK I. CLAIR, age 47, has served as Vice President, Corporate Controller and Chief Accounting Officer since July, 2007. Mr. Clair served as Assistant Controller – Corporate of Terex Corporation, a diversified global manufacturer of capital equipment, from June 2005 to July 2007. From 1988 to June 2005, Mr. Clair held various positions for United States Steel Corporation, including Director – General and Consolidation Accounting from June 2003 through May 2005, and Controller of US Steel’s Minnesota Ore Operations from June 1999 through May 2003.2003.

WAYNE C. PENSKY has been our Senior Vice President and Chief Financial Officer since April 2007. Prior to serving in his current role, Mr. Pensky served as Vice President, Finance and Controller of our Composites global business unit since 1998. From 1993 to 1998 Mr. Pensky was our Corporate Controller and Chief Accounting Officer. Prior to joining Hexcel in 1993, Mr. Pensky was a partner at Arthur Anderson & Co., where he had been employed since 1979.

Stephen Forsyth is executive vice president and chief financial officer of Chemtura Corporation. He is responsible for all financial functions, Strategy and New Business Development, and Information Technology.
Mr. Forsyth, a proven financial and operating executive with more than 25 years experience in operational and bottom-line improvement, business development and growth, and cash generation, joined Chemtura in May 2007 from Hexcel Corporation, where he served as executive vice president and CFO. In that position, he was instrumental in designing and implementing growth strategies, business consolidation programs and financings that contributed to significant increases in revenues, earnings and cash flow. During Mr. Forsyth’s 26 years at Hexcel, he served as vice president of international operations, responsible for one-third of Hexcel’s business, and had general management responsibilities for the company’s global specialty resins and European chemicals businesses.
Mr. Forsyth completed his undergraduate degree at the London School of Economics and Political Science, joined Lloyds Bank, and then completed his MBA at the London Business School.

James J. Gaffney, became the Chairman of the Board in February 2003 and has been a director of the Company since August 2001. Since 1997, Mr. Gaffney has served as a consultant to private investment funds affiliated with Goldman, Sachs & Co. in relation to investments by those funds in Viking Pacific Holdings Ltd. and Vermont Investments Limited, both New Zealand-based diversified holding companies. Since 1997, he has served as Vice Chairman of Viking Pacific. From 1995 through 1997, Mr. Gaffney served as Chairman of the Board and Chief Executive Officer of General Aquatics, Inc., which manufactures swimming pool equipment and constructs swimming pools. Mr. Gaffney also is a director of Advantica Restaurant Group, Inc., SCP Pool Corporation, Hexcel Corporation, Seabulk International, Inc. and Safelite Glass Corporation.
President and Chief Executive Officer, C&D Technologies, Inc. JEFFREY A. GRAVES has been a director of Hexcel since July 2007. Dr. Graves has served as President and Chief Executive Officer of C&D Technologies, Inc., a producer of power conversion systems and electrical power storage, since 2005. From 2001 to 2005 he was employed by Kemet Corporation as Chief Executive Officer (2003 to 2005); President and Chief Operating Officer (2002-2003); and Vice President of Technology and Engineering (2001-2002). From 1994 to 2001 Dr. Graves was employed by the General Electric Company, holding a variety of Management positions in GE's Power Systems Division from 1996 to 2001, and in the Corporate Research and Development Center from 1994 to 1996. Prior to General Electric, Dr. Graves was employed by Rockwell International and Howmet Corporation, now a part of Alcoa Corporation. SANDRA L. DERICKSON has been a director of Hexcel since February 2002. Ms. Derickson is Chair of the nominating and corporate governance committee and is a member of the compensation committee of Hexcel. Ms. Derickson retired from HSBC in February 2007. She held several management positions at HSBC from September 2000 to February 2007 including President and Chief Executive Officer, HSBC Bank USA; Vice Chairman, HSBC Finance; and Group Executive, HSBC Finance. During her tenure, she was responsible for private label credit cards, insurance services, taxpayer services, auto financing and some of the Group’s mortgage businesses. From 1976 to 1999, Ms. Derickson held various management positions with General Electric Capital Corporation, the last of which was President of GE Capital Auto Financial Services. Ms. Derickson was also an officer of the General Electric Company.
