In February 2006, James E. Murray was appointed Humana’s chief operating officer. He has responsibilities for integrating all of the company’s operations and products under a single senior leader, including senior products, commercial sales and market operations, service, information technology, clinical operations and Humana Military (TRICARE). Mr. Murray was previously chief operating officer for market and business segment operations, where he focused on sales, underwriting, specialty products, network management and market management functions. Mr. Murray has held a variety of senior leadership positions since joining Humana as vice president of finance in 1989. He was promoted to vice president and chief financial officer in 1997 with responsibility for public and statutory reporting, investor relations, operating unit budget management and evaluation of acquisition opportunities. Mr. Murray is a certified public accountant and joined Humana as vice president of finance in 1989. He was promoted to vice president and chief financial officer in 1997. Before joining Humana, he served as a partner in the Louisville, Ky., office of Coopers & Lybrand (now PricewaterhouseCoopers).

James H. Bloem joined Humana in February 2001, as senior vice president and chief financial officer. In addition to supervising all accounting, actuarial, financial, tax, risk management, treasury and investor relations activities, he is responsible for helping develop business growth strategies, with a focus on industry-leading innovation in product design and the application of new technology. Previously, Mr. Bloem has served as executive vice president, then as President of the Personal Care Division of Perrigo Company, the nation's largest manufacturer of over-the-counter pharmaceuticals, personal care and nutritional products for the store brand market. Prior to that, he served as Vice President and Chief Financial Officer of Herman Miller, Inc., an international manufacturer of office furniture and furniture systems. Before that, Mr. Bloem served as Vice President and General Counsel of Herman Miller, Inc. Mr. Bloem also has worked as an independent financial and business consultant, serving national and international clients, and was a partner specializing in taxation and corporate practice in the Grand Rapids, Michigan law firm of Law, Weathers, and Richardson. Mr. Bloem holds a law degree from Vanderbilt University and a Masters of Business Administration degree from Harvard Business School. He also is a certified public accountant, and serves as a director of several corporate and educational boards.

aul B. Kusserow Senior Vice President and Chief Strategy Officer Paul Kusserow was named Senior Vice President and Chief Strategy Officer in February 2009 with responsibility for Humana’s strategic planning function as well as its merger and acquisition and venture-capital activities. Prior to joining Humana, Mr. Kusserow served as Managing Director of Private Equity at the Chicago-based investment firm B.C. Ziegler and Company. He also served as Managing Director and Chief Investment Officer of the Ziegler HealthVest Fund, where he focused on early-stage investments in health care services and health care IT. From 2004 to 2007, he was Managing Director of San Ysidro Capital Partners LLC, a health care services consulting and investment advisory firm. A Vermont native, Paul is a Phi Beta Kappa graduate of Wesleyan University. He earned an M.A. with honors from Oxford University, where he was a Rhodes Scholar. He began his career as a consultant with McKinsey and Company.

Steven E. McCulley is Humana’s Controller and Principal Accounting Officer with responsibility for supervising all accounting, financial reporting and financial analysis functions. Mr. McCulley also oversees the establishment and maintenance of internal controls, including Sarbanes-Oxley requirements. Mr. McCulley was promoted to Vice President and Controller for the company in January 2001 after having served as Vice President and Chief Financial Officer of Market Operations. In August 2004, Humana’s Board of Directors appointed Mr. McCulley as Principal Accounting Officer. A Certified Public Accountant, Mr. McCulley previously worked at Coopers & Lybrand (now PriceWaterhouseCoopers) for 6 years before joining Humana in 1990. Mr. McCulley earned a Bachelor of Science degree in Accounting from the University of Kentucky.

Heidi Margulis, Senior Vice President, Government Relations, leads the development, execution and advocacy of Humana’s state and federal legislative initiatives. Heidi joined Humana in 1985 and has held increasingly responsible regulatory and legislative public affairs advocacy positions. She was promoted to Vice President, Government Affairs, in 1995. Two U.S. Secretaries of Health & Human Services have recognized Heidi’s expertise with appointments to Secretary Tommy Thompson's Advisory Committee on Regulatory Reform (executive committee) and Secretary Donna Shalala's Advisory Panel on Medicare Education. Heidi serves on the board of the Campaign to End Obesity, most recently served as board co-chair of Green Ribbon Health (a Medicare Health Support pilot program), chair of the Coordinating Committee of the Health & Retirement Task Force of the Business Roundtable, and serves on public policy committees of the National Business Group on Health and America's Health Insurance Plans. She has served on a variety of local, state and national civic, charitable and public-sector boards. Heidi holds a bachelor’s degree in international studies from the University of Louisville.

Ms. Kelly joined Brown & Brown of Texas, Inc. in 1999 as a Senior Account Manager in our Employee Benefits Department. Her career encompasses more than 30 years of progressively responsible positions at Fireman's Fund Insurance Company, Crum & Forster, Humana and Employers Health Insurance Group. In 2002, she was promoted to Account Executive of our company's Fertility Insurance Program where she assumed responsibility for adding new clients to the program and for servicing existing customers. Since her promotion, Ms. Kelly had more than doubled the size of the program.

Brenda Snyder is Sr. Vice President of Search and OD/OE Consulting Services. Brenda has over 20 years of Human Resource experience in Fortune 200 corporations-Qwest Communications, Honeywell International and Humana Corporation. Brenda held keyleadership roles of national and international scope in Strategic Planning, Executive Staffing, Human Resource Management. Organizational Design and Quality. Brenda has significant experience in recruiting and staffing Executive level positions for organizations known for hiring 'Best-in-Class' leadership talent. She also has a proven track record of assisting business leaders to identify 'High-Potential' individuals who demonstrate significant success in moving organizations to the highest possible levels of performance. Brenda is a graduate of Regis University in Denver, Coloradowith a B.A. degree in Business Management and has completed coursework for her Master's in International Management. She and her husband Dave reside in Denver, Colorado. Brenda is certified to provide the FGI 360 instruments.

Mr. Hearn has handled numerous merger and acquisitions and capital raising transactions for a variety of publicly traded and privately held organizations. Most recently, Mr. Hearn represented the world's largest offshore supply vessel company in a variety of acquisitions and dispositions; represented a health care clinic partnership with over 600 physicians in connection with a merger with a hospital based foundation; represented a publicly traded Singapore venture capital group in connection with the acquisition of Hawaii Gas Company; represented a large health care foundation in the sale of a 180,000 member managed care plan to Humana Inc.; and represented Avondale Industries, Inc. (one of the largest United States shipbuilders) in its acquisition by Litton Industries. Mr. Hearn also provides corporate and boardroom advice to a variety of public and private companies including compliance with SEC disclosure laws and Sarbanes-Oxley; preparation of proxy materials and advice in proxy contests; implementation of anti-takeover defenses, including stockholder rights plans; contract drafting; and corporate governance matters. Mr. Hearn is listed in The Best Lawyers in America (Woodward/White, Inc.) in the areas of Corporate Law, Mergers & Acquisitions Law and Securities Law. He is ranked in Corporate/M&A by Chambers USA America's Leading Business Lawyers 2006. He has been ranked by Chambers since 2004.

Mr. Galloway has more than 20 years experience in the Healthcare IT industry supporting, installing and managing healthcare systems implementation projects for organizations such as Humana, HealthAmerica and Tenet Healthcare. He came to HMS in March of 2000 from his prior role as Senior Project Manager for Perot Systems, Inc. Mr. Galloway graduated from Spalding University in Louisville, Kentucky with a Bachelor of Arts degree in Communications and currently serves on the Advisory Board for the College of Communications.

Debra A. Finnel, President and Chief Operating Officer, has been employed by Metropolitan since January 1999 and has served on the Board of Directors of Metropolitan since 2002. She has twenty years of healthcare experience in the South Florida market, specializing in managed care and risk contracting, including five years as Regional Director with FamilyCare, Inc., the largest affiliate of International Medical Centers, Inc., Florida's first Medicare+Choice HMO. Prior to joining Metropolitan, Ms. Finnel was President and Chief Operating Officer of Advanced HealthCare Consultants, Inc., which managed and owned physician practices in multiple states and provided turnaround consulting to managed care providers, MSOs, Independent Physician Associations and hospitals. She also has extensive experience in provider contracting, claims administration and customer service. Ms. Finnel has had an affiliated provider relationship with Humana Medical Plans since their inception in the Florida market in 1986 and has developed strong relationships with many senior healthcare executives throughout Florida, as well as state and federal government.

Dorothy Sutherland Dorothy serves as Humana Ventures Administrative Assistant. Dorothy has been with Humana since 1999 and has experience within several of Humana's strategic functions. Dorothy will be happy to arrange a meeting with the Humana Ventures team.

In 1994, Gary Polsky took his personal savings and founded Dignita Hospice Care in Phoenix, Arizona. Dignita expanded into the Tucson, Arizona market in 1996 and San Diego, California market in 1998. To solidify Dignita Hospice Care, Mr. Polsky envisioned hospice controlled inpatient units. In 1998, Gary founded Hospice Properties I, LLC to build the Dignita Hospice Care Mesa Inpatient Unit. Shortly thereafter, Hospice Properties II, LLC and Hospice Properties III, LLC were commissioned to build two additional inpatient units in Peoria, Arizona and Tucson, Arizona. In November 1999 with a solid reputation and an overall census of 346, Dignita Hospice Care was sold in an asset purchase to Odyssey Healthcare. For the three markets served by Dignita Hospice Care, a four year non-compete agreement was signed as part of the purchase. After the sale, Gary found that his passion for hospice could not be squelched. In February 2002, Mr. Polsky founded Solari Hospice Care. Medicare certification was achieved in July 2002 for the first location in Las Vegas, Nevada serving Clark County. Solari's attention turned to Houston, Texas. This location, serving the greater Houston metropolitan area, became Medicare certified in November 2004. Now, Solari Hospice Care is focusing on its next location in Phoenix, Arizona. Medicare certification is anticipated in January 2007. Concurrently, Solari is building its first hospice inpatient unit in Las Vegas, Nevada. The Medicare certification of this unit is anticipated to be in the summer of 2007.

Hal Clark has a successful track record in healthcare reimbursement and financial operations for hospitals, nursing facilities and physician practices. Prior to joining Merit, Mr. Clark co-founded and served as principal for three Louisville-based companies which assisted long-term care and hospital providers in the areas of third-party reimbursement, financial reporting, operational management, and clinical oversight. Mr. Clark's career also includes management positions with Vencor, Inc. (currently operating as Kindred Healthcare, Inc.), Columbia/HCA, and Humana.

Joseph L. DeVenuto has served as vice president of information services and chief information officer since January 2006. He is responsible for aligning information services activities with the organization's strategic plan, as well as daily information services operations, including technology services; telecommunications; customer services; data center operations; intranet development; data warehousing; and enterprise financial, human resources, clinical, physician and administrative systems. He joined Norton Healthcare in August 2002 as division director of clinical systems before being promoted to associate vice president of information services in March 2003, vice president of information services in November 2004, and interim chief information officer in September 2005. DeVenuto's 20-plus years' experience with health care information systems includes a wide variety of information systems roles with Kindred Healthcare, Columbia/HCA and Humana. A Louisville native, DeVenuto has a Bachelor of Science in computer science from the University of Kentucky and a Master of Business Administration in management from the University of Louisville. He is a member of the College of Healthcare Information Management Executives and the Healthcare Information Management System Society,and serves on the Premier I.T. Services Committee. He has served in a variety of capacities for boards of directors for the National Alliance of Healthcare Information Technology and the Bluegrass Chapter of the Healthcare Information and Management Systems Society.

Sandy's background includes sales, client relations and executive management roles at CIGNA, Humana, PacifiCare and TriZetto, as well as consulting roles at The Segal Company and AON Consulting. Her knowledge encompasses the insured and managed care product lines pertaining to life, short and long term disability, dental, behavioral health, prescription drug and medical, as well as underwriting principles and TPAs. Her experience in working for a health care IT company has also afforded her the insight into business process outsourcing, vendor management and software application technology. She has recruited employee talent across the U.S. and is very employee-focused from a capital management perspective. She brings exceptional people skills, experience in hiring and developing strong sales and account management service teams, along with her diverse background in health services, to our recruitment team. Her track record in developing strong customer focused programs adds a new dimension to MCR. She is located in Denver, Colorado, where she enjoys nearly anything outdoors, and continues to be very passionate about the health care industry, information technology and new solutions for a more balanced health care environment. She is currently a Colorado licensed Life, Accident and Health and HMO broker, and holds a B.S. degree in Consumer Economics and Management.

Ty Wilburn has over 30 years of hospital industry experience, including mergers and acquisitions, finance, operations, strategic planning, and venture capital. Mr. Wilburn is responsible for maintaining the company's strategic focus and leads the management team in all initiatives. Serving as CEO since January of 2003, Mr. Wilburn has been instrumental in the company's several acquisitions. He has also taken great care in putting together a motivated and talented management team which has improved performance in all Merit owned health facilities year over year. Prior to joining Merit Health, Mr. Wilburn's experience included senior executive positions at Community Health Systems and Humana. During his career, Mr. Wilburn has led and closed more than $3 billion in transactions.

David A. Jones, Jr. was elected Chairman of the Board of the Company in April 2005, having served as Vice Chairman since September 1996. Mr. Jones is chairman and managing director of Chrysalis Ventures, LLC, a Louisville-based venture capital firm which he founded in 1993. Chrysalis Ventures provides equity capital for young growth companies in the Southeast and Midwest. Mr. Jones is immediate past chairman of the Greater Louisville Health Enterprises Network, a business consortium designed to promote the growth of the health care economy in Louisville and the surrounding region. He also serves on the advisory committee of the Brookings Center on Health Policy, on the board of the National Committee on U.S.-China Relations and on the Yale President's Council on International Activities. Prior to forming Chrysalis Ventures, Mr. Jones practiced corporate and international law. He served in the U.S. Department of State's general counsel's office from 1988 to 1992, working principally on political and economic issues involving East Asia. A magna cum laude graduate of Yale University, Mr. Jones earned a J.D. degree from the Yale University School of Law. He has been a Humana board member since 1993. He is the son of David A. Jones, the former Chairman of the Board and Humana founder, who retired effective April 2005.

Frank A. D’Amelio Frank A. D'Amelio was initially elected to the Board in September 2003. He is Chief Financial Officer of Pfizer Inc., having taken that position in September 2007. Mr. D'Amelio has almost three decades of extensive operating and financial experience at AT&T, Lucent Technologies and Alcatel-Lucent, including serving as both chief operating officer and chief financial officer at Lucent. He is also a member of the JPMorgan/Chase National Advisory Counsel.

Ashland Inc. Chairman and Chief Executive Officer James J. O'Brien, 54, knows Ashland and knows the chemical business. Since 2002, he has presided over the transformation of Ashland from a multi-industry petroleum refiner and marketer with holdings in chemicals and transportation construction into a global specialty chemicals company. O'Brien guides a company of 16,000 employees working to develop products, services and solutions that, through chemistry, meet customers' needs and contribute to improved quality of life. As chairman and chief executive officer, O'Brien leads Ashland's Executive Committee, whose members set Ashland's global strategy, manage its capital, and uphold Ashland's operating principles.

W. Ann Reynolds, 71, formerly President and Professor of Biology at The University of Alabama at Birmingham, located in Birmingham, Alabama, until 2002. Director since 2006; formerly a Director of OCD since 1993. A graduate of Kansas State Teachers College and the University of Iowa, where she earned a Ph.D. degree, Dr. Reynolds previously served as Chancellor of the City University of New York and as Chancellor of the California State University System. In prior years, she was Provost of the Ohio State University and Professor of Anatomy and Vice Chancellor for Research at the University of Illinois at the Medical Center. Dr. Reynolds is a director of Humana, Inc., Abbott Laboratories, Invitrogen Corporation, and the News-Gazette, Champaign, Illinois.

W. ROY DUNBAR , 46, has been a director of EDS since 2004. He has been President and Chief Executive Officer of Network Solutions, a provider of Web related services, since February 2008. Mr. Dunbar was President Global Technology and Operations of Master Card International from September 2004 to January 2008, and president, intercontinental operations of Eli Lilly and Company, responsible for its Asia, Africa/Middle East, Latin America and the Confederation of Independent States operations from January 2004 to September 2004. He had served as vice president of information technology and chief information officer of Eli Lilly since 1999 and joined Eli Lilly in 1990. Mr. Dunbar is also a director of Humana Inc.

William E. Mitchell, 65, is Chairman, a Director, Chief Executive Officer and the former President of Arrow Electronics, Inc., and Director with Brown-Forman Corporation. Mr. Mitchell previously served on the Rogers Board of Directors from 1994 to the April 26, 2007 Annual Meeting of Shareholders when he chose not to stand for re-election becuase of other business commitments. However, Mr. Mitchell was asked to rejoin the Rogers Board in 2008 and was elected at the May 9, 2008 Annual Meeting of Shareholders.
