Sami Bebawi is the president of his own construction project management company, Geracon Inc. From 1999 until December 31, 2006 he was an Executive Vice President of SNC-Lavalin Group Inc. and member of the Office of the President and President of the heavy construction company Socodec Inc. Mr. Bebawi also had the corporate responsibility in project management policy. He is an engineering graduate with a Masters Degree and has several years of experience designing and building thermal, hydro and nuclear power plants. Mr. Bebawi is a Member of the Ordre des ingenieurs du Quebec and is a conjunct professor at Concordia University, Montreal. Mr. Bebawi has been a Director of our company since October 8, 2004.

Blake Wallace, Q.C., is currently Vice-President and a Director of Murray & Company, a full-service financial intermediary specializing in commercial, industrial and residential real estate, corporate finance, advisory services (debt and equity), privatizations and public-private partnerships. He has also served as Vice President and General Counsel of the company since 1972. Mr. Wallace is a former Vice-Chair of TVOntario and has been a Director of our company since November 22, 2002.

Giuliana Rossini is currently Director of Strategy & Conservation Officer at Hydro One. With a career spanning over 20 years at Ontario's largest electricity utility, Giuliana previously held key roles in Asset Management, Business Controllership and Strategic Planning, with a particular focus on Finance. Her past work includes the financial restructuring of the former Ontario Hydro and the initial capitalization of its five successor companies, as well as advising Hydro One's CFO on the launch of a $1 billion bond issue. More recently, Giuliana successfully developed Hydro One's Conservation and Demand Management (CDM) suite of programs which gained approval from the Ontario Energy Board, increasing its regulated revenue stream by $40 million per year. She currently directs the design and development of a wide-ranging menu of innovative and successful CDM programs, addressing key customer segments and energy end-uses.

Kathryn A. Bouey is currently a management consultant. From 2001 to 2005, Ms. Bouey was the Deputy Minister of the Management Board Secretariat, Province of Ontario and previously held other senior management positions with the Province, including: Deputy Minister of Intergovernmental Affairs (1999-2001); and Assistant Deputy Minister, Corporate Services Group, Ministry of Health and Long-Term Care (1997-1999). Following 11 years with the federal government, Ms. Bouey joined the Ontario Ministry of Finance as Senior Policy Advisor/Senior Economist in 1982. She is currently a Governor of Sheridan College and a Director of St. Joseph's Health Centre. Previously, she held the position of Chair of the Ontario Civil Service Commission and has served on the boards of the Canadian Comprehensive Auditing Foundation, Ontario Power Generation, the Ontario Financing Authority and the Ontario Pension Board. Ms. Bouey obtained a Master of Arts (Economics) from Carleton University in 1981 and was certified by the Institute of Corporate Directors in 2006. She has been a Director of our company since March 30, 2007.

Mr. Murray has served in several senior positions at the Royal Bank of Canada and RBC Capital Markets including Vice Chairman from 2000 to 2005, Vice President from 1989 to 1995 and Senior Vice President from 1995 until 2000. He is also a director at Hydro One Inc. a position he has held since 2005. Mr. Murray was appointed a director of Ivernia in October 2000.
