Dr. Jackson, age 62, has served as a director of NYSE Euronext and its predecessors since November 2003. Dr. Jackson is also the chairperson of the board of directors of NYSE Regulation and serves on the Board of Governors of the Financial Industry Regulatory Authority (FINRA). Dr. Jackson has been president of Rensselaer Polytechnic Institute since 1999. From 1995 to 1999, she was chairman of the U.S. Nuclear Regulatory Commission. Dr. Jackson also serves as a director of Federal Express Corporation, Public Service Enterprise Group Incorporated, Marathon Oil Corporation, International Business Machines Corporation and Medtronic, Inc. (all U.S. corporations). Dr. Jackson is both a former president and chairman of the board of the American Association for the Advancement of Science (AAAS). She is also a member of the National Academy of Engineering, the American Philosophical Society and is a fellow of the American Academy of Arts and Sciences and a number of other professional organizations. Randy MacDonald joined IBM in 2000 as senior vice president, Human Resources. In this position he is responsible for the global human resources practices, policies and operations of the organization and reports to Chairman, President, and Chief Executive Officer Sam Palmisano. Prior to joining IBM, Mr. MacDonald was the executive vice president of Human Resources and Administration for GTE (now Verizon Communications). Mr. MacDonald was with GTE for 17 years, holding positions of increasing responsibility. Before joining GTE, he held human resources positions at Ingersoll-Rand Company and Sterling Drug, Inc. For his contributions to the HR practice throughout his career, including HR-related research and education, Mr. MacDonald received the first Distinguished Human Resource Executive Award from the Academy of Management in 2004. In 2008, Mr. MacDonald was named Human Resource Executive Magazine's “HR Executive of the Year.” He is a member and past chair of Cornell University's Center for Advanced Human Resources Study and a past chair of the Personnel Roundtable. He is also a member of the HR Policy Association, which he serves as Chairman of its Board of Directors. In 1998, Mr. MacDonald was named a Fellow of the National Academy of Human Resources, the human resource profession's highest honor for outstanding achievement. He was elected to the Academy's Board of Directors in 2000 and serves as its Vice Chair. He also was a member of the President’s Advisory Commission on Consumer Protection and Quality in the Health Care Industry. Mr. MacDonald has a bachelor's degree in political science and a master's degree in industrial relations from St. Francis University and is a member of its Board of Trustees; he received the St. Francis University Distinguished Alumni in Business Award in 1999. Mr. MacDonald also serves as a Trustee of Bucknell University. He also is a former member of the Board of Directors of Covance.

Joan Spero was appointed a member of the Supervisory Board on 22 April 2008. She is President of Doris Duke Charitable Foundation. Sam Palmisano is Chairman of the Board, President and Chief Executive Officer of the IBM Corporation. Mr. Palmisano was appointed to this position on January 6, 2003. Previously, he served as President and Chief Operating Officer. He began his career in 1973 in Baltimore, Maryland. Since then, Mr. Palmisano has held a series of leadership positions during his IBM career, including senior vice president for the Enterprise Systems and Personal Systems groups. Mr. Palmisano also played a key role in creating and leading IBM’s Global Services, rising to senior vice president, and building the largest and most diversified IT services organization in the industry. He also served as senior managing director of operations for IBM Japan. Mr. Palmisano is a graduate of The Johns Hopkins University. In recognition of his leadership role as co-chair of the Council of Competitiveness’ National Innovation Initiative, as well as his many business accomplishments, Mr. Palmisano was awarded an Honorary Degree of Doctor of Humane Letters from Rensselaer Polytechnic Institute in September 2005. In July 2006, he was awarded an Honorary Fellowship from the London Business School.

One of the Fortune 1000's first chief privacy officers, Harriet has since the year 2000 been responsible for IBM's global information policies and practices affecting more than 320,000 employees and tens of thousands of clients and individuals. She is known for pushing the envelope and setting progressive corporate policies and practices that build trust in areas as diverse as health care and genetics to RFID and international data flows. As regulatory policy leader for IBM, a new role, Harriet leads the development and execution of a proactive regulatory and policy strategy across IBM’s legal function. Harriet reports to IBM’s SVP Legal and Regulatory Affairs & General Counsel. Harriet has been a member of IBM’s senior leadership team of approximately 300 executives, appointed by the Chairman and CEO, since late 2000. Harriet holds an appointment as Adjunct Lecturer in Georgetown University’s Communication, Culture & Technology Master’s program, where she teaches a seminar on Trust, Privacy & Security. She is a Board member of the International Association of Privacy Professionals, the Center for Information Policy Leadership, and the Anatolia College (a private American K-thru-college school in Greece). From 2002 until 1Q 2007, she also held executive positions in IBM’s Communications and Human Resources groups, leading initiatives such as the redesign of the company’s global performance management system; the launch of the company’s alumni relations strategy and portal; and the development and execution of global communications campaigns on IBM’s engagement in societal issues such as healthcare and energy. From 1993 until her appointment as Chief Privacy Officer in 2000, Harriet held increasingly responsible roles in the company’s Governmental Programs group, culminating in her first executive role as Director of Public Affairs in 1997. In that group she was responsible for global public policy issue management in a broad range of areas including privacy, health care, labor law, telecommunications, environment and energy. Before joining IBM in 1993, Harriet practiced environmental law with the firm now known as Bracewell & Guiliani in Washington, D.C. and worked in the Gulf of Mexico as an engineer with Shell Oil in New Orleans. She holds a J.D. (Order of the Coif) from the UCLA School of Law, where she was Editor-in-Chief of the UCLA Journal of Environmental Law & Policy. She graduated from Princeton University with a B.S.E. cum laude; at Princeton she was the CEO of Travel 101, the campus travel agency and at the time one of the school’s largest student-run businesses. She was admitted to the bars in Virginia and the District of Columbia. Harriet works out of IBM’s Washington, D.C. office and Armonk, NY headquarters. She lives in Arlington, Virginia with her husband and two school-age children. She speaks frequently to business, government and other audiences and sings with the DC-based, 100-woman Potomac Harmony Chorus. A first-generation American, Harriet speaks Greek fluently.

Mark Loughridge was named IBM Senior Vice President and Chief Financial Officer in May 2004. He is a member of IBM's Performance Team and Corporate Operations Team. Mr. Loughridge was previously Senior Vice President and General Manager, Global Financing, where he led the world's largest information technology financing and asset management organization. Prior to that role, Mr. Loughridge served as Vice President and IBM Controller; Vice President of Finance and Planning for IBM Global Services; Vice President of Finance for Sales and Distribution; and Vice President of Finance for the IBM Personal Systems Group. Since joining IBM in 1977 as a development engineer, Mr. Loughridge has held various management positions in finance, strategic planning and engineering including manager of financial services for IBM's lab in Hursley, England. Mr. Loughridge earned a master's degree in business administration with a concentration in finance and operations from the University of Chicago, and a bachelor's degree in mechanical engineering from Stanford University. He also completed studies at Ecole Nationale Superieure de Mecanique in Nantes, France.

Mr. Pat Toole is vice president and Chief Information Officer of IBM. He is responsible for advancing the company’s transformation agenda and aligning IBM’s information technology investments to the business strategy. Before becoming CIO in 2009, Mr. Toole was general manager of IBM intellectual property, overseeing the direction of IBM’s intellectual property portfolio and IBM’s global patent program while advancing company-wide intellectual property and innovation. Mr. Toole joined IBM in 1984 and has held a variety of executive and management positions across the company. Past assignments include vice president in IBM’s Corporate Enterprise On Demand Transformation & Information Technology business, responsible for developing and executing company-wide initiatives that lead to top line revenue growth for the company; general manager of the IBM Engineering & Technology Services division, responsible for launching the division; and senior site executive of IBM Charlotte in North Carolina. Mr. Toole is a member of the IBM Performance Team, which implements IBM strategies and drives overall business performance. He is also a member of the IBM Integration & Values Team and has served on the IBM Technology Team, a technical leadership organization. Additionally, Mr. Toole represents IBM on the board of trustees on the Committee for Economic Development, which addresses national priorities to promote sustained economic growth in America. Mr. Toole holds a master’s degree in business administration from Queens University of Charlotte, and a bachelor’s degree in electrical engineering from the University of Notre Dame.

Linda Sanford leads the strategy for IBM’s internal transformation to the industry’s premier on demand business. In this role, Ms. Sanford is responsible for working across IBM to transform core business processes, create an IT infrastructure to support those processes, and help create a culture that recognizes the value that on demand leadership can bring to IBM. Previously Ms. Sanford was Senior Vice President & Group Executive, IBM Storage Systems Group, where she helped take IBM from fifth place in storage market share to second in two years. Prior to assuming that position, Ms. Sanford headed IBM Global Industries, the organization that manages relationships with IBM's largest customers worldwide and is responsible for generating almost 70 percent of IBM's revenue. Before that, Ms. Sanford was General Manager of IBM's S/390 Division, which develops, manufactures and markets large-enterprise systems. During the early 1990s, she guided the S/390 Division through one of the most comprehensive product transformations the computer industry has ever seen, reinventing S/390 as an open, enterprise-level server. One of the highest-ranking women at IBM, Ms. Sanford is a member of the Women in Technology International Hall of Fame and the National Academy of Engineering. She has been named one of the 50 Most Influential Women in Business by Fortune Magazine, one of the Top Ten Innovators in the Technology Industry by Information Week Magazine, and one of the Ten Most Influential Women in Technology by Working Woman Magazine. Ms. Sanford is the chairman of The Business Council of New York State, Inc. She serves on the Board of Directors of the Partnership for New York City, ITT Industries, St. John's University, and Rensselaer Polytechnic Institute. Ms. Sanford co-authored “Let Go To Grow: Escaping the Commodity Trap” a book that details how successful companies are pursuing strategies to drive long-term growth and innovation. The book was published by Prentice Hall in December 2005. A graduate of St. John's University, Ms. Sanford earned an M.S. in Operations Research from Rensselaer Polytechnic Institute.

Michael (Mike) E. Daniels is senior vice president of IBM Global Technology Services, a unit of IBM Global Services. He oversees the go-to-market and business line management for IBM's offerings in strategic outsourcing, integrated technology services, small-and-medium business services, maintenance, and IBM Global Financing. He assumed his current position in July 2005. Previously, Mike was general manager of IBM's sales and distribution operations in the Americas, spanning Canada, Latin America and the United States. For more than three years, he oversaw sales and support of the full range of IBM's products and services, generating more than $40 billion in annual revenue. Mike also led IBM Global Services in the Asia Pacific region from October 1999 to January 2002. From 1994 to 1999, he held several general manager positions within IBM's services business. After joining IBM in 1976 in Washington, DC, Mike held a broad range of leadership positions in sales, marketing and services. He is a member of the IBM Performance Team and serves as IBM's Senior State Executive for Connecticut.

Bob Weber is IBM’s senior vice president, Legal and Regulatory Affairs, and general counsel. He joined IBM in January 2006 and reports to Chairman and Chief Executive Officer Sam Palmisano. Bob is responsible for IBM’s global legal, security, privacy and compliance activities and policies, as well as IBM’s Government Programs and Environmental Affairs functions. Prior to joining IBM, Bob practiced law in Cleveland, Ohio for more than 29 years. In private practice he represented many substantial international businesses, including IBM, in highly visible and complex controversies. While in private practice, Bob was listed in The Best Lawyers in America, The Chambers Guide to America’s Leading Lawyers for Business, and was recognized on two separate occasions by The National Law Journal for having tried a case selected as one of the top ten defense verdicts of the year. Bob is a Fellow of the American College of Trial Lawyers and of the International Academy of Trial Lawyers. He is also a member of the American Law Institute and the Council for the United States and Italy, and sits on the boards of the Pro Bono Partnership and the International Institute for Conflict Prevention and Resolution. In 1995-96, he served as President of the Cleveland Bar Association, and established the Bar Association’s Juvenile Justice Initiative, a project for which he and the Cleveland Bar received the Ohio State Bar Association’s highest award for public service. He is a former treasurer and trustee of United Way Services of Cleveland. Bob is a graduate of Yale College (1972) and Duke Law School (1976), and is a member of the New York and Ohio bars.

Steve Mills is a senior vice president and group executive, IBM Software Group. In this capacity he is responsible for directing the development, marketing, sales and support of IBM's software portfolio. Mr. Mills is a member of IBM’s Operating Team, Performance Team, Values & Integration Team and the Asian Task Force. IBM's software business contributes $20B of IBM's revenue and 40% of its profits. IBM's industry leading middleware products provide critical business integration infrastructure that powers more than 100,000 enterprises around the world. Mr. Mills is leading the next phase of IBM's software strategy. During his tenure, the software business has grown to more than 50,000 employees including 25,000 software developers and 15,000 sales and technical support personnel in over 150 countries. IBM has added more than 50 acquired companies to its software business since the year 2000, creating the industry's largest business software portfolio. A graduate of New York’s Union College, Mills joined IBM in 1974 as a sales trainee in New York City and was a marketing representative until 1980. In 1981, he joined the business planning staff of the Data Processing Division and became manager of that function a year later. In 1984, he was named administrative assistant to the IBM vice president and assistant group executive of Plans and Controls in the Information Systems Group. He became director of planning in the Information Systems and Communications Group in 1985. In 1986, he was one of the executives responsible for starting IBM’s Publishing Systems Business Unit. He became director of Financial Planning at Corporate Headquarters in 1988. He joined the Programming Systems line of business in 1989 as Programming Systems director of Operations. He was named assistant general manager, Finance and Planning, for that organization in December 1990, and in December 1992 became general manager of the division’s Santa Teresa Laboratory. In 1993 he became general manager of IBM’s Software Solutions Division. Mr. Mills has played a leading role in the growth of IBM Software Group since its inception in 1995. At that time, he was general manager of IBM Software Group Strategy and Solutions, responsible for IBM’s strategy for middleware and software solutions, as well as managing business units for Business Intelligence Solutions, Pervasive Computing, e-Commerce Solutions and Solution Technologies. He was named to his present position in 2000.

Daniel D. Frye, vice president - IBM Open Systems Development, is the head of IBM’s UNIX development team, principally responsible for Linux and AIX development. Dr. Frye is additionally responsible for overseeing IBM’s Linux technical strategy and IBM’s participation in the open source Linux development community. The mission of the IBM Linux development team – the IBM Linux Technology Center (LTC) – is to help the global open source Linux community make Linux better, to ensure enterprise-level Linux support for IBM’s hardware, software, and services brands, and to help expand the reach of Linux into new markets. LTC engineers are trusted, valued members of dozens of open source communities and contribute broadly to open source in many respects. AIX is the industry’s leading enterprise UNIX solution and is used by thousands of customers running mission-critical workloads around the world. Prior to his current responsibilities, Dr. Frye was a member of IBM’s Emerging Technologies and Business Opportunities team where he worked on company-wide technical strategies that predicted future trends and transitions in the IT industry. It was during this time that Dr. Frye co-authored the original IBM corporate strategies for Linux and open source. Dr. Frye sits on the board of the Open Source Development Laboratory (OSDL) and participates in a variety of other Linux and open source industry groups. Dr. Frye has an M.A. in Physics from The Johns Hopkins University (1982) and a B.A. in Physics from the University of Idaho (1979). He also received his Ph.D. in Theoretical Atomic Physics from The Johns Hopkins University (1985).

Dr. Nicholas (Nick) Bowen is the Vice President of Technology, reporting to Linda Sanford, Senior Vice President, Enterprise On Demand Transformation & Information Technology. Dr. Bowen is responsible for driving the Technology Team topics, assessments and studies that shape the technology strategy and business opportunities for IBM. These are linked to the Corporate Technical Milestones, which set and track IBM's technology commitments and progress. He has leadership roles in the Technical Leadership Team, and Technical Review Team. At the same time, he has responsibility for managing the corporate nomination, selection and evaluation processes for employees to be named IBM Fellow or Distinguished Engineer, in addition to determining what technical contributions warrant a Corporate Award. Another key responsibility Dr. Bowen has is overseeing of the annual Corporate Technical Recognition Event. Prior to his current position, in January 2007, he was appointed Vice President of Technical Strategy and Worldwide operations for IBM’s Research Division which include driving the creation of the Global Technology Outlook, leading the worldwide operations and I/S teams, and driving the research strategy, plan and measurement processes. Prior to that role current position, Nick held several executive positions within the IBM Systems & Technology Group (STG) including: vice president, software development, with responsibility for all server operating systems (zOS, AIX, i5OS, zVM, VSE, Linux), firmware development for IBM Systems z, i, p, and x, management software (IBM Systems Director) and hardware management systems (HMC, FSP); chief technology officer and vice president of software architecture for the same group of products; vice president of UNIX and IBM xSeries software for the server division with responsibility for driving eServers into growth markets for UNIX, Linux, Windows, GRID, and High Performance Computing where he was responsible for delivering leadership management solutions for key emerging technologies such as BladeCenter and Linux Clusters; and vice president of xSeries software and performance, responsible for all software development, performance, and hardware service processor development for xSeries, including responsibility for the IBM Center for Microsoft Technologies in Kirkland, Washington. Prior to his positions with STG, he was with IBM Research. Nick was director of computing utilities, where he spearheaded the definition of the "intelligent infrastructure" research program, and he was director of servers with worldwide responsibility for the Research programs in servers. This group had many exploratory system projects in addition to making contributions to AIX, OS/390, AS/400, and xSeries servers as well as many products within the IBM Software Group. He made technical contributions to the S/390 Parallel Sysplex effort and led several of the OS/390 initiatives to embrace Internet and object technologies. He joined IBM at East Fishkill, New York where he worked in a datacenter and learned the trials and tribulations of maintaining a 24x7 datacenter. He is a senior member of IEEE and a member of ACM. His research interests are operating systems and fault-tolerant computing. Nick’s career with IBM spans over 25 years and he has expertise in high availability, memory management, and parallel processing. He received the B.S. degree in computer science from the University of Vermont, a M.S. degree in computer engineering from Syracuse University, and the Ph.D. in electrical and computer engineering from the University of Massachusetts at Amherst. He is a senior member of the Institute of Electrical and Electronics Engineers, a member of Association of Computer Machinery. He served on the Computer Science Advisory Boards of Florida International University and North Carolina State University and helped found the Computer Science Advisory Board at the University of Puerto Rico at Mayaguez. His research interests are operating systems and fault-tolerant computing.

Edward Bevan is vice president, communications, IBM Research. In this capacity, he oversees all activities that drive the strategic positioning of the Research division, including media and analyst relations, as well as internal and executive communications. Ed has spearheaded programs designed to align Research with the changing needs of the corporation, including its innovation initiatives and its more direct interactions with the marketplace. He was a leader of IBM's 2004 Global Innovation Outlook and the division's 2002 Autonomic Computing Manifesto, and was also instrumental in the launch and subsequent evolution of On Demand Innovation Services, IBM Research's consulting center. Ed continues to work with members of IBM's innovation board and corporate staff on programs that advance IBM's abilities as a leader in innovation. One such program -- Innovation Days - was a week-long series of events across the global Research division that helped stimulate a more creative approach to innovation and work. Before joining IBM, Ed was a business and technical writer, and also an executive in the ophthalmic lens manufacturing industry. He holds an MFA in writing from Sarah Lawrence College, and a BA in literature and writing from SUNY.

Scott Handy is currently the vice president of Worldwide Marketing and Strategy, Power Systems Platform for IBM. Prior to that he was vice president of Worldwide Linux and Open Source for IBM. In addition, Scott has held numerous executive, technical sales, marketing, and strategy positions covering Large Accounts, Channels, Small and Medium Business, and IBM solutions for Windows NT, Sun Solaris and OS/2 Warp. He has been with IBM for over 20 years and is currently based out of Austin, TX. Scott started with IBM in December 1983 as a systems engineer specializing in PC's, LANs, communications, and interoperability. Then, as an account development manager, focused on multi-year, complex customer projects in the San Francisco Bay Area. Other prior assignments include technical assistant to the general manager of the IBM, Motorola, Apple alliance, and executive assistant to the president of the IBM Personal Software Products Division. Scott has a Bachelors of Science degree in Electrical Engineering and Computer Science from the University of California, Berkeley.

Curtis Tearte is general manager, Storage, IBM Systems and Technology Group. He is responsible for strategy, product development, marketing, sales support, and program profitability for the IBM storage business, which includes disk, tape, networking, storage software and solutions. He is also responsible for driving the IBM information infrastructure – the integration of a complete solution with IBM’s server, software, services and financing teams to deliver innovative, new solutions for extended client value. Mr. Tearte has been in the Systems and Technology Group since 2005 and has served as the general manager of the Industry Growth Initiatives, Infrastructure Solutions, Innovation Solutions and the Industry Systems Division organizations. Prior to his positions in the Systems and Technology Group, he served as general manager, Public Sector Sales and Distribution. He was responsible for leading IBM’s global sales and marketing strategy for customers in the government, healthcare and life sciences/pharmaceutical, and education industries. Mr. Tearte also gained expertise and knowledge through leadership positions he held in several other business units, including vice president of the Communications Sector for IBM Americas, general manager of the Customer Financing Unit in IBM Global Financing, vice president of Distribution Industry for IBM Americas, and general manager for IBM Global Utilities and Energy Services. Mr. Tearte joined IBM in 1979 and assumed his current role in January of 2009. He is a member of the IBM Performance Team and Integration & Values Team. His academic background includes a law degree from the University of Connecticut School of Law, a Bachelor of Arts degree from Brandeis University, and he has studied both political science and international affairs at Howard University Graduate School and the University of Pennsylvania, Wharton School. He is a member of the Executive Leadership Council (ELC) and also serves on the Board of Directors for the University of Connecticut Law School Foundation.

Mr. Zambrano joined CEMEX in 1968. He was named CEO in 1985 and has served as Chairman of the Board since 1995. He holds a B.S. degree in mechanical engineering from Tecnológico de Monterrey and an M.B.A. from Stanford University. He is a member of the IBM Board of Directors, the Citigroup International Advisory Board, and the boards of Grupo Financiero Banamex and FEMSA. Mr. Zambrano is also Chairman of the Board of Tecnológico de Monterrey.

Dr. John E. Kelly III is IBM senior vice president and director of Research. In this job he directs the worldwide operations of IBM Research, with 3,200 technical employees at eight laboratories in six countries around the world, and helps guide IBM’s overall technical strategy. Dr. Kelly’s top priority as head of IBM Research is to stimulate innovation in key areas and quickly bring those innovations into the marketplace to sustain and grow IBM’s existing business, and to create the new businesses of IBM’s future. IBM applies these innovations to help our clients succeed. Dr. Kelly also leads IBM’s worldwide intellectual property business as well as the company’s open source and open standards strategies and practices. Prior to beginning his current assignment in July of 2007, Dr. Kelly was senior vice president of Technology and Intellectual Property, responsible for IBM’s technical and innovation strategies. In 2000, Dr. Kelly was group executive for IBM’s Technology Group, where he was responsible for developing, manufacturing and marketing IBM’s microelectronics technologies, products and services. Dr. Kelly joined IBM in 1980. Between 1980 and 1990, he held numerous management and technical positions related to the development and manufacturing of IBM’s advanced semiconductor technologies. In 1990, he was named director of IBM’s Semiconductor Research and Development Center. In 1994, he was appointed vice president of business process reengineering for the Microelectronics Division. In 1995, he was named vice president of systems, technology and science for the IBM Research Division. In this role, Dr. Kelly was responsible for the company’s most advanced research activities. In 1997, he was appointed vice president of server development (from work stations to supercomputers) for IBM. He received a Master of Science degree in physics from the Rensselaer Polytechnic Institute in 1978 and his Doctorate in materials engineering from RPI in 1980. In 2004, he received an Honorary Doctorate of Science from The Graduate School at Union College. Dr. Kelly is on the Board of Governors of The IBM Academy of Technology; a board member and former chairman of the Semiconductor Industry Association; a Fellow of the Institute of Electrical and Electronics Engineers, and on The Board of Trustees of Union College.

Taizo Nishimuro, 73 is chairman of the board of the Tokyo Stock Exchange Group, Inc. He is a member of IBM's Directors and Corporate Governance Committee. Mr. Nishimuro became chairman of the board of the Tokyo Stock Exchange (TSE) in June 2005. He also concurrently served the TSE as president and chief executive officer from December 2005 to June 2007. Mr. Nishimuro assumed his current position with the Tokyo Stock Exchange Group, Inc. in June 2007. Mr. Nishimuro also acts as an adviser to the board of Toshiba Corporation. He was president and chief executive officer of Toshiba Corporation between 1996 and 2000 and subsequently served as chairman of Toshiba between 2000 and 2005. Mr. Nishimuro became an IBM director in 2008.

Mr. Chenault joined the company in September 1981 as Director of Strategic Planning. He was named President of the Consumer Card Group in 1989, and in 1993 he became President of Travel Related Services (TRS), which encompassed all of American Express' card and travel businesses in the United States. In 1995, he assumed additional responsibility for the company's worldwide card and travel businesses and also was named Vice Chairman of American Express. Mr. Chenault became President and Chief Operating Officer in February 1997. He assumed his current responsibilities as CEO on January 1, 2001, and as Chairman on April 23 of that year. Before he came to American Express, Mr. Chenault was a management consultant with Bain & Co. from 1979 to 1981, and an attorney with Rogers & Wells from 1977 to 1979. Mr. Chenault serves on the boards of American Express and several other corporate and nonprofit organizations, including IBM, the Arthur Ashe Institute for Urban Health, the National Center on Addiction & Substance Abuse at Columbia University, the Smithsonian Institution's Advisory Council for the National Museum of African American History & Culture, the Phoenix House Foundation and the World Trade Center Memorial Foundation. He also is on the boards of the Partnership for New York City, The Business Council and the Business Roundtable and serves as Vice Chairman of each of these organizations. A wide variety of civic, social service and community organizations have recognized Mr. Chenault for his public service leadership. He has received the Phoenix House Public Service Award, the Corporate Responsibility Award from the International Rescue Committee and the Wall Street Rising Leadership Award, among others. In addition, he is a Fellow of the American Academy of Arts and Sciences. Mr. Chenault holds a JD from Harvard Law School and a BA in history from Bowdoin College, and he has received a number of honorary degrees. He and his wife, Kathryn, live in New York with their two children.

W. James (Jim) McNerney, Jr., is chairman of the board, president and chief executive officer of The Boeing Company, effective July 1, 2005. He has served as a member of the company's board since 2001. McNerney, 58, oversees the strategic direction of the Chicago-based, $60.9 billion aerospace company. With more than 160,000 employees, Boeing is the largest manufacturer of commercial jetliners and military aircraft, with capabilities in rotorcraft, electronic and defense systems, missiles, satellites and advanced information and communications systems. Previously, McNerney held the position as chairman of the board and CEO of 3M, a $20 billion global technology company with leading positions in electronics, telecommunications, industrial, consumer and office products, health care, safety and other businesses. He joined 3M in 2001 after 19 years at the General Electric Company. McNerney joined General Electric in 1982. There, he held top executive positions including president and CEO of GE Aircraft Engines and GE Lighting; president of GE Asia-Pacific; president and CEO of GE Electrical Distribution and Control; executive vice president of GE Capital, one of the world's largest financial service companies; and president, GE Information Services. Prior to joining GE, McNerney worked at Procter & Gamble and McKinsey & Co., Inc. McNerney is a director of Procter & Gamble and serves as a trustee of Northwestern University. He serves on The Business Roundtable and the American Society of Corporate Executives. He is the former chair of The Business Council and of the US-China Business Council. McNerney is a fellow of the American Academy of Arts and Sciences and an honorary fellow of the Royal Aeronautical Society. He is a member of The Field Museum Board of Trustees in Chicago, and is on the Northwestern Memorial HealthCare Board, where he serves on the Finance Committee. A native of Providence, R.I., McNerney earned a B.A. degree from Yale University in 1971 and an M.B.A. from Harvard University in 1975. McNerney is married and has five children. He enjoys skiing, golf and sailing.
