We develop, formulate and market over-the-counter, natural-based nutritional supplements and skin care products. Our products are proprietary, often supported by scientific studies which we request and are offered through multiple channels of distribution, including direct marketing companies, also known as network marketing or multi-level marketing companies, and chain store retailers. Our primary product is Celadrin ® a product formulation which we sell to the mass market through retailers and on a private label basis to wholesale customers. A key part of our marketing strategy is to provide to our wholesale customers a "turnkey" approach to the marketing and distribution of our products. This turnkey approach provides these customers with all the services necessary to market our products, including developing specific product formulations, providing supporting scientific studies regarding the effectiveness of the product and arranging for the manufacture and marketing of the product. We sell directly to the mass markets through retailers InflameAway, our own Celadrin ® branded product. Lowell W. Giffhorn has served as our Chief Financial Officer since October 2005. Since July 2005, Mr. Giffhorn also serves as the Chief Financial Officer of Imagenetix, Inc., a publicly held nutritional supplement company. Mr. Giffhorn was the Chief Financial Officer of Patriot Scientific Corp., a publicly held semiconductor and intellectual property company, from May 1997 to June 2005 and was a member of its Board of Directors from August 1999 to April 2006. From June 1992 to August 1996 and from September 1987 to June 1990 he was the CFO of Sym-Tek Systems, Inc. and Vice President of Finance for its successor, Sym-Tek Inc., a supplier of capital equipment to the semiconductor industry. Mr. Giffhorn obtained a M.B.A. degree from National University in 1976 and he obtained a B.S. in Accountancy from the University of Illinois in 1969. Mr. Giffhorn is also a director and chairman of the audit committee of DND Technologies, Inc., a publicly held company. Mr. Giffhorn devotes approximately 50% of his time to our affairs.

Derek Boosey brings a broad range of experience and accomplishment to the Spiering Family Foundation. Derek studied in England both at Open University and Keele University, receiving a degree in education. Derek also served as an Airman in the British Royal Air Force. An accomplished Triple Jumper, Derek Boosey competed in the 1968 Olympic Games in Mexico. In addition, Derek attended nine Olympic games from 1968 - 2000, distinguishing himself as an athlete, promoter, coach, official observer, and consultant. An avid life-long athlete, Derek has competed in a number of masters competitions, receiving a gold medal at the 1998 World Masters Games, a Silver Medal at the 1987 World Championships, and bronze medals at the 1991 World Championships and 2005 World Masters Games. Highly sought after for his extensive experience in marketing, management, and consulting, Derek has worked with Natural Alternatives International, Athletics Canada, and Nike International. During his work with Nike, Derek was the technical advisor for a number of national and international competitions including the 1986 Asian Games, the 1988 Olympics (Seoul), and the 1992 Olympics (Barcelona). In addition, Derek has held administrative and directorial positions for several institutions of higher learning, including Sussex University, Melbourne University, and the University of Newcastle. Derek is an accomplished writer and has four published works; these works have been published in a number of countries including Canada, Korea, the Peoples Republic of China, and Australia. Derek is currently the Vice-President for Imagenetix, a leader in bioceutical innovation.

Dr. Hesslink received his Doctorate of Science from the Department of Health Sciences at Boston University in 1987. Dr. Hesslink's dissertation investigated limits to human performance under the guidance of Richard P. Adams, Ph.D., M.D. In addition to working with Dr. William Evans and Walter Frontera at the Tufts University/USDA Center for Human Nutrition on Aging, Robert worked at the U.S. Army Research Institute of Environmental Medicine under the direction of Dr. Michael Sawka. Dr. Hesslink was stationed at the Naval Health Research Center (NHRC), San Diego, CA in 1990 and remained there until his departure from the U.S. Navy in 1993. During his time at NHRC, Dr. Hesslink directed the Cold Weather Medicine program for the U.S. Marine Corps. In collaboration with Dr. David Systrom at the Massachusetts General Hospital, Robert co-authored a paper published in JAP. This research investigated the effects of a high-fat or high-carbohydrate diet on muscle bioenergetics as measured using MRS-P 31. Dr. Hesslink continued to publish research in the area of environmental medicine and applied physiology. Dr. Hesslink is the Director of Research and Development for Imagenetix. He has been serving in this capacity since mid-2005 and prior to that consulted for Imagenetix on a variety of research projects since 2000. In his capacity as Director of R & D, Dr. Hesslink develops and coordinates the pre-clinical and clinical research projects on all Imagenetix compounds. Dr. Hesslink serves as the chairperson for the Medical Advisory Board.

Debra L. Spencer has served as Imagenetix's Secretary and Treasurer since March 1999. Her responsibilities also include graphics layout and development of marketing material for the private label products. From 1987 to 1993, she served as vice president, secretary and treasurer for Vitamin Direct, Inc., a consumer mail order vitamin company. At Vitamin Direct, she was responsible for developing marketing material, generating leads, and customer relations for over 25,000 Vitamin Direct customers.

Jason Theodosakis, MD, MS, MPH, FACPM is a practicing medical doctor residency-trained and board-certified in the specialty of Preventive Medicine. He is also fellowship-trained in Sports Medicine. His medical degree is from the University of Health Sciences/Chicago Medical School. Dr. Theodosakis divides his time between practicing clinical prevention medicine and sports medicine at the Canyon Ranch Medical Departmentand doing various teaching and volunteering activities. He is an Assistant Clinical Professor at the University of Arizona College of Medicineand is the former director of the University's Preventive Medicine Residency Training Program. Yueling Chen was the first Chinese person, or Asian woman ever to win an Olympic gold medal in track and field, winning the 10K walk at Barcelona Games of 1992. She attended language school at BYU in 1993/4 before moving to San Diego. She became a U.S. citizen and, after a six-year absence from the track, returned to represent the United States at the 2000 Olympic Games in Sydney. In addition to her Outdoor-Fitness activities, Yueling is a marketing consultant for Imagenetix which produces nutritional products for worldwide distribution. She serves as a spokesperson for Special Olympics International. Throughout considerable media coverage in the United States she has served as a strong advocate for U.S. - China business relations.

Jeffery McGonegal became Chief Financial Officer of the Company in June 2003 and served as interim President in December 2004 and January 2005. Mr. McGonegal also serves as Chief Executive Officer and Chief Financial Officer of Security With Advanced Technology, Inc. Robert B. Zurier, M.D., has been Professor of Medicine and Chief of Rheumatology at the University of Massachusetts Medical School in Worcester since 1991. From 1980 to 1991 he was Professor of Medicine and Chief of Rheumatology at the University of Pennsylvania School of Medicine in Philadelphia. Dr. Zurier graduated from the University of Texas Southwestern Medical School in Dallas, and trained in Internal Medicine at Boston City Hospital. He practiced general internal medicine in Holden, MA, for three years before training in clinical and research rheumatology at NYU-Bellevue Medical Center in New York City.

Robert Burg joined our board in 2005. Since 1998, Mr. Burg has been the owner of The Burg Group, a business development company based in the sports industry. From 1992 to 1998, Mr. Burg held several executive level positions, including President from 1995 to 1998, with Royal Grip, Inc., a publicly traded company that designed and distributed golf club grips and athletic headware. Robert L. Beeten from Monument, CO developed and initiated the selection process for the United States Olympic Committee (USOC) volunteer athletic trainer/physician program in 1977. Beeten served as the USOC Medical Director between 1976 and 2000, and acted as the head athletic trainer and medical coordinator during six different Olympics (three Summer Games & three Winter Games) from 1968 to 1984.
