Barry M. Ariko has been President and Chief Executive Officer of Mirapoint, Inc., a private technology company that produces infrastructure for managing and securing Internet messaging, since November 2003, and has been Chairman of the Board of Mirapoint since December 2003. He was a private consultant from October 2001 to October 2003. From April 2001 until September 2001, Mr. Ariko was Senior Vice President of Peregrine Systems, Inc., an infrastructure management software company, and from April 2001 until June 2002 was a member of its Board of Directors. From March 2000 until the acquisition of Extricity, Inc. by Peregrine in April 2001, Mr. Ariko served as the President and Chief Executive Officer of Extricity, a private Internet software provider, and he also served as Chairman of the Board of Extricity from March 2000 to April 2001. In September 2002, Peregrine filed voluntary petitions for relief under Chapter 11 of Title 11 of the United States Code in the United States Bankruptcy Court for the District of Delaware. Peregrine emerged from bankruptcy court supervision in August 2003 and was acquired by Hewlett-Packard Company in December 2005. From March 1999 to January 2000, Mr. Ariko was a Senior Vice President of America Online, Inc., where he was responsible for the Netscape Enterprise Group. From August 1998 until the acquisition of Netscape Communications Corporation by America Online in March 1999, Mr. Ariko served as Executive Vice President and Chief Operating Officer of Netscape. From 1994 to August 1998, Mr. Ariko was Executive Vice President of Oracle Corporation. Mr. Ariko currently serves as a director of Autonomy Corporation plc and a privately held company.

Mr. Emmens is Chairman and CEO of Vertex. He has over 33 years of experience in the pharmaceutical industry, including Shire Pharmaceuticals Group plc and businesses operated by Merck KGaA and Merck & Co. He became our Chairman, CEO and President in 2009 and has been a member of our Board of Directors since 2004. Mr. Emmens is the Chairman of the Board of Directors of Shire and was its Chief Executive Officer from March 2003 through June 2008. Before joining Shire in 2003, Mr. Emmens served as president of Merck KGaA’s global prescription pharmaceuticals business in Darmstadt, Germany. In 1999, he joined Merck KGaA and established EMD Pharmaceuticals, its United States prescription pharmaceutical business. Mr. Emmens held the position of President and Chief Executive Officer at EMD Pharmaceuticals from 1999 to 2001. Earlier, Mr. Emmens held various positions, including Chief Executive Officer, at Astra Merck, Inc. as well as several positions at Merck & Co., Inc. Mr. Emmens received a B.S. degree in business management from Fairleigh Dickinson University.

Paul A. Friedman, M.D., age 66, joined Incyte as the Chief Executive Officer and a Director in November 2001. Dr. Friedman also serves as our President. From 1998 until October 2001, Dr. Friedman served as President of DuPont Pharmaceuticals Research Laboratories, a wholly owned subsidiary of DuPont Pharmaceuticals Company (formerly The DuPont Merck Pharmaceutical Company), from 1994 to 1998 he served as President of Research and Development of The DuPont Merck Pharmaceutical Company, and from 1991 to 1994 he served as Senior Vice President at Merck Research Laboratories. Prior to his work at Merck and DuPont, Dr. Friedman was an Associate Professor of Medicine and Pharmacology at Harvard Medical School. Dr. Friedman is a Diplomate of the American Board of Internal Medicine and a Member of the American Society of Clinical Investigation. He received his A.B. in Biology from Princeton University and his M.D. from Harvard Medical School.

David C. Hastings joined Incyte as executive vice president and chief financial officer in October 2003. Before joining Incyte, Mr. Hastings was chief financial officer and treasurer at ArQule, Inc. Prior to joining ArQule, he was with Genzyme, as vice president, corporate controller, and prior to Genzyme he spent three years as director of finance at Sepracor, Inc. From 1985 to 1994, Mr. Hastings was with PriceWaterhouseCoopers. Mr. Hastings is a Certified Public Accountant and received his B.A. in economics from the University of Vermont.

John Keller joined the diaDexus Board as a Director in December 2003. Dr. Keller has been Executive Vice President and Chief Business Officer of Incyte Corporation since September 2003. Prior to joining Incyte, Dr. Keller was with GlaxoSmithKline (GSK) since its formation in 2001, and with SmithKline Beecham since 1987. In his most recent position as Vice President, Business Development in GSK's Worldwide Business Development group, he was directly involved in the establishment of numerous product licensing agreements with companies based in the United States, Europe and Japan. Dr. Keller received his B.A. in Biology from Johns Hopkins University and his Ph.D. in Microbiology from Rutgers University.

Patricia S. Andrews joined Incyte as Executive Vice President and Chief Commercial Officer in October 2008. From 1991 to 2008, Ms. Andrews was at Pfizer in various roles of increasing responsibility in Corporate Strategic Planning and Worldwide Pharmaceutical Operations. Ms. Andrews was most recently Vice President, General Manager of the US Oncology business unit and Vice President, Specialty Markets, responsible for US marketing of oncology, ophthalmology, endocrinology, anti-infectives, HIV and all products still sold but no longer actively marketed in the US. Prior to Pfizer, from 1985 to 1990, Ms. Andrews held various positions at Marine Midland Bank, including Vice President, Capital Finance. Ms. Andrews has an MBA from the University of Michigan and a B.A. in history and political science from Brown University.

Richard S. Levy, M.D., age 51, has served as Executive Vice President and Chief Drug Development and Medical Officer since January 2009 and joined the company as Senior Vice President of Drug Development in August 2003. Prior to joining Incyte, Dr. Levy held positions of increasing responsibilities in drug development, clinical research and regulatory affairs at Celgene, from 2002 to 2003, DuPont Pharmaceuticals Company, from 1997 to 2002, and Sandoz (now part of Novartis), from 1991 to 1997. Prior to joining the pharmaceutical industry, Dr. Levy was Assistant Professor of Medicine at the UCLA School of Medicine. Dr. Levy is Board Certified in Internal Medicine and Gastroenterology and received his A.B. in Biology from Brown University and his M.D. from the University of Pennsylania.

Patricia A. Schreck joined Incyte as our executive vice president and general counsel in December 2003. Prior to joining Incyte, Ms. Schreck was chief patent counsel at Elan Drug Delivery, Inc. Previously, she served as general counsel for Genomics Collaborative, Inc. and diaDexus, Inc. (a SmithKline Beecham & Incyte joint venture). From 1992 through 1998, Ms. Schreck held a variety of senior patent and corporate legal positions at SmithKline Beecham. Ms. Schreck holds a B.A. in Chemistry and Biology from University of Colorado and a J.D. from Villanova University School of Law. Ms. Schreck is admitted to practice before the United States Patent Bar.

Paula J. Swain joined Incyte in January 2002 and serves as executive vice president of human resources. Prior to joining the company, Ms. Swain spent nearly ten years with DuPont Pharmaceuticals Company (acquired by Bristol-Myers Squibb Company in 2001) where she served as vice president and senior vice president of human resources. She has also held human resource planning and employee relations positions with Chase Manhattan Bank, Marine Midland Bank and Delaware Trust Company. Ms. Swain received her B.A. in psychology from Rockhurst College and graduated from the strategic human resources planning program at Harvard Business School.

Steven M. Friedman, M.D., age 63, has served as Executive Vice President of Biology and Preclinical Development since January 2009 and joined Incyte as Senior Vice President of Discovery Biology in January 2002. From February 2001 until joining Incyte, Dr. Friedman served as Vice President of Biology Research DuPont Pharmaceuticals Company and, subsequently, Bristol-Myers Squibb Company. From 1998 to 2001, he served as Executive Director of Immunological & Inflammatory Diseases Research DuPont Pharmaceuticals Company and in the same capacity for The DuPont Merck Pharmaceutical Company from 1997 to 1998. Prior to his work at DuPont Merck, Dr. Friedman was a Professor of Medicine at Cornell University Medical College. Dr. Friedman is a Diplomate of the American Board of Internal Medicine and a Member of the American Society of Clinical Investigation. He received his B.A. in Biochemistry from Princeton University and his M.D. from Cornell University Medical College. Dr. Paul A. Friedman and Dr. Steven M. Friedman are brothers.

Pamela M. Murphy is vice president, investor relations and corporate communications at Incyte Corporation, a drug discovery and development company. Prior to joining Incyte, Murphy was with Texas Biotechnology and served in similar positions at Cytogen and Greenwich Pharmaceuticals. Before working in the healthcare market, she published several regional newsweeklies in Texas and Louisiana. She also worked in marketing and sales for Time Inc. and Sports Illustrated, and in media at Young & Rubicam. Murphy earned a bachelor's degree in education and psychology from Northern Arizona University and attended graduate school at the University of Pennsylvania.

Dr. Donny Strosberg is an internationally renowned biochemist and currently professor of infectology at the Scripps Institute's new facilities in Palm Beach County, Florida. Dr. Strosberg, has been in biological research for nearly 40 years and made significant discoveries in the fields of biochemistry and immunology. at the University of Paris, the Pasteur Institute and the Cochin Institute of Molecular Genetics in Paris, the Free University of Brussels, Belgium, and Harvard Medical School and Massachusetts General Hospital, both in Boston. In addition, he has more than 20 years experience as an investor and co-founder of 5 biotechnology companies including Chemunex SA, Nouveau Marche, Incyte, Praecis and most recently Hybrigenics, a privately held company he helped to establish in 1998 and where he served as chairman and chief executive officer from 1999 to late 2004. He is one of the few members from the industrial sector of the investment committee of the French government's Fund of Funds, which supports French venture capital companies. Strosberg received his License in Chemistry and a Doctorate in Sciences (Chemistry) from the Free University of Brussels, Belgium. From 1986 to 1990, he was chief of the unit of molecular biology of receptors at the Pasteur Institute, followed by eight years as director of the molecular immunopharmacology unit and vice president of the Cochin Institute of Molecular Genetics. Professor Strosberg has received numerous awards and honors from US and European scientific organizations; he holds nearly 20 issued patents, many of which have been licensed to pharmaceutical companies; he has published more than 370 scientific articles in the major scientific journals in his field.

Paul A. Brooke has served as our chairman of the board and chief executive officer since our inception. Mr. Brooke has served as a managing member of PMSV Holdings, LLC, a private investment firm, since 1993. He also served as a venture partner of MPM Capital, a venture capital firm specializing in the healthcare industry, from 1997 to 2006. Mr. Brooke has also served as an advisory director for Morgan Stanley & Co., Inc. since April 2000. From March 1999 to May 2000, Mr. Brooke served as a Managing Director of Tiger Management LLC, a money management hedge fund. From March 1983 to March 1999, he served as a Managing Director and the Global Head of Healthcare Research and Strategy at Morgan Stanley. Mr.

Beth Kennedy is Pfizer Research Informatics Site Head for the San Diego site. She is responsible for enabling technology and information solutions to support the research at the site. Beth has over 25 years experience applying technology and information management techniques in life science. She joined Pfizer in June 2006 after 6 years with Entelos, a life science company focused on predictive biosimulation techniques. At Entelos, she was Vice President of Modeling. Prior to joining Entelos, Beth held various Senior Management positions at Incyte Pharmaceuticals. She was hired by Incyte to develop and grow its product and software development organizations. This included managing the software development, dataflow, data production, integration and deployment of Incyte database and tool products to Incyte's partners. Beth was also responsible for the development and implementation of Incyte's Internet strategy. Prior to her work at Incyte, Beth held IT management positions at Syntex Corporation (Roche Bioscience). She managed a variety of internal applications and software groups in the research development and discovery organizations. At Syntex/Roche, Beth's organization worked on several software collaborations (Oracle, Index) that resulted in commercial software products. Beth received her B.A. from Vassar College.

David Briscoe joined Protherics in November 2004 to build Protherics' commercial activities within the EU. He joins the company after spending over 25 years in sales and operational roles, mainly in oncology, with companies such as Chiron, Bristol Myers, Schering Plough and Incyte.

Mr. Clarke has over 20 years of experience in industry information systems and joined Entelos with the acquisition of Discovery Innovations, Inc., where he was President and Chief Executive Officer. He joined Discovery Innovations (f/k/a BioSpace.com) from Incyte Pharmaceuticals where he was CIO, a member of the Executive Committee, and Chair of the Operating Committee. Responsible for developing and integrating one of the world's largest sequence databases into the IT infrastructure of several leading pharmaceutical companies, Mr. Clarke helped Incyte become recognized for its fast-paced genomics enterprise. Prior to his work at Incyte, Mr. Clarke worked 11 years at Syntex Corporation, where he was the CIO. He also worked at 3Com Corporation, where he was Vice President of Management Information Services and a member of the Operating Committee. Mr. Clarke received a B.S. in mathematical sciences from Stanford University, and an MBA from the University of California, Los Angeles.

Tom Tang graduated from Shangdong University with BS and MS in Mathematics. He also holds Ph.D. in Mathematics, and BS (cum laude) in Biology from University of Utah. From 1993-1997, he taught at Cornell University. Since 1996, Dr. Tang has worked at Incyte (3 years) and Nuvelo (5 years), holding various positions including scientist, programmer, group leader, Director of Software Development, and Sr. Director of Bioinformatics. Before founding Infovell, Dr. Tang was a Sr. Director of Information Technology at Beckman Coulter. Dr. Tang is the inventor of 75 issued US-patents, and has over 20 scientific publications in leading scientific journals.

Mr. Hurley has served as Vice President and Corporate Controller since April 2005. Prior to joining the Company, from January 2004 to April 2005, Mr. Hurley was Vice President, Corporate Controller and Treasurer of Incyte Corporation, a Wilmington, Delaware based company involved in the discovery and development of oral compounds for the treatment of HIV, inflammation, cancer and diabetes. From 1998 to 2003, Mr. Hurley served as Corporate Controller and Executive Officer of Arrow International, Inc., a company that develops, manufacturers and markets catheters and related products for critical and cardiac care. From 1993 to 1998, Mr. Hurley served as Director of Finance, Worldwide Industrial Operations Division of Rhone-Poulenc Rorer Pharmaceuticals, Inc.
