Initiate Systems Inc.

Jeff is executive vice president and a member of Initiate Systems, Inc.'s board of directors. He provides strategic guidance to Initiate Systems and oversees the corporate development, finance, legal affairs and human resources functions of the company. During his 15 years as an attorney and an executive, Jeff gained substantial experience in finance, business development, mergers and acquisitions, licensing, public/private projects, joint ventures and many other types of business transactions. Jeff also serves as president and director of Madison Group Holdings, Inc. Prior to joining Initiate Systems, he practiced law with the Los Angeles firm of Greenberg, Glusker, Fields, Claman & Machtinger. His clients included various entrepreneurs whom he advised in general business, securities and real estate matters. Jeff is also a certified public accountant.

As senior vice president of business development and international operations, Mark is responsible for Initiate Systems, Inc.'s growth outside the United States and via partnerships. Mark joined Initiate Systems in November, 2002 as senior vice president of marketing. With over 20 years of experience in the software and publishing industries, Mark has an extensive background in general management, marketing, strategic planning, mergers and acquisitions, operations, partnering and finance. Prior to joining Initiate Systems, Mark was executive vice president of SPSS Inc., where he led the worldwide operations of the SPSS Enabling Technologies Division as division president. While at SPSS BI, he successfully executed a turnaround in the statistical software division by stabilizing high volume transactional sales and significantly increasing high value solution sales. He also led SPSS' marketing as the company increased revenues from less than $20 million to over $150 million. In addition, Mark served as vice president of marketing at London House, an HR publishing firm, and held several executive positions at Deltak Training Corp., a multinational publisher of multimedia training products for IS professionals. Mark received his MBA from the University of Chicago.

Armando is a general partner with an investment focus in hardware and software for enterprise and networking infrastructure, and security. Prior to joining Apex, Armando served as Vice President of Networking Products, responsible for marketing, sales, development and operations, for Cybernet Systems Corporation, a start-up company that develops and markets Linux-based software applications. Previously, Armando was a senior product manager for electronics at Imaging, a developer of high performance digital imaging servers. He also served as a management consultant with Booz Allen Hamilton, where he worked with Fortune 100 clients on strategic issues. Prior to that position, Armando was a senior engineering manager at Tandem Computers, Inc., where he led development efforts in fault-tolerant systems, primarily in new storage technologies. Armando holds an MBA with High Distinction from the University of Michigan, and he received his BS in Engineering (Electrical) from the California Institute of Technology.

As vice president of marketing, Gina provides leadership around corporate messaging, branding, communications, public/media relations, industry solutions, demand creation and inside sales. She has gained extensive experience in technology marketing from her roles at Arasys Technologies, Click Commerce, Inc., DARC Corporation and St. Paul Software. She was instrumental in launching Isix Software (a division of DARC). Gina holds a Bachelor of Science degree in Business Administration with concentrations in Marketing and Management from Minnesota State University. Professionally, she is affiliated with the Association for Internet Professionals, American Marketing Association, International Business Communicators and Technology Executives Club of Chicago.

As Senior Vice President and General Manager of Initiate Systems' Healthcare Practice, Scott is responsible for setting the overall healthcare strategy and tactical implementation. Scott oversees direct sales, sales operations, customer satisfaction and strategic alliances. Scott has spent the past 20 years in a variety of healthcare technology companies, including McKesson, Cerner, SeeBeyond and Sybase. In 10 years at SeeBeyond, Scott built their healthcare business from 20 to over 1,500 clients and lead their strategic move into the EMPI space, the HIPAA transaction architecture space as well as the integration based composite application markets. Scott has a degree from Susquehanna University.

James J. Pelts. James J. Pelts has served as a member of our board of directors since December 2000. Mr. Pelts has been employed by William Harris Investors, Inc. since 1997 as manager of various real estate and venture capital investments. He is also a member of its fund of funds and asset allocation committees. Mr. Pelts holds a B.S.E. from University of Pennsylvania and an M.B.A. from University of Chicago. Mr. Pelts is also a director of our Australian, Canadian and United Kingdom subsidiaries.
