Eric L. Press has been a director of Affinion since October 17, 2005. Mr. Press is a partner of Apollo Management, L.P. He has been employed with Apollo Management, L.P. since 1998 and has served as an officer of certain affiliates of Apollo Management, L.P. From 1992 to 1998, Mr. Press was associated with the law firm of Wachtell, Lipton, Rosen & Katz specializing in mergers, acquisitions, restructurings and related financing transactions. Mr. Press serves on several boards of directors, including Metals USA, Inc., Noranda Aluminum, Inc., Oceania Cruise Holdings, Inc. and Quality Distribution, Inc. From 1987 to 1989, Mr. Press was a consultant with The Boston Consulting Group.

Mr. Churchey is currently the Chief Executive Officer of Great Wolf Resorts (Nasdaq: WOLF). Previously he was, from 1999 until its sale in 2003, the Director, President and Chief Operating Officer of RFS Hotel Investors (NYSE:RFS), an owner and manager of 58 hotels. Mr. Churchey currently serves as Director of Innkeepers USA Trust (NYSE:KPA) and Education Realty Trust (NYSE: EDR). He was the CEO of Golden Gate National Senior Care, the successor entity to Beverly Enterprises. Prior to joining RFS (1997-1999), Mr. Churchey was Senior Vice President and CFO of FelCor Lodging Trust, a publicly traded hotel REIT with a total market capitalization (at the time) of over $3 billion. In that capacity, he was responsible for FelCor's capital market activities and the supervision of all financial, treasury, investor relations and reporting functions. For approximately 15 years prior to joining FelCor, Mr. Churchey held various positions in the audit practice of Coopers & Lybrand, LLP, including Chairman of the firm's Hospitality and Real Estate practice for the Southwestern United States. Mr. Churchey holds a B.S. degree in accounting from the University of Alabama and is a C.P.A.

Rolf E. Ruhfus . In June 1997, we acquired six hotels (the Summerfield Hotels ) from affiliates of Rolf E. Ruhfus (the Summerfield Group ). Following the acquisition of the Summerfield Hotels, Mr. Ruhfus joined our board of trustees. Due to the potential adverse tax consequences to members of the Summerfield Group that may result from a sale of the Summerfield Hotels, conflicts of interest may exist between us and Mr. Ruhfus regarding transactions involving the Summerfield Hotels that could trigger adverse tax consequences to some or all of the Summerfield Group. Mr. Ruhfus and certain of his affiliates have in the past, and continue to be, involved in the development of hotels. An entity controlled by Mr. Ruhfus also owns the Sierra Suites brand, which is an upscale extended-stay hotel brand founded by Mr. Ruhfus. Affiliates of Mr. Ruhfus own and/or operate several Sierra Suites hotels and Summerfield Suites hotels, and are developing hotels under other brands. Hotels developed by Mr. Ruhfus may compete with our hotels for guests and companies with which Mr. Ruhfus is affiliated may compete with us for acquisition opportunities and for qualified employees. Accordingly, our interests and those of Mr. Ruhfus could be different in connection with matters relating to our hotels or proposed acquisitions that are competitive with hotels owned or being considered for acquisition or development by affiliates of Mr. Ruhfus.
