Mr. Mishra was elected Vice President — Project Delivery in October 2001 after serving as AVP — Project Delivery from Nov 2000 to Sept 2001 and General Manager & HOF of India operations from 1997 to Oct 2000. Prior to joining Innodata in 1997, Mr. Mishra was Deputy General Manager Switching Production in ITI Ltd, a premier Telecom manufacturer in India, where he held various management positions in Production, Planning, Process and Quality areas between 1977 to 1997 at its Banglore, RaeBareli and Mankapur plants. Mr. Mishra holds a Bachelor of Technology degree in Mechanical Engineering from Pantnagar University (1976). He also has Component Manufacturing Technical Training from Alcatel France (1985) and completed a condensed MBA course from Indian Institute of Management Banglore (1995).

Mr. Tanpho was elected Vice President — Operations in March 1998. He served in various management capacities since joining the Company in 1991, most recently in the position of Assistant to the President of Manila Operations. He holds a B.S. degree in industrial engineering from the University of the Philippines (1986).

Steven Ford is the Chief Financial Officer of Innodata Isogen. Mr. Ford joined Innodata Isogen in December 2005, after previously serving as Executive Vice President and Chief Financial Officer for Kroll, Inc., an independent risk consulting and security services firm based in New York City, which is now an operating unit of Marsh McLennan (NYSE:MMC). During Mr. Ford's two years as CFO of Kroll, a NASDAQ-listed firm (KROL), revenue increased from $212 million to $625 million. In addition, the company's market capitalization rose from $435 million to $1.9 billion, culminating in its sale to Marsh McLennan in mid-2004. After leaving Kroll, Mr. Ford served as Chief Financial and Operating Officer of Medley Global Advisors LLC, an independent macro economic research firm, where he played an integral role in successfully positioning the company in an auction process that closed earlier this month. In addition, Mr. Ford has held a number of financial, treasury and controllership positions at publicly held companies, including positions as EVP and CFO of Telscape International Inc. and Vice President, International CFO and Controller of Equifax Inc. He started his career with the accounting firm of Ernst & Young. Mr. Ford received his Masters in Finance from the University of Southern California and his Bachelors in Accounting from Cleveland State University. He is a CPA and a member of the American Institute of Certified Public Accountants.

Mr. Palmen was elected Senior Vice President of the Company in July 2007. Prior to that, he was Vice President, responsible for building and sustaining relationships with many of the Company's leading Publishing clients. Prior to joining Innodata Isogen, Mr. Palmen was chief operating officer at SPI Technologies, Inc., a leading competitor of the Company, from 1995 through 1998. Prior to SPI, he was general manager, production for Reed Elsevier from 1991 through 1995. He was also a member of the steering committee for global SGML implementation. Before that, he spent three years with United Dutch Publishers as head of sales and production and two years with a global management consultancy company as a strategic consultant. He holds a M.B.A. degree (1979) in marketing, economics and logistics management and a B.B.A. degree (1976) in economics and marketing, both from Erasmus University in Amsterdam.

Al Girardi — Innodata Isogen's Chief Marketing Officer — has more than a dozen years experience in corporate and product marketing with the most successful business services and IT enterprises in the world, including companies such as IBM, Microsoft, Fujitsu, Unisys, Software AG, General Electric, About.com and Monster.com. His expertise includes business and brand strategy, corporate and product marketing, demand creation and lead generation, online and web marketing, direct marketing, event marketing, marketing and corporate communications, product management, advertising and public relations. He has particular concentrations of experience in the IT and business services arena, including business process outsourcing (BPO), knowledge services and professional services, as well as the enterprise software, Internet services, content & knowledge management sectors. In addition, Al has extensive experience with financial products and services, pharmaceuticals and telecommunications. Prior to joining Innodata Isogen, Al was Vice President of Marketing, Communications and Brand Strategy at Antenna Software, a developer of Web-based, wireless CRM software applications. Before this, Al was head of the Corporate Branding Practice at Bozell Sawyer Miller (now Weber Shandwick), the largest strategic communications company in the world. Prior to BSMG, he led the Corporate Reputation Unit of the Financial and Corporate Communications Division at Grey Communications International (GCI Group). He received his BA from Vassar College (1987) and his MSJ from Northwestern University (1991). Al also completed language studies at the Universities of Nice and Grenoble (1989) and is the recipient of several major business writing awards.

Amy R. Agress was elected Vice President in December 2003. She also serves as Corporate Secretary, having been elected to that position in June 2001, and as the Company's General Counsel. Prior to joining Innodata Isogen in 1996, she was an associate at a general practice law firm in Manhattan. Ms. Agress holds a J.D. degree from Fordham University School of Law (1989) and a B.A. degree from New York University (1986).

Elected Vice President in early 2008, Anupam Jain heads Innodata Isogen's eBook and Composition Solution Center. In addition to project delivery, he is also responsible for pursuing new client projects, including related R&D efforts, and ensuring that the company's technological capabilities in this rapidly growing marketplace mesh with the needs of customers. Mr. Jain has served in various management capacities since joining Innodata Isogen in 1998, most recently as assistant vice president and prior to that as project manager. He has more than 17 years of experience with leading ITES and IT companies. Before joining Innodata-Isogen, Mr. Jain worked with the largest PC manufacturing company of India, where along with overseeing various manufacturing support activities he was involved in MIS implementations that connected multiple branch offices across India. Mr. Jain holds a Bachelor of Engineering Degree in Computer Technology (1990).

As Vice President of Innodata Isogen's Professional Publishing Practice, Bob Kidd will lead the company's efforts to deliver a full range of services and solutions to professional publishers. He joins Innodata Isogen from Cadmus Communications, where he led Cadmus' $60 million Content Services practice, having chief responsibility for sales and growth. Prior to that, he was a Senior Director of Publishing at Ovid Technologies, Inc. (now part of Wolters Kluwer Health) and an Executive Editor at Springer-Verlag. Mr. Kidd — who holds a Ph.D. and Master's degree from the University of Wisconsin, and a Master's degree from the University of Cambridge — will report to Jan Palmen, who has overall responsibility for the company's three publishing practices.

Kate McDonald was elected Vice President of Innodata Isogen in late 2006 as head of the Aerospace and Defense Practice. Before that, as project manager and senior consultant for Innodata Isogen Professional Services, she played a key role overseeing a number of projects for leading aerospace and defense companies. Ms. McDonald has more than seven years of experience in project management, business process re-engineering and the implementation of standards-based content management and production systems for large corporations. She holds a M.B.A. degree in Information Systems from the University of North Texas.

Mr. Brouwer was elected Vice President Technology in July 2000 after serving as Assistant Vice President for Technology from September 1998 until June 2000. Formerly, Mr. Brouwer was Chief Technical Officer and Special Projects Division Manager at SPI Technologies, Inc., a leading competitor of the Company, from 1996 through 1998. And from 1993 up to 1996, he served as IT Manager and member of the Management Team of Elsevier Science, responsible for the implementation of Software Development, LAN, WAN and Data Centers. Mr. Brouwer holds a Bachelors Degree in Information Technology from the Noordelijke Hogeschool Leeuwarden, a leading university in the Netherlands (1993).

Neelkanth Akhauri has joined Innodata Isogen as vice president, Content Engineering. Based in Gurgaon, Neel will be responsible for all Conversion, Knowledge Services and e to e (pre publishing) Practices, as well as the Software Architect and Process Architect group. Neel will report directly to A. K. Mishra, SVP of Project Delivery. After receiving a bachelor's of engineering degree from Birla Institute of Technology, Neel started his IT career with Tata Steel (TISCO.) He then moved to the United States, where he managed and led concurrent onsite, off-site and offshore IT applications as a consultant for a number of companies. His primary expertise is in strategic planning, program and project management, business process methods, stakeholder, vendor and customer relationship management with end-to-end integration. Neel holds PMP and is certified in technical domains like XML, RDBMS and Software Business Analysis. With 17 years of experience in IT, Neel has developed a keen focus on process-driven methodologies. He's also had led numerous teams that have implemented customized procedures and methodologies across organizations.

As Vice President, Ms. Swank heads our Commercial & Advanced Programs Practice. Prior to that, she served as Vice President — Professional Services since and as Director of Professional Services. She was a Senior Consultant with Isogen International between 1996 and 1998. Prior to that, she served as SGML Specialist for a large telecommunications company where she supported multiple technical publications groups distributed internationally. Ms. Swank has more than 15 years of experience in business process re-engineering and the implementation of standards-based content management and production systems for large corporations. She holds a B.S. degree from University of North Texas.

Sanjay Tangri was elected Vice President in December 2006. Based in Dallas, he will head Innodata Isogen's Trade & Consumer Publishing market practice, co-reporting to Jan Palmen, VP Sales Engineering and to Jack Abuhoff, CEO. Prior to his appointment as VP, Mr. Tangri was based in Manila as head of the Conversion Practice of Content Services, where he was responsible for the design, documentation, implementation and integration of software and production processes. Before joining Innodata-Isogen, he worked at various managerial positions with leading private telecommunication companies, involved in manufacturing of telecom equipments and providing V-SAT, Basic and cellular telephone services in India. Mr. Tangri holds a Bachelor's degree in Electronics Engineering and MBA in marketing.

Elected Vice President in late 2006, Sunil Jauhur will have project delivery responsibility for data conversion and other content-related digitization projects. Mr. Jauhar, who joined Innodata Isogen in 2001, has more than 20 years of experience in production and operations with blue chip firms like Tata, Dabur and Flex Engineering. Prior to joining Innodata Isogen, he was General Manager Operations of Srisoft Consultants Pvt. Ltd, Bangalore and APEX Information Services Pvt. Ltd, New Delhi, both Content Service Providers where he was responsible for production, planning, process, quality and customer relationship management. Mr. Jauhar holds a Bachelor of Engineering Degree in Electrical and Electronics Engineering from the Birla Institute of Technology and Science, Pilani, India.

Theresa Veloso, who was elected Vice President in late 2006, manages the company's legal editorial projects which also include a wide range of research, legislative updating, indexing and abstracting and copy-editing. Ms. Veloso also participates in the analysis and of new legal editorial projects for the company. Before joining Innodata Isogen, Ms. Veloso was General Manager of Accesslaw, a legal information provider in the Philippines, as well as Executive Director of the National Amnesty Commission. She also practiced corporate law with Bautista, Picazo, Buyco, Tan and Fider Law Offices. She holds bachelor degrees in Comparative Literature (1989) and Law (1993) from the University of the Philippines and a Masters of Law from Cornell University Law School (1999).

Vincent Henderson was elected a Vice President for Innodata Isogen's Publishing Practice in late 2006. Mr. Henderson will lead the company's efforts in Europe to align company capabilities to meet customer requirements and drive the company's growth by leveraging its expertise in foreign language capabilities, business consulting and knowledge process outsourcing. Prior to joining Innodata Isogen, Mr. Henderson was Director of Consumer Products, Worldwide, for Bowne Global Solutions, now Lionbridge, where he owned production and most sales on his segments, with revenue and EBITDA accountability and strategic autonomy. Prior to that, Mr. Henderson gained deep experience in the language services industry, delivering services and content to global corporations for nearly 15 years.

Elected Vice President in late 2006, Zanetta Hancock will help Innodata Isogen's Commercial & Advanced Programs practice achieve its content-related business goals. Since joining the company in 1996, Ms. Hancock has served as resource manager and project manager for many of the firm's consulting-based projects, helping to translate client requirements into leading-edge ISO and W3C standards-based solutions in multi-application and multi-platform environments. Ms. Hancock earned a BS in computer Science from the University of North Texas.

HAIG S. BAGERDJIAN became Chairman of the Board of Old Point.360 (our predecessor company) in September 2001 and was appointed President and Chief Executive Officer in October 2002. He was appointed to these positions with the Company in April 2007. He was Executive Vice President of Syncor International Corporation, a leading provider of radiopharmaceuticals, comprehensive nuclear pharmacy services and medical imaging services, from 1991 to 2002. From 1987 to 1991, he served in several executive level positions at Calmark Holding Corporation. He also was General Counsel for American Adventure, Inc., which was a subsidiary of Calmark Holding. Mr. Bagerdjian received a J.D. from Harvard Law School and is admitted to the State Bar of California. Mr. Bagerdjian is a director of Innodata-Isogen, Inc.

Anthea C. Stratigos has served as one of the Company's directors since March 2009. Ms. Stratigos is co-founder and CEO of Outsell, Inc. (founded in 1994), a leading research and advisory firm that focuses exclusively on the information and publishing industries, providing analysis and recommendations for high-level executives regarding markets, trends, benchmarks and best practices. She is Outsell's primary spokesperson, and chairs Outsell's Leadership Council, a member-service for CEOs and senior executives of publishing and information-provider firms. Ms. Stratigos holds a B.S. degree in Communication from Stanford University (1983) and graduated from the Executive Marketing Program at Harvard University (1992).

Dr. Goldfarb invented SGML (Standard Generalized Markup Language) in 1974 and later led the team that developed it into the International Standard (ISO 8879) on which the World Wide Web's HTML (HyperText Markup Language) and XML (Extensible Markup Language) are based. He has served as Editor of the SGML International Standard for 20 years, and is a consultant to developers of SGML and XML applications and products. Dr. Goldfarb is co-author of The XML Handbook(TM) Third Edition (Prentice-Hall, 2001), the first edition of which was rated the top XML book of 1998 by Amazon.com. He also authored The SGML Handbook(TM) (Oxford University Press, 1990), cited by Seybold Report as the definitive reference on SGML, and The SGML Buyer's Guide: A Unique Guide to Determining Your Requirements and Choosing the Right SGML and XML Products and Services (Prentice-Hall, 1998). He is Series Editor of Prentice-Hall's Charles F. Goldfarb Series on Open Information Management and The Definitive XML Series from Charles F. Goldfarb. He has been profiled in Forbes, Web Techniques, Red Herring, and other publications. He holds the Graphic Communications Association's first International SGML Award and the Printing Industries of America's Gutenberg Award. The Society for Technical Communication named him and Tim Berners-Lee, creator of the World Wide Web, STC Honorary Fellows in 1999. This status is conferred annually by STC to an individual or individuals who have achieved eminence and influenced the practice of technical communication. In 1986, Berners-Lee invented the World Wide Web while employed at the European Particle Physics Laboratory (CERN) and thereby pioneered global information sharing via hypermedia. Only twice since the award's creation has STC named more than one Honorary Fellow. The synergy between the contributions of Goldfarb and Berners-Lee led the Society to recognize them both in one year. Goldfarb is a graduate of Harvard Law School and Columbia College.

Mr. Abuhoff has served as President and Chief Executive Officer since September 1997 and as Chairman of the Board since May 2001. Since joining the company, Mr. Abuhoff has focused Innodata Isogen on helping information and media companies create and maintain leading information products. Its strategy has been to bring advanced technologies together with global resources to create efficient and effective content operations. Innodata Isogen was recently named to both the EContent 100 and the Global Outsourcing 100 by the International Association of Outsourcing Professionals (IAOP). Last year, Innodata Isogen was recognized by Motley Fool as one of the ten best performing public companies. Several of Outsell's top 10 information companies have become Innodata Isogen clients. Mr. Abuhoff is an Outsell Executive Council member and served on the board of the Software Information and Industry Association (SIIA). Before joining Innodata Isogen, Mr. Abuhoff was Chief Operating Officer of Charles River Corporation, an international technology management and consulting firm from 1995 to 1997. From 1992 to 1994, he was employed by Chadbourne & Parke, and engaged in Sino-American technology joint ventures with Goldman Sachs. He practiced international corporate law with White & Case from 1986 to 1992. He holds an A.B. degree from Columbia College (1983) and a J.D. degree from Harvard Law School (1986).

Mr. Marozsan retired in 1999 as President and Chief Executive Officer and as a member of the Executive Committee of CCH Incorporated, a leading provider of tax and business law information and software. In addition, Mr. Marozsan was a member of the Board of Directors of Wolters Kluwer U.S., of which CCH is a wholly owned subsidiary. Founded in 1913, CCH produces approximately 700 print and electronic products for securities, tax, legal, banking, human resources, health care and small business markets in North America. Wolters Kluwer is a Netherlands-based multinational publishing company whose core activities include legal and tax publishing, business publishing, medical/scientific publishing and educational publishing/professional training. A 30-year veteran of the professional publishing industry, Mr. Marozsan played an important role in integrating CCH successfully into the Wolters Kluwer U.S. organization. Prior to joining CCH in 1996, Mr. Marozsan was President and CEO of Aspen Publishers, Inc., a Gaithersburg, Md. business law and health care publisher, which is also a Wolters Kluwer U.S. company. Before becoming President and CEO in 1986, Mr. Marozsan spent 10 years in a number of management positions at Aspen, including Editor-in-Chief and Publisher.

Louise C. Forlenza has, for the past 10 years, provided audit consultancy, management advisory, and tax planning services to a diverse group of corporate clients. From 1987 through 1992, she was the Chief Financial Officer and Chief Operating Officer of Intercontinental Exchange Partners, an international foreign exchange company, and served as a Director and as chair of its International Audit Committee. Prior to joining Intercontinental, she was the Chief Financial Officer of Bierbaum-Martin, a foreign exchange firm. Ms. Forlenza is a Director and Audit Committee chair of Medical Documents International, Inc., a provider of medical information, and served as a Director and chair of the Finance Committee of A&M Foods. She participates actively in various not-for-profit and philanthropic organizations including as benefit chair for the Greenwich Hospital and a member of the finance committee for The Acting Company, a New York City based promoter of arts and literacy founded in 1972 by actor John Houseman. Ms. Forlenza is a certified public accountant and served on the faculty of the accounting department of Iona College having graduated with a B.B.A. in Accounting from Iona College in 1971.

Peter Woodward graduated from Colgate University with a Bachelor of Arts in Economics, and from Columbia University with a Masters Degree in International Economics. He is a Chartered Financial Analyst. Mr. Woodward worked as a research analyst at Munn, Bernhard & Associates from 1995 to 1996. From 1996 until founding of MHW Capital Management in 2005, Mr. Woodward was a research analyst and Managing Director for Regan Fund Management. Mr. Woodward has served on the board of directors of NewsEdge Corp. and Zomax, Inc. He has also served as an economist on and consultant to the President's Council of Economic Advisors at the White House during the Bush Administration, where he focused on issues concerning international trade and finance.

Stewart R. Massey has served as one of the Company's directors since March 2009. Mr. Massey is a partner with Massey, Quick and Co. LLC, an investment consulting and wealth advisory firm, which he co-founded in 2004 after a 24-year career on Wall Street. He joined Morgan Stanley's Private Client group in 1983 after four years with Dean Witter Reynolds. From 1988 through 1993, he led Morgan Stanley's private client businesses in Asia, Australia, and Japan. Mr. Massey was Head of Japanese Equity Sales in New York from 1993 through 1996, and returned to Tokyo as Head of Institutional Equity Sales and Global Head of Japanese Equities in 1996. He served as President and CEO of Robert Fleming, Inc. in 1997 and 1998. At Fleming, he had regional responsibility for equity sales and trading, research, capital markets, investment banking, and asset management in the Americas, serving on the Board of Directors and Executive Committee of the parent company in London. Mr. Massey returned to Morgan Stanley in September of 1998 as a Managing Director and Head of Institutional Sales, Marketing, and Product Development for the firm's prime brokerage business. Mr. Massey holds a BA degree in History from The College of Wooster (1974). He is an Emeritus Life Trustee of the College. As a member of Wooster's Board of Trustees, he was Chair of the Investment Committee and a member of the Executive Committee for 15 years. Mr. Massey also serves on the investment committee of the Visiting Nurse Association of Somerset Hills. He is a director of Team Capital Bank and First Santa Fe Wealth Advisors.

Todd Solomon was elected to the board of directors in October 2008. Mr. Solomon holds an A.B. degree in history and physics from Columbia College. Since founding Innodata Isogen in 1988, Mr. Solomon served as a director and officer of the company at various times through 2005. Mr. Solomon is a private investor, investment manager and venture capitalist who divides his time between Las Vegas, the Philippines and Bali, Indonesia.
