Sunil Hirani is a co-founder, Chief Executive Officer and Chairman of Creditex, a wholly-owned subsidiary of IntercontinentalExchange (NYSE: ICE). Since its inception in 1999, Creditex has grown into a global market leader and innovator in the execution and processing of credit derivatives. Headquartered in New York City and serving traders at the world's leading financial institutions, Creditex is the first electronic trading platform in credit derivatives and has received numerous awards for its technology and its outstanding service to the industry. Mr. Hirani's approach has expanded Creditex's business globally, including the launch of T-Zero, the leading credit derivatives trade capture and affirmation platform, and Q-WIXX, the award-winning platform for trading large portfolios of single-name credit default swaps for hedge funds and buy side clients. Before founding Creditex in 1999, Mr. Hirani worked at Deutsche Bank and Bankers Trust, where he was involved with numerous aspects of the over-the-counter (OTC) derivatives business. At Deutsche Bank, he was instrumental in the development of the credit derivatives business in North America. He previously worked as a software engineer at Lockheed, where he designed, developed, and implemented software and hardware systems for the NASA space program in Houston. Crain's New York Business named Mr. Hirani to the "40 Under 40" list in 2006. In 2007, he received the Ernst and Young Entrepreneur of The Year Award for financial services. Mr. Hirani is a member of the national council at Washington University, St. Louis, where he serves on the School of Engineering's National Council and Eliot Society. He is also a member of New York Metro YPO Group as well as the Economic Club of New York. Mr. Hirani earned a Bachelor of Science degree in Computer Science from Washington University and a Master of Business Administration from Northwestern University

David Peniket is the President and Chief Operating Officer of ICE Futures Europe, the London-based energy exchange that is part of the IntercontinentalExchange (NYSE: ICE). In this role, Mr. Peniket oversees all technology, market operations and financial functions at ICE Futures Europe. Prior to joining ICE in 2001, Mr. Peniket served as Director of Finance at the International Petroleum Exchange (IPE), today known as ICE Futures Europe, since May 2000. Before joining IPE, Mr. Peniket was an accountant at KPMG since 1992, where he worked as a consultant in the company's financial management practice. In addition, Mr. Peniket served as a Research Assistant to John Cartwright, SDP Member of Parliament prior to assuming a career in finance. Mr. Peniket earned a Bachelor of Science degree in Economics from the London School of Economics and Political Science and is also a Chartered Accountant

Dirk Pruis is President of ICE Trust, the wholly-owned credit default swap (CDS) clearing house of IntercontinentalExchange (NYSE: ICE). Mr. Pruis was named to this post in March 2009 and was instrumental in the launch of ICE Trust, the first central counterparty clearing house for CDS in the U.S. As president of ICE Trust, Mr. Pruis oversees all technology operations and financial functions at the clearing house. Prior to joining ICE, Mr. Pruis was a Managing Director at Goldman, Sachs & Co., where he was responsible for the Bank Relations and Market Infrastructure team in the Operations Division. Before rejoining Goldman, Sachs & Co. (where he previously held a variety of positions between 1994 and 2002), Mr. Pruis served for two years as the Vice President for Advancement at Calvin College and for three and a half years as President and CEO of EquiLend Holdings. From 1985 to 1993, Mr. Pruis was employed by Deloitte & Touche in its Financial Services Center in New York and Touche Ross & Co. in Grand Rapids, Michigan as senior manager, manager and consultant. Mr. Pruis earned a Bachelor of Science degree in Business and Accounting from Calvin College and a Masters of Business Administration from the University of Michigan, Graduate School of Business. Mr. Pruis was formerly a certified public accountant and is Series 7, Series 24 and Series 27 licensed.

Paul Swann is the President and Chief Operating Officer of ICE Clear Europe, the wholly-owned European clearing house of IntercontinentalExchange (NYSE: ICE). Mr. Swann was named to his post at ICE in July, 2007 and was instrumental in the launch of ICE Clear Europe in November, 2008. In his role, Mr. Swann oversees all technology, operations and financial functions at the London-based clearing house. Mr. Swann has over 20 years experience in European derivatives and equities clearing, and prior to joining ICE, he was most recently Managing Director, Group Risk and Managing Director, Change for LCH.Clearnet Ltd. During his tenure at LCH.Clearnet Ltd., Mr. Swann held various leadership positions in technology, operations, and risk management. In those roles, Mr. Swann worked closely with ICE on its energy futures and over-the-counter (OTC) clearing business.

President and Chief Operating Officer, ICE Clear U.S. Tom Hammond is President and Chief Operating Officer of ICE Clear U.S., the wholly-owned clearinghouse of IntercontinentalExchange (NYSE: ICE). Mr. Hammond oversees all technology, operations and financial functions at the clearing house. The clearing house maintains offices in New York and Chicago. Prior to joining ICE in August 2007, Mr. Hammond was Managing Director, Trading Operations at the Chicago Board of Trade (later the CME Group), where he played a leadership role in the successful transition to and ongoing operation of the Common Clearing Link. Before joining CME Group in 2003, Mr. Hammond was Executive Vice President and Chief Operating officer of the Board of Trade Clearing Corporation (BOTCC), where he successfully managed the development and implementation of integrated over-the-counter (OTC) clearing systems while expanding clearing services and functionality for regulated futures contract markets. Mr. Hammond serves on the Board of Directors for the Financial Services Division and the Chicago Operations Division of the Futures Industry Association and participates in the Chicago Federal Reserve Bank's Working Group on Financial Markets. Mr. Hammond earned a Bachelor of Science degree in Business Administration from Lewis University in Romeoville, IL.

Tom Farley is President and Chief Operating Officer of ICE Futures U.S., a regulated futures exchange subsidiary of IntercontinentalExchange (NYSE: ICE). Mr. Farley also serves as a member of the Board of Directors of ICE Futures U.S. and ICE Clear U.S., its designated clearing house. Prior to joining ICE in February 2007, Mr. Farley was President of SunGard Kiodex, a risk management technology provider to the commodity derivatives markets. Before becoming President of SunGard Kiodex in 2006, Mr. Farley served as the business unit's Chief Financial Officer and Chief Operating Officer. Mr. Farley has also held various positions in investment banking and private equity. Mr. Farley holds a Bachelor of Arts degree in Political Science from Georgetown University and is a Chartered Financial Analyst.

Mr. Goone is Senior Vice President, Chief Strategic Officer of the Intercontinental Exchange ("ICE"). He joined the ICE in 2001 and is responsible for the expansion of ICE's product line, including futures products and trading capabilities for the ICE electronic platform. Mr. Goone played a central role in ICE's recently completed merger with the New York Board of Trade. He brings VPC over twenty years of experience in the exchange and futures trading industry. An expert on strategy, product and business development and sales, as well as electronic platforms and global financial markets, he will be a valuable resource for VPC and its portfolio companies. Mr. Goone received his B.S. degree in Accountancy from the University of Illinois at Urbana-Champaign in 1986.

Edwin Marcial has served as Chief Technology Officer of IntercontinentalExchange (NYSE: ICE) since its establishment in May 2000 and as a Senior Vice President since November 2002. Mr. Marcial is responsible for systems development and ICE's overall technology strategy. He also oversees the software design and development initiatives of ICE's information technology professionals in the areas of project management, software development and quality assurance. Mr. Marcial has nearly two decades of experience building large-scale information technology systems in the energy industry. Prior to joining ICE, Mr. Marcial was on the software development team at Continental Power Exchange (CPEX), an electronic spot market for electric power. Before joining CPEX in 1996, Mr. Marcial led design and development teams at GE-Harris, building software application for the company's energy management systems. Mr. Marcial earned a Bachelor of Science degree in Computer Science from the College of Engineering at the University of Florida.

Scott Hill is Senior Vice President and Chief Financial Officer of IntercontinentalExchange (NYSE: ICE) based in Atlanta, GA. He is responsible for all aspects of ICE's finance and accounting functions, including treasury, tax, cash management and investor relations. Prior to joining ICE in May 2007, Mr. Hill was Assistant Controller for Financial Forecasts and Measurements at IBM, where he oversaw worldwide financial performance and worked with all global business units and geographies. Mr. Hill began his career at IBM and held various accounting and financial positions in the U.S., Europe, and Japan, including Vice President and Controller of IBM Japan, and Assistant Controller, Financial Strategy and Budgets. A native of Texas, Mr. Hill earned a Bachelor of Business Administration degree from the University of Texas and completed a Master of Business Administration at the Stern School of Business at New York University.

Johnathan Short is Senior Vice President, General Counsel and Corporate Secretary of IntercontinentalExchange (NYSE: ICE). Mr. Short oversees ICE's legal and government affairs, as well as corporate governance matters. Before joining ICE in June 2004, Mr. Short was a partner at McKenna, Long & Aldridge, where he practiced in the corporate law group. He joined the commercial litigation department of its predecessor firm, Long Aldridge & Norman, in 1991. Jeff Sprecher is the founder of IntercontinentalExchange (ICE), serving as the company's Chief Executive Officer since its inception in May 2000 and as Chairman of the Board since November 2002. As CEO, he is responsible for the firm's strategic direction, operation and financial performance. Widely recognized for his vision, leadership and entrepreneurial spirit, Mr. Sprecher was selected by MarketWatch as one of five finalists for the prestigious MarketWatch CEO of the Year for 2006. He was also chosen in 2002 by Business Week magazine as one of seven Top Entrepreneurs of the Year. In addition, he was a finalist in Ernst & Young's Entrepreneur of the Year Program. Mr. Sprecher recognized the potential for building and operating a transparent and efficient marketplace for electronic over-the-counter energy commodities trading, purchasing Continental Power Exchange, Inc. (CPEX) in 1997 to achieve his vision. IntercontinentalExchange was formed in May 2000, with CPEX contributing to ICE all of its assets, primarily electronic trading technology, and its liabilities. Mr. Sprecher spearheaded the assembly of thirteen leading wholesale commodities market participants who became the company's initial shareholders, acquiring equity interests and committing to provide order flow to provide liquidity for the new electronic marketplace. When he had led ICE as a publicly traded company for just one year, Mr. Sprecher was nominated by MarketWatch as one of the five most outstanding Chief Executive Officers, based on a track record for 2006 that included stock price performance, customer service, treatment of employees and corporate-governance initiatives Recognizing the benefits of combining ICE's electronic platform for over-the-counter products with the growing exchange-traded energy derivatives market, Mr. Sprecher negotiated the acquisition of IPE Holdings Plc, owner of the International Petroleum Exchange (IPE) in London in June 2001. The acquisition enabled ICE to create the industry's first cleared OTC products through IPE's clearing provider, LCH.Clearnet. In turn, the IPE began to develop its futures markets on ICE's trading platform and became the first energy commodity exchange to become fully electronic in April 2005. IPE was re-named ICE Futures in October 2005. ICE became a publicly traded company on November 16, 2005 with its listing on the New York Stock Exchange.

Brad Vannan is President and Chief Operating Officer of ICE Futures Canada, a subsidiary of IntercontinentalExchange (NYSE: ICE). ICE Futures Canada is a regulated, agricultural exchange based in Winnipeg. Mr. Vannan was appointed to his position in April, 2007. Mr. Vannan has over two decades of experience in global agricultural markets. Prior to joining ICE, he was Vice President, Merchandising and Transportation Services at Agricore United, where he had responsibility for four major divisions, including grain merchandising, transportation and logistics, specialty crops operations, and grain accounting. Before joining Agricore in 1994, Mr. Vannan was a grain merchant at James Richardson and Sons and a domestic merchant at Pioneer Grain. Mr. Vannan previously served on the Board of Directors of the Winnipeg Commodity Exchange, which was the predecessor company of ICE Futures Canada. Mr. Vannan earned a Bachelor of Science in Agriculture from the University of Manitoba.

Charles R. Crisp has served as a member of the board of directors of EOG Resources Inc. since May 2002. Previously, he was President, Chief Executive Officer and a director of Coral Energy, LLC, a subsidiary of Shell Oil Company, from 1999 until his retirement in October 2000, and was President, Chief Operating Officer and a director of Coral Energy, LLC from January 1998 through February 1999. Crisp joined Houston Industries in 1996 and served as President of their domestic power generation group from 1997 until January 1998.

Fred Hatfield has been a Director of IntercontinentalExchange (NYSE: ICE) since May 2007. He also serves on the Board of Directors of ICE Futures U.S., ICE's regulated futures exchange subsidiary. Mr. Hatfield is founder of Hatfield Advisory Services, a Senior Counselor for Federal Regulatory Affairs, Public Insight, LP and a member of the Obama Economic Policy Advisory Committee, Competitiveness: Strengthening America's Business Climate. Mr. Hatfield is a Director of Managed Funds Association and the National Advisory Board of Public Insight. He was a Public Policy Advisor at Patton Boggs from 2006 to 2007, and Commissioner of the Commodity Futures Trading Commission (CFTC) from 2004 to 2006. Before joining the CFTC, Mr. Hatfield served as Chief of Staff to former Senator John Breaux (D-LA) from 1995 to 2004, and former House Majority Whip Tony Coelho (D-CA) from 1980 to 1989. In addition, Mr. Hatfield has more than ten years experience in the areas of Energy, Private Equity/Venture Capital/Hedge Funds, and Financial Services and Products and served as Deputy Commissioner General of the U.S. Pavilion at the World's Fair in Lisbon, Portugal, in 1998. Mr. Hatfield earned a Bachelor of Arts degree in History from California State University, Fresno.

Frederick Schoenhut has been a Director of IntercontinentalExchange (NYSE: ICE) since January 2007. He is also Chairman of the Board of Directors of ICE Futures U.S., ICE's regulated futures exchange subsidiary. In 2002, Mr. Schoenhut elected Chairman of the Board of Directors of the New York Board of Trade (NYBOT) where he first worked as an intern during summers and college vacations. In September 1980, Mr. Schoenhut formed Copia Trading Co., a coffee futures execution firm on the Coffee, Sugar & Cocoa Exchange trading floor. Following the destruction of its trading and administrative facilities in the September 11 terrorist attacks, Mr. Schoenhut chaired the NYBOT Relocation Committee, which was responsible for finding new facilities for the exchange. Mr. Schoenhut was extensively involved with ICE's acquisition of NYBOT in 2007. Mr. Schoenhut is Vice Chairman of the United States Indian American Chamber of Commerce; Chairman of the Business Council for the Dystrophic Epidermolysis Bullosa Research Association of America; Vice Chairman of the Commodities Floor Brokers and Traders Association; and Treasurer of the Manhattan Chamber of Commerce. Mr. Schoenhut earned a Bachelor of Science degree in Electrical Engineering from Clarkson University.

Mr. Salerno is elected to the Board as of January 1, 2006, having previously served as a director of the former Viacom Inc. since 1994. He is a retired Vice Chairman and Chief Financial Officer of Verizon Communications Inc., a position he held from June 2000 to October 2002. Prior to that, Mr. Salerno served as Vice Chairman and Chief Financial Officer of Bell Atlantic (Verizon’s predecessor) from August 1997. Prior to the merger of Bell Atlantic and NYNEX Corporation, Mr. Salerno served as Vice Chairman, Finance and Business Development, of NYNEX from 1994 to 1997. Mr. Salerno was Vice Chairman of the Board of NYNEX and President of the NYNEX Worldwide Services Group from 1991 to 1994. Mr. Salerno is also a director of Akamai Technologies, Inc., The Bear Stearns Companies Inc., CBS Corporation, IntercontinentalExchange, Inc. and Popular Inc.

Jean Marc Forneri has been a Director of IntercontinentalExchange (NYSE:ICE) since November 2002. He is founder and senior partner of Bucephale Finance, a boutique mergers and acquisitions firm specializing in large transactions for French corporations, foreign investors and private equity firms. For the seven years prior to Bucephale's founding, Mr. Forneri headed the investment banking business of Credit Suisse First Boston in Paris. He was Managing Director and Head of Credit Suisse First Boston France S.A., and Vice Chairman, Europe from 1994 to 1996, Mr. Forneri was a Partner of Demachy Worms & Cie Finance, where he was in charge of investment banking activities of Group Worms. From 1988 to 1994, Mr. Forneri was CEO of Skis Rossignol, a worldwide listed leader in the ski industry. Mr. Forneri is a Director of Balmain SA, Perseus Participations, SAFRAN and Friends of Paris Museum of Modern Art. He is also a Board Member of Grand Port Maritime de Marseille, the Lyrics Festival of Aix en Provence and Societe du Casino Municipal d'Aix Thermal.

United States national. Member of the Board of Directors and of the Nomination and Compensation Committee since May 2008. Her term of office ends on the day of the 2009 General Meeting of Shareholders. Until 2005, Judith Sprieser was the Chief Executive Officer of the US technology software and services company Transora, Inc. She previously held various senior executive positions at Sara Lee Corporation until May 2000, having joined the company in 1987. Judith Sprieser currently serves as a non-executive director of Allstate Insurance Company, USG Corporation, Reckitt Benckiser, Royal Ahold and Intercontinental Exchange. She is a member of the Board of Trustees of Northwestern University, from which she earned a Master of Business Administration degree.

Terrence Martell has been a Director of IntercontinentalExchange (NYSE: ICE) since January 2007. He serves on the Audit Committee of the Board of Directors and is also the Vice Chair of the Board of Directors of ICE Futures U.S., ICE's regulated futures exchange subsidiary. Dr. Martell is the Director of the Weissman Center for International Business at Baruch College/CUNY, where he is also the Saxe Distinguished Professor of Finance. Dr. Martell is a leading authority on international commodity markets and conducts extensive research in this area. Dr. Martell is on the board of the Manhattan Chamber of Commerce and serves on its Executive Committee. He is also a trustee of the PSC/CUNY Welfare Fund, which manages health benefits for the employees of the City University of New York. Dr. Martell earned a Bachelor of Arts degree in Economics from Iona College and a Doctor of Philosophy in Finance from the Pennsylvania State University.
