John R. Birk (Chairman) became a director of the Company in December 1998 and was elected Chairman in March 2004. He also serves as the Chairman of the Human Resources and Compensation Committee, having previously served as the Chairman the Audit Committee. Mr. Birk has been an Operating Executive with Evercore Partners, Inc. since February 1996. From January 1995 to September 1995, Mr. Birk served as President of Ideon Group, Inc., Chairman of Wright Express, Chairman of National Leisure Group and President of Hotline Travel, following Ideon's acquisition of Wright Express where Mr. Birk was President, Chief Executive Officer and a Director from 1992 to 1995. Mr. Birk was President and a Director of Advo, Inc. from 1988 to 1992. Mr. Birk also served in a variety of executive roles at Sprint, Inc, including Group President, President of Sprint's Northeast Division and President of US Telecom Communications Services Co. Mr. Birk also serves as a Director of Commonwealth Telephone Enterprises. (1), (2) John T. Dillon became a director of the Company in 2005. John is Vice Chairman of Evercore Capital Partners and a Senior Managing Director of Evercore Partners. He is the retired Chairman and CEO of International Paper. John began his career at International Paper in 1965, serving in various capacities including VP and Group Executive for the Land and Timber Group in 1982, Executive VP for the Packaging Sector in 1987, President and COO in 1995, Chairman and CEO in 1996. He was elected to International Paper's Board in 1991. He is currently on the Board of Caterpillar, DuPont, Kellogg, and Vertis, and a member of The Business Council. John also served as Chairman of the Business Roundtable, Chairman of the Board of Governors of the National Council for Air and Stream Improvement, and Chairman of the Board of the American Forest and Paper Association. He was a member of the President's Advisory Council on Trade Policy and Negotiations and served as Chairman of the Board of the National Council on Economic Education. (2)

Carol Roberts began her career with International Paper in 1981 as associate engineer at the Mobile, Ala., mill. In 1991, she became mill manager at the Oswego, N.Y., facility. In 1993, Carol was promoted to general manager of Kraft Packaging, followed by a move to general manager for Kraft Paper and Packaging in 1996. A year later, Carol was appointed an officer of International Paper and promoted to vice president of People Development in the Human Resources organization. She was named vice president of Industrial Packaging in October 2000. Carol took on her current role as senior vice president, Industrial Packaging, in November 2005. She has responsibility for Containerboard & Recycling and Container The Americas businesses.

C. Cato Ealy joined International Paper in April 1992 as director, Corporate Development. In June 1996, he was named vice president and was promoted to senior vice president in June 2003. Ealy is responsible for the company’s domestic and foreign acquisition and divestiture programs. Prior to joining International Paper, he had been a director at Charterhouse Inc. since 1989.

Jerry Carter joined International Paper as senior vice president of Human Resources in 1999, with the acquisition of Union Camp Corporation, where he had held the same role since 1996. Mr. Carter joined the Industrial Relations department of Union Camp in 1980 and assumed several positions within HR in the following years. Prior to joining Union Camp, he served eight years in the U. S. Army as an artillery officer and helicopter pilot.

Maura Abeln Smith joined International Paper in March 2003 as senior vice president and general counsel. Maura was named Corporate Secretary in November 2003. Formerly, she worked at Owens Corning as senior vice president, chief restructuring officer, general counsel and secretary and was a member of the board of directors. She had been vice president and general counsel of GE Plastics and previously was a partner in the law firm of Baker & McKenzie.

Tom Gestrich joined International Paper in 1990 and has held several management positions with the Nicolet and Thilmany mills and was vice president, Bleached Board business as well as vice president and general manager of the Beverage Packaging business. Most recently, Tom was senior vice president, Consumer Packaging. In November 2005, Tom was named president, IP Asia, and senior vice president of International Paper.

Cheryl is the Envelope Papers Product Manager for International Paper. She started with International Paper in 1984 as a process control and quality control engineer. She held a variety of positions and came into her current position in 2004. Cheryl is currently the chairman of the Foundation's Institute for Postal Studies. In 2004 and 2005 she was named in EMA's Top 25 Volunteers of the Year. Cheryl is active on EMA's Postal and Public Affairs Committees.

Dennis Gingles is a Fiber Supply Specialist with International Paper and has been a member of the Ticonderoga procurement team since January of 2006. Prior to joining the Ticonderoga team, Dennis was Fiber Supply Manager for International Paper's Androscogin mill in Jay, Maine with complete procurement responsibility for that facility from 1998 through 2005.

Alberto Weisser, 53, chairman and chief executive officer of Bunge Limited, a global food, commodity and agribusiness company, since 1999. Mr. Weisser served as Bunge's chief financial officer from 1993 to 1999. Mr. Weisser is a member of the North American Agribusiness Advisory Board sponsored by Rabobank Nederland. Director since January 1, 2006.

Charles R. Shoemate, age 68, is the retired chairman, president and chief executive officer of Bestfoods, a manufacturer of food products. Prior Positions Held: Shoemate was chairman of the board and chief executive officer of Bestfoods, formerly CPC International, from 1990 until 2000. He was elected president and a member of the Board of Directors of Bestfoods in 1988.

Ms. Elsenhans was elected to the Board of Directors in August 2008 and was elected Chairman of the Board in October 2008. Ms. Elsenhans has been President and Chief Executive Officer of Sunoco, Inc. since August 2008. Prior to that, she was Executive Vice President of Global Manufacturing for Shell Downstream, Inc. from 2005 to 2008. From 2003 to 2005, Ms. Elsenhans served concurrently as President of Shell Oil Company and President and CEO at Shell Oil Products US.

Martha F. Brooks, 49, president and chief operating officer of Novelis Inc., an aluminum rolling and recycling company, since January 2005, when the company was spun off from Alcan Inc. Ms. Brooks served as president and chief executive officer of Alcan Rolled Products Americas and Asia, senior vice president of Alcan Inc. and president of Alcan Aluminum Corporation from August 2002 to December 2004. In addition, she was vice president of Cummins Inc. from May 1996 to June 2002. Ms. Brooks serves on the boards of Manufacturers Alliance/MAPI, Hathaway Brown School, Yale - China Association, and Keep America Beautiful, Inc. Director since December 9, 2003.

Samir G. Gibara, 69, retired chairman of the board and chief executive officer of The Goodyear Tire & Rubber Company. Mr. Gibara served as chairman and chief executive officer from 1996 to his retirement in 2002 and remained as non-executive chairman until June 30, 2003. Prior to 1996, Mr. Gibara served that company in various managerial posts prior to being elected president and chief operating officer in 1995. Mr. Gibara served as a director of Dana Corporation through early 2008, and was elected to the board of W&T Offshore Inc. in May 2008. He serves on the Board of Dean's Advisors of the Harvard Business School and as a trustee of the University of Akron Foundation. Director since March 9, 1999.

William G. Walter, 63, chairman, president and chief executive officer of FMC Corporation, an agriculture, specialty and industrial chemical company, since 2001. Mr. Walter served as executive vice president of FMC Corporation from 2000 to 2001 and vice president and general manager of FMC's Specialty Chemicals Group from 1997 to 2000. Mr. Walter is a member of the board of directors of the American Chemistry Council, the National Association of Manufacturers, and New York Life Insurance Company. He is also a member of The Business Roundtable. Director since January 1, 2005.
