MR. HERINGTON is Chairman of the Board and Chief Executive Officer of NIC. Mr. Herington joined NIC in 1995 and worked closely with NIC founder Jeff Fraser to migrate NIC's first state government partner, the state of Kansas, and other states from dial-up systems to the new medium of the Internet. In 2000, Mr. Herington was named Executive Vice President of Portal Operations with oversight over NIC-managed state and local operations. Mr. Herington was promoted to Chief Operating Officer in September 2002, a role that gave him day-to-day responsibility over all of NIC's business lines. Mr. Herington was appointed President of NIC in May 2006, and was also appointed to the NIC Board of Directors in October 2006. In February 2008, he was named Chief Executive Officer and became Chairman of the Board in May 2008. Mr. Herington currently serves as a director of Connected Nation, a non-profit organization that is expanding broadband access in underserved areas. He holds a B.A. from Wichita State University and a J.D. from the University of Kansas School of Law. Prior to joining NIC, Mr. Herington was the Associate General Counsel for the League of Kansas Municipalities.

MR. KOVZAN has served as NIC's Chief Financial Officer since August 2007. Mr. Kovzan joined NIC in October 1999 and served as the NIC's Controller until September 2000, at which point he was promoted to Vice President of Financial Operations and Chief Accounting Officer. Prior to joining NIC, Mr. Kovzan served as a business assurance manager at PricewaterhouseCoopers LLP for five years. Mr. Kovzan is a CPA and holds a B.S. in business administration from the University of Tulsa and a M.S. in business from the University of Kansas.

MR. BRADLEY has served as NIC's Secretary since May 1998, General Counsel since July 1998, Executive Vice President of Strategy, Policy & Legal since January 1999, and Chief Operating Officer since May 2006. From May 1998 to February 1999, Mr. Bradley served as one of NIC's directors. He also served as President, Chief Executive Officer and a director of NIC's Indiana Interactive, LLC subsidiary. Mr. Bradley was also the General Manager for City-County Interactive, LLC, a subsidiary of Indiana Interactive, which manages CivicNet for the city of Indianapolis and Marion County, Indiana. From July 1989 to December 1994, Mr. Bradley was an associate and later a law partner at Hinkle, Eberhart & Elkouri, LLC, a law firm in Kansas. Mr. Bradley holds a B.A. in English from the University of Kansas and a J.D. from the University of Kansas School of Law.

MR. KNAPP has served in a variety of portal management and executive roles since joining NIC in 1999. He joined NIC in 1999 and served as Director of Marketing and Portal Operations for Indiana Interactive, the Company’s subsidiary that manages Indiana’s official state portal. In 2000, Mr. Knapp was promoted to General Manager of Kansas Information Consortium, which runs the state of Kansas official state portal. In 2004, Mr. Knapp became Regional Manager and spent more than five years overseeing NIC’s portal operations across the country. In January 2009, he was promoted to Executive Vice President of Portal Operations and joined NIC’s executive management team. In this role, Mr. Knapp is responsible for NIC’s nationwide eGovernment operations and setting the strategic direction for the future growth of NIC. Prior to joining NIC, Mr. Knapp spent 10 years at ALLTEL Information Systems, where he managed large bank relationships. Mr. Knapp’s responsibilities at ALLTEL included the marketing, sales, and account management responsibilities for the fourth largest financial institution in the United States. He also served as Territory Sales Manager for delivery solutions and was responsible for selling technology solutions to new and existing accounts. Mr. Knapp holds a B.S. in Business and a Masters in Business Administration from the University of Tulsa.

MR. FRASER, NIC's founder, served as Chairman from the company's formation in December 1997 until May 2008. Mr. Fraser also served as Chief Executive Officer from May 2002 to February 2008 and previously held that position from January 1992 until November 1999. Additionally, from August 1991 to September 1998, he founded and served as President and Chief Executive Officer of our initial company, Kansas Information Consortium, Inc. Mr. Fraser holds a B.S. in human resource management and an M.S. in information systems from Friends University in Wichita, Kansas.

Prior to founding Perfect Commerce, Sandy Kemper spent more than 10 years at UMB Bank where he most recently served as Chairman and CEO, as well as President and CEO of UMB Financial Corporation, an $8 billion bank holding company. In addition to his responsibilities at Perfect Commerce, Kemper recently served as Chairman of the Open Network for Commerce Exchange (ONCE), which was formerly known as the Global Trading Web Association. Additionally, Kemper serves on the following corporate boards: Commerce Net, The Veterans Corporation, Pioneer Service Company, Kemper Realty Company, Stagecoach Incorporated, UMB Financial Corporation and UMB Bank of Kansas City. Kemper is active in academic, civic and philanthropic endeavors, serving on several boards including the International Informatics Society, and Students in Free Enterprise. Kemper is the Co-Founder and Chairman of the Agriculture Future of America. Kemper is a graduate of Northwestern University in Chicago where he earned his Bachelor of Arts degree in American history.

Dan put his BS in Chemical Engineering from the University of Washington to use for Standard Oil in the mid 60's and earned an MBA from the University of Oregon before settling in and taking over for his father-in-law, Jack Kelly, in 1973. Dan's vision and guts transformed this local residential plumbing contractor to its current position as one of the largest specialty contractors in the country. In his role as chairman, Dan is committed to success through excellence and oversees JH Kelly's strategic direction. Dan's other passion is fish. He daydreams of fishing in Mexico and keeps busy watching over a commercial seiner and a custom seafood market and smoked salmon business located in Ridgefield, WA.

MR. HARTLEY, one of NIC's founders, has served as one of our directors since it was formed. From its incorporation to March 1999, Mr. Hartley served as Vice President of Marketing of Kansas Information Consortium, Inc. Mr. Hartley was President of The Hartley Insurance Group, a group of Independent insurance agencies in Kansas, from 1974 to 2000. He also serves on the board of directors of the Empire District Electric Company, an investor-owned electric utility company that is based in Joplin, Missouri. Mr. Hartley holds a B.S. in mathematics from Baker University in Baldwin City, Kansas, and a J.D. from the University of Kansas School of Law.
