MathStar Inc.

Mr. Pihl has served as Chairman, Chief Executive Officer and President of MathStar since he founded it in 1997. Mr. Pihl is an electrical engineer and has over 42 years' experience in the computer industry, with extensive responsibilities in design, product planning and management. The focus of his work has been on the opening of new markets through the unique combinations of innovative new technologies. His early career was launched at entrepreneurial start-ups (Data Display, Data 100), where Mr. Pihl held increasingly responsible positions in engineering and management. In 1979, Mr. Pihl co-founded Lee Data (which changed its name to Apertus, Inc. and then to Carleton Corporation and now is part of Oracle Corporation) as Senior Vice President of Research and Development. In this position, he was responsible for leading both the hardware and software development teams and creating advanced computer terminal systems for centralized computing environments. Mr. Pihl went on to found NetStar, Inc., where he created the world's first multigigabit switched IP router for distributed computing environments. NetStar's products were early entrants in the market for the emerging Internet infrastructure. Mr. Pihl took NetStar through three levels of private financing and its initial public offering in October 1995. In August 1996, NetStar was acquired by Ascend Communications, Inc. (now Lucent) for $300 million. In 1996, Mr. Pihl co-founded RocketCHiPS, Inc., a developer of high-speed silicon CMOS integrated circuits and related intellectual property aimed at the high-speed wired and wireless communications markets. He served as RocketCHiPS' Chairman and Chief Financial Officer until the company was sold to Xilinx, Inc. for approximately $300 million in November 2000. Since August 1997, Mr. Pihl has served as Chairman of Vital Images, Inc., a publicly-held developer of 3D volume rendering software for the medical industry. He served as Vital Images' Chief Executive Officer from February 1998 to January 2000. Mr. Pihl is currently a board member for Vital Images and Plain Sight Systems

Daniel J. Sweeney has been Chief Operating Officer of MathStar since March 2005 and President since February 2008. From June 1982 until June 2004, he was employed by Intel Corporation (NASDAQ: INTC), most recently as Marketing Manager of the WiMax Division from October 2003 to June 2004, General Manager of the Optical Platform Division from March 2001 to September 2003, and General Manager of the Home Network Division from November 1997 until March 2001. Intel is the world's largest semiconductor chip maker whose products include chips, boards and other semiconductor components that are the building blocks integral to computers, servers and networking and communications products.

John M. Jennings has been Chief Accounting Officer and Secretary of MathStar since March 2008 and the Controller of MathStar since July 2005. He is employed by Mathstar on a part-time, as-needed basis. Mr. Jennings also works as a Director of Finance for The Greenbrier Companies, Inc. (NYSE: GBX), a leading designer, manufacturer and marketer of railroad freight car equipment in North America and Europe. From August 2000 to July 2005, he was Corporate Controller at Synetics Solutions, Inc., a capital equipment manufacturer in the semiconductor industry. From February 1999 to July 2000, he was Division Controller at Exhibitgroup / Giltspur, a manufacturer of trade show and retail displays. From March 1993 to February 1999, he was Division Controller at Fiserv EFT, an outsource provider of electronic fund processing for financial institutions.

Russell E. Corvese has been the Vice President of Worldwide Sales since October 2007. From 1996 to 2007, Mr. Corvese was employed by Actel Corporation (NASDAQ: ACTL), where he was the Regional Sales Manager for the Northwest Territory. He was promoted to Director of North American Distribution and from 2001 to 2006 also simultaneously served as the Director of Sales for Japan. From 1993 to 1996, he was employed by Wyle Electronics as the FAE Manager for the Mid-Atlantic region.

Richard C. Perkins has been a director of MathStar since February 26, 2009. He is a Chartered Financial Analyst, has been Executive Vice President and Portfolio Manager of Perkins Capital Management, Inc. since 1990, and has over 30 years of experience in the investment business. From 1978 until 1990, Mr. Perkins was an Investment Executive with Piper, Jaffray & Hopwood, Incorporated, an investment banking firm. From 1975 through 1977, he was a Grain Merchandiser with General Mills, Inc. Mr. Perkins served as President of the Board of Directors, YMCA Camp Olson in Rochester, Minnesota from 1983 through 1986 and from 2004 through 2006. He has also served on the Boards of several privately-held companies.
