MRV Communications, Inc. (?MRV?) is a leading provider of network equipment and services, and optical components. MRV?s networking business provides equipment used by commercial customers, governments and telecommunications service providers, and include switches, routers, physical layer products and console management products as well as specialized networking products for aerospace, defense and other applications including voice and cellular communication. MRV?s optical components business provides optical communications components, primarily through its wholly owned subsidiary LuminentOIC, Inc, which include fiber optic transceivers for metropolitan, access and Fiber-to-the-Premises applications. MRV markets and sells its products worldwide, through a variety of channels, which include a dedicated direct sales force, manufacturers' representatives, value-added-resellers, distributors and systems integrators. MRV also has operations in Europe that provide network system design, integration and distribution services that include products manufactured by third-party vendors, as well as internally developed and manufactured products. Publicly traded since 1992, MRV is listed on the Nasdaq Global Market under the symbol MRVC.

Mr. Lotan has served as MRV's President, Chief Executive Officer and Director since May 1990. Mr. Lotan also served as Chief Financial Officer from October 1993 through June 1995. From 1987 to 1990, he served as Managing Director of Fibronics (UK) Ltd., the United Kingdom subsidiary of Fibronics International Inc. (Fibronics), a manufacturer of fiber optic communication networks. MRV purchased the Fibronics business in September 1996. Guy Avidan has served as VP and General manager of MRV International since September 2001. Mr. Avidan is focused on the deployment of MRV's Optical Ethernet Access product line worldwide. A founder, Chairman of the Board of Directors, Chief Technical Officer and Secretary of MRV since MRV's inception in July 1988. From May 1985 to July 1988, Dr. Shlomo Margalit served as a founder and Vice President of Research and Development for LaserCom, Inc. ("LaserCom"), a manufacturer of semiconductor lasers. Dr. Igal Shidlovsky serves as Managing Director of Global Technologies, an investment and consulting organization, which he founded in 1994. Professor Baruch Fischer currently serves as a professor at the Electrical Engineering Facility at the Techniion. Professor Fischer had served as Dean of the Electrical Engineering Faculty at the Technion. Professor FischerÕs current research activities include solid state devices, lasers and optical amplifiers; WDM technology; fiber gratings; "all optical" networks; non-linear effect in fiber, wave mixing; and optical computing, optical data storage and optical image processing. He has authored or co-authored approximately 180 papers and holds several patents in the field of optics and opto-electronics. He received his Ph.D. from Bar-Ilan University, Israel in 1980. He subsequently became a Post-Doctorate Fellow at CalTech and joined the faculty of the Technion in 1983.

Dr. Guenter Jaensch, Chairman of the Board, has been with Siemens for more than 25 years holding a number of executive positions with this company in Europe and in the United States. Among his assignments were service as President of Siemens Communications Systems, Inc.; President and Chairman of Siemens Corporate Research and Support, Inc.; Chairman and CEO of Siemens Pacesetter, Inc.; and head of the Cardiac Arrhythmia Division of Siemens AG Medical Group. Dr. Jaensch also served as Executive Director of Siemens Worldwide Accounting and Budgeting Operations and as controller of Siemens Data Systems Group. Mr. Furchtgott-Roth founded Furchtgott-Roth Economic Enterprises in 2003. He frequently consults on issues related to the communications sector of the economy. From 2001-2003, Mr. Furchtgott-Roth was a visiting fellow at the American Enterprise Institute where he completed the writing of A Tough Act to Follow, a book about the difficulties implementing the Telecommunications Act of 1996. From 1997 through 2001, Mr. Furchtgott-Roth served as a commissioner of the Federal Communications Commission. In that capacity, he served on the Joint Board on Universal Service. He is one of the few economists to have served as a federal regulatory commissioner, and the only one to have served on the Federal Communications Commission. Before his appointment to the FCC, he was chief economist for the House Committee on Commerce and a principal staff member on the Telecommunications Act of 1996. Earlier in his career, he was a senior economist with Economists Incorporated and a research analyst with the Center for Naval Analyses. Mr. Furchtgott-Roth is a member of the Washington Legal Foundation's Legal Policy Advisory Board. He is the coauthor of three books: Cable TV: Regulation or Competition, with R.W. Crandall, The Brookings Institution, 1996; Economics of A Disaster: The Exxon Valdez Oil Spill, with B.M. Owen et al, Quorum Books, 1995; and International Trade in Computer Software, with S.E. Siwek, Quorum Books, 1993.
