Cesar M. Garcia, has been a Director since November 2003 and Chairman of the Board
since November 2007. He joined IRIS in January 2002 as our Executive Vice President
and was appointed President in June 2003 and Chief Executive Officer in November
2003. Mr. Garcia has over 30 years of experience in design, manufacturing and
commercialization of medical devices. From 1998 through 2001, Mr. Garcia was Sr. Vice
President, Operations and Program Management for Cytometrics Inc., an early stage
manufacturer of non-invasive, photonics-based medical devices. From 1994 to 1998, he
was Vice President of Operations and Engineering at Datascope Corp., manufacturer of
medical devices for interventional cardiology, anesthesiology and critical care
monitoring. From 1974 to 1994, Mr. Garcia worked with Bayer Diagnostics (now Siemens
Healthcare Diagnostics) assuming positions of increased responsibility including
General Manager of Technicon Electronics Corp., a subsidiary of Bayer USA and
Director of Worldwide Hematology Manufacturing and Cellular Diagnostics Research and
Development. Mr. Garcia earned his B.S. in Industrial Engineering (Cum Laude) at the
University of Puerto Rico and received an Advanced Management Certificate from Pace
University.

Peter Donato joined the company in August 2007 as Corporate Vice President and Chief Financial Officer. Peter has over 15 years of progressive experience managing financial organizations including enterprises in medical device manufacturing. Prior to joining IRIS, Mr. Donato served as Vice President and CFO, for Gamma Medica-Ideas Inc., an early stage manufacturer of medical imaging equipment. From 2003 to 2006, he was Vice President of Finance for the Cardiology Division of Accellent, Inc., which manufactures medical devices for interventional cardiology applications. From 2001 to 2003, Mr. Donato worked for the Scotts-Miracle Gro Company in various Divisional Controllership roles. From 1994-2000, Mr. Donato worked in the automotive industry with both General Motors and Honda after beginning his career in public accounting with Ernst and Young. Mr. Donato earned his B.S.B.A. in Accounting (Magna Cum Laude) at The Ohio State University and received an M.B.A. from the College of Business Administration at the University of Akron (Ohio). Mr. Donato is also a licensed Certified Public Accountant.

Chairman and Chief Executive Officer, Leucadia Technologies and Chairman Emeritus, Genta, Inc. Thomas H. Adams, Ph.D. has been a director since 1991. Dr. Adams is the Chief Technology Officer of Iris International, Inc., the company that acquired Leucadia Technologies in 2006 and is the founder and Chairman Emeritus of Genta, Inc., a publicly held biotechnology company in the field of antisense technology. From September 1998 to April 2006, Dr. Adams was chairman of the board and Chief Executive Officer of Leucadia Technologies, a privately held company in the field of medical devices. From 1989 to 1997, Dr. Adams served as Chief Executive Officer of Genta, Inc. In 1984, Dr. Adams founded Gen-Probe, Inc., a publicly held company that develops and manufactures diagnostic products, and served as its Chief Executive Officer and Chairman until its acquisition by Chugai Biopharmaceuticals, Inc. in 1989. From 1980 to 1984, Dr. Adams was Senior Vice President of Research and Development at Hybritech, which was later acquired by Eli Lilly and Company in 1986. Dr. Adams has also held management positions at Technicon Instruments and the Hyland Division of Baxter Travenol, served as a director of Biosite Diagnostics, Inc., a publicly held medical research firm, from 1989 to 1998, Life Technologies, Inc. from 1992 to 2001, Invitrogen, Inc. a publicly held company, from 2001 to 2003, and Xenomics, Inc., a publicly held molecular diagnostics firm, from 2004 to 2005. Dr. Adams currently serves as a director of XiFin, Inc., a privately held application service provider focusing on the financial management needs of laboratories, and Iris International, Inc., a publicly held medical device company. Dr. Adams holds a Ph.D. in Biochemistry from the University of California at Riverside.

John Yi, Vice President of Operations, joined Iris Diagnostics in September, 2003.
John is responsible for Manufacturing, Material Control, Purchasing, Parts Repair and
Operations Engineering. John holds a Bachelor's degree in Business
Administration/Accounting from California State University in Hayward, California. He
brings to Iris an excellent track record in operations management, program
management, engineering technical services and significant experience in high-growth,
high revenue manufacturing companies. Most recently, John was Vice President of
Operations with Alcatel Corporation (formerly Xylan) and prior to that he held
positions of similar responsibility at Micropolis and Seagate Technology.
Thomas E. Warekois joined IRIS in March 2007 as our Corporate Vice President and
President of the Iris Diagnostics Business Unit. Prior to joining IRIS, Mr. Warekois
spent 27 years with the Bayer HealthCare Diagnostics Division (now Siemens Healthcare
Diagnostics), based in Tarrytown, N.Y. During his tenure, Mr. Warekois held several
senior executive positions including Senior Vice President of Marketing for all
products of the Laboratory Testing Segment, and twice as General Manager of Bayer
Diagnostics for the Middle East, Eastern Europe and Africa regions with separate
assignments living in France and the UK. He also served as Vice President of
Hematology Marketing launching the ADVIA 120 and ADVIA 60 product lines. Mr. Warekois
earned his Bachelor's degree in Biology from Hartwick College in Oneonta, N.Y plus
two advanced degrees - a MBA in Strategic Marketing from Pace University, N.Y. and a
MS in Biochemistry from the New York College of Medicine in Valhalla, N.Y. Mr.
Warekois also served as a member of the board for the DxMA (Diagnostic Marketing
Association) organization promoting industry marketing excellence.

Richard G. Nadeau, Ph.D.. Dr. Nadeau was appointed a director in January 1999. He is
Founder and Chairman of Vistair Ventures, a company he founded in 1984 that funds
small businesses, primarily in the high technology fields. Concurrently, Dr. Nadeau
held senior positions with various IVD equipment companies, including Chairman and
Chief Executive Officer of Cytometrics, Inc., President and Chief Executive Officer
of EM Diagnostic Systems, Inc., Senior Vice President and Chief Technical Officer of
Technicon Instrument Corporation, President of the Diagnostics Division (North
America) of Technicon Instrument Corporation, President of Ortho Diagnostics, Inc., a
subsidiary of Johnson & Johnson, Inc., and Worldwide Marketing Manager for the
Automatic Clinical Analysis Division of E.I. DuPont de Nemours & Co. He currently
serves on the Board of Directors for the Advanced Medical Technology Association. Dr.
Nadeau is a former President of the National Committee for Clinical Laboratory
Standards and a former Board Member of the European Committee for Clinical Laboratory
Standards. Dr. Nadeau is a Fellow in the National Academy of Clinical Biochemistry.
He earned his B.S. in pre-Med and M.S. in Biochemistry at the University of New
Hampshire and his Ph.D. in Biochemistry at West Virginia University.
Richard H. Williams, Lead Director. Mr. Williams was appointed Chairman in February,
2004 and has been a member of the Board of Directors since June 2003. An experienced
businessman and entrepreneur, has served as a consultant to many emerging growth
companies since 1980. He has founded and helped structure, finance and take public a
number of small public and private companies. Among them, InTime Systems
International, a software company, Telcom Services, Inc. & Restor Industries, Inc.,
both companies involved in the telecommunications market, and A&W Exploration
Corporation, an operating oil and gas company. Mr. Williams has been Chairman and CEO
of several of these companies. Before becoming an entrepreneur in 1980, Mr. Williams
was Vice President of a $100 million consumer products division of Pfizer, Inc. Most
recently, he served as Chairman of Williams Resource Group, his own company
specializing in financial evaluations, personal investment and consulting to emerging
growth companies.
Stephen E. Wasserman. Mr. Wasserman was appointed a director in April 2006. Mr.
Wasserman was most recently Group Vice President-Diagnostic Systems Products of
Olympus America Inc., the U.S. business center for Tokyo-based Olympus Corporation.
Mr. Wasserman, who joined Olympus in 1997, directed the North American operations for
the Company's In Vitro Diagnostics product business based in Melville, N.Y. Prior to
Olympus, from 1994-1997 Mr. Wasserman was Chief Financial Officer of Datascope Corp.
and President of its Patient Monitoring Division. From 1989 to 1993, he served as
Vice President of NY Blood Center, Inc. and General Manager of its Melville
Biologics, Inc. division, a manufacturer, marketer and developer of biopharmaceutical
products. Mr. Wasserman previously held key positions from 1981-1989 with Technicon
Instruments Corp. (now Bayer Diagnostics), serving as Vice President, General
Manager, North America and Vice President and Controller. Mr. Wasserman is a
Certified Public Accountant and received a BBA from City College of New York, Baruch
School of Business.
Steven M. Besbeck. Mr. Besbeck has served as a director since 1990. Mr. Besbeck is a
private investor and has served on a number of private and public boards of
directors. From 1983 to 2007 he was a founder, director, President and Chief
Executive Officer of ASPYRA, Inc., a provider of clinical and diagnostic information
systems for laboratory, pharmacy and medical imaging departments in hospitals,
clinics and other healthcare providers. From 1975 to 1983, Mr. Besbeck was a
director, President and Chief Executive Officer of American Cytogenetics, Inc., a
provider of specialty clinical laboratory services. Mr. Besbeck holds a B.S. in
Finance from California State University, Long Beach.
