Mr. Shladovsky is general counsel and a senior managing director of Kayne Anderson Capital Advisors and serves as secretary and chief compliance officer of Kayne Anderson MLP Investment Company (KYN), Kayne Anderson Energy Total Return Fund (KYE), and Kayne Anderson Energy Development Company (KED). Prior to joining Kayne Anderson in 1997, Mr. Shladovsky was in the private practice of corporate and securities law, most recently as corporate counsel to Hughes Hubbard & Reed, LLP. Mr. Shladovsky earned a B.A. in Economics from Brandeis University and a J.D. from the Boston University School of Law in 1985, where he served as a member of the Boston University Law Review. He has been a member of the California Bar Association since 1985.

Mr. Hart is a managing director for Kayne Anderson Capital Advisors and serves as chief financial officer of the Kayne Anderson MLP Investment Company (KYN), Kayne Anderson Energy Total Return Fund (KYE), and Kayne Anderson Energy Development Company (KED). He is responsible for the oversight of accounting and financial reporting. Prior to joining Kayne Anderson in 2005, Mr. Hart was most recently a senior vice president and controller at Dynegy, Inc. Prior to that, Mr. Hart served as assistant treasurer and director of structured finance. He began his finance and accounting career in 1992 with Illinova Corporation, which was acquired by Dynegy, Inc. in 2000. Mr. Hart earned a B.S. in Accounting from Southern Illinois University in 1991 and an M.B.A. from the University of Illinois in 1999.

Audrey R. Kinsman is a vice president for Kayne Anderson Capital Advisors. She is responsible for family office and high net worth client relationships. Prior to joining Kayne Anderson in 2005, Ms. Kinsman was an analyst with Goldman, Sachs & Co.'s Healthcare Investment Banking Group in New York and San Francisco from 2004 to 2005. Prior to that, Ms. Kinsman was an associate intern with Kayne Anderson’s Private Investors growth capital private equity group. Ms. Kinsman earned a B.S. in Applied Economics from Cornell University, where she graduated magna cum laude,. She graduated with a Masters of Accounting from the University of Southern California in 2004. Ms. Kinsman is a Certified Public Accountant in the state of Colorado and a member of the California Society of CPAs.

Mr. Frey is a senior managing director and portfolio manager for Kayne Anderson Capital Advisors. In 1998, Mr. Frey began investing in master limited partnerships (MLPs) on behalf of Kayne Anderson and has served as portfolio manager of Kayne Anderson's public and private MLP funds since their inception in 2000. Mr. Frey serves as an officer of Kayne Anderson MLP Investment Company (KYN), Kayne Anderson Energy Total Return Fund (KYE), and Kayne Anderson Energy Development Company (KED). He is also responsible for managing assets invested in Canadian oil and gas royalty trusts, maritime transportation and energy high-yield securities. Two of the private funds that Mr. Frey manages have been selected as finalists for the MARHedge Annual US Performance awards in 2005 and 2006. Prior to joining Kayne Anderson in 1997, Mr. Frey was an audit manager in KPMG Peat Marwick’s financial services group, specializing in banking and finance clients, and loan securitizations. Mr. Frey is a Certified Public Accountant. He earned a B.S. in Accounting from Loyola Marymount University in 1990 and a Master of Taxation from the University of Southern California in 1991.

Mr. LaBonte is responsible for equity research and analytics of energy-related master limited partnerships, oil and gas royalty trusts, companies engaged in coal production and marine transportation, as well as various other publicly traded companies in the energy and power industries. Prior to joining Kayne Anderson in 2005, Mr. LaBonte was a managing director in the U.S. Equity Research Division of Citigroup/Smith Barney. He was responsible for equity research coverage of U.S. companies in the natural gas pipeline industry. Mr. LaBonte earned a B.S. in Finance from the California State Polytechnic University, Pomona in 1993. He is a member of the CFA Institute and the New York Society of Security Analysts."

Mr. Ghazarian is a managing director for the firm’s marketable securities activities. He is responsible for risk management and assists with sales and marketing, primarily for European investors. Prior to joining Kayne Anderson in 2004, Mr. Ghazarian was a senior vice president with our former affiliate Kayne Anderson Rudnick Investment Management, where he was responsible for institutional client relations and marketing. From 1995 to 2000, he was a vice president for Wilshire Associates, responsible for fixed-income analytics and consulting. Mr. Ghazarian earned a B.A. in Economics from the University of California, Los Angeles in 1988 and an M.B.A. from the University of Southern California in 1995.

Mr. Farber is a co-managing partner for the firm’s marketable securities activities. He is responsible for trading and hedging, as well as the arbitrage, high-yield and closed-end fund strategies. Prior to joining Kayne Anderson in 1995, Mr. Farber was vice president of Lehman Brothers’ Commodity Risk Management Group from 1990 to 1994, specializing in energy trading and hedging. He also worked at Lehman Brothers as an institutional equity trader from 1988 to 1990. From 1985 to 1986, Mr. Farber was employed by Salomon Brothers, Inc. as a mortgage bond analyst. Mr. Farber earned a B.A. in Economics from Franklin and Marshall College in 1982 and an M.B.A. in Finance from the UCLA Anderson School of Management in 1988.

I came to Edgemont after working at Salomon Smith Barney, first with the company's Global Automotive Group, and later with the Global Industrials Group. I was exposed to a wide range of industries and deals, working on debt, equity, and convertible offerings, as well as mergers and acquisitions.

Mr. Sinnott is a research analyst for Kayne Anderson Capital Advisors. He is responsible for master limited partnerships as well as royalty and income trusts within the KAMLP and KACIP funds. Prior to joining Kayne Anderson in 2005, Mr. Sinnott was an associate with Citigroup Asset Management in the Equity Research group, responsible for the software and services sectors. Mr. Sinnott earned a B.A. in Economics from Harvard University in 2001. Ms. Costin is currently an adjunct professor in the finance and economics department of Columbia University Graduate School of Business in New York City. Ms. Costin had a 27-year career at Citigroup, and during the last five years she held the position of Managing Director and Global Deputy Head of the Project & Structured Trade Finance product group within Citigroup's Investment Banking Division, Citigroup Global Markets Inc.

Mr. Isenberg has served as a professor at the University of Southern California School of Cinema-Television since 1995. Since 2004 he has been a member of the board of trustees of Partners for Development, a non-governmental organization dedicated to developmental work in third-world countries. From 1998 to 2002, Mr. Isenberg was a board member of the Kayne Anderson Rudnick Mutual Funds. From 1989 to 1995, he was President of Hearst Entertainment Productions, a producer of television movies and programming for major broadcast and cable networks.

Steven Good is a senior partner in the firm, and is actively involved in business consulting and advisory services for a sizeable and varied client base, which includes manufacturing industries, garment industries, medical services and real estate development. He also has extensive experience in acquisitions, merger transactions and business valuations. Mr. Good received his Bachelor of Science in Business Administration from the University of California, Los Angeles, where he also attended graduate school. In 1976, he founded Block Good and Gagerman, which later evolved into Good, Gagerman and Berns (1986), Good Swartz & Berns (1993), and now Good Swartz Brown & Berns (2001). Earlier in his career Mr. Good was a partner at Freeman Horowitz & Good, as well as Leventhal & Horwath, a national accounting firm. A founder and past Chairman of CU Bancorp, Mr. Good directed the bank's solid market position from 1982 through 1992. Mr. Good is actively involved in the Board of Directors of several public companies, leveraging his insight in this area for the benefit of his clients. Mr. Good is very active in the Los Angeles community, and continues to devote time to many charitable endeavors. In 1996 he completed a two-year term as Chairman of the Board for the Jewish Home for the Aging. During his tenure he also served on the various committees affiliated with all phases of The Home. Mr. Good is also a member of the Board of the American Friends of the Hebrew University and the Jewish Community Foundation. Mr. Good is former Founding Director of the ALS Association (Lou Gherig's Disease); a member of the Chancellor's Circle of UCLA; and former Chairman of the Marilyn and Monty Hall Statesman's Club of the Jewish Home for the Aging. He is founding President of the Santa Monica Synagogue. Mr. Good participates in other religious and non-religious organizations as well. He is a Director and past Vice President of The Guardians, and is also an active participant in both the Brentwood Country Club Chapter of the United Jewish Fund and Jewish Big Brothers. Mr. Good is an active member of: the American Institute of Certified Public Accountants; the National Association of Accountants; the California Society of Certified Public Accountants; and the Nevada State Board of Accountancy.

Mr. Shea was the Chairman, Chief Executive Officer and President of the general partner of Buckeye GP Holdings, L.P. (NYSE: BGH) until June 2007. BGH is the publicly traded general partner of Buckeye Partners, L.P. (NYSE: BPL), which owns and operates petroleum products pipelines and terminals. Mr. Shea served as President of the general partner of BPL since 1998 and CEO since 2000. Mr. Shea also serves on the Board of Trustees of The Franklin Institute. He earned a B.A. from Boston College and an M.B.A. from the University of Virginia. Mr. Shea also serves on the board of Penn Virginia Corporation (NYSE: PVA).
