KBR Inc.

William P. "Bill" Utt was named President and Chief Executive Officer of KBR, effective March 15, 2006. He was named Chairman in April 2007. KBR is a global engineering, construction and services company supporting the energy, petrochemicals, government services and civil infrastructure sectors. The company offers a wide range of services through its Downstream, Government and Infrastructure, Services, Technology, Upstream and Ventures business segments. Previously, Mr. Utt was President and CEO of SUEZ Energy North America with responsibility for the LNG, retail energy, energy marketing and trading, power generation and development businesses. From 1995-2000, he was president and CEO of Tractebel's North American energy businesses. From 1984 to 1995, he held senior management and executive positions with CRSS, Inc. Mr. Utt holds bachelor's and master's degrees in mechanical engineering from the University of Virginia and has a master's degree in business administration from The Colgate Darden Graduate School of Business Administration at the University of Virginia. Mr. Utt serves on the National Petroleum Council, which provides advice and analysis to the U.S. Secretary of Energy. He has been chairman of the Electric Power Supply Association, as well as holding other leadership positions with that organization. He has co-authored numerous industry-related publications and has been a panelist at various academic and industry conferences and symposiums on energy-related issues. Mr. Utt is currently a trustee for the School of Engineering and Applied Science at the University of Virginia.

David Zimmerman is President, Services. Mr. Zimmerman was appointed to his position in September 2007. He is responsible for KBR's Services business unit which includes the following product service lines: Industrial Services, North America Construction, Canada Operations, BE&K Construction, BE&K Building Group, and International O&M Operations. Prior to his current role, Mr. Zimmerman was KBR's Senior Vice President Engineering, Procurement, Construction and Services from 2006 to 2007, Vice President of Worldwide Construction from 2002 to 2006 and Vice President of Oil and Gas from 1999 to 2002. He also served as the Managing Director and General Manager of KBR's Asia Pacific Operations from 1994 to 1999. Mr. Zimmerman has 33 years of experience in the engineering and construction business with KBR. During this time he has been involved in projects pertaining to offshore/onshore oil and gas, LNG & GTL, petrochemicals, refining, power and manufacturing. His expertise in these market sectors can be attributed to his operational leadership on projects around the world. Mr. Zimmerman has managed Engineering, Procurement and Construction (EPC) operations in the US, Africa, the Asian Pacific, the Middle East, and Central and South America. Mr. Zimmerman holds a Bachelor of Science in Electrical Engineering from the University of Texas at Austin and is a Registered Professional Engineer in Texas and Louisiana.

John L. Rose is President, Upstream. Mr. Rose was appointed to his position in August 2007. Mr. Rose was the Executive Director in a major joint venture between KBR and Mitsubishi from October 2000 - April 2004. He also served as Vice President, Subsidiary Operations and Production Services from April 2004 - September 2005. Mr. Rose has held various positions within KBR, including directing KBR's upstream market covering onshore and offshore oil and gas projects, LNG and GTL. Prior to his current role, Mr. Rose was Executive Vice President of KBR's former Energy and Chemicals business segment. During his 35 years at KBR, Mr. Rose has worked on projects and operations involving the oil, gas, chemicals and minerals industry worldwide, including Saudi Arabia, Indonesia, Australia, Japan, China, Mexico, Venezuela and Canada. In addition to his operations management role, Mr. Rose has also been the KBR sponsor of a number of major $1 billion-plus projects in the past 15 years. Mr. Rose holds a degree in Mechanical Engineering from California Polytechnical University. He is a Registered Mechanical Engineer in California and Texas, and has been an active member of the American Society of Mechanical Engineers Industrial Advisory Board, Construction Industry Institute, and American Institute of Chemical Engineering.

John Quinn is President, Downstream. Mr. Quinn was promoted to his position in September 2007. Mr. Quinn has more than 35 years of experience in the onshore petroleum refining and petrochemical industries. He began his career with Badger Engineers and Constructors and joined KBR as a Project Director in 1994. He also served as KBR's Vice President, Engineering, Procurement and Construction and was responsible for services associated with the Onshore Business Segment. Since 2004, Mr. Quinn has served as Chief Executive Officer for M. W. Kellogg Ltd., KBR's 55 percent owned subsidiary in Greenford, United Kingdom. As President, Downstream, Mr. Quinn oversees the strategic direction, business development, project execution responsibilities and financial performance for KBR's projects in the refining, petrochemical, syngas and coal monetization markets. KBR Downstream works closely with KBR Technology to utilize complimentary strengths and resources in technology and FEED / EPC / EPCM work. Mr. Quinn holds a Bachelor of Science degree in Chemical Engineering from Manhattan College and an MBA from Pace University. In addition, Mr. Quinn is an instructor for the KBR Leadership Program. He is a charter member of the University of Houston's Engineering Leadership Board and a member of the Texas State Board of Directors for the March of Dimes.

Timothy B. Challand is President, Technology. Mr. Challand was appointed to his current position in August 2007. Mr. Challand has nearly 40 years of experience in a number of roles associated with the refining, gas processing and petrochemical industries. He is currently responsible for overseeing the company's portfolio of intellectual property assets. He is also charged with profitably growing this sector of KBR's business through the acquisition and/or development of new technologies and applications across the entire hydrocarbon value chain. During Mr. Challand's 20 years at KBR, his responsibilities have included process management, process technology acquisition and licensing, product development and commercialization, and new business start-up. Mr. Challand holds an Honors Bachelor of Science degree in Chemical Engineering and is a Licensed Professional Engineer in Texas, California, Quebec, Canada and the U.K. He is also a member of the American Institute of Chemical Engineers.

William C. Bodie joined KBR in 2005 and is currently interim president of KBR's Government and Infrastructure (G&I) business unit. Prior to that, he served as KBR's Senior Vice President, Customer Relations and Strategy where he oversaw liaison activities with G&I's global customers and was responsible for the unit's business development, marketing and strategy functions. Before being named to this position, Mr. Bodie led G&I's Communications and Government Relations activities. As interim president of G&I, Mr. Bodie oversees all aspects of the organization's global government services and infrastructure operations. Serving major military, civil, and private sector customers, the business unit is headquartered in Arlington, Virginia, with ventures in Europe, Africa, the Middle East and the Asia Pacific region.

T. Kevin DeNicola is Senior Vice President and Chief Financial Officer for KBR, Inc. Mr. DeNicola joined KBR in June 2008. Prior to joining KBR, he served as Senior Vice President and Chief Financial Officer for Lyondell Chemical Company. Mr. DeNicola held numerous senior management positions with Lyondell in Corporate Development, Investor Relations and Finance. In addition to his duties as KBR's Chief Financial Officer, Mr. DeNicola's responsibilities include oversight of KBR's Treasury, Accounting and Finance, Investor Relations, Tax and Internal Audit Operations. Mr. DeNicola holds a Master's of Business Administration (MBA) from Rice University and a Master of Science in Chemical Engineering from the University of Virginia. He is a Certified Public Accountant (CPA) and a member of the Board of Directors of Comerica, Inc. where he serves as Vice Chairman of the Audit Committee.

T. Kevin DeNicola is Senior Vice President and Chief Financial Officer for KBR, Inc. Mr. DeNicola joined KBR in June 2008. Prior to joining KBR, he served as Senior Vice President and Chief Financial Officer for Lyondell Chemical Company. Mr. DeNicola held numerous senior management positions with Lyondell in Corporate Development, Investor Relations and Finance. In addition to his duties as KBR's Chief Financial Officer, Mr. DeNicola's responsibilities include oversight of KBR's Treasury, Accounting and Finance, Investor Relations, Tax and Internal Audit Operations. Mr. DeNicola holds a Master's of Business Administration (MBA) from Rice University and a Master of Science in Chemical Engineering from the University of Virginia. He is a Certified Public Accountant (CPA) and a member of the Board of Directors of Comerica, Inc. where he serves as Vice Chairman of the Audit Committee.

Andrew D. Farley is Senior Vice President and General Counsel. Mr. Farley was appointed to his position in June 2006. His appointment follows 14 years in the Legal Department of KBR, having served as Vice President – Legal of our Energy and Chemicals segment beginning in May 2003, as Chief Counsel – International of Halliburton's Energy Services Group from June 2002 to May 2003 and as Assistant General Counsel and Assistant Corporate Secretary of Halliburton from April 2002 to June 2002. From October 2000 to April 2002, he served as Chief Counsel for Landmark Graphics Corporation. Prior to joining KBR, Mr. Farley was an associate at the Houston law firm of Hutcheson & Grundy. Mr. Farley holds a Doctor of Jurisprudence from George Washington University National Law Center and a Bachelor of Arts from Washington and Lee University. He is a member of the bar in both Texas and Washington, D.C. Mr. Farley serves on the board of the Texas General Counsel Forum.

Dennis Calton is Executive Vice President, Operations. Mr. Calton was appointed to his position in February 2008. He is responsible for oversight and the establishment of KBR work processes and procedures for project management, project controls, engineering, procurement, construction, and commissioning. In addition, he is responsible for the efficient management and deployment of KBR's project assignable, technical employees. Prior to his current role, Mr. Calton was Senior Vice President of Project Management Oversight and Control. During his tenure with the company he also held executive positions as Vice President of Onshore Project Operations, Vice President of Construction/Maintenance Operations, Vice President of Business Segment Management, Vice President of Engineering Procurement and Construction Operations, and Vice President / Project Director for the design and construction of a large Ethylene complex in the Middle East. Five of Mr. Calton's 33 years at KBR included resident assignments, working outside the US in the Asia Pacific and Middle East regions. Mr. Calton holds a Bachelor of Science degree in Mechanical Engineering from the University of Missouri - Rolla and attended the Executive Program at Stanford University. He is a member of the American Society of Mechanical Engineers and a Registered Professional Engineer in the state of Texas.

Klaudia J. Brace is Senior Vice President, Administration. Ms. Brace joined KBR in April of 2006. She has overall leadership responsibilities for KBR's Human Resources, Communications, Real Estate Services, Information Process Solutions (IPS / IT), and Quality and Health, Safety and Environment functions. Ms. Brace brings more than 25 years of executive experience to KBR in the areas of administration, financial reporting and human resources. She was Vice President of Finance and Operations for Churchill Livingston and the Vice President of Finance and Administration for Synergetics International. In addition, Ms. Brace was the Controller for CMS Data, a division of PC DOCS Group International. She most recently served as Senior Vice President, Business Control and Human Resources, for SUEZ Energy North America. Ms. Brace holds a bachelor's degree and a Master of Business Administration degree from Michigan State University. Additionally, she is a Senior Professional in Human Resources with the Society for Human Resource Managers.

Tom Mumford is Senior Vice President, Commercial. Mr. Mumford was appointed to this position in December, 2008, to lead the Company's corporate Commercial Department. Prior to his current role, Mr. Mumford was Senior Vice President, Business Development Oversight. He is responsible for the Company's business development oversight, corporate development and strategic planning functions. He is also responsible for the Company's Ventures Business Unit, KBR's asset development and investment arm. Previously, Mr. Mumford served as Senior Vice President, Business Development for SUEZ Energy North America, where he was responsible for wholesale power acquisition, divestiture and development efforts, LNG program efforts, investment management and portfolio rationalization. His career has included senior positions in the marine, nuclear power, oil and gas and conventional power industries, covering projects in the Middle East, the Far East, Central and South America and domestic markets. Mr. Mumford graduated from Stow College of Engineering and completed his studies at Glasgow College of Technology to become registered as a Chartered Engineer. Mr. Mumford maintains membership of the Institution of Mechanical Engineers and the Institute of Marine Engineers in the United Kingdom, and the American Society of Mechanical Engineers.

Jeffrey E. Curtiss is a private investor. Mr. Curtiss was the Senior Vice President and Chief Financial Officer of Browning-Ferris Industries, Inc. from January 1992 - July 1999. Mr. Curtiss served as the Senior Vice President and Chief Financial Officer of Service Corporation International from January 2000 - June 2006. Mr. Curtiss received law degrees from two universities in 1971 and 1975. He received his CPA certificate from Colorado in 1971 and became a CFA charterholder in 2006. Mr. Curtiss joined the KBR Board in 2006. He is a member of the Health, Safety and Environment (HSE) Committee and Chairman of the Audit Committee.

Lester L. Lyles has been an independent consultant since 2003. Prior to that, he served in the U.S. Air Force for over 35 years, as: Commander of the Space and Missile Systems Center from 1994 - 1996; Director of the Ballistic Missile Defense Organization from 1996 - 1999; Vice Chief of Staff of the Headquarters of the U.S. Air Force from 1999 to 2000; and Commander of the U.S. Air Force Materiel Command from 2000 - 2003. Mr. Lyles is also a director of General Dynamics Corporation, MTC Technologies, Inc., The Dayton Power and Light Company, ANSER Corp., and Baltelle Memorial Institute. Mr. Lyles joined the Board in November 2007. He is a member of the Audit Committee and the Health, Safety and Environment (HSE) Committee.

Mr. Carroll served as President and Chief Executive Officer of M-I SWACO, a supplier of drilling and completion fluids and waste management products and services owned 60% by Smith International, Inc., and as Executive Vice President of Smith International, Inc., a supplier of products and services to the oil and gas, petrochemical, and other industrial markets from March 1994 until his retirement in April 2006. He initially joined Smith International in December 1984, and was serving as Executive Vice President and Chief Financial Officer when he left in 1989 and returned in October 1992. Mr. Carroll is a director of Smith International, Inc., Fleetwood Enterprises, Inc., a producer of recreational vehicles and manufactured homes, CGG-Veritas, a geophysical services and equipment company, and KBR, Inc., an engineering and construction company. Mr. Carroll is a member of our Compensation Committee and is the Chairman of the Nominating and Corporate Governance Committee.
