R. Dale Vaughan, Executive Vice President, Benefits Services Division of Kanawha. Mr. Vaughan is expected to be Executive Vice President, Benefits Services Division of Kanawha immediately following the closing of the Kanawha acquisition. Mr. Vaughan has been Executive Vice President, Benefits Services Division of Kanawha since 2003. Prior to that he was Senior Vice President, Benefits Services Division of Kanawha from 1998 to 2003.

Bonnie Hathcock joined Humana in 1999. Working to instill a culture of engagement throughout the company, Bonnie has been instrumental in creating a powerful integrated people system that stands as a competitive advantage, distinguishing Humana as an industry leader. Bonnie is responsible for Humana's human resources practices, recruitment and retention, organization development, professional development and associate-information services. As the leader of Humana's learning laboratory for MOCHA (More Options and Choices for Humana Associates), Humana's internal benefits brand, Bonnie is uniquely positioned to face the challenges posed to companies striving to contain associates' health care costs in the face of substantial premium increases. Armed with an innovative way of looking at health benefits and a communication plan to empower associates, Bonnie and Humana have brought real solutions to the marketplace, direct from the MOCHA lab. Before joining Humana, Bonnie served as Vice President of Human Resources at US Airways, Inc., Vice President of Human Resources at Siemens-Rolm, and in sales and marketing roles at Xerox Corporation. Bonnie holds an MBA degree from Nova Southeastern University, a bachelor's in Business Education degree from Shippensburg University, and is a graduate of the Executive Human Resources program of Stanford University's School of Business. Bonnie has been named by HR Executive Magazine as one of the 25 most powerful women in Human Resources today.

In February 2006, James E. Murray was appointed Humana's chief operating officer. He has responsibilities for integrating all of the company's operations and products under a single senior leader, including senior products, commercial sales and market operations, service, information technology, clinical operations and Humana Military (TRICARE). Mr. Murray was previously chief operating officer for market and business segment operations, where he focused on sales, underwriting, specialty products, network management and market management functions. Mr. Murray has held a variety of senior leadership positions since joining Humana as vice president of finance in 1989. He was promoted to vice president and chief financial officer in 1997 with responsibility for public and statutory reporting, investor relations, operating unit budget management and evaluation of acquisition opportunities. Mr. Murray is a certified public accountant and joined Humana as vice president of finance in 1989. He was promoted to vice president and chief financial officer in 1997. Before joining Humana, he served as a partner in the Louisville, Ky., office of Coopers & Lybrand (now PricewaterhouseCoopers).

Norman E. Hill, Executive Vice President & Chief Actuary of Kanawha. Mr. Hill is expected to be Executive Vice President & Chief Actuary of Kanawha immediately following the closing of the Kanawha acquisition. We expect that Mr. Hill will retire as an officer of Kanawha prior to December 31, 2004, and we intend to engage Mr. Hill as an actuarial consultant after he retires. Mr. Hill has been Executive Vice President & Chief Actuary of Kanawha since 1991.

Scott H. DeLong III, Senior Vice President & Chief Financial Officer, Director. Mr. DeLong became the Senior Vice President & Chief Financial Officer of our company in 2004. Mr. DeLong is expected to join our board of directors at the closing of this offering. Mr. DeLong was self employed from 2001

Alfred L. Ferguson, Senior Vice President, Risk Management of Kanawha. Mr. Ferguson is expected to be Senior Vice President, Risk Management of Kanawha immediately following the closing of the Kanawha acquisition. Mr. Ferguson has been Senior Vice President, Risk Management of Kanawha since 2003. Prior to that he was Vice President, Administrative Services of Kanawha from 1999 to 2003.

Heidi Margulis was named senior vice president, government relations, in January 2000. She provides leadership for the development, execution and advocacy of state and federal legislative, regulatory, public affairs and public sector strategy, policies, outreach and initiatives designed to advance Humana's business objectives and to position the enterprise at a competitive advantage. Ms. Margulis joined Humana in 1985 and has held increasingly more responsible regulatory- and legislative-public affairs' advocacy positions. She was promoted to vice president, government affairs, in 1995. Her extensive regulatory, legislative and public affairs' experience and resource networks coupled with her industry and company knowledge provide Humana with the vision and leadership we need to advance our vision, mission and values with state and federal legislative, regulatory and administrative bodies, advocacy groups, trade groups and other community groups and opinion leaders. Both the current and previous U.S. Secretaries of Health & Human Services recognized Ms. Margulis' expertise with appointments to Secretary Thompson's Advisory Committee on Regulatory Reform (executive committee) and Secretary Shalala's Advisory Panel on Medicare Education. She currently serves on public policy committees of The Business Roundtable, National Business Group on Health, America's Health Insurance Plans and Greater Louisville, Inc. She is on the Advisory Board of the Yale Women's Political Forum and has served on a variety of local, state and national civic, charitable and public sector boards.

John B. Chitwood, Senior Vice President, Sales and Marketing, Senior Market of Kanawha. Mr. Chitwood is expected to be Senior Vice President, Sales and Marketing, Senior Market of Kanawha immediately following the closing of the Kanawha acquisition. Mr. Chitwood has been Senior Vice President, Sales and Marketing, Senior Market of Kanawha since 2001. Prior to that he was Vice President, Marketing for Conseco Marketing Services/Pioneer Life Insurance Company from 1997 to 2001.

Ronald P. Groover, Vice President, Corporate Services of Kanawha. Mr. Groover is expected to be Vice President, Corporate Services of Kanawha immediately following the closing of the Kanawha acquisition. Mr. Groover has been Vice President, Corporate Services of Kanawha since 2000. Prior to that he was 2nd Vice President, Benefit Services Claims of Kanawha HealthCare Solutions from 1992 to 2000.

Scott D. MacEwen, Vice President of Kanawha. Mr. MacEwen is expected to be Vice President of Kanawha immediately following the closing of the Kanawha acquisition. Mr. MacEwen has been Vice President of Kanawha since 1999.

Jack Lord, M.D., joined Humana in 2000 to help develop the company's consumer-centric business strategy. In his role as Chief Innovation Officer, Dr. Lord is responsible for designing innovative health plan products and leading processes that enable people to navigate the healthcare system and support their health needs. In 2006, Dr. Lord began leading Humana's efforts to establish Humana Europe. With more than 20 years in medical administration, he came to Humana from Health Dialog, where he served as president and became a leader in e-enabled healthcare. Prior to joining Health Dialog, he served as chief operating officer of the American Hospital Association in Washington, D.C., executive vice president of Anne Arundel Medical Center in Annapolis, MD, and executive vice president of Sun Health in Charlotte, NC. Dr. Lord currently serves on the Advisory Board to the Director of the CDC, the National Biosurveillance Committee, and the World Economic Forums Global Agenda Council on Chronic Disease and Malnutrition. He is also a director for Stericycle (SRCL) and Dexcom (DXCM). Dr. Lord received his medical degree from the University of Miami in 1978. He has held multiple academic appointments including most recently Adjunct Professor of Community Medicine at the Dartmouth Medical School.

David A. Jones, Jr. was elected Chairman of the Board of the Company in April 2005, having served as Vice Chairman since September 1996. Mr. Jones is chairman and managing director of Chrysalis Ventures, LLC, a Louisville-based venture capital firm which he founded in 1993. Chrysalis Ventures provides equity capital for young growth companies in the Southeast and Midwest. Mr. Jones is immediate past chairman of the Greater Louisville Health Enterprises Network, a business consortium designed to promote the growth of the health care economy in Louisville and the surrounding region. He also serves on the advisory committee of the Brookings Center on Health Policy, on the board of the National Committee on U.S.-China Relations and on the Yale President's Council on International Activities. Prior to forming Chrysalis Ventures, Mr. Jones practiced corporate and international law. He served in the U.S. Department of State's general counsel's office from 1988 to 1992, working principally on political and economic issues involving East Asia. A magna cum laude graduate of Yale University, Mr. Jones earned a J.D. degree from the Yale University School of Law. He has been a Humana board member since 1993. He is the son of David A. Jones, the former Chairman of the Board and Humana founder, who retired effective April 2005.

John H. Flittie, Director. Mr. Flittie is expected to join our board of directors at the closing of this offering. Mr. Flittie has been an actuarial consultant since 2002. Prior to that he was Adjunct Professor at the Graduate School of Business at the University of St. Thomas, St. Paul, Minnesota, from 1999 to 2002. Prior to that he was President and Chief Operating Officer of ReliaStar Financial Corp. from 1985 to 1999. He is also a director of Medica Holding Company. Stanley D. Johnson, President & Chief Executive Officer of Kanawha, Director. Mr. Johnson is expected to join our board of directors and to be President and Chief Executive Officer of Kanawha immediately following the closing of the Kanawha acquisition. Mr. Johnson has been the Chairman, President and Chief Executive Officer of Kanawha since 1998. Prior to that he was President and Chief Executive Officer of Kanawha from 1986 to 1998.

Ashland Inc. Chairman and Chief Executive Officer James J. O'Brien, 54, knows Ashland and knows the chemical business. Since 2002, he has presided over the transformation of Ashland from a multi-industry petroleum refiner and marketer with holdings in chemicals and transportation construction into a global specialty chemicals company. O'Brien guides a company of 16,000 employees working to develop products, services and solutions that, through chemistry, meet customers' needs and contribute to improved quality of life. As chairman and chief executive officer, O'Brien leads Ashland's Executive Committee, whose members set Ashland's global strategy, manage its capital, and uphold Ashland's operating principles.

James J. Ritchie, Director. Mr. Ritchie is expected to join our board of directors at the closing of this offering. Mr. Ritchie has been retired since 2003. Prior to that he was Chief Financial Officer of OneBeacon Insurance Company, a subsidiary of White Mountains Insurance Group, Ltd. from 2001 to 2003. Prior to that he was Chief Financial Officer of CIGNA International, a subsidiary of CIGNA Corporation from 1998 to 2001. Prior to that he was Vice President and General Auditor for CIGNA Corporation from 1995 to 1998. Prior to that he was Chief Financial Officer and Chief of Staff, Europe, Middle East and Africa for CIGNA Corporation from 1992 to 1995. He is also a director of Ceres Group, Inc. and Quanta Capital Holdings, Ltd.

Marissa T. Peterson was elected to the Board of Directors in August 2008. She was formerly executive vice president of worldwide operations, executive vice president of services and chief customer advocate for Sun Microsystems Inc. in Santa Clara, California. Ms. Peterson retired in 2005 after 17 years with the company and currently serves on the board of directors for SUPERVALU INC., Ansell Limited, and the Lucile Packard Children's Hospital at Stanford. Prior to joining Sun Microsystems, Ms. Peterson worked as a management consultant at Booz, Allen and Hamilton and in various marketing, financial and engineering positions with Saturn Corporation and various General Motors divisions.

W. Ann Reynolds, 71, formerly President and Professor of Biology at The University of Alabama at Birmingham, located in Birmingham, Alabama, until 2002. Director since 2006; formerly a Director of OCD since 1993. A graduate of Kansas State Teachers College and the University of Iowa, where she earned a Ph.D. degree, Dr. Reynolds previously served as Chancellor of the City University of New York and as Chancellor of the California State University System. In prior years, she was Provost of the Ohio State University and Professor of Anatomy and Vice Chancellor for Research at the University of Illinois at the Medical Center. Dr. Reynolds is a director of Humana, Inc., Abbott Laboratories, Invitrogen Corporation, and the News-Gazette, Champaign, Illinois.

W. ROY DUNBAR , 46, has been a director of EDS since 2004. He has been President and Chief Executive Officer of Network Solutions, a provider of Web related services, since February 2008. Mr. Dunbar was President Global Technology and Operations of Master Card International from September 2004 to January 2008, and president, intercontinental operations of Eli Lilly and Company, responsible for its Asia, Africa/Middle East, Latin America and the Confederation of Independent States operations from January 2004 to September 2004. He had served as vice president of information technology and chief information officer of Eli Lilly since 1999 and joined Eli Lilly in 1990. Mr. Dunbar is also a director of Humana Inc.

William J. McDonald was elected to the Board in October 2007. In 1998 he joined Capital One Financial Corporation in McLean, Virginia, where he is executive vice president, brand management. Prior to joining Capital One, he served as chief marketing officer for Boston Chicken, Inc. Previously, he was chief marketing officer for KFC and also served in marketing and branding leadership roles for Pizza Hut and PepsiCo.
