Knology Inc.

M. Todd Holt was appointed President of Knology in July 2008. Mr. Holt served as Chief Financial Officer from August 2005 to July 2008 and as Corporate Controller from January 1998 to July 2005. Mr. Holt is a member of the American Institute of Certified Public Accountants and previously practiced public accounting as an audit manager with Ernst & Young.

Bruce D. Herman was appointed Chief Financial Officer of Knology in July 2008; prior to that he served as Vice President of Strategy and Development. He served as President and CEO of PrairieWave Holdings prior to its acquisition by Knology in April 2007, and was PrairieWave s CFO from 2003-2005. Previous experience included CFO at Martin Group Inc. (software and engineering provider in the telecommunications industry), International Treasurer at Hexcel Corp. and various financial positions at Ford Motor Company.

Marcus R. Luke, Ph.D. has served as Chief Technology Officer since August 1997. Prior to this he served as our Vice President of Network Construction from November 1995 until August 1997, and Director of Engineering of Cybernet Holding, L.L.C. from May 1995 until November 1995. Prior to joining us, Dr. Luke served as Southeast Division Construction Manager for TCI from July 1993 to May 1995. From July 1987 to June 1993, he served as Area Technical Manager for TCI’s southeast area. Dr. Luke worked for Storer Communications Inc. from 1985 to 1987 as Vice President of Engineering. Prior to 1985, he spent 12 years in various engineering and management positions with Storer Communications Inc.

Bret T. McCants was appointed Executive Vice President of Operations in July 2008. Mr. McCants served as Vice President of Operations from January 2007 to July 2008 In his 10 years with Knology, Mr. McCants has also served as Vice President and Regional General Manager and Vice President of Network Construction. Mr. McCants spent 16 years in the electric utility industry with experience in operations, engineering, communications, and sales and marketing.

Allan H. Goodson joined Knology in June 2000 and serves as Vice President of Regional Operations, where he is responsible for the Huntsville, Knoxville, Charleston and Augusta divisions, as well as Call Center operations. Prior to joining Knology, Mr. Goodson was the Executive Vice President and Chief Operating Officer of On Command Corp., an international telecommunications company specializing in commercial hotel in-room television entertainment and Internet products. During his twenty years in the telecommunications industry, Mr. Goodson also held positions with STC Cable Corporation and Telecommunications, Inc., or TCI.

Andrew M. Sivell has served as Vice President of Network Operations since June 2003. From May 1998 to June 2003, Mr. Sivell served as our Director of Network Operations. Mr. Sivell has extensive experience, having held technical management positions with Interstate Fibernet, Intercel, MCI, Telecom USA and Southern Net. Mr. Sivell has 25 years of experience in the communications industry.

Anthony J. Palermo rejoined the Company as our Vice President of Marketing in June 2007. Before then, Mr. Palermo was Vice President of Business Development and Emerging Markets at Scientific-Atlanta’s SciCare Broadband Services business. Mr. Palermo previously served as Knology’s Corporate Vice President for Operations, Sales and Marketing from 1999 through 2004. He has held operations and marketing positions with several other software and telecommunications firms such as Brock Control Systems, Interactive Financial Services and AT&T Long Lines.

Chad S. Wachter has served as Vice President since October 1999 and as General Counsel and Secretary since August 1998. From April 1997 to August 1998, Mr. Wachter served as Assistant General Counsel of Powertel, Inc., which was a provider of wireless communications services. From May 1990 until April 1997, Mr. Wachter was an associate and then a partner with Capell, Howard, Knabe & Cobbs, P.A. in Montgomery, Alabama.

Felix L. Boccucci, Jr. has served as Vice President of Business Development since August 1997, and he served as the Chief Financial Officer, Treasurer and Secretary from November 1995 through August 1997. From October 1994 until December 1995, Mr. Boccucci served as Vice President Finance-Broadband of ITC Holding. Prior to such time, Mr. Boccucci worked for GTE Corporation, a telecommunications company, which merged with Contel Corporation in March 1991. From May 1993 to October 1994, he served as a Senior Financial Analyst for GTE. From 1991 to 1993, Mr. Boccucci served as Financial Director for GTE’s Central Area Telephone Operations. From 1987 to 1991, he was the Assistant Vice President Controller in charge of Contel’s Eastern Region Telephone Operations comprising 13 companies in 12 states.

Richard D. Perkins has served as Vice President of Information Technology since January 2003. From December 2001 to January 2003, Mr. Perkins served as an independent consultant for our billing department focusing on the development and deployment of our enterprise management system. From March 2001 to November 2001, Mr. Perkins served as Director of Business Development for Clarus Corporation, a leading provider of Web-based B2B solutions. From November 1991 to March 2001, Mr. Perkins served in management with Perot Systems concentrating in the area of systems design and deployment, specializing in the manufacturing and telecommunications industries. Mr. Perkins’ career began with seven years of systems design and development in the retail industry.

Weldon A. Feightner is Vice President and Regional Manager of Knology, Inc.. He is responsible for the company's systems in Sioux Falls and Rapid City, South Dakota; Columbus, Georgia; Montgomery and Dothan Alabama; and Panama City, Florida. His management career with Knology spans more than ten years, and he has been engaged in the industry for more than 29 years. Prior to his tenure with Knology, Weldon was Regional Manager with FrontierVision, a broadband communications cable company responsible for operations in Michigan, Ohio and Kentucky. He has also worked in Cincinnati as General Manager for United Video Cable Company and as Technical Operations Manager for Time Warner.

Bill Heaston is the General Counsel for PrairieWave Communications, Inc., headquartered in Sioux Falls, SD. He holds a BA from Creighton University, a JD from the Creighton University School of Law, and an LLM from the New York University School of Law. Bill retired from the U.S. Army in 1986 after 21 years of service in the JAG Corps. He served in Vietnam, Europe, West Point, Alaska, Kansas and Washington, DC. His awards include the Legion of Merit and two Bronze Stars. From 1986 to 1998, Bill was a Senior Attorney for U S WEST (nka Qwest), providing legal support and advice for its operations principally in North Dakota, South Dakota and Wyoming. In 1998 Bill became the General Counsel for Dakota Telecommunications Group ("DTG") until its acquisition by McLeodUSA in 1999. He was a Deputy General Counsel for McLeodUSA providing legal advice on wholesale, carrier and major customer contractual matters, state regulatory issues, and the business to business relationship with Qwest. In 2002 PrairieWave Communications acquired the former DTG operation from McLeodUSA, and Bill remained with the operation as a part of the acquisition. He became the General Counsel for PrairieWave in 2003. His practice of law involves corporate governance, state and federal regulation, and lobbying industry issues before state and federal legislative and administrative bodies. He is admitted to practice law in Colorado, Minnesota, Nebraska and South Dakota.

William H. Scott, III has been one of our directors since November 1995. He served as President of ITC Holding Company from December 1991 and was a director of that company until its sale in May 2003. Mr. Scott is an investor in and director of several private companies.
