Marathon Oil Corp.

Clarence P. Cazalot Jr. is president and chief executive officer of Marathon Oil Corporation and a member of the Marathon Oil Corporation Board of Directors. He joined Marathon in March 2000. Immediately prior to this, Mr. Cazalot served as vice president of Texaco Inc. and president of Texaco’s worldwide production operations. He was appointed president of Texaco’s worldwide production operations in 1999. From January 1998, Mr. Cazalot served as president of international production and chairman of London-based Texaco Ltd. He was named president of Texaco International Marketing and Manufacturing in January 1997. In 1994, Mr. Cazalot was appointed president of Texaco Exploration and Production Inc. in Houston, Texas. Prior to this, in 1992, he was elected a vice president of Texaco Inc. and president of Texaco’s Latin America/West Africa Division based in Coral Gables, Florida. Mr. Cazalot was appointed general manager of the frontier exploration department in Bellaire, Texas in 1987. In 1985, he was named assistant to the vice chairman. He was appointed staff geologist for the exploration and production executive committee of Texaco Inc. at the company’s executive offices in White Plains, New York in 1984. Mr. Cazalot joined Texaco in 1972 as a geophysicist in Bellaire, and transferred to the company’s offshore division in New Orleans, Louisiana, in 1974. He subsequently held a number of posts of increasing responsibility before being named assistant district geologist in 1976, district geologist in 1977, assistant division geologist in 1979 and regional manager of exploration in 1981. Mr. Cazalot is a native of New Orleans and graduated from Louisiana State University with a bachelor’s degree in geology. In May 2007, he was awarded an Honorary Doctorate of Humane Letters from Louisiana State University. He serves on the Boards of Directors of Baker Hughes Incorporated, the U.S.-Saudi Arabian Business Council, the American Petroleum Institute and the Greater Houston Partnership. He is a member of The Business Council and serves on the Advisory Board of the World Affairs Council of Houston. Mr. Cazalot is also a member of the American Association of Petroleum Geologists, the Texas Governor’s Business Council, the National Petroleum Council, the 25-Year Club of the Petroleum Industry and the All-American Wildcatters organization.

Thomas K. Sneed is chief information officer at Marathon Oil Corporation. He joined Marathon in 1981 and began his current assignment in 2003. In 2002, Mr. Sneed was appointed manager of Information Technology Services for Marathon Ashland Petroleum LLC (MAP). Two years earlier, he transferred to Speedway SuperAmerica LLC (SSA) in Enon, Ohio, as vice president of Information Technology Services. In 1998, Mr. Sneed was named manager of Computer Services for SSA. In 1997, Mr. Sneed served as manager of Information Technology Marketing & Accounting Applications for MAP. Earlier that year, he was named manager of Information Technology Services: Downstream Computing. Mr. Sneed began his career as a computer applications programmer at Marathon in Findlay, Ohio. He was transferred to the Data Base Management department in 1984, where he progressed through a series of technical positions until 1992 when he was named supervisor of Corporate Systems and Programming. Mr. Sneed was born in Dayton, Ohio, and has a bachelor’s degree in Computer & Information Science from Ohio State University in Columbus, Ohio.

David E. Roberts, Jr., is executive vice president of Upstream for Marathon Oil Corporation and serves as a member of Marathon's Executive Committee. He joined Marathon in June 2006 as senior vice president of Business Development. Mr. Roberts previously served as executive vice president and managing director for BG Group with responsibility for Asia and the Middle East. Prior to joining BG, he served as advisor to the vice chairman of ChevronTexaco Corporation (now Chevron Corporation) from 2001 to 2003, where he provided strategic and operational advice to executive management regarding the company’s upstream operations. In 1999, Mr. Roberts was named director of strategic management for Texaco’s Worldwide Upstream operations where he was responsible for the strategic direction, planning and performance management for the company’s worldwide upstream business. He was promoted to regional manager in 1997 to oversee the tactical and strategic direction and operational performance of all activities associated with the Kern River (California) and later, the California basins business units for Texaco’s North America production business. Immediately prior, he was the regional manager of planning, portfolio management and new business development. From 1983 to 1996, Mr. Roberts held numerous engineering assignments of increasing responsibility and provided operational advice to senior management throughout Texaco’s North American oil and gas operations. Mr. Roberts is a graduate of the University of Alabama in Tuscaloosa where he earned a bachelor’s degree in mineral engineering.

Gary R. Heminger is executive vice president - Downstream of Marathon Oil Corporation and serves as a member of Marathon's Executive Committee. He joined the Company in 1975 and was appointed to his current position in July 2005. In addition to this role, Mr. Heminger is president of Marathon Petroleum Company LLC (MPC), (formerly Marathon Ashland Petroleum LLC (MAP)), a wholly owned subsidiary of Marathon. He assumed responsibility as president of MPC in September 2001. In January 2001, he was named MAP executive vice president, Supply, Transportation and Marketing. He was named senior vice president, Business Development in 1999 and was named vice president of Business Development for MAP upon its formation in January 1998. Mr. Heminger assumed the position of manager, Business Development & Joint Interest of Marathon Oil Company in November 1996. From 1995 to 1996 he served as president of Marathon Pipe Line Company. In 1991, he was named vice president of Emro Marketing's Western Division. Emro was the predecessor of Speedway SuperAmerica LLC. Mr. Heminger's more than 34 years with Marathon include experience in a variety of groups and functions. In addition to five years in various financial and administrative roles, he spent three years in London, United Kingdom, as audit supervisor of the Brae Project. He worked with Emro Marketing for eight years in several marketing and commercial roles. Mr. Heminger, a Tiffin, Ohio, native, earned a bachelor's degree in accounting from Tiffin University in 1976 while already employed by Marathon Oil Company in Findlay, Ohio. He earned a master's degree in business administration from the University of Dayton, Ohio, in 1982. A graduate of the Wharton Executive Management Program, Mr. Heminger is chairman of the Board of Trustees of Tiffin University. He is past chairman of both the American Petroleum Institute (API) Downstream Committee and Louisiana Offshore Oil Port, and a member of the Oxford Institute for Energy Studies. He also serves on the board of directors of Fifth Third Bancorp.

Mr. Peiffer is senior vice president of Finance and Commercial Services for Marathon Petroleum Company LLC. He began his career with Marathon in 1974 and was appointed to his current role at Marathon Ashland Petroleum Company LLC in 1998. In 1992, Mr. Peiffer was named assistant controller, Refining, Marketing and Transportation for Marathon Oil Company. In 1988, he was appointed vice president of Finance and Administration for Emro Marketing Company. In 1987, Mr. Peiffer was appointed to the U.S. President's Commission on Executive Exchange. He served for a year in the Pentagon as special assistant to the assistant secretary of defense for production and logistics. His responsibilities involved assisting the Department of Defense in developing procedures for performing economic analysis of energy project investments, as well as helping improve the Department's natural gas acquisition program. In 1986, Mr. Peiffer was named manager of the Marketing and Supply Accounting department in R&M Accounting. Between 1980 and 1985, he served in numerous other marketing positions including manager of Planning and Analysis for marketing operations and Southeastern area manager within Marathon's Terminal and Transport department. In 1979, he became the controller of Speedway Petroleum Company. In 1977, he became supervisor of Employee Savings and Retirement plans. He began his career with Marathon in 1974 as an associate auditor in the Auditing division. Mr. Peiffer graduated magna cum laude from Bowling Green State University, Ohio, with a bachelor's degree in accounting in 1974. He also passed the certified public accountant (C.P.A.) examination in Ohio in 1974. Mr. Peiffer is a member of the Findlay-Hancock County Community Foundation's finance and investment committee; the Blanchard Valley Health Foundation board of trustees and investment & insurance committee; the Blanchard Valley Port Authority Board; and the Fifth Third Bank (Northwestern Ohio) board of directors.

Jerry Howard is senior vice president of Corporate Affairs for Marathon Oil Corporation and serves as a member of Marathon's Executive Committee, Salary and Benefits Committee and serves as treasurer of the Marathon Oil Company Foundation. He joined Marathon in 1975 and began his current assignment in 2002. Mr. Howard was appointed vice president of Taxes in 1998 at USX Corporation in Pittsburgh, Pennsylvania. USX Corporation was the former holding company for Marathon. He became Marathon’s vice president of Human Resources and Environment in 1997. In 1993, Mr. Howard was appointed director of Tax and Financial Planning. He was named general tax manager in 1988. Two years earlier, in 1986, he was appointed manager of Tax Compliance and Planning. Mr. Howard began his career as an internal auditor at Marathon Oil Company in Findlay, Ohio, in 1975. He was transferred to the Marathon Tax department in 1976, where he progressed through a series of supervisory and managerial posts. Mr. Howard was born in Social Circle, Georgia. In 1970 he earned a bachelor’s degree in accounting from Morris Brown College in Atlanta, Georgia, and a master’s degree in business administration in 1972 from Northwestern University in Evanston, Illinois. He is a certified public accountant.

Ms. Peters is senior vice president of Marketing for Marathon Petroleum Company LLC. She joined Marathon in January 1979 and was appointed to her current position in December 1998. In January 1998, Ms. Peters was named president, Marathon Ashland Pipe Line LLC* headquartered in Findlay, Ohio. In November 1996, she was named president of Marathon Pipe Line Company in Findlay. In 1993, Ms. Peters was appointed manager, asphalt & heavy oil in Southfield, Michigan. In 1991, she assumed the duties of manager, Northern District asphalt sales, wholesale marketing in Southfield, Michigan. Ms. Peters was named manager of advertising in 1988. In 1986, she became supervisor, Midwest products distribution. She was assigned to operations planning as an analyst, and to retail marketing as a staff assistant in 1984. In 1980, she moved to marketing operations and held a number of positions in products distribution, supply analysis and products supply. Ms. Peters joined Marathon in 1979 as an associate financial analyst in Findlay, Ohio. She graduated from Indiana University, Indiana, in 1978 with a bachelor's degree in finance. She received an MBA from Bowling Green State University, Ohio, in 1986 while working for Marathon. In 2001, Ms. Peters attended the 23rd Oxford energy seminar held in Oxford, United Kingdom. She attended the Penn State, Pennsylvania, executive management program in 1998. Ms. Peters is a member of the American Petroleum Institute. She currently serves as the chairperson for the General Committee on Marketing, and has also served as past chair on the Senior Security Policy group. In addition, Ms. Peters served as past president of the Findlay YMCA Administrative Board of Trustees and as a board member for eight years.

Daniel J. Sullenbarger is vice president of Corporate Compliance and Ethics at Marathon Oil Corporation. He joined Marathon in 1975 and was previously vice president of Corporate Responsibility. He also served as vice president of Health, Environment and Safety from September 2000 until 2005. Two years earlier, in September 1998, he was appointed vice president of Human Resources and Environment. In 1994, Mr. Sullenbarger was appointed group counsel-Worldwide Exploration & Production in Houston. In 1991, after serving in three senior counsel positions in Houston, he was appointed general attorney-Refining, Marketing, Supply & Transportation in Findlay. After joining Marathon, he held a number of positions in the law organization in Findlay, Ohio, London and Houston. Mr. Sullenbarger was born in Greenville, Ohio, in 1951. He earned an undergraduate degree in political science from Bowling Green State University, Ohio in 1973 and a law degree from Ohio Northern University in 1976. In 2000, he attended the Stanford Executive Program. He is licensed to practice before the Supreme Court of Ohio and Texas. Mr. Sullenbarger served as Chair of the Executive Committee of the International Petroleum Industry Environmental Conservation Association (IPIECA) from 2006 to 2008, and is currently Vice Chair and Secretary of the Executive Committee for the Houston Clean City Commission (Keep Houston Beautiful).

Eileen M. Campbell is vice president of Human Resources at Marathon Oil Corporation and serves as a member of Marathon's Executive Committee. She was appointed to her current position in September 2000. Her career spans over 20 years, focusing on management, human resources and government affairs. As a member of Marathon's executive team, Ms. Campbell is responsible for human resource capital, with more than 30,000 worldwide employees. Ms. Campbell joined Marathon in 1991 as manager of Government Affairs, lobbying for Marathon in Texas, Louisiana, Oklahoma and New Mexico. In July 1998, she was appointed director of State Governmental Affairs for USX Corporation, former holding company for Marathon Oil Company. Prior to joining Marathon, Ms. Campbell was employed by United Gas Pipe Line Company as a lobbyist. Previously, she worked for eight years in a number of positions with the National Association of Manufacturers (NAM). A native of New Jersey, Ms. Campbell holds a bachelor’s degree from the University of Maryland. She is a Board member of Girls Incorporated of Greater Houston and The Susan G. Komen Breast Cancer Foundation Houston affiliate. She also serves as vice chairman of the Board of the National Action Council for Minorities in Engineering, Inc. (NACME).

Howard J. Thill is vice president of Investor Relations and Public Affairs at Marathon Oil Corporation and serves as a member of Marathon's Executive Committee. He assumed his current position in January 2008. Mr. Thill joined Marathon in 2002 as manager of Investor Relations and was appointed director of Investor Relations in 2003. Prior to joining Marathon, he was director of Investor Relations with Phillips Petroleum Company. He began his career with Phillips in 1982 as a drilling fluids sales/service engineer. He subsequently held positions of increasing responsibility in natural gas operations, federal and international tax, chemical accounting and international finance. Mr. Thill, a native of Bartlesville, Oklahoma, earned bachelor's degrees in accounting and marketing, as well as a master's degree in business administration from Oklahoma State University. He is active in Junior Achievement and serves on the Houston Chapter's board of directors. Mr. Thill is a Certified Public Accountant and is active in the National Investor Relations Institute (NIRI). He also is active in the Oklahoma State University Alumni Association, having served as a past president of the Washington County (Oklahoma) chapter.

Linda A. Capuano is vice president, Emerging Technology, for Marathon Oil Corporation. She joined Marathon in June 2008. Marathon's Emerging Technology organization provides an increased focus on renewable and alternative fuels, energy efficiency, carbon intensity, and carbon capture and sequestration. It also provides strategic insight regarding emerging technologies across the energy landscape that will identify challenges facing Marathon's core business as well as new investment opportunities. Prior to this appointment, Dr. Capuano was senior vice president, Design and Engineering Services at Solectron (now Flextronics Corporation) in Milpitas, California, where she led an international team that delivered products to medical, consumer, set top box, kiosks, industrial, aerospace and automotive customers. Dr. Capuano served as executive vice president and chief technology officer of Advanced Energy in Fort Collins, Colorado, a manufacturer of equipment for semiconductor and solar applications until 2005. Dr. Capuano was with Honeywell International until 2003 where she served as corporate vice president, Technology Strategy and general manager of the wide body Auxiliary Power Unit business. Dr. Capuano was co-founder and vice president, Operations and Business Development for Conductus in Sunnyvale, California, delivering superconducting electronic products for wireless communications and digital electronic applications until 1995. She held various leadership positions with IBM computer and storage business in San Jose, California. Dr. Capuano received a bachelor's degree in chemistry from State University of New York at Stony Brook; a bachelor's degree in chemical engineering and a master's degree in chemistry from the University of Colorado at Boulder; and a master's degree in engineering management and a doctorate in material science from Stanford University, California. Dr. Capuano currently serves on the board of governors of the California Independent System Operator, which operates that state's wholesale power grid. She is an elected National Associate member of the National Academy of Sciences, a lifetime position recognizing contributions to the U.S. in advising science and technology policy, and as such has participated on numerous advisory boards and committees.

Mr. Peak is vice president of Risk Management & Trading for Marathon Petroleum Company LLC. He joined Marathon Ashland Petroleum Company LLC* in this position in August 2003. He previously worked for Marathon between 1976 and 1989. In 2001, Mr. Peak joined Sempra Energy where he served as a commodities trader. He left Marathon in 1989 to join Phibro Inc. as an oil trader. In 1987, Mr. Peak was named manager of crude oil supply for Marathon Oil Company. He transferred to Houston, Texas, in 1983 to work in the liquefied petroleum gas (LPG) trading group and in the Gulf Coast pipeline department. Between 1976 and 1983, he held various positions in the planning and marketing groups including assistant to the president of corporate planning. Mr. Peak began his career with Marathon in 1976 as an analyst in the operations research department. A native of Cleves, Ohio, he graduated from the University of Cincinnati, Ohio, with a bachelor's degree in chemical engineering in 1976. In 1979, he received a master's degree in business administration from Case Western Reserve University, Ohio. He is president of worship2action, an organization that strives to raise awareness of poverty issues and call people to action. Mr. Peak is actively involved in many relief and development projects in Rwanda. He is also involved with St. Patrick's Foundation in Jamaica and the International Justice Mission.

Michael K. Stewart is vice president, Accounting and Controller of Marathon Oil Corporation. He joined Marathon in 1985 and was elected to his current position in May 2006. In July 2005, Mr. Stewart was appointed controller of Marathon and was responsible for various accounting functions including those related to international and domestic business units, subsidiaries and joint ventures. Beginning in 2002, Mr. Stewart served as director of internal audit where he directed the internal audit activities for the Company worldwide. In 2001, he held the position of manager of internal reporting and external analysis. A year earlier, in 2000, Mr. Stewart was named director of corporate staff for USX, the former holding company for Marathon Oil Company. He was promoted to audit manager at USX Corporation in 1998. Prior to this, he held various management and professional positions in the Tax department, serving the Company in Findlay, Ohio, Houston and London. Mr. Stewart began his career in 1979 as an internal auditor for Exxon Mobil Corporation in Houston and later was a tax specialist with KPMG. He is a graduate of Southern University in Baton Rouge, Louisiana, where he earned a bachelor’s degree in Accounting, and the University of Houston, Texas, where he earned a master’s degree in business administration.

Paul C. Reinbolt is vice president of Finance and Treasurer at Marathon Oil Corporation. He began his career with Marathon in 1980 and was appointed to his current position in 2001. Mr. Reinbolt was named comptroller for U.S. Steel in Pittsburgh, Pennsylvania, in 2000. U.S. Steel was the former holding company for Marathon Oil Company. In 1998, Mr. Reinbolt was appointed manager of Finance and Administration-Production-United Kingdom and relocated to London. He had previously worked in Marathon’s Pittsburgh headquarters as assistant treasurer of Corporate Finance from 1994 and was named director of Corporate Financial Analysis in 1991. Mr. Reinbolt was Marathon’s manager of Treasury in New York from 1987. Prior to this, he became short-term investment manager in New York in 1986. In 1984, Mr. Reinbolt transferred to Marathon’s headquarters in Pittsburgh as senior financial representative. He began his career with Marathon in Findlay, Ohio, as a financial analyst, and later was promoted to advanced financial analyst. Mr. Reinbolt was born in Chapel Hill, North Carolina, and has a bachelor’s degree in accounting and a master’s degree in business administration from Miami University in Oxford, Ohio. He is on the Board of Directors of Oil Investment Corporation Ltd. and Oil Casualty Investment Corporation Ltd. Mr. Reinbolt also serves as a member of the Business Advisory Council for the Farmer School of Business at Miami University.

R. Douglas Rogers is vice president of Health, Environment, Safety and Security for Marathon Oil Corporation. He joined Marathon in 1985 as a pipeline engineer. Prior to his current position he served as organizational vice president of Safety, Environment and Emergency Response. Mr. Rogers also served as manager of Marathon Petroleum Company's Environment, Safety and Security organization in Findlay, Ohio, from 2004 to 2005. From 2000 to 2004, he held various management positions including Product Quality Manager. Mr. Rogers served as Marathon's Emergency Preparedness manager from 1998 until 2000. Since joining Marathon in 1985, he held various engineering related positions before moving into Marathon's Health, Environment and Safety organization in 1997. Mr. Rogers received a bachelor's degree in civil engineering from Purdue University in Indiana.

Mr. Nichols is vice president of Human Resources and Administrative Services for Marathon Petroleum Company LLC. He joined Marathon in 1977 and was named to his current position in June 2003. Mr. Nichols' present job responsibilities include directing the Downstream human resources activities including compensation, benefits, payroll, human resources information services, organizational development, diversity, EEO and recruiting and placement. He is also responsible for the development, coordination and consistent application and administration of Downstream and SSA human resources policies, programs, plans and procedures including performance management and labor relations. In addition, he oversees the administrative services for the Findlay Office Complex, which includes facilities management, graphic and video services, telecommunications and records management. Findlay's aviation department, including pilots and maintenance staff and the overall operations of the facility, also report to Mr. Nichols. With the formation of Marathon Ashland Petroleum Company LLC,* in January 1998, Mr. Nichols was promoted to vice president, Human Resources. Mr. Nichols was appointed manager of Human Resources, Refining, Marketing and Transportation in 1986. After an assignment in the Company's Northeastern production district, he served in a number of employee relations management positions in the Anchorage, Alaska, and Casper, Wyoming, production divisions and in the Louisiana and Texas refining divisions. Mr. Nichols joined Marathon as an employee relations representative in the Corporate Industrial Relations organization. Mr. Nichols holds a bachelor's degree in advertising and a master's degree in labor and industrial relations from Michigan State University, Michigan. He was selected to attend Marathon's advanced management program in 1984 and the advanced human resource executive program at the University of Michigan, Michigan, Business School in 2002. Mr. Nichols serves on the Blanchard Valley Health Association board of trustees, is the chairman of the board of trustees for the Blanchard Valley Medical Practice LLC, and the United Way of Hancock County board of trustees and executive committee in Findlay, Ohio.

Stephen J. Landry is vice president of Tax at Marathon Oil Corporation. He joined Marathon in January 2007 and was appointed to his current position in January 2008. Mr. Landry joined Marathon as director of Tax, Compliance and Reporting. Previously, he spent 22 years with Ernst and Young. He became a Tax partner for Ernst and Young in 1998 and transferred to the Houston energy practice in 2000. Mr. Landry is a native of New Orleans, Louisiana. He received a bachelor's degree in business administration in economics from Loyola University of New Orleans. Mr. Landry is a member of the American Institute of Certified Public Accountants.

William F. Schwind Jr. is vice president, General Counsel and Secretary of Marathon Oil Corporation and serves as a member of Marathon's Executive Committee. He joined Marathon in 1974 and was named to his current position in 1992. Prior to this appointment, Mr. Schwind assumed responsibilities as senior vice president of Administration, General Counsel and Secretary of Delhi Gas Pipeline Corporation, a wholly owned subsidiary of Marathon, in Dallas in 1991. He returned to the United States in 1984 after an overseas assignment and subsequently became general attorney for Marathon’s refining, marketing, supply, and transportation (downstream) activities. In 1983 Mr. Schwind moved to Jakarta, Indonesia, as a commercial contract manager. He began his Marathon career in Findlay, Ohio, and subsequently held various legal and governmental affairs positions. Mr. Schwind was born in Chicago, Illinois, in 1944. He holds a bachelor’s degree in English literature and a doctor of law degree from Loyola University of Chicago. Mr. Schwind is a member of the American Bar Association, the Association of Corporate Counsel, and is a member of the General Committee of Law of the American Petroleum Institute.

Mr. Usher graduated from the University of Pittsburgh with a bachelor of science degree in industrial engineering, a master of science degree in operations research and a doctorate in systems engineering. He joined United States Steel Corporation (later renamed USX Corporation) in 1965 and held various positions in industrial engineering. From 1975 through 1979, he held a number of management positions at U.S. Steel's South and Gary Works. Mr. Usher was elected Executive Vice President of Heavy Products in 1986, President of U.S. Steel Group and Director of USX in 1991, President and Chief Operating Officer of USX in 1994 and Chairman of the Board and Chief Executive Officer effective July 1, 1995. He retired from United States Steel Corporation as Chief Executive Officer in September 2004 and as non-executive Chairman of the Board on February 1, 2006. Mr. Usher serves on the Boards of Directors of H. J. Heinz Co., The PNC Financial Services Group, Inc. and PPG Industries, Inc. He is a member of the Board of Trustees of the University of Pittsburgh and a Board of Directors member of the Extra Mile Education Foundation. Mr. Usher is a member of The Business Council.

CHARLES R. LEE served as the Non-Executive Chairman of the Board of Directors of Verizon Communications (telecommunications) from April 2002 until his retirement in December 2003. He was Chairman and Co-Chief Executive Officer of Verizon Communications from June 2000 to March 2002. Prior to the merger of GTE Corporation and Bell Atlantic Corporation to form Verizon Communications, Mr. Lee served as Chairman and Chief Executive Officer of GTE Corporation from 1992 to 2000. He is a director of United States Steel Corporation, Marathon Oil Corporation, The Procter & Gamble Company and The DIRECTV Group, Inc. Mr. Lee is a Trustee Emeritus and Presidential Councilor of Cornell University. In addition, he serves on the Board of Overseers for the Weill Cornell Medical College and is a member of The Business Council. Mr. Lee has been a UTC director since 1994.

John W. Snow is chairman, president and chief executive officer of the CSX Corporation. Before joining CSX, Mr. Snow was a visiting fellow at the American Enterprise Institute, visiting professor of economics at the University of Virginia, administrator for the National Highway Traffic Safety Administration, and deputy undersecretary for the U.S. Department of Transportation. He is on the board of trustees of Johns Hopkins University and the University of Virginia Darden School Foundation and is chairman of the Business Roundtable and a member of the National Commission on Economic Growth and Tax Reform and the Executive Committee of the Business Council.

Mr. Reilley graduated from Oklahoma State University with a bachelor's degree in finance in 1975. He began working at Conoco, Inc. in 1975 as a pipeline engineer and in 1979 was promoted to Executive Assistant to the Chairman. Mr. Reilley held many key positions at E. I. Du Pont de Nemours & Company, which purchased Conoco in 1981. He held senior management positions in DuPont's Chemicals and Specialties business including Vice President and General Manager of Special Chemicals. In May 1999 he was appointed Executive Vice President and Chief Operating Officer of DuPont with responsibility for pigments and chemicals, specialty polymers, nylon and polyester. Mr. Reilley became Chairman, President and Chief Executive Officer of Praxair, Inc. in 2000. From March 1, 2006 through December 2006, he held the positions of Chairman and Chief Executive Officer and through April 2007 served as Chairman. Mr. Reilley served as non-executive Chairman of Covidien Ltd. from June 29, 2007, through September 30, 2008. Mr. Reilley serves on the Boards of Directors of H. J. Heinz Co., Dow Chemical Company, Covidien Ltd. and the Conservation Fund. He is the former Chairman of the American Chemistry Council.

Dr. Jackson, age 62, has served as a director of NYSE Euronext and its predecessors since November 2003. Dr. Jackson is also the chairperson of the board of directors of NYSE Regulation and serves on the Board of Governors of the Financial Industry Regulatory Authority (FINRA). Dr. Jackson has been president of Rensselaer Polytechnic Institute since 1999. From 1995 to 1999, she was chairman of the U.S. Nuclear Regulatory Commission. Dr. Jackson also serves as a director of Federal Express Corporation, Public Service Enterprise Group Incorporated, Marathon Oil Corporation, International Business Machines Corporation and Medtronic, Inc. (all U.S. corporations). Dr. Jackson is both a former president and chairman of the board of the American Association for the Advancement of Science (AAAS). She is also a member of the National Academy of Engineering, the American Philosophical Society and is a fellow of the American Academy of Arts and Sciences and a number of other professional organizations. Dr. Jackson serves as a trustee of the Brookings Institution and is a member of the Council on Foreign Relations. She is a life member of the M.I.T. Corporation (the M.I.T. Board of Trustees).

Mr. Davis became Chairman and Chief Executive Officer in 1997 and President in 2001 of RR Donnelley, the largest printing company in North America. He retired in February 2004. Over the prior two decades, Mr. Davis held senior sales, marketing, and executive positions at Emerson Electric Company. Mr. Davis is also a director of Marathon Oil Corporation.
