Richard J. Lampen is Executive Vice President of Vector Group. Mr. Lampen also served as Executive Vice President of New Valley from October 1995 until its merger with Vector Group in December 2005. Since November 1998, he has served as President and Chief Executive Officer of CDSI Holdings Inc., an affiliate of New Valley seeking acquisition or investment opportunities. Since September 2006, he has served as President and Chief Executive Officer of Ladenburg Thalmann Financial Services. Mr. Lampen has served as interim President and Chief Executive Officer and a member of the Board of Directors of Castle Brands Inc. (AMEX:ROX), a publicly traded developer and importer of premium brand spirits in which Vector holds an 11% equity interest as of November 9, 2008. Prior to joining the Company in 1995, Mr. Lampen was a partner at Steel Hector & Davis, a law firm located in Miami, Florida. Previously, Mr. Lampen was a Managing Director at Salomon Brothers Inc. Mr. Lampen is a director of New Valley, CDSI Holdings Inc. and Ladenburg Thalmann Financial Services. Mr. Lampen has also served as a director of a number of other companies, including U.S. Can Corporation, The International Bank of Miami, N.A. and Spec's Music Inc., as well as a court-appointed independent director of Trump Plaza Funding, Inc. Mr. Lampen received a Bachelor of Arts degree from Johns Hopkins University and a Juris Doctorate degree from Columbia Law School.

Phillip Frost, M.D. Dr. Frost became the CEO and Chairman of OPKO Health, Inc. upon the consummation of the merger of Acuity Pharmaceuticals Inc., Froptix Corporation and eXegenics, Inc. on March 27, 2007 (referred to as the Acquisition ). Dr. Frost was named the Vice Chairman of the Board of Teva Pharmaceutical Industries, Limited (NasdaqGS:TEVA), or Teva, in January 2006 when Teva acquired IVAX Corporation, or IVAX. Dr. Frost had served as Chairman of the Board of Directors and Chief Executive Officer of IVAX Corporation since 1987. He was Chairman of the Department of Dermatology at Mt. Sinai Medical Center of Greater Miami, Miami Beach, Florida from 1972 to 1986. Dr. Frost was Chairman of the Board of Directors of Key Pharmaceuticals, Inc. from 1972 until the acquisition of Key Pharmaceuticals by Schering Plough Corporation in 1986. Dr. Frost was named Chairman of the Board of Ladenburg Thalmann Financial Services Inc. (NYSE Amex: LTS), an investment banking, asset management, and securities brokerage firm providing services through its principal operating subsidiary, Ladenburg Thalmann & Co. Inc., in July 2006 and has been a director of Ladenburg Thalmann since March 2005. Dr. Frost also serves as Chairman of the Board of Directors of Ideation Acquisition Corp., a special purpose acquisition company formed for the purpose of acquiring businesses in digital media (NYSE Amex: IDI), Modigene Inc., a development stage biopharmaceutical company (OTCBB: MODG), and Castle Brands, a developer and marketer of premium brand spirits (NYSE Amex: ROX). He serves on the Board of Regents of the Smithsonian Institution, as a member of the Board of Trustees of the University of Miami, a Trustee of each of the Scripps Research Institutes, the Miami Jewish Home for the Aged, and the Mount Sinai Medical Center. Dr. Frost is also a director of Continucare Corporation, a provider of outpatient healthcare and home healthcare services (NYSE Amex: CNU), and Northrop Grumman Corp., a global defense and aerospace company (NYSE: NOC).

Brian S. Genson has been President of Pole Position Investments, a company engaged in the motor sport business, since 1989. Mr. Genson also serves as a managing director of F1 Action located in Stanstead England, which is engaged in investing in the motor sport industry. Mr. Genson has been a director of Ladenburg Thalmann Financial Services, Inc., an investment banking and brokerage firm, since 2004. Mr. Genson was also responsible for introducing Ben and Jerry s Ice Cream Company to the Japanese market. Mr. Genson previously served as a director of Nathan s from 1987 to 1989.

Bennett S. LeBow is the Chairman of the Board of Vector Group. Mr. LeBow has been affiliated with the Company since 1986. Mr. LeBow also serves as President and Chief Executive Officer of Vector Tobacco Inc., and as Chairman of the Board and Chief Executive Officer of New Valley Corporation. Mr. LeBow has a long history in the tobacco industry. In March 1996, under his leadership, Liggett Group broke ranks with the rest of the US tobacco industry and became the first tobacco company to settle smoking-related litigation. The Company made the landmark announcement that smoking is addictive and causes cancer and other health ailments, turned over long-secret tobacco industry documents, disclosed its ingredients, and testified against the industry. Mr. LeBow has also been a strong proponent of the national fight against underage smoking and has been influential in the movement to obtain full disclosure from the tobacco industry. Before devoting himself completely to private business in 1968, Mr. LeBow served in the Pentagon, initially as a First Lieutenant and subsequently as a civilian, serving as assistant to the Assistant Vice Chief of Staff of the United States Army. Mr. LeBow, is a 1960 graduate of Drexel University in Philadelphia, where he obtained a degree in electrical engineering. In 1998, he was awarded an honorary degree of Doctor of Science by Drexel, and Drexel's College of Business and Administration has been named in his honor. He has endowed the Bennett S. LeBow Engineering Center, a state-of-the-art facility that houses Drexel's College of Engineering. In addition, prior to entering the Army, Mr. LeBow, in the 1960's, entered a doctorate degree program at Princeton University, where he also taught logic design of computer systems.

Robert J. Eide has been the Chairman and Chief Executive Officer of Aegis Capital Corp., a registered broker-dealer, since 1984. Mr. Eide has been a director of Vector Group Ltd., a company engaged through its subsidiaries in the manufacture and sale of cigarettes in the United States and Russia, and VGR Holding, Inc., since November 1993. Mr. Eide also serves as a director of Ladenburg Thalmann Financial Services, Inc., an investment banking and brokerage firm.
