Bruce C. Felt, Jr. In October 2006, Mr. Felt executed our written offer of employment as our Chief Financial Officer. The written offer of employment specifies that Mr. Felt’s employment with us is at will. Mr. Felt’s current base compensation is $235,000 per year. He is currently eligible to receive a bonus of up to 60% of his base compensation. Pursuant to the offer letter,Mr. Felt received an option to purchase 500,000 shares of common stock with an exercise price equal to the fair market value of our common stock on the date of grant. In the event Mr. Felt’s employment with us is terminated without cause within the first year of his employment with us, he is entitled to receive a severance payment of six months of his base salary as well as six months of accelerated vesting of unvested shares. If his employment with us is terminated without cause after the first year of his employment with us, he is entitled to receive a severance payment of six months of his base salary, as well as three months of accelerated vesting of unvested shares. Upon a change of control, Mr. Felt is entitled to receive accelerated vesting of 50% of his then unvested shares, and if, within 12 months after the change of control, his employment is terminated by us without cause or by Mr. Felt for good reason, he will be entitled to full acceleration of his unvested shares.

As Vice President in charge of LANDesk Software's business development activities, Bob Macfarlane creates partnership, investments, and licensing deals with key technology partners who can leverage and extend the reach of LANDesk's technologies. Macfarlane spent ten years with Intel Corporation where he distinguished himself in a number of positions. Macfarlane co-managed a $1.2 billion portfolio as part of Intel Treasury and drove significant equity investments as part of Intel Capital. As a director of business development for Intel's Software Products and Services Division he negotiated numerous licenses and partnership agreements, representing multi-million dollars in revenues. Macfarlane has a broad expertise in sourcing, screening and managing deals. He has driven minority equity investments, managed divestitures, conducted M&A research, and is experienced in prospecting, evaluating, and performing due diligence. Macfarlane has also worked at Fidelity Investments, and he has served on the board of several software companies. Macfarlane has a degree in economics from the University of Utah and an M.B.A. in finance from Brigham Young University.

As vice president of sales for Asia/Pacific and Latin America, Ron Gibbons is responsible for directing all sales and channel activities in these rapidly developing markets and creating a growth strategy to increase revenue and profitability for LANDesk Software and its dedicated partner channel. During his tenure at LANDesk Software, Gibbons has driven the revitalization of strategic relationships with global OEM vendors, systems integrators and ISVs. Under his leadership the Strategic Alliances team tripled in size and created new sales/technology agreements with worldwide partners including Siemens, Dell, BMC, Network Associates and Intel. Gibbons is a driven, results-oriented executive with more than two decades experience in the technology industry and the international experience needed to develop global business activities. He has successfully managed worldwide sales efforts that include all aspects of direct sales, inside sales, business development and channel sales in rapid growth organizations. Gibbons joined LANDesk Software from Epixtech Inc., where he served as vice president of worldwide sales and marketing. As vice president of sales at SupportNet, Gibbons managed more than 175 people and delivered more than $325 million in revenue. Gibbons also boasts more than 15 years experience with IBM, where he gained extensive experience in sales, marketing and global services. As general counsel, Matthew S. Dean is responsible for the legal aspects of LANDesk Software's global operations and provides legal support for all corporate activities across all stages of corporate development. Dean has extensive international experience, negotiating deals with partners and customers in Japan, the United Kingdom, China, France and Brazil. Dean joined LANDesk Software in October 2002 as general counsel and assistant secretary. Since joining LANDesk, Dean has helped establish international operations in China, Japan, Mexico, Brazil and throughout Europe. As general counsel for Tomax Corporation, Dean established IP protection and Internet programs, and provided support for their efforts for an initial public offering (later abandoned due to market reasons). As corporate counsel for Iomega Corporation, Dean negotiated global supply, warehousing and transportation agreements, as well as dealing with technology licensing and development agreements. Dean has also worked with Campus Pipeline, Inc. and in private practice with Parsons Behle & Latimer in Utah. Dean is a member of the Utah State Bar and the Association of Corporate Counsel. Dean earned his J.D. and B.A. degrees from Brigham Young University.
