In addition to the foregoing arrangements, Mr. Anderson was considered a global assignee during the period that he was employed with us in Singapore in 2006. Our approach for global assignee employees is to ensure that individuals working abroad are compensated as they would be if they were based in their home country, in this case Australia, by offsetting expenses related to a global assignment. This approach covers all areas that are affected by the assignment, including salary, cost of living, taxes, housing, benefits, savings, schooling and other miscellaneous expenses. Although Mr. Anderson was no longer formally considered a global assignee upon his assuming the President and Chief Executive Officer role at the beginning of 2007, his family s relocation from Singapore to the United States occurred throughout the middle of 2007. Therefore, certain global assignee benefits were provided to Mr. Anderson during 2007 as he completed the transition. Mr. Anderson s employment is at-will and may be terminated by us or by Mr. Anderson at any time. Mr. Anderson does not receive any separate compensation for his services as a member of our board of directors.

The Long-Term Incentive Plan ( LTIP ) is based on performance against the Company s 3-year internal goals. Awards under both plans vest automatically at the end of their respective 3-year performance periods and payments are made in cash.

Angela Glover Blackwell is founder and chief executive officer of PolicyLink, a national research and action institute advancing economic and social equity. By Lifting Up What Works using research to understand and demonstrate the possibilities for positive change PolicyLink presents new and innovative solutions to old problems. Since its inception in January 1999, PolicyLink has partnered with a cross-section of stakeholders to ensure that questions of equity receive the highest priority in addressing major policy issues, including: urban sprawl and smart growth, reinvestment in low-income communities, bridging the digital divide, eliminating racial health disparities, and developing leaders for policy change. PolicyLink is a leading advocate for equitable development, a comprehensive approach which includes the fair distribution of affordable housing throughout regions and equitable public investment. PolicyLink is also working to promote equitable rebuilding in Louisiana, and bring the voices of local and displaced residents into the post-Hurricane Katrina reconstruction planning process. Angela is a national authority on poverty issues, recently contributing a chapter to Ending Poverty in America: How to Restore the American Dream (The New Press, 2007), an anthology edited by former Sen. John Edwards. She also collaborated with Tavis Smiley to develop The Covenant with Black America a New York Times best-selling book of community and policy strategies for economic and social empowerment and the follow-up, Covenant in Action. Along with Manuel Pastor and Stewart Kwoh, she co-authored Searching for the Uncommon Common Ground: New Dimensions on Race in America (W.W. Norton, 2002), a book that demonstrates the existence of continuing racial inequity and explores new policy framings to address the challenges that lie ahead. She is also a frequent guest in the media and her appearances include ABC's Nightline, NOW with Bill Moyers, and National Public Radio. She has been published in the opinion pages of The New York Times, the Los Angeles Times, and the San Francisco Chronicle; and has lectured widely on concentrated poverty and equitable development, appearing before audiences at the Chautauqua Institution, the State of the Black Union, the Global Women's Action Network for Children, and the Aspen Ideas Festival. Angela founded PolicyLink after serving as senior vice president for The Rockefeller Foundation from 1995 to 1998. She directed the Foundation's domestic and cultural divisions and developed the Next Generation Leadership and Building Democracy programs, centered on issues of inclusion, race, and policy. In 1987, she founded the Urban Strategies Council in Oakland, California, and received national recognition for pioneering a community building approach to social change through in-depth understanding of local conditions, community-driven systems reform, and an insistence on accountability. For a decade beginning in 1977, Angela served as a partner with Public Advocates, a nationally renowned public interest law firm representing the underrepresented. She successfully litigated class action suits and developed innovative non-litigation strategies in the areas of employment, education, health, and consumer affairs. Angela earned a bachelor's degree from Howard University, and a law degree from the University of California at Berkeley. She co-chairs a Center for American Progress task force on poverty, called "Hope, Opportunity, and Mobility for Everyone (HOME): The National Initiative to End Poverty." She currently sits on the boards of the Children's Defense Fund, Advancement Project, Sojourners and CFED.

Stephen C. Neal, a director since 2007, is the chairman of the law firm Cooley Godward Kronish LLP. He was also chief executive officer of the firm until January 1, 2008. In addition to his extensive experience as a trial lawyer on a broad range of corporate issues, Mr. Neal has represented and advised numerous boards of directors, special committees of boards and individual directors on corporate governance and other legal matters. Prior to joining Cooley Godward in 1995 and becoming CEO in 2001, Mr. Neal was a partner of the law firm Kirkland & Ellis.
Vanessa J. Castagna, a director since 2007, led Mervyns LLC department stores as its executive chairwoman of the board from 2005 until early 2007. Prior to Mervyns LLC, Ms. Castagna served as chairman and chief executive officer of JC Penney Stores, Catalog and Internet from 2002 through 2004. She joined JC Penney in 1999 as chief operating officer, and was both president and Chief Operating Officer of JC Penney Stores, Catalog and Internet in 2001.
Walter J. Haas joined the Fund?s Board of Trustees in 1972 and has served since early 1996 as the Fund?s Co-Chair with his mother, Evelyn D. Haas, Co-Founder of the Fund. A love of sports and community service guides Walter J. Haas in his long-standing involvement in business, philanthropic and educational organizations, and he draws on all of that experience in his role as Co-Chair and Trustee of the Haas, Jr. Fund. When the Haas, Jr. family owned the Oakland A?s, Walter J. Haas was the club?s executive vice president (1980-87), chief operating officer (1988-89), and then CEO and chairman (1993-95). Since 1995, he has served on the board of directors of Levi Strauss & Co. and as a member of the company's Corporate Ethics and Social Responsibility Committee. He is chairman of the board of Team-Up for Youth, an organization that believes in the power of sports to help young people grow into healthy, resilient and confident adults. Team-Up for Youth fosters high quality physical activity for children, addressing economic, cultural and gender barriers that keep many off the playing field. Walter J. Haas also serves on the boards of the Walter and Elise Haas Fund and Golden Gate National Parks Conservancy. He has served on the boards of the San Francisco Urban School and Marin Country Day School. As an avid and loyal Cal fan, he has contributed his leadership to many of the university?s fundraising efforts.
