William F. Carpenter III has served as CEO of the Company since his appointment on June 26, 2006. Prior to June 26, 2006, Mr. Carpenter served as Executive Vice President of the Company from February 2004 until his appointment as CEO. In addition, Mr. Carpenter served as General Counsel and Secretary of the Company since May 11, 1999 and Corporate Governance Officer since February 2003. From May 11, 1999 to February 2004, Mr. Carpenter served as Senior Vice President of the Company. From November 23, 1998 until May 11, 1999, Mr. Carpenter served as general counsel of the America Group of HCA. Mr. Carpenter was a member of the law firm of Waller Lansden Dortch & Davis, LLP through December 31, 1998. Mr. Carpenter is chairman-elect of the Federation of American Hospitals, the national representative of investor-owned or managed hospitals and health systems.

Jeffrey S. Sherman brings over twenty years of experience in hospital-based and corporate healthcare finance to his new position at LifePoint. Prior to joining the Company on April 20, 2009, Sherman served as Vice President and Treasurer of Tenet Healthcare, where he managed all aspects of corporate finance, including cash flow management and capital structure, and was responsible for risk management. Mr. Sherman worked in various capacities for Tenet and its predecessor company since 1990.

John P. Bumpus is Executive Vice President and Chief Administrative Officer. Mr. Bumpus joined the Company in April 2005 serving as Senior Vice President, Human Resources and Administration. Previously, he served as Vice President Human Resources with Province Healthcare Company. Mr. Bumpus spent the first 23 years of his career as a human resource business partner with a Fortune 500 company. A member of the executive strategic leadership team, Mr. Bumpus provides direction for the organization in the areas of strategic management, talent development, compensation and benefits, and employee and labor relations.

Lanny R. Copeland, M.D. is LifePoint's Chief Medical Officer. Prior to joining LifePoint in 2007, Dr. Copeland served as Vice President, Medical Affairs, for a large hospital company. Previously, Dr. Copeland served as Vice President, Primary Care Development, for Phoebe Putney Health Systems, Inc. in Albany, Georgia. Dr. Copeland's background includes numerous academic appointments and professional memberships. He served terms as Chairman and President for the American Academy of Family Physicians. He also served as President of the American Board of Family Medicine and Professor for the Department of Family and Community Medicine at Mercer University School of Medicine in Macon, Georgia. He practiced medicine for more than 20 years in private practices in Indiana and Georgia.

Paul D. Gilbert is Executive Vice President, Chief Legal Officer and Chief Development Officer for LifePoint Hospitals. He joined the Company in August 2006 as Senior Vice President and General Counsel, Corporate Secretary and Chief Governance Officer. Prior to joining the Company, Mr. Gilbert was a partner of the law firm of Waller Lansden Dortch & Davis, LLP from January 1999 to August 2006. While in private practice, Mr. Gilbert served as lead counsel to hospitals and healthcare systems in the acquisition, affiliation, sale or merger of more than 100 acute care hospitals and behavioral or psychiatric hospitals throughout the United States and the Caribbean. He also served as lead counsel in a significant number of whole-hospital joint ventures, syndications, public hospital privatizations and not-for-profit conversions.

Sharon Roseanne Thompson, MD, MPH is currently a fourth year resident in obstetrics and gynecology at Brigham and Women's Hospital in Boston, MA where she serves as chief resident for teaching. Her experience in education and curriculum planning spans over 10 years. She is currently an active member of the Brigham and Women's Hospital Education Committee as well as the Partners HealthCare Education Committee which oversees educational activities for five hospitals in the Boston area. Dr. Thompson received her medical degree from Mount Sinai School of Medicine, a master in public health from University of California at Berkeley, and her undergraduate degree from Vassar College.

Mike is the Director of IT Audit for LifePoint Hospitals, Inc. based in Brentwood, TN. He has over 8 years experience with Internal Audit as an IT Auditor. Prior to joining LifePoint, he was a manager with Deloitte & Touche's Enterprise Risk Services Group specializing in information technology auditing and Sarbanes-Oxley compliance. In addition, Mike spent over 7 years with HCA's IT Internal Audit group specializing in IT project/contract/vendor management, general computer controls, conversion reviews, and application development. He has been a member of ISACA for 8 years has been a member of the chapter board on 3 occasions.

Elizabeth S. Smoots, MD is a board certified family physician based in Seattle, Washington. A Fellow of the American Academy of Family Physicians, Dr. Smoots specializes in prevention and primary care medicine. She has over 20 years of experience in the medical field in private practice, health maintenance organizations, and various group-practice clinics around the Seattle area.

Hassan Rastegar, MD is a Senior Surgeon in the Division of Cardiothoracic Surgery at Tufts New England Medical Center in Boston, Massachusetts. Dr. Rastegar is also an Associate Professor at the Tufts University School of Medicine. He earned his medical degree from Pahlavi University Medical School in Shiraz, Iran, and completed post-graduate training at the University of Pennsylvania and Northwestern University. Dr. Rastegar's clinical specialties include coronary artery surgery, complex valve replacement and repairs, minimally invasive heart surgery, and heart transplantation. He holds board certification from the National Board of Medical Examiners, the American Board of Surgery, and the American Board of Thoracic Surgery.

Gregory T. Bier was appointed as a director of the Company in February 2008. Mr. Bier retired in 2002 from Deloitte & Touche LLP. Prior to his retirement, Mr. Bier was the Managing Partner of the Cincinnati Office of Deloitte & Touche LLP from 1998 to 2002. Mr. Bier joined Haskins & Sells, which later became part of Deloitte, in 1968, and he has been a certified public accountant since 1970. Mr. Bier served on the Audit Committee of the Board of Trustees of Catholic Healthcare Partners, one of the largest not-for-profit health systems in the United States, from 2002 to 2007. He currently serves on the Board of Directors of Cincinnati Financial Corporation (NASDAQ: CINF), a public company that markets commercial, personal and life insurance through independent insurance agencies.

Michael P. Haley is past President and Chief Executive Officer of MW Manufacturers Inc., a $275+ million window manufacturing facility based in Rocky Mount, Virginia. He continues to serve on the Board of MW Manufacturers Inc and their parent company, Ply Gem Industries, Inc. Prior to his joining MW, he was a recognized leader in the contract furniture industry having served as President and Chief Operating Officer of American of Martinsville, a La-Z-Boy company and President of Loewenstein Furniture Group in Florida. Other boards Mr. Haley serves on include Stanley Furniture Company, American National Bank & Trust Company, LifePoint Hospitals, Inc. and Aero Products. He has been actively involved in many civic and community affairs and currently serves as a board member of the Harvest Foundation of the Piedmont, a $160+ million charitable foundation and is a member of the President's Advisory Board of Roanoke College. Mr. Haley is a graduate of Roanoke College.
