Mr. Schwallie was named our Executive Vice President Business Development and Managed Care in March 2005. Prior to that, he served as our Executive Vice President, Chief Merchandising Officer from August 2003 to March 2005, and our Senior Vice President Pharmacy and Business Development from January 2002 to August 2003. Prior to joining us in January 2002, from 2001 to 2002, Mr. Schwallie served as Senior Vice President-Merchandising at Duane Reade, Inc., a retail drug store chain.

David B. Rickard, age 61, Executive Vice President, Chief Financial Officer and Chief Administrative Officer of CVS Caremark Corporation and CVS Pharmacy, Inc. since September 1999; director of Harris Corporation since October 2001 and Jones Lang LaSalle Incorporated since July 2007.

Howard A. McLure, age 50, is President of Caremark Pharmacy Services. Mr. McLure was Senior Executive Vice President and Chief Operating Officer of Caremark Rx, Inc. from June 2005 until the closing of the CVS-Caremark merger, when he became President of Caremark Rx, L.L.C. Previously, he served as Executive Vice President and Chief Financial Officer of Caremark from May 2000 until June 2005. Mr. McLure joined Caremark as Senior Vice President and Chief Accounting Officer in June 1998. Mr. McLure is a Certified Public Accountant and a member of the American Institute of Certified Public Accountants.

Larry J. Merlo, age 52, Executive Vice President of CVS Caremark Corporation and President of CVS/pharmacy – Retail since January 22, 2007; Executive Vice President - Stores of CVS Corporation from April 2000 to January 2007; and Executive Vice President—Stores of CVS Pharmacy, Inc. since March 1998 and Executive Vice President—Stores of CVS Pharmacy, Inc. from March 1998 to January 2007.

Donna Tanoue joined the company and was appointed Vice Chairman and a member of the Managing Committee in April 2002. She is also President of Bank of Hawaii Charitable Foundation and a Director on the Bank of Hawaii Board of Directors to which she was elected in October 2001. As Vice Chairman, Ms. Tanoue has responsibility for client relations and community activities, areas of major emphasis under the Bank’s new business plan. Ms. Tanoue is the past Chairman of the Federal Deposit Insurance Corporation (FDIC) in Washington, D.C. As FDIC Chairman from May 1998 to July 2001, she was responsible for the federal regulatory agency that supervises more than 5,000 banks and insures more than $3 trillion in bank and savings and loan deposits. Prior to becoming FDIC Chairman, Ms. Tanoue was a partner in the Hawaii law firm of Goodsill Anderson Quinn & Stifel, which she joined in 1987. She concentrated her practice in the areas of bank regulation, real estate finance and governmental affairs. From 1983 to 1987, Ms. Tanoue served as Commissioner of Financial Institutions for the State of Hawaii. Ms. Tanoue received a Bachelor of Arts degree from the University of Hawaii and a Juris Doctor degree from Georgetown University Law Center.

Harold R. Somerset has been a business consultant since 1994. Prior to that, Mr. Somerset served as President and Chief Executive Officer of the California and Hawaiian Sugar Company (C&H) from February 1988 to December 1993. Mr. Somerset joined the Board of Directors of Longs Drug Stores Corporation in 1992. He served as Vice Chairman from October 2002 to February 2003 and Interim President and Chief Executive Officer of Longs Drug Stores from February 2002 to October 2002. Mr. Somerset serves as a member of the Audit and Finance Committee and the Compensation Committee. He is also a member of the board of directors of Brown and Caldwell, a privately held environmental engineering firm.

David M. Denton, age 42, Senior Vice President and Controller/Chief Accounting Officer of CVS Caremark Corporation, since March 2008; Senior Vice President, Financial Administration of CVS Caremark Corporation and CVS Pharmacy, Inc. from April 2007 until March 2008; Senior Vice President, Finance and Controller of PharmaCare Management Services, Inc., the Company’s pharmacy benefits management subsidiary, from October 2005 through April 2007; and Vice President of CVS Pharmacy, Inc. from 2001 through October 2005. He has been an employee of subsidiaries of the Company since July 1999.

Director since March 2006 Age 54 Mr. Dorman is a Managing Director and Senior Advisor with Warburg Pincus LLC, a global private equity firm. From November 2005 until January 2006, Mr. Dorman served as President and a director of AT&T Inc., a telecommunications company (formerly known as SBC Communications). From November 2002 until November 2005, Mr. Dorman was Chairman of the Board and Chief Executive Officer of AT&T Corporation. Mr. Dorman is also a director of Motorola, Inc., a communications products company, and Yum! Brands, Inc., a quick service restaurant company.

Douglas A. Sgarro, age 49, Executive Vice President and Chief Legal Officer of CVS Caremark Corporation and CVS Pharmacy, Inc. since March 2004 and President of CVS Realty Co., a real estate development company and a division of CVS Pharmacy, Inc. since October 1999; Senior Vice President and Chief Legal Officer of CVS Corporation and CVS Pharmacy, Inc. from September 1997 to March 2004. Mr. Sgarro is a graduate of Hamilton College and the University of Virginia Law School. He is a director of the United States Chamber of Commerce.

Evelyn Dilsaver serves as Director of Tamalpais Bancorp and its subsidiary, Tamalpais Bank; she is also a member of Tamalpais Bancorp’s Audit and Enterprise Risk committees. Evelyn Dilsaver is a recognized leader in building highly motivated teams in both the public and non-profit sector. As President and CEO of Charles Schwab Investment Management, she was responsible for all facets of the business from portfolio management to product development, sales, operations and technology, growing the assets from $137 Billion to over $200 Billion in 4 short years while generating $1 Billion in revenue. At the same time, she was Chair of the Board for Women’s Initiative, a non-profit organization that helps lower income women become economically independent, by providing a one-stop organization for training, micro-finance and savings to help them start their own businesses. She took this organization through a founder transition, restructuring the board and its finances after the dot-com bust, to a healthy and growing organization serving over 3000 women annually. Starting her career as a Certified Public Accountant with Ernst & Ernst, Evelyn spent the first 17 years of her career in the finance function as Controller for First Nationwide Bank and for The Charles Schwab Corporation and 3 years as CFO and Chief Administrative Officer for U.S. Trust, a wealth management subsidiary of Schwab. Deciding to move into general management, Evelyn was given the opportunity to hone her skills in marketing, business development, strategy, mergers and acquisition and product development, culminating in the role of President and CEO of Charles Schwab Investment Management. Evelyn has been recognized in the community for her leadership, receiving the 2003 Filipinas Magazine Corporate Award, the San Francisco Business Times “100 Most Influential Woman award for 2004, 2005, 2006 and 2007, the California Women’s Leadership Alliance Award, 2006 and Legal Momentum’s Women of Achievement award, 2007, and Cal State East Bay Alumnae of the Year, 2008. A sought after speaker on leadership and strategy, Evelyn has been a guest lecturer at Stanford’s Senior Executive Program for the last 10 years and has appeared on CNBC and Bloomberg TV. Evelyn is also a frequent speaker at leadership conferences such as the professional Business Women’s Conference, The Governor’s Conference for Women, California Diversity Council and the Financial Women’s Network. Evelyn served on the public company board of Longs Drugs and is presently on the boards of Aeropostale, High Mark Funds and three non-profit boards, Women’s Initiative, The Commonwealth Club and Bishop O’Dowd High School.

Director since March 2007 Age 59 Ms. Gibney Williams retired from Caremark International, Inc. in January 1997. She was previously an executive of Caremark’s Prescription Benefits Management Division, including service as General Manager and as President from 1986 until June 1993 and as Corporate Vice President from June 1993 until her retirement. Caremark Rx, Inc. acquired Caremark International Inc. in September 1996. Ms. Gibney Williams previously served on the board of Caremark Rx, Inc. from February 1999 until the closing of the CVS/Caremark merger, when she became a director of CVS Caremark Corporation.

Helena B. Foulkes, age 43, is Senior Vice President of Health Services of CVS Pharmacy, Inc., a position she has held since October 2007. Previously, Ms. Foulkes was Senior Vice President, Marketing and Operations Services from January 2007 through October 2007, and Senior Vice President, Advertising and Marketing from April 2002 to January 2007. In her fifteen-plus years with the Company, Ms. Foulkes has held positions in Marketing and Operations Services, Strategic Planning, Visual Merchandising and Category Management. She is a graduate of Harvard College and received an M.B.A. from Harvard Business School.

Jean-Pierre (JP) Millon is co-founder of BLS, LLC, a consulting and investing entity based in Indianapolis. He is also a partner in Areks, a Swiss-based pharmaceutical service company. Until September 2000, he was President and Chief Executive Officer of PCS Health Systems, one of the country's largest pharmacy benefit managers. Prior to joining PCS, Mr. Millon was an executive with Eli Lilly and Co., PCS' former parent company. His career with Lilly spanned two decades and was highlighted by leadership positions in the United States, the Orient, Europe, and the Caribbean Basin. Most recently, Mr. Millon served as President and General Manager of Lilly Japan, K.K. and Vice President of the Lilly pharmaceutical division in Kobe, Japan. Mr. Millon is the non-executive Chairman of MPV, Inc., a private health services company, and is an advisory board member with Care Capital LLC, a health care venture fund based in Princeton, New Jersey. Mr Millon also serves on the Boards of AdvancePCS, and IphysicianNet. He is also a member of the Global Advisory Council of The American Graduate School of International Management; Northwestern University's Graduate School of Management Alumni Advisory Board; the Dean's Council of 100 of the College of Business at Arizona State University; and the Barrow Neurological Foundation Board of Trustees.

Jonathan C. Roberts, 51, Executive Vice President, Rx Purchasing, Pricing and Network Relations, CVS Caremark Corporation since January 2009; Senior Vice President and Chief Information Officer of CVS Caremark Corporation from January 2006 until January 2009; Senior Vice President - Store Operations of CVS Pharmacy, Inc. from August 2002 until December 2005; Area Vice President of Stores from April 1997 until August 2002.

Leroy T. Barnes, Jr. joined the Board of Directors of Frontier Communications Corporation in May 2005. He also serves as a Director of Longs Drug Stores, Inc., The McClatchy Company, Herbalife and The California Endowment. In 2005, Mr. Barnes retired as Vice President and Treasurer of PG&E Corporation. From 2001 to 2005, he oversaw all financing, financial planning, risk management, cash management and pension fund operations. In 2004, he led the largest-ever U.S. utility financing, PG&E's landmark $7 billion debt financing in connection with its Plan of Reorganization. Prior to 2001, Mr. Barnes was Vice President and Treasurer of Gap, Inc., the international clothing retailer, where he was responsible for all of the company's financing, cash management, international finance, investor relations and risk management. While at Gap, Inc., he led the company's first major public debt issuance and managed its $1 billion common stock repurchase program. Before joining Gap, Inc., Mr. Barnes held a number of executive positions at Pacific Telesis Group/SBC Communications, including Assistant Treasurer, Division General Manager, and Vice President and Chief Financial Officer of PacTel Corporation. He was a principal in engineering the company's spin-off of AirTouch, Inc., as well as the sale of Pacific Telesis to SBC Communications. His experience also includes positions at UC Press, where he was Chief Financial Officer, and Deloitte & Touche, where he was a Management Consultant. Mr. Barnes earned bachelor's and master's degrees from Stanford University and an M.B.A. from Stanford Business School, where he was a Rockefeller Foundation Finance and Management Fellow.

Lisa M. Harper retired as Chairman of the Board and Chief Creative Officer of The Gymboree Corporation in July 2006. Ms. Harper had been Chairman of the Board of Directors of The Gymboree Corporation since 2002 and Chief Creative Officer since January 2006. Ms. Harper also served as Chief Executive Officer of The Gymboree Corporation from February 2001 to January 2006 and as its President and Chief Operating Officer from 2000 to 2001. Ms. Harper joined the Board of Directors of Longs Drug Stores Corporation in 2006. She is a member of the Compensation Committee.

Director since 1999 Age 67 Ms. Heard has been President and Chief Executive Officer of Oxen Hill Partners, specialists in leadership development programs, since August 2004. From February 1992 until July 2004, Ms. Heard was President and Chief Executive Officer of the United Way of Massachusetts Bay and Chief Executive Officer of United Way of New England, each a social service agency. Ms. Heard is a director of Sovereign Bancorp, a financial services institution, and BioSphere Medical, Inc., a medical products company.

Dr. Metz, 70, is retired from the S. H. Cowell Foundation where she served as President from January 1999 until March 2005. Dr. Metz is a director of AT&T Corporation, Longs Drug Stores Corporation, Pacific Gas and Electric Company and PG&E Corporation. Dr. Metz has been a Director of UnionBanCal since November 1988.

Director Since September 2006 Age 63 Mr. Swift is the former Chairman of the Board, President and Chief Executive Officer of Foster Wheeler Ltd., an international engineering and construction firm, having served in those positions from April 1994 until his retirement in October 2001. Mr. Swift also served as a member and as Chairman of the Financial Accounting Standards Advisory Council (“FASAC”) from 2002 until his retirement from FASAC in December 2006. Mr. Swift is also a director of the Public Service Enterprise Group, an energy company, Ingersoll-Rand Company, Ltd., a diversified industrial company, Kaman Corporation, a diversified manufacturer and distributor, and Hubbell Incorporated, an electrical and electronic products company.

Terrence Murray has served as a director of ChoicePoint since May 2002. He served as Chairman of the Board of FleetBoston Financial Corporation, a diversified financial services company, from 2001 to 2002 and served as Chairman, President and Chief Executive Officer from 1982 through 2001, except in 1988, when he served only as President and from 2000 to 2001, when he served as Chairman and Chief Executive Officer. He serves as a director of FleetBoston Financial Corporation, A. T. Cross Company, a producer of writing instruments, CVS Corporation, a retail drugstore chain, and Air Products and Chemicals, Inc., a gas and chemicals company.

V. Michael Ferdinandi, age 58, Senior Vice President — Human Resources and Corporate Communications of CVS Caremark Corporation and CVS Pharmacy, Inc. since April 2002; Vice President — Human Resources, Organizational Development of CVS Pharmacy Inc. from April 1999 to April 2002.

William L. Chenevich has served as a director since April 1995. Mr. Chenevich has served as Vice Chairman of Technology and Operations for U.S. Bancorp, a financial holding company, since February 2001. He served as Vice Chairman of Technology and Operations Services of Firstar Corporation, a financial services company, from 1999 until its merger with U.S. Bancorp in February 2001. Prior thereto, he was Group Executive Vice President of VISA International, a financial services company, from 1994 to 1999. Mr. Chenevich serves as a director of Longs Drug Stores Corporation. Mr. Chenevich holds a B.B.A. degree in Business from the City College of New York and a M.B.A. degree in Management from the City University of New York.
