"Mr. Halpern began his employment on January 15, 2007 and brings over 25 years of relevant financial, investment community and entertainment industry experience to his role at Mad Catz. As CFO Mr. Halpern is responsible for managing all financial and treasury functions, SEC reporting and compliance, bank and financial community relationships and conducting internal and industry analysis to support the Company's strategy and goals for growth and profitability. Prior to joining Mad Catz, Mr. Halpern served as Head of Finance of Rockstar Games, a division of Take Two Interactive Software, Inc. (Nasdaq: TTWO) and one of the most successful videogame publishers in the industry. In Take Two Interactive Software's 2005 fiscal year Rockstar Games generated over $500 million of revenue. At Rockstar, Mr. Halpern was involved in the oversight of financial, business and legal affairs including annual budgets, Sarbanes-Oxley compliance, analysis and negotiation of acquisitions, and publishing and licensing transactions. Mr. Halpern previously served as Chief Financial Officer of Rush Communications, the holding company of entertainment industry entrepreneur Russell Simmons. At Rush, Mr. Halpern oversaw the financial affairs of businesses including Def Jam Music and Phat Fashions, with aggregate sales nearly quadrupling in the three years of his tenure. Mr. Halpern also has extensive Wall Street experience, both as a sell-side videogame and entertainment industry analyst with the firms of RBC Capital Markets, Banc of America Securities and Furman Selz, and, earlier, as an investment banker in the Media and Entertainment Group at Credit Suisse First Boston. "Peterson is responsible for all corporate opportunities at Mad Catz and handles all legal issues. Since joining Mad Catz, he has negotiated numerous license and other agreements within the video game industry, including the first ever memory card license with Sony. Peterson spent seven years at the International law firm of Latham & Watkins, where he represented and consulted with numerous Fortune 500 companies. He is also the co-founder and co-owner of Cornerstone Films of America, a production company that produces and markets full-length motion pictures worldwide. Peterson received his law degree from the J. Rueben Clark School of Law at Brigham Young University, where he graduated Magna Cum Laude. He also served as an articles editor on the BYU Law Review in which he was published. Following law school, Peterson clerked for the Honorable Bruce S. Jenkins, Chief Judge of the Federal District Court in Utah. "

Donald L. Lenz, Chairmain of the Audit Committee, is currently Managing Director of Newport Partners Inc. Mr. Lenz also sits on several boards including those of Mad Catz Interactive Inc., Cancer Care Ontario, and The Laidlaw Foundation. He is also Vice Chairman of the Ontario Research and Development Challenge Fund and Chair of Cancer Care Ontario Central East Region. From 1986 to 1999, Mr. Lenz was a senior partner with the Investment Banking Division of RBC Dominion Securities Inc. Mr. Lenz has been a director of the Company since September 1999.

Mr. Molyneux has been a Director of the Company since June 2006 and serves on both the Audit and Compensation and Governance Committees. Mr. Molyneux has been a principal in Imperial Capital Corporation, a private equity buy-out firm based in Toronto, Canada, since September 2004. Previously, Mr. Molyneux was President of Ravenna Capital Corporation, a private merchant banking firm he founded in 1992. Mr. Molyneux has been a director of numerous private and public companies, and he is currently a director of Jutan (Citizen) Electronics, one of Canada’s leading consumer electronics companies, and Procaps LLP, a leader in one the world’s fastest growing extreme sports. Mr. Molyneux holds an Honours Bachelor of Business Administration degree from Wilfrid Laurier University. Mr. Molyneux is also a Chartered Accountant.

Mr. Woodward has been a Director of the Company since June 2006 and serves on the Audit Committee. Mr. Woodward has been the Managing Director and a founder of Anthem Venture Partners since 2000. Prior to founding Anthem Venture Partners, Mr. Woodward was a Managing Director of Avalon Investments, an early-stage technology venture capital firm. Mr. Woodward has founded numerous technology companies, including Paracomp, which later became MacroMedia, Inc., the largest multimedia software company in the world at its initial public offering, and Pulse Entertainment, the world’s leading 3D animation engine and tools company for mobile communications. Mr. Woodward sits on the board of directors of several private companies, including Axiom Microdevices, Solarflare, Buzznet, and Planet A.T.E, and is Chairman of the Board of Wavestream, Nevengineering, and Pulse Entertainment.
