Mr. Norden, previously Executive Vice President and Chief Financial Officer at Wyeth Pharmaceuticals, has been with Wyeth since 1989. He has held positions of increasing responsibility, including Senior Vice President, Finance and Chief Financial Officer, American Home Food Products; and Senior Vice President and Chief Financial Officer, Wyeth Laboratories -- North America. He served as Executive Vice President and Chief Financial Officer, Wyeth Pharmaceuticals since 2000. Prior to joining Wyeth, Mr. Norden was employed by Arthur Andersen & Company in New York. He has earned an undergraduate degree from the State University of New York at Plattsburgh and a Master of Science in Accounting from C. W. Post College. He is also licensed as a certified public accountant.

Mr. Keisling joined Wyeth in 2000 and was responsible for Information Services for Wyeth Pharmaceuticals. Prior to joining Wyeth, he was Senior Vice President and Chief Information Officer of Advanta Financial Services. In addition, he spent twelve years with Rhone-Poulenc Rorer Pharmaceuticals in a range of executive leadership positions including Chief Information Officer from 1995-1998. Mr. Keisling received his degree from Indiana University of PA. He is a Director of Answerthink Consulting Inc and is a Board member of Pharmaceutical Information Services Association (PISA).

Mr. Manspeizer comes to Wyeth from Finnegan, Henderson, Farabow, Garrett & Dunner, LLP in Washington, D.C., where he served as a Partner since 2000 and an Associate since 1991. Mr. Manspeizer received a Bachelor of Arts degree from the University of Pennsylvania and a Juris Doctor degree from Rutgers University School of Law.

Mr. Dworkin comes to Wyeth from Arnold & Porter in Washington, D.C. where he served as a Partner since 2001, and previously as Partner from 1985 to 1997. From 1997 to 2001, Mr. Dworkin served in the Department of Defense, first as Deputy General Counsel and then as General Counsel. Mr. Dworkin received a Bachelor of Arts degree from Oberlin College, a Master of Arts degree in International Relations at Yale University, and a Juris Doctor degree from Yale Law School.

Ms. Lach joined the Corporation as Special Counsel - International in 1989 and was promoted to Assistant General Counsel in 1992. She became Corporate Secretary in 1997 and was promoted to Associate General Counsel - International in 2000. Prior to joining Wyeth, Ms. Lach had been a partner at Drinker, Biddle & Reath, where she had practiced international corporate and commercial law. Ms. Lach received her B.A., magna cum laude, from the University of Minnesota. She holds a J.D. from New York University School of Law and a master’s degree from Princeton University.

Since joining Wyeth in 2002, Mr. Kelly has handled a wide range of assignments in finance, most recently as Vice President, Finance Operations. Prior to joining Wyeth, he was at Arthur Andersen LLP for more than 35 years where he served as a Partner in the firm, the Partner in Charge of the Audit & Business Consulting Practice of Metro New York, and Managing Partner and Head of Accounting & Audit Practice for the firm’s New Jersey-based operations. He is a certified public accountant and was an elected member of the Council of the American Institute of Certified Public Accountants. He earned both his B.S. in business administration and M.B.A. in international finance from Seton Hall University.

Gary L. Rogers retired as Vice Chairman of General Electric Company in 2003 having served in that capacity since 2001. Prior to that time he had been a Senior Vice President of GE, having been elected to that position in 1986. Mr. Rogers was the President and Chief Executive Officer of GE Plastics from 1992 to 2001. For the preceding two years he had been the President and Chief Executive Officer of GE Appliances. He had begun his career with GE in 1966 as a member of the Financial Management Program and had advanced to Manager of Program and Staff Administration by 1976. Thereafter he had held positions of increasing responsibility in the financial and operational management of various divisions and subsidiaries of GE, including GE Lighting. In addition to his membership on the Board of Wyeth, Mr. Rogers is a Director of Rohm & Haas Company and W.W. Grainger Inc. He is also a Trustee of Florida State University Foundation. Mr. Rogers holds a bachelor’s degree in Marketing from Florida State University.

John P. (Jake) Mascotte is the retired President and Chief Executive Officer of Blue Cross Blue Shield of Kansas City in which capacity he served between 1997 and 2001. Before joining Blue Cross Blue Shield, Mr. Mascotte served as Chairman of Johnson & Higgins of Missouri commencing in January 1996, and from 1983 to 1995 as Chairman and Chief Executive Officer of The Continental Corporation, which merged in 1995 with CNA. In addition to being a Director of Wyeth, he serves as a Director of Hallmark Cards, Inc. and Crown Media Holdings, Inc. He is the Chairman of the Hallmark Cards and the Crown Media Holdings, Inc. Audit Committees. He is the Chairman of Common Cents, Inc., a national non-profit focused on the social development of children in our nation's primary schools. He is a Trustee of the Hall Foundation and a Trustee Emeritus of The Aspen Institute. He is the Vice Chairman of the Aspen Community Foundation and a member of the Board of the National Catholic Reporter. He is a former Trustee of The New York Public Library and Lincoln Center for the Performing Arts in New York City.

Ms. Wold joined Wyeth as Vice President – Taxes in 2002 with responsibility for the Corporation’s worldwide tax matters. In 2005, she assumed the position of Senior Vice President – Tax and Treasury. Prior to joining Wyeth, Ms. Wold was a partner in the New York law firm of Shearman & Sterling beginning in 1988 and was the head of its worldwide tax practice group from 1995 through 2000. Ms. Wold earned an undergraduate degree from Hamline University in St. Paul, Minn., where she was elected a member of Phi Beta Kappa. She earned her J.D. from the University of Michigan Law School.

Dr. Dolsten, previously was Executive Vice President within Pharmaceutical Research & Development/Medicine at Boehringer Ingelheim. He was responsible for leading the company’s worldwide pharmaceutical research in the U.S., Canada, Germany, Italy, Austria and Japan – with major programs in seven therapeutic areas including respiratory, inflammation/immunology, oncology, virology, cardiovascular, metabolism and CNS. In addition, he was a member of the corporate management team responsible for reviewing all worldwide development projects and licensing opportunities. Prior to joining Boehringer Ingelheim, Dr. Dolsten spent more than 15 years in various leadership roles in pharmaceutical research including positions with AstraZeneca and Pharmacia & Upjohn. Dr. Dolsten earned his Ph.D. in tumor immunology and M.D. from the University of Lund in Sweden. He also studied virology and cell biology at the Weizmann Institute in Israel and has been appointed as Adjunct Professor in Immunology at the Medical Faculty in Lund.

Dr. Langer has served as a scientific consultant and director since June 2002. Dr. Langer is currently the Chairman of the Company s Scientific Advisory Board. Dr. Langer is a co-founder of Sontra Medical, Inc. Since 1979, Dr. Langer has been Germeshausen Professor of Chemical and Biomedical Engineering at the Massachusetts Institute of Technology. Dr. Langer is also currently a director of Momenta Pharmaceuticals, Inc., a biotechnology company developing drugs based on sugar sequencing technology, Boston Life Sciences, Inc., a company focused on research and development of therapeutic and diagnostic products, and Wyeth, a pharmaceutical and consumer healthcare products company. Dr. Langer received his B.S. from Cornell University in 1970 and his Ph.D. from MIT in 1974, both in chemical engineering.

Dr. Hofstaetter comes to Wyeth from Aventis, where he served as Senior Vice President, Corporate Development. Prior to the merger that created Aventis, Dr. Hofstaetter was Senior Vice President, Business Development and Strategic Planning, for Hoechst Marion Roussel from 1995 through 1998 and was Executive Managing Director of Hoechst Japan Pharmaceuticals from 1991 to 1994. He previously worked for Behringwerke AG in Germany, where he started as a Research Scientist in 1978 and rose to Head of Research in 1988. Dr. Hofstaetter received his Ph.D. in Biochemistry/Molecular Biology, magna cum laude, from the University of Tuebingen in Germany.

Ivan Seidenberg is chairman of the board and chief executive officer of Verizon. Under Seidenberg's leadership, Verizon has become a premier network company, providing customers with the most advanced and innovative broadband experiences. Seidenberg was instrumental in forming Verizon through a number of mergers and acquisitions, including Bell Atlantic and NYNEX (1997), GTE (2000) and MCI (2006). He also helped create what is now Verizon Wireless in 1999 by bringing together the assets of Bell Atlantic Mobile, GTE Wireless and the U.S. properties of Vodafone AirTouch. Seidenberg has led Verizon since its inception, first as co-CEO in 2000, then as sole CEO since 2002 and chairman of the board since 2004. Verizon now operates an advanced global Internet backbone, a premier national wireless network and with the company's deployment of its high-speed, fiber-optic FiOS technology a next-generation broadband network. Verizon's leadership in network innovation has earned the company numerous citations and awards, including being named to the BusinessWeek 50, which represents the "best in class" from each sector of the S&P 500. Prior to the creation of Verizon, Seidenberg was chairman and CEO of Bell Atlantic and NYNEX. He began his communications career more than 40 years ago as a cable splicer's assistant and has held numerous operations and engineering assignments, including various leadership positions at NYNEX and Bell Atlantic. Seidenberg has a long-standing commitment to education and has made Verizon a leader in finding innovative ways to use communications technology to improve educational and literacy performance in the U.S. He also champions diversity both within and outside the company, and under his leadership Verizon's commitment to diversity has been widely recognized.

Raymond McGuire is Citi's Head of Global Banking, based in New York. He has responsibility for managing the coverage of Global Industries and clients and executing strategic transactions. Mr. McGuire is a member of Citi's Institutional Clients Group Executive Committee and the Institutional Clients Group Business Practices Committee. He is also a member of Citi's Senior Leadership Committee. At Citi, Mr. McGuire has advised on transactions valued at more than $200 Billion, including representing Time Warner in its separation of Time Warner Cable ($45.0 Billion); Conoco Phillips Co.'s ($36.0 Billion) acquisition of Burlington Resources; Koch Industries' ($21.0 Billion) acquisition of Georgia Pacific; EDS in its sale to Hewlett Packard ($13.0 Billion); SABIC's ($12.0 Billion) acquisition of GE Plastics, UST in its sale to Altria ($12.0 Billion) and Wyeth [Director] in its sale to Pfizer ($68 Billion, pending). Prior to joining Citi, Mr. McGuire was the Global Co-Head of Mergers & Acquisitions at Morgan Stanley; Managing Director in the Mergers and Acquisitions Group of Merrill Lynch & Co., Inc.; and one of the original members of Wasserstein Perella & Co., Inc. where he became a Partner/Managing Director in 1991. He started his career in 1984 in the Mergers and Acquisitions Group of The First Boston Corporation. Presently, Mr. McGuire serves on several boards including: De La Salle Academy (Chairman of the Board), FAPE ["Foundation for Art and Preservation in Embassies"] (Board Member), the Alex Hillman Family Foundation (Trustee), the International Center of Photography (formerly President of the Board), Lincoln Center (Trustee), New York-Presbyterian Hospital (Trustee), The New York Public Library (Trustee and member of the Executive Committee), the Studio Museum in Harlem (Chairman of the Board), Whitney Museum of American Art (Vice Chairman and Chairman of the Nominating Committee). He is also a Director of the Wyeth Corporation (Nominating & Governance Committee). In the past, he has served on the boards of the Joseph & Claire Flom Foundation, the Howard Gilman Foundation, the Hotchkiss School, and the San Remo Tenants' Corporation (formerly President of the Board). He has also served on various Visiting Committees at Harvard University, as well as a member of the Overseers/Directors Nominating Committee. In April 2009, he was bestowed the Humanitarian Leadership Award from CUP ("Council of Urban Professionals"). In February 2009, he was featured in Black Enterprise Magazine as on of the "100 Most Powerful Executives in Corporate America". In May 2008, he was presented the Frederick Douglas Award by the New York Urban League. In April 2008, he was inducted by Morehouse College as one of the inaugural members of the Martin Luther King, Jr. International Board of Renaissance Leaders. In October 2006, he was featured on the cover of Black Enterprise Magazine as one of the most powerful Blacks on Wall Street. He was recognized by Avenue Magazine as on of New York's "50 Smartest". Mr. McGuire has been honored by the Make-A-Wish Foundation and Art for Life Foundation. Pratt Institute honored him as its inaugural distinguished "Patron of the Arts". He has also been honored with Harvard Business School's African-American Student Union's Professional Achievement Award, has presented at Harvard Law School's Traphagen Distinguished Alumni Speaker Series and emceed the first Harvard College Black Alumni Weekend. He received his MBA and JD from Harvard Business School and Harvard Law School (1984), and an AB, cum laude, from Harvard College (1979). He also attended the University of Nice, France while on a Rotary Fellowship (1980). He has had legal experience at the law firms of Skadden, Arps, Slate, Meagher & Flom as well as Patterson, Belknap, Webb & Tyler.

Mr. Landry began his career at Wyeth Pharmaceuticals in 1988. In 2004, he was appointed Chief Financial Officer of Wyeth Pharmaceuticals in Australia and New Zealand. In 2006, he was promoted to Director, Sales and Marketing, Wyeth Australia.

Robert M. Amen was elected Chairman and Chief Executive Officer of IFF on July 1, 2006. Mr. Amen most recently served as President of International Paper Company, retiring from that post in March 2006. During his 26 years with International Paper, Mr. Amen played a major role in developing the company’s international strategy and, more recently, in transforming the company’s operations and business focus to accelerate performance. He was named president of International Paper in 2003, having previously served as executive vice president of the company from 2000-2003 and president of International Paper Europe from 1996-2000. He is currently a member of the Wyeth Board of Directors, and sits on the Advisory Board of the Deming Center at Columbia University. In addition, he is a member of the Board of the Inner City Scholarship Fund and the Personal Care Products Council. He also serves on the Leadership Committee of the Lincoln Center Corporate Fund. Mr. Amen is a Knight of Malta. Mr. Amen has a bachelor's degree in economics from Boston College and a master's degree in business administration from Columbia University.

Mr. Ganzi has been a director of the Company and chairman of the Audit Committee of the Board since 1999. He was named to the Compensation Committee in 2008. Mr. Ganzi served as a director of Olsten Corporation from 1998 to 2000. He has been president and chief executive officer of The Hearst Corporation, a private diversified communications company with interests in magazine, newspaper and business publishing, television and radio stations and cable programming networks, since 2002. Mr. Ganzi served as Hearst's executive vice president from 1997 to 2002 and as its chief operating officer from 1998 to 2002. From 1992 to 1997, at various times, he served as Hearst's senior vice president, chief financial officer and chief legal officer. Mr. Ganzi is chairman of the board of directors of Hearst-Argyle Television, Inc. He is a director of Wyeth.
