Material Sciences Corp.

Clifford Nastas has served as chief executive officer and director of Material Sciences since December 2005. Since his appointment as president and chief operating officer in June 2005, Nastas has been responsible for all operations, sales and marketing, purchasing and human resources functions for Material Sciences. Nastas joined Material Sciences in 2001 and has held several management roles during his tenure. He previously held management positions with Honeywell, Ford Motor Company and Avery Dennison. He holds a Master of Business Administration degree from Case Western Reserve University and a Bachelor of Science degree in chemical engineering from Wayne State University.

James Froisland was named chief financial officer, chief information officer and corporate secretary for Material Sciences in June 2006. Prior to this role, Froisland most recently served as senior vice president, chief financial officer and chief information officer for InteliStaf Healthcare, Inc., the nation's largest, private provider of healthcare staffing services, in Oakbrook Terrace, Ill. He previously held senior financial and information technology positions at Burns International Services Corp., Anixter International Inc., Budget Rent A Car Corporation, and The Pillsbury Company. Froisland started his career with KPMG. Froisland has a Master of Business Administration degree in management information systems from the University of Minnesota and Bachelors of Arts degrees in math and accounting from Luther College. He holds a Certified Public Accounting license in the state of Minnesota and is a member of the Illinois CPA Society, American Institute of Certified Public Accountants, and Financial Executives International.

John Klepper has served as vice president of Human Resources at Material Sciences since June 2003. He joined the company in March 2000 and has served as vice president of Human Resources for the company's Engineered Materials and Solutions Group and director of Corporate Human Resources. Prior to coming to Material Sciences, Klepper was the vice president of Human Resources for Fluid Management, Inc., a worldwide manufacturer of mixing and tinting equipment for the paint, coatings, and ink industries. He earned a Master of Business Administration degree from DeVry University's Keller School of Management and a Bachelor of Science degree in business administration from Loyola University. He is a member of the Society of Human Resource Management, Human Resource Management Association of Chicago, American Compensation Association, and the American Society of Training and Development.

Avrum Gray has served as a director since 2003. He is chairman and founding partner of G-Bar Limited Partnership and affiliates, one of the nation's largest independent options trading firms and a leading specialist in computer-based arbitrage activities in the derivatives markets, a position he's held since 1982. From 1969 to 1999 he was chairman of the Board of Alloy Consolidated Industries, a privately held automotive aftermarket company, and he served as chairman of the board of Lynch Systems, Inc., a capital equipment manufacturer, from 1991 to 2001. Gray is also a member of the board of directors of Lynch Corporation; Nashua Corporation, a manufacturer of paper products and labels; SL Industries, Inc., a manufacturer of power and data quality equipment and systems; and Lynch Interactive Corp., a multimedia services corporation. He is a member of Illinois Institute of Technology Financial Markets and Trading Advisory Board, serves as a trustee of Spertus College, and is a governing member of the Chicago Symphony Orchestra. Gray is a former member of the Illinois Institute of Technology Board of Overseers MBA program, former chairman of Chicago Presidents Organization, former Chairman of the Board of Trustees of Spertus College, and former Presidential Appointee to the United States Department of Commerce.

Dominick Schiano was named a director in July 2007. Schiano, 52, is vice chairman, Global Industrial Partners of Credit Suisse DLJ Merchant Banking, a position he has held since March 2007. In this role he is responsible for sourcing investment opportunities and providing strategic, operational and financial guidance on portfolio company investments in the industrial sector. Prior to joining Credit Suisse, Schiano served as a managing director and member of the investment committee of Questor Partners Funds, a position he held from 2003 to 2007. From 1997 to 2003, he served in several leadership roles at Textron Inc., including executive vice president and general manager of the Threaded Products Group at Textron Fasteners Inc. and executive vice president and chief financial officer of Textron Automotive Inc. From 1994 to 1997, he was director of business development at TRW, Inc. Occupant Restraint Systems Group, where he was responsible for worldwide business development activities, including mergers and acquisitions, joint ventures, licensing, and strategic alliances of all kinds. He was also an officer of TRW's European Holding Company. Schiano serves on the board of directors of Paradigm Precision Holdings LLC and is chairman of its audit committee. He previously served on the board of a number of Questor portfolio investments and for TRW Automotive and Textron Inc. on several cross-border joint ventures.

A director since 2002, Frank Hohmann is a private investor who spent 23 years with Donaldson, Lufkin & Jenrette, which was acquired by Credit Suisse First Boston. Hohmann was a managing director in the equity derivatives group at Credit Suisse First Boston until his retirement in 2002. Prior to Donaldson, Lufkin & Jenrette, Hohmann was a managing director at WM Sword and Co. He is a member of the board of directors of Egerton Capital Limited, and is a trustee of Winterthur Museum and Madison Avenue Presbyterian Church.

Patrick McDonnell was named a director in December 2006. He is president and chief executive officer of The McDonnell Company, LLC, a company he founded in July 2000. The McDonnell Company is a consulting firm that counsels companies through significant transitions. Previously McDonnell served as president and chief executive officer of Jordan Professional Services and prior to that as president and chief operating officer of LAI Worldwide, Inc. During his 28-year tenure at Coopers & Lybrand, McDonnell held a number of leadership positions and completed his career at the company as vice chairman of the business assurance division from 1993 to 1998. He also currently serves on the board of directors and the audit committee of First Midwest Bancorp.

Sam Licavoli has been a director since April 2006. In 2003 he retired from his role as the president and chief executive officer of the Industrial Group of Businesses at Textron, Inc., a position he held from March 2003. Previously he served as chairman, president and chief executive officer of Textron Industrial Company from July 2000 through March 2003 and as chairman, president and chief executive officer of Textron's Automotive Group from June 1998 through July 2000. Licavoli was president of Textron's Automotive Trim Company from 1996 through June 1998. He is a member of the board of directors of Siegel Robert, Waterbury Companies, and Breeze Industrial Products Corporation.
