The Mosaic Company is one of the worlds leading producers and marketers of concentrated phosphate and potash crop nutrients for the global agriculture industry. Through our broad product offering, we are a single source supplier of phosphate- and potash-based crop nutrients and animal feed ingredients. We serve customers in more than 40 countries. We mine phosphate rock in Florida and process rock into finished phosphate products at facilities in Florida and Louisiana. We mine potash in Saskatchewan, New Mexico and Michigan. We have made strategic equity investments in phosphate production facilities and phosphate rock mines in Brazil; and other production, blending or distribution operations or equity investments in nearly a dozen countries, including the top four nutrient-consuming countries in the world. The Mosaic Company is a Delaware corporation that was incorporated in January 2004 to serve as the parent company of the business that was formed through the business combination of IMC Global Inc. and the fertilizer businesses of Cargill, Incorporated. As of May 31, 2009, Cargill owned approximately 64.3% of our outstanding common stock. We are publicly traded on the New York Stock Exchange under the ticker symbol MOS and are headquartered in Plymouth, Minnesota. James T. Prokopanko became our President and Chief Executive Officer in January 2007. Mr. Prokopanko joined Mosaic as our Executive Vice President and Chief Operating Officer in July 2006. Ross Hight is The Mosaic Company's Chief Technology Officer and Vice President of Technology Services. His responsibilities include providing technical leadership on eLearning solutions and managing the development of training and process solutions. Ross manages a team of highly skilled programmers that produce innovative solutions for a wide range of business needs. David Seaton serves as senior group president over Fluor Corporation's Energy & Chemicals, Power, and Government business groups, In addition, he is responsible for Fluor's activities in China and the Middle East. Active in many business organizations, Seaton serves on the Coordinating Committee on Oil & Gas for the National Petroleum Council (NPC) and is a board member of the American Petroleum Institute (API) and the U.S. Saudi Arabian Business Council. Seaton holds a bachelor's degree from the University of South Carolina. He completed the Advanced Management Program at the Wharton School of Business and Thunderbird University's International Management Program.

Douglas A. Pertz became a member of our board of directors in November 2004. Mr. Pertz is currently the President and Chief Executive Officer of Clipper Windpower Plc. Prior to that he was the Chairman and Chief Executive Officer of IMC Global Inc., one of the world’s leading producers and marketers of concentrated phosphate and potash crop nutrients, from October 2000 until IMC merged to form The Mosaic Company in October 2004. From October 1999 to October 2000, Mr. Pertz served as President and Chief Executive Officer of IMC Global Inc. and from October 1998 to October 1999, as President and Chief Operating Officer of IMC Global Inc. Prior to joining IMC Global Inc., Mr. Pertz served from 1995 to 1998 as President and Chief Executive Officer and as a director of Culligan Water Technologies, Inc., a leading manufacturer and distributor of water, purification and treatment products. He has previously served as a member of the board of directors of The Mosaic Company, Compass Minerals International Inc. and Bowater Incorporated.

Fredric W. Mr. MacKay has served as Counsel to the law firm MacPherson Leslie & Tyerman LLP (MacPherson) in Regina, Saskatchewan, Canada since 2005 and was a partner of MacPherson from 1969 to 2004. He served as the Clifford Clark policy advisor to the Department of Finance of Canada from 2002 to 2004 and chaired the Task Force on the Future of the Canadian Financial Services Sector in 1997 and 1998. Mr. MacKay is the non-executive Chairman of the Board of Directors of Domtar Corporation and a director of The Toronto-Dominion Bank. Mr. MacKay was made an Officer of the Order of Canada in 2002, served as a director of The Vigoro Corporation from 1994 through its acquisition by IMC Global Inc. in 1996, and served as a director of IMC Global Inc. from 1996 to October 2004.
