C. Edward (Chuck) Chaplin is president, chief administrative officer and chief financial officer of MBIA Inc. and he is also vice chairman and chief financial officer of its principal operating subsidiary, MBIA Insurance Corporation. Mr. Chaplin is responsible for the Company's accounting, tax, treasury and investor relations functions, financial planning, reinsurance, banking and liquidity management, information technologies and management services. He also oversees the company's relationships with the ratings agencies. Prior to joining MBIA in 2006, Mr. Chaplin was senior vice president and treasurer of Prudential Financial Inc., responsible for its capital and liquidity management, corporate finance, and banking and cash management. He was chairman of the Financial Controls Council, a management group supervising capital commitments, a member of the Investment Oversight Committee of the company's benefit plans and a member of Prudential's Disclosure Committee. Mr. Chaplin joined Prudential in 1983 as an associate investment manager in the Prudential Realty Group, and continually took on increasing responsibilities. In 1993, he was promoted to managing director and assistant treasurer, and then appointed treasurer in 1995. He was promoted to senior vice president in 2000. Mr. Chaplin has an undergraduate degree from Rutgers College and a Master's Degree in City and Regional Planning from Harvard University. He has held the Chartered Financial Analyst designation since 1997. Mr. Chaplin is a member of the Board of Overseers of Rutgers University, as well as a member of the Executive Leadership Council, a workplace diversity advocacy organization, and the President's Advisory Council of Hampton University.

Ms. Randolph is a managing director and chief technology officer (CTO) of MBIA Insurance Corporation, responsible for directing and implementing the company's global technology strategy. Prior to becoming the CTO, Ms. Randolph was the director of Infrastructure and Operations in the Information Technology Division, which included all domestic and international offices and engineering responsibility for 1838, a former MBIA wholly-owned subsidiary. Ms. Randolph significantly increased business value with the implementation of a global private network connecting all offices, the development of the worldwide Disaster Response and Recovery Plan, and the implementation of the company's first automated trading system. Before joining MBIA in 2000, Ms. Randolph spent 20 years at MetLife, where she had a series of increasingly larger IT management roles, most recently as the Director of Information Technology in the Corporate Investments Division. Ms. Randolph was recognized by the National Eagle Leadership Institute with an Eagle Award in 1997 for her outstanding leadership at work and in the community while at MetLife. Ms. Randolph is a trustee of Mercy College, a board member of the Women's Bond Club and a member of the executive board of the Westchester County Association. She holds a Bachelor of Science degree from Gannon University.

Willard I. Hill Jr. is a managing director and chief marketing and communications officer. In this role, Mr. Hill is responsible for the company's communications strategy and brand management. He oversees corporate marketing and communications, investor relations, government relations and the MBIA Foundation. From 1980 to 2000, Mr. Hill was at Aetna, Inc., where he held positions of increasing responsibility, most recently as senior vice president of domestic emerging markets leading new business development. Previously at Aetna, he was vice president and Washington counsel for federal government relations, and counsel, head of the corporate/securities practice group. Mr. Hill began his legal career as a trial attorney with the Federal Government in Washington, DC. Mr. Hill received a BA in political science and sociology, cum laude, from Fisk University, a JD from Howard University and an MBA from the University of Connecticut. RICHARD H. WALKER (55) Mr. Walker is the general counsel of Deutsche Bank, where he oversees the Legal and Compliance departments worldwide. Claire Guadiani is an expert on the history and economics of American philanthropy. She is clinical professor at New York University, where she directs the graduate program in philanthropic studies. She recently wrote The Greater Good (Henry Holt/New York Times Books). This widely-cited book argues that Americans are not generous because we are rich, but rich because we are generous. She is also the author of Generosity Rules!, a handbook for personal generosity, and five additional books on scholarly and management topics. Guadiani served for 13 years as President of Connecticut College, and was previously a professor at the University of Pennsylvania and Purdue University. She is a Fellow of the American Academy of Arts and Sciences, a director of The Henry Luce Foundation, MBIA Inc. and The National Council for Economic Education. She is a trustee of Worcester Polytechnic Institute. She is the recipient of ten honorary doctorates and of the Rosso Medal for distinguished service to philanthropy from the Indiana University Center on Philanthropy. Guadiani holds a Ph.D. in French literature from Indiana University. She and her husband of forty years, David Burnett, have two children and two grandchildren.

Debra Perry joined Conseco's board of directors in June 2004. From 2001 until 2004, she served as senior managing director of global ratings and research at Moody's Investors Service. As senior managing director, Perry was in charge of Moody's Americas Corporate Finance and Public Finance Departments. These groups are responsible for ratings of all non-financial corporations in the Americas and for tax-exempt securities in the United States.
During her 12-year career at Moody's, she also served as chief administrative officer and chief credit officer, with responsibility for credit policy, technology, human resources and both internal and public communications. In addition, she managed the Finance, Securities and Insurance Group that rated all non-bank financial institutions worldwide. She also served as a team leader for a Moody's task force on organizational performance, one of five task forces established to implement a comprehensive reorganization of the company, and she chaired a permanent committee established to examine the impact of asset securitization on corporate creditworthiness.
Before joining Moody's, Perry was a director in Fixed Income Research at the First Boston Corporation, where she created a group to advise commercial banks on portfolio strategy. Earlier in her career, she worked in a variety of commercial banking and capital markets functions at Chemical Bank in New York, Paris and London.
Perry holds an undergraduate degree (magna cum laude and Phi Beta Kappa) from the University of Wisconsin-Madison, and a graduate degree from Yale University. She has taught at Yale and at Barnard College in New York. She also serves on the board of Korn/Ferry International (NYSE: KFY).

Dr. Laurence H. Meyer is Vice Chairman of Macroeconomic Advisers, LLC, the company he co-founded with Joel Prakken and Chris Varvares as Laurence H. Meyer & Associates in 1982. The firm became Macroeconomic Advisers in June of 1996 when Dr. Meyer joined the Board of Governors of the Federal Reserve System. Dr. Meyer served as a member of the Board of Governors of the Federal Reserve from June 20, 1996 until January 31, 2002 and re-joined MA in June of 2002. During his tenure at the Board, he was widely recognized as an influential member of the Federal Open Market Committee and built a reputation for independent thinking and straight talk about monetary policy. Fed Chairman Alan Greenspan said, "Larry Meyer has made an important contribution to the Board's monetary policy. His thoughtful insights into technical issues and his technical expertise have materially enhanced the deliberations of the Board and the Federal Open Market Committee. His influence will carry on beyond his tenure as a Board member." Dr. Meyer was chairman of the Committee on Supervisory and Regulatory Affairs, overseeing the Board's regulatory implementation of Gramm-Leach-Bliley Act and its participation in negotiations toward a new international capital accord. He also represented the Federal Reserve Board in several international forums, including the Financial Stability Forum, the Economic Policy Committee of the OECD, and APEC. He was responsible for monitoring developments in the Asia Pacific region and participated in U.S. bilateral dialogues with the central banks and finance ministries of Japan, China, and India. Dr. Meyer is also distinguished visiting scholar at the Center for Strategic and International Studies in Washington, DC. Dr. Meyer, recognized as one of the nation's leading economic forecasters, was born on in the Bronx, New York, in 1944. He received a B.A. (magna cum laude) from Yale University in 1965 and a Ph.D. from Massachusetts Institute of Technology in 1970. He was also a professor of economics and former chairman of the economics department at Washington University.
