Dave DeWalt is Chief Executive Officer and President of McAfee, Inc. He joined McAfee in April 2007. DeWalt has more than 20 years in the technology space, holding a series of leadership positions in some of the industry's most innovative and successful companies. Prior to McAfee, DeWalt oversaw customer operations and sales at EMC Corporation. His responsibilities included channels, alliances and partners, product sales, global accounts, vertical programs, and field business operations. DeWalt also led EMC's content management and archiving software business. At EMC, DeWalt helped form the EMC Software Group (ESG), which in turn helped transform EMC from a hardware vendor to a complete IT provider. Responsible for a more than $4 billion business, DeWalt was promoted three times, ultimately becoming president of software, sales and services. He joined EMC in 2003 when EMC acquired Documentum, the global leader in enterprise content management. As president and CEO, DeWalt led Documentum through nine consecutive quarters of growth, five record revenue quarters, and four successful acquisitions before leading the sale of the company to EMC for $1.9 billion. Prior to joining Documentum, DeWalt was founding principal and vice president of Eventus Software. He also held various executive positions as Quest Software, Segue and Oracle Corporation. Over the course of his career DeWalt has helped build companies from startup (Eventus, Quest) to midsize (Documentum, Segue) to some of the largest (Oracle, EMC). A true expert in acquisitions, he led the sale of Documentum and Eventus, has been acquired three times, and has acquired more than 50 companies over the course of his career. DeWalt was named one of the 25 most influential executives in high technology by the readers of the industry publication CRN. He has spoken at the World Economic Forum on the issue of cybersecurity and keynoted at several technology industry conferences including Interop and Software 2008 and is slated to keynote at RSA 2009. DeWalt has served on the board of directors for MatrixOne, Serena, Polycom (as lead director), Documentum, Silicon Valley Leadership Group and the Enterprise Software Roundtable. He is also a member of the World Economic Forum IT and telecom industry board of governors. As a recognized expert on mergers and acquisitions, DeWalt is the author of "Making M&A Work." He's a frequent guest on international business programs, and appears regularly on Bloomberg TV, CNBC, CNN and Fox Business. DeWalt received his Bachelors of Science in computer science and electrical engineering from the University of Delaware. At the University of Delaware, he won a school-record three East Coast Conference titles, advanced to the NCAA championships three times, and was the first wrestler to be inducted into the Delaware Athletics Hall of Fame.

As Chief Operating Officer and Chief Financial Officer, Rocky Pimentel is responsible for leading all worldwide finance, IT, facilities and manufacturing functions, reporting directly to Chief Executive Officer and President, Dave DeWalt. Pimentel is an industry veteran with more than 30 years of change management experience with small, medium and large companies, having most recently served as the Executive Vice President and Chief Financial Officer of Glu Mobile. Before Glu Mobile, Pimentel served as Executive Vice President and Chief Financial Officer at Zone Labs, where he oversaw the company's successful negotiation and merger with Check Point Software. Prior to that, Pimentel was a partner with Redpoint Ventures, where he managed the firm's operational activities and contributed to business and new investment development. Pimentel also held the positions of Senior Vice President and Chief Financial Officer of WebTV Networks, which was acquired by Microsoft in 1997, Senior Vice President and Chief Financial Officer of LSI Logic Corporation and part of the founding management team of Conner Peripherals, Inc., which was acquired by Seagate in 1996.

Christopher Bolin is the Chief Technology Officer and Executive Vice President of Product Development for McAfee, Inc. In this role, he is responsible for the worldwide development of all McAfee products, reporting directly to chief executive officer and president David DeWalt. With more than ten years experience at McAfee, Bolin has been instrumental in driving international growth. He assembled and managed a new engineering team in the United Kingdom after McAfee’s acquisition of Dr. Solomon. Bolin also launched the new development office in India, now the largest development center for the company. Prior to joining McAfee in 1998, Bolin was the engineering director of Cyber Media, where he successfully launched the Cyber Media North site. In addition, Bolin co-developed consumer anti-virus products with Trend Micro during his tenure at Cyber Media. Bolin previously served as QA Director at Symantec Corporation, where he worked on the Norton Navigator AntiVirus, Norton Utilities and Internet FastFind product lines.

George Heron serves as vice president and chief scientist at McAfee, Inc. In this role, Heron leads product initiatives, furthers product architecture development, and drives product research. Heron joined McAfee(R) with more than 30 years of management experience in software and hardware product development. Most recently he was CTO at SafeNet, where he led the company's initiatives for incorporating new products and partners into their product lines of VPN clients, network security appliances, security management and identity management. George Heron joined SafeNet in March 1999. In this position, George was responsible for developing new and enhanced network security products as well as contributing insight about technology trends and new product opportunities in VPN, Internet and electronic security fields. He specializes in organizational and productivity turnaround management with demonstrated success in bringing new products from initial concept to final product launch. Prior to joining SafeNet, George was a Director of Product Development at Dialogic Corporation, where he was responsible for leading the System Software Development Team. He was responsible for developing telephony-based products for the telecommunications industry and oversaw divisions responsible for client-server product development and advanced system architecture. George holds a BSEE degree from the Rochester Institute of Technology, an executive MBA from Babson College in Massachusetts and has completed advanced studies in computer science.

Keith Krzeminski is McAfee's Chief Accounting Officer and Senior Vice President of Finance, reporting directly to Rocky Pimentel, McAfee's Chief Operating & Financial Officer. Krzeminski joined the Company in March 2007, and provides executive management oversight for the worldwide controller, tax and sales order operations organizations. Prior to McAfee, Krzeminski served as senior vice president and chief financial officer of Home Interiors & Gifts, Inc., a marketer and manufacturer of home décor products, from 2005 to 2006. He has also served in several capacities during his six year career at Electronic Data Systems Corporation ("EDS"), a global information technology services company, including chief financial officer for EDS’ software business, UGS PLM Solutions, and as EDS’ chief accounting officer. Before joining EDS, Krzeminski spent more than three years as vice president and controller of Quaker State Corporation, a leading manufacturer and distributor of automotive consumer products and services. Previously, he spent 11 years with Coopers & Lybrand L.L.P., an international accounting firm. Krzeminski is a Certified Public Accountant and received a Bachelor of Science degree in business administration from Indiana University of Pennsylvania, with a major in accounting.

Gerhard Watzinger joined SafeBoot in 2004 and is our Chief Executive Officer. Mr. Watzinger formerly worked at iGate Global Solutions (formerly Mascot Systems) from 1998 to 2004, where he joined as a vice president and subsequently became chief executive officer. During this period he worked on building the company's outsourcing and offshore businesses to several thousand employees. Prior to that, he served as chief executive officer of APT for seven years, managing consultant in PricewaterhouseCoopers consulting division for two years and as a managing director for Cap Gemini International for over six years.

Joseph P. Gabbert is Executive Vice President of Human Resources at McAfee, Inc. In this role, he is responsible for overseeing all aspects of worldwide human resources, including employee recruitment, compensation and benefits, training and development, change management, employee relations, community development and mergers and acquisitions activities Gabbert reports directly to chief executive officer and president David DeWalt. Prior to joining McAfee in 2007, Gabbert held a variety of senior leadership roles at notable technology companies across the United States and Europe, including EMC, Cadence Design Systems Inc. and Lexis/Nexis Corporation. In addition, Gabbert has had a long history of public service, working at the national, state and local levels in a variety of leadership and volunteer roles. He also serves on the Board of Directors for Valley Care Health System, a hospital and health care system in California. Gabbert holds a Ph.D. in Organizational Psychology from the University of Massachusetts, Amherst, and a B.S. degree from Purdue University. He also completed the Human Resources Executive Program at the University of Michigan, Ross School of Business.

Mark Cochran is the executive vice president and general counsel for McAfee, Inc. In this role, he provides strategic leadership and legal counsel for the company, reporting directly to Chief Executive Officer and President, Dave DeWalt. Cochran brings nearly two decades of technology industry experience, working in law departments of both large and small technology companies. The range of his experience includes mergers and acquisitions, corporate governance, Sarbanes-Oxley compliance, and intellectual property protection. Cochran joins McAfee from Hyperion, where he has served as vice president, general counsel and corporate secretary since January 2005. He served as vice president, general counsel and corporate secretary for 11 months in 2004 at Brocade Communications Systems, a storage networking company. Prior to joining Brocade, Cochran served as vice president, general counsel and corporate secretary to AvantGo (acquired by Sybase). From 1990 to 1999, he served as senior corporate counsel for Advanced Micro Devices and corporate counsel to Syntex (acquired by Roche). He began practicing law with the Bay area firm of Ropers, Majeski, Kohn, Bentley, Wagner & Kane. Cochran holds a Bachelor of Science degree from the University of California Davis. He received his Juris Doctor degree from Santa Clara University Law School and a Master of Business Administration degree from Santa Clara University Graduate School of Business.

Michael DeCesare is Executive Vice President of Worldwide Sales for McAfee, Inc. In this role, DeCesare is responsible for worldwide sales, channels, sales engineering, consulting services and education services. He joined McAfee in October 2007 and reports directly to McAfee Chief Executive Officer and President David DeWalt. DeCesare has almost two decades of sales experience. He joined McAfee from EMC Corporation, where he most recently served as senior vice president of field operations. In various roles, DeCesare was responsible for all sales, presales consulting, training, tech support, partner, telesales and sales operational resources for EMC's software business. Prior to EMC, DeCesare worked at Documentum Inc. where he is credited with helping significantly grow the company's sales until Documentum was acquired by EMC. Previously, DeCesare held senior sales and management positions at Oracle Corporation, consistently achieving top sales honors. He holds a bachelor's degree from Villanova University.

Marc Olesen is the senior vice president and general manager of McAfee's SaaS Security Business Unit. In this role he is responsible for defining and executing the strategic direction for McAfee's SaaS solutions. Olesen leads the engineering, marketing and sales functions driving worldwide growth for McAfee's SaaS business. Previously Olesen was the Vice President of Software-as-a-Service at HP where he was leading the SaaS for IT Management business and responsible for all solution development, go-to-market and delivery functions. Olesen has over twenty years of professional experience in software and services. His extensive background includes organizational leadership, profit & loss accountability, and solution management. Prior to joining HP, Olesen was the Senior Director of Customer Service for Qwest CyberSolutions (QCS), where he was responsible for global application management services. Preceding QCS, Marc was a High-Tech Consulting Practice Manager with BearingPoint. Olesen also held positions with Remedy Corporation and Oracle Corporation. He holds a Masters degree in Industrial Engineering and a Bachelors degree in Economics, both from Stanford University.

Todd Gebhart is the Executive Vice President and General Manager of McAfee's global Consumer, Mobile, and Small Business. In this role, Gebhart is responsible developing and executing the partnership, retail, and direct web sales strategy for the global expansion of McAfee's consumer, mobile, and small business. Mr. Gebhart joined McAfee in 1999 to lead the Company's OEM, Service Provider and Outsourcer sales teams. In 2002 Gebhart took over responsibility for McAfee’s consumer business and in 2004 added the mobile business to his charter. Under his sales leadership McAfee's global consumer business has achieved record results and established many significant global partnerships with leading OEM, ISP, Telco, and financial services companies. Mr. Gebhart brings more than 25 years of experience in the IT industry to McAfee and has held senior level management positions with leading technology companies in Silicon Valley. Prior to joining McAfee, he held the position of VP President of Sales at Alaris Corporation, a leader in video compression technology over the internet. Gebhart started his career at IBM where he held a variety of sales and sales management positions. Gebhart received his Bachelor of Science Degree at California Polytechnic State University, San Luis Obispo and completed the executive management program at Harvard University.

Barry McPherson is senior vice president of Worldwide Technical Support and Customer Service for McAfee, Inc. In this role, he is responsible for overseeing all customer support programs and efforts, promoting multiple methods of support access, expanding self-assistance and self-diagnosing options, and increasing customer retention and loyalty. McPherson joined the company in January 2006. During this time, the McAfee Support organization has won multiple awards for international, knowledge management, website, and Best Support Organization cross-industry recognition. McPherson has over 20 years experience in technology and related industries. Prior to joining McAfee, he spent six years at Juniper Networks in global operations, business development, channel, and region executive roles. Prior to joining Juniper Networks, he held sales, support, and operational management positions at Bay Networks, Siemens, GTE, and GE Capital.

Mr. Roche has nearly 30 years of experience in connection with the banking industry. He is currently an executive at McAfee, Inc., a leading software manufacturer. Prior to McAfee, Inc., Mr. Roche was a partner at Deloitte & Touche, where he managed the Enterprise Risk Management practice for the West Coast market area. Previously he was a banking partner for the same firm in both the Seattle and Portland offices, overseeing financial statement audits and FDICIA attestation engagements on a wide variety of banks.

Retired Partner, PricewaterhouseCoopers. Mr. Robel has been a Director of the Company since November 2005 and Lead Independent Director since January 2009. From June 2000 to December 2005, Mr. Robel was a general partner and Chief of Operations for Hummer Winblad Venture Partners. From January 1974 to May 2000, Mr. Robel was a Partner with PricewaterhouseCoopers, LLP. From mid 1995 to May 2000, Mr. Robel led PricewaterhouseCoopers High Technology Transaction Services Group in Silicon Valley where he advised on strategy, valuation and structuring for mergers and acquisitions. From May 1985 to mid 1995, Mr. Robel was the Partner in charge of the Software Industry Group at PricewaterhouseCoopers, LLP in Silicon Valley, and prior to that, Mr. Robel was with PricewaterhouseCoopers, LLP in Los Angeles and Phoenix. Mr. Robel holds a B.S. degree in accounting from Arizona State University. Mr. Robel serves on the Board of Directors of Autodesk, Inc., DemandTec, Inc. and McAfee, Inc. He serves as the Chairman of the Board of McAfee and Chairman of the Audit Committee of both Autodesk and DemandTec, as well as serving as a member of the Audit Committee at McAfee. He also serves on the Board of Directors of two privately held companies.

Charles J. Robel has been a director of our company since June 2006 and has served as the non-executive chairman of our board of directors since October 2006. He served as a managing member and chief operating officer at Hummer Winblad Venture Partners, a venture capital fund, from 2000 to 2005. Mr. Robel began his career at PricewaterhouseCoopers LLP, from which he retired as a partner in 2000. Mr. Robel currently serves on the board of directors of Autodesk, Inc., DemandTec, Inc. and Informatica Corporation.

Anthony Zingale has been a director of our company since May 2008. He served as president and chief executive officer of Mercury Interactive, a provider of business technology optimization (BTO) solutions that included the quality, performance, availability and governance of enterprise software applications, from 2004 until it was acquired by Hewlett Packard at the end of 2006. Prior to that, Mr. Zingale was a private investor from 2001 to 2004. From 2000 to 2001, Mr. Zingale served as president of Nortel Network's billion-dollar eBusiness Solutions Group. Prior to that, Mr. Zingale served as president and chief executive officer of Clarify, a customer relationship management (CRM) provider, from 1997 until it was acquired by Nortel Networks in 2000. Mr. Zingale currently serves on the board of directors of Coverity, Inc. and Jive Software, Inc.

Carl Bass is president and chief executive officer of Autodesk, Inc. Autodesk products serve the manufacturing, building, infrastructure, and media and entertainment industries. Formerly he was Autodesk’s chief operating officer, responsible for worldwide sales, marketing, and product development. Earlier roles included chief strategy officer and executive vice president of emerging business, looking broadly across the entire Autodesk organization at strategy and growth opportunities. He also served as chief technology officer (CTO) and vice president of the AECAD group, responsible for the design and development of AutoCAD and AEC products. When Autodesk spun off its Buzzsaw division as a separate start-up, Bass left to be its chairman, CEO and president. He returned to Autodesk when Buzzsaw was acquired by the company. Bass co-founded Ithaca Software, the developers of HOOPS, which was acquired by Autodesk in 1993. Bass serves on the Board of Directors of Autodesk, McAfee, and iRise and is a member of the Executive Advisory Boards of Cornell Computing and Information Science and FIRST (For Inspiration and Recognition of Science & Technology). He holds a bachelor's degree in mathematics from Cornell University.

Denis J. O'Leary has been a director of our company since July 2003. From 1993 to 2003, Mr. O'Leary was executive vice president of J.P. Morgan Chase & Co., having joined the bank in June 1978. During his career at J.P. Morgan Mr. O'Leary held a number of senior positions including director of finance, chief information officer, and head of retail branch banking. Mr. O'Leary currently serves on the board of directors of Fiserv, Inc.

Eric Brown is the Executive Vice President, Chief Financial Officer of Electronic Arts, the world's leading interactive entertainment software company. Mr. Brown originally joined EA in 1998, serving as Vice President / Chief Operating Officer of EA's Redwood Shores Studio as well as working overseas in Japan. He left the company in 2000 to join Strategy.com as Chief Financial Officer and ultimately became President and Chief Financial Officer of its parent company, MicroStrategy, Inc. Most recently he was Chief Operating Officer and Chief Financial Officer at McAfee Inc., the world's largest dedicated security technology company. Prior to joining Electronic Arts, he served as co-founder and Chief Financial Officer and Vice President of Business Development of DataSage Inc. Earlier in his career he held several financial management positions at the Haagen-Dazs Company, working in Hong Kong and Paris. Mr. Brown earned his bachelor's degree from the Massachusetts Institute of Technology and his MBA from the MIT Sloan School of Management.

Jeffrey A. Miller has been a director of our company since May 2008. He has served as president of JAMM Ventures Inc., a consulting and venture capital firm, since 2002. From 2002 to 2007, Mr. Miller also served as a venture partner with Redpoint Ventures, a venture capital firm focused on investments in information technology. Prior to his tenure at Redpoint, Miller served as chief executive officer of Documentum, Inc., a provider of content and storage management software, from 1993 to 2001. Mr. Miller currently serves on the board of directors of Data Domain, Inc.

Leslie G. Denend has been a director of our company since June 1995. From December 1997 to April 1998, Mr. Denend was president of our company. From 1993 to 1997, Mr. Denend was chief executive officer and president of Network General Corporation, which merged with McAfee Associates to form McAfee, Inc. Mr. Denend serves on the board of directors of Verifone, Inc. and United Services Automobile Association (USAA).

Robert W. Pangia has been a director of our company since April 2001. Since 2003, Mr. Pangia has been a general partner and a managing member of Ivy Capital Partners, LLC, a private equity fund. Since October 2007, Mr. Pangia has also served as chief executive officer of Highlands Acquisition Corp., an AMEX-traded special purpose acquisition company. Prior to 2003, Mr. Pangia was self-employed as a private investor. From 1987 to 1996, Mr. Pangia held a number of senior level management positions at PaineWebber Incorporated, including director of investment banking. Mr. Pangia currently serves on the board of directors of Biogen Idec Inc.

Thomas E. Darcy has been a director of our company since January 2008. Since August 2007, Mr. Darcy has served as executive vice president, chief financial officer and director of Tocagen Inc., a biopharmaceutical company. Mr. Darcy previously served as executive vice president for strategic projects at Science Applications International Corporation, a provider of scientific, engineering, systems integration and technical services and solutions, since November 2005, and retired in April 2007. Prior to that, Mr. Darcy served Science Applications International as corporate executive vice president beginning in December 2003, executive vice president beginning in October 2000, and as chief financial officer from October 2000 through November 2005. Prior to joining Science Applications International, Mr. Darcy was with the accounting firm currently known as PricewaterhouseCoopers LLP from 1973 to 2000, where he served as partner from 1985 to 2000.
