McCormick & Schmicks Seafood Restaurants Inc.

Mr. Freeman joined the Company in January 2009. Mr. Freeman has more than 20 years of experience in the restaurant and entertainment industries, most recently as the Founder, President and Chief Executive Officer of Fox Sports Grill, where he was responsible for the creation, development, operation and growth of the concept from inception. He has also held senior management positions with Robert Redford’s Sundance Entertainment, where he was responsible for all operating divisions including the Sundance Channel, Sundance Resort and the development of the Sundance Film Centers; and Disney Regional Entertainment, where he developed, operated and grew the ESPN brand on a national basis through the development of retail, restaurant and live production venues. Earlier in his career, Mr. Freeman also served in executive positions at DAKA International, a former parent company of Champps Americana and Fuddruckers. Mr. Freeman began his career as a Certified Public Accountant at Ernst & Whinney.

Mr. Hilario joined the company in April 2004. In the four years before joining us, Mr. Hilario held a number of positions, most recently vice president of finance and chief financial officer with Angelo and Maxies, Inc. (formerly Chart House Enterprises, Inc.), a publicly traded full-service restaurant operator. From December 1997 until April 2000, Mr. Hilario held various positions, most recently Group Director of Finance and Cost Management, at ACCO North America, a wholly owned subsidiary of Fortune Brands, an international consumer products company. Before Mr. Hilario's employment with ACCO, he spent nine years with McDonald's Corporation serving in various capacities, most recently as a consulting services manager. Mr. Hilario received his Bachelor of Science and Commerce degree in accounting from Santa Clara University and is a certified public accountant.

Mr. Liedberg joined McCormick & Schmick's in January 2004 as a vice president of operations. Mr. Liedberg has over 20 years of management experience in the restaurant industry including service as the president and chief executive officer of Desert Moon Restaurants from December 2001 to January 2004. Before 2001, Mr. Liedberg served for thirteen years with Avado Brands Brand's Inc. as a divisional president and chief executive officer of Canyon Café, a senior vice president of operations of Don Pablo's Mexican Kitchen and the director of operations and training for Avado Brands' Applebee's Division. Mr. Liedberg's education includes a certificate in the Management Program at Georgia Institute of Technology and a Human Resources Certificate from the University of Georgia.

Mr. Westcott has been a vice president of operations of McCormick & Schmick’s since September 2007. Mr. Westcott began with the company in 1990 as an assistant Manager and has since held the positions of General Manager (1991 – 1996), Executive Chef (1996 – 1998), Regional Chef (1998 – 2004) and Regional Manager (2001 – 2007). Mr. Westcott is a graduate of The Culinary Institute of America (1979) and has 15 years of related restaurant experience prior to joining McCormick & Schmick’s.

Mr. Cunningham has been a vice president since May of 2008. Mr. Cunningham joined the company in 2005 as the Director of Financial Systems and has held the positions of Director of Information Technology and Executive Director of Information Technology. Prior to joining us Mr. Cunningham spent 3 years with The Revere Group, most recently as a Managing Consultant. From 1998 to 2002 Mr. Cunningham held various positions, most recently as the Accounting Manager for Chart House Enterprises, Inc., a publicly traded full-service restaurant operator. Mr. Cunningham received his Bachelor of Science degree from Marquette University in accounting.

Mr. Skeele has been a vice president of operations of McCormick & Schmick's since 1998. He also has held the positions of senior manager (1991-1996) and general manager (1986-1988). From 1988 to 1991, Mr. Skeele was a vice president at West Group Partners. Mr. Skeele attended the University of Oregon.

Mr. Gardner has been our vice president of finance since January 2007 and assumed the additional position of corporate controller in July 2007. Mr. Gardner joined us in 2004 and previously served as our director of finance. From 2000 to 2004 Mr. Gardner was corporate controller of Lexar, Inc. From 1995 to 2000, Mr. Gardner held various management positions, including corporate controller, for Mattson Technology, Inc. Mr. Gardner received his Bachelor of Science degree in accounting from San Jose State University, his Master of Science degree in finance from Golden Gate University and is a certified public accountant.

Mr. Foote has been a vice president of operations of McCormick & Schmick’s since January 2007. Mr. Foote also has held the positions of regional senior chef (2003-2006) and executive chef (1999-2003). Mr. Foote had over 12 years of chef and related culinary experience prior to joining McCormick & Schmick’s.

Mr. King has been the vice president of Training and Culinary Development since May 2006. Mr. King joined the company in 1985 and has held the positions of Executive Chef, Regional Senior Chef, and Director of Special Projects. Prior to joining us Mr. King held various positions, most recently as the owner and operator of Savoir Faire. Mr. King attended Cornell University’s School of Hotel and Restaurant Administration.

David B. Pittaway has been a director of the Company since February 2006 and since October 2002 has been a member of the board of advisors of MHLLC, which was previously our parent company. Mr. Pittaway previously served as a director from December 1988 through July 2002. Mr. Pittaway is currently the Senior Managing Director, Senior Vice President and Secretary of Castle Harlan, Inc. He has been with Castle Harlan, Inc. since 1987. Mr. Pittaway has been Vice President and Secretary of Branford Castle, Inc., an investment company, since October 1986. From 1987 to 1998 he was Vice President, Chief Financial Officer and a director of Branford Chain, Inc., a marine wholesale company, where he is now a director and Vice Chairman. Prior thereto, Mr. Pittaway was Vice President of Strategic Planning and Assistant to the President of Donaldson, Lufkin & Jenrette, Inc. Mr. Pittaway is also a director of The Restaurant Company, Equipment Support Services, Inc., BKH Acquisition Corp., Wilshire Restaurant Group, Inc., McCormick & Schmick s Seafood Restaurants, Inc. and The Dystrophic Epidermolysis Bullosa Research Association of America, Inc. and is a director and co-founder of the Armed Forces Reserve Family Assistance Fund. Mr. Pittaway is a graduate of the University of Kansas (B.A. with Highest Distinction), and has both an M.B.A. with High Distinction (Baker Scholar) and a Juris Doctor degree from Harvard University.

Mr. Jurgensen will become a director of the company immediately before we close our initial public offering. Mr. Jurgensen retired from KPMG LLP in 2003 after 32 years, including 23 years as a partner. At KPMG, he held a number of leadership roles, including: National Partner in Charge of KPMG's Hospitality Industry Practice from 1981 to 1993, Managing Partner of the Bellevue, Washington office from 1982 to 1991, and Managing Partner of the Seattle, Washington office from 1993 to 2002. His professional experience focused on providing business advisory and audit services to clients ranging from emerging businesses to large multinational public companies. His industry experience includes software, e-commerce, life sciences, hospitality, long-term care and manufacturing. He is also a director of Toolbuilders Laboratories, Inc., a developer of innovative software security and development tools for government and commercial enterprises. Mr. Jurgensen has a B.S. in accounting from San Jose State University and is a Certified Public Accountant.

Mr. Jurgensen was an audit partner at KPMG LLP from 1979 to 2003. Mr. Jurgensen pursued personal business ventures after his retirement from KPMG in 2003. Mr. Jurgensen has been a director of BSQUARE Corporation since 2003 where he serves on the audit committee as the audit committee financial expert and the chair of the compensation committee. In addition, Mr. Jurgensen has been a director of McCormick & Schmick's Seafood Restaurants, Inc. since 2004 where he serves as the chair of the audit committee and as its audit committee financial expert.

Since September 2008, Mr. Edmonds has been a Managing Director of Edmonds Capital, LLC. Prior to this, Mr. Edmonds was with Bruckmann, Rosser, Sherrill & Co., Inc. Mr. Edmonds also serves on the boards of directors of Town Sports International, Inc., The Sheridan Group, Inc. and other private companies. Mr. Edmonds received his Bachelor of Science degree from the University of Virginia McIntire School of Commerce and his Masters of Business Administration from The Wharton School of the University of Pennsylvania

Jeffrey D. Klein (age 48) has been a director since October 2006. Mr. Klein is a Managing Director of Equity Group Investments, LLC, a private investment company, which he joined in 1996, and serves on a number of private boards of portfolio companies. Before joining Equity Group Investments, LLC, Mr. Klein headed the Chicago-based loan structuring and syndication unit of Citicorp Securities, Inc. where he underwrote and arranged bank debt for investment and non-investment-grade borrowers. Mr. Klein has a B.A. in finance from Georgetown University.
