MDS Inc.

Prior to joining MDS, Ian Lennox was the President and CEO, Monsanto Canada Inc.; President and CEO, Drug Royalty Corporation; and most recently CEO of Phoenix International Life Sciences. He has been the President and CEO Drug Discovery and Development Sector since the acquisition of Phoenix International in April 2000.

Stephen DeFalco, 47, of Toronto, Canada, is the President and Chief Executive Officer of MDS Inc. Mr. DeFalco joined MDS from U.S. Genomics where he was Chairman and Chief Executive Officer. Prior to his role at U.S. Genomics, he served as President of PerkinElmer Instruments and Senior Vice-President of PerkinElmer, Inc. Mr. DeFalco also held senior management positions at United Technologies, McKinsey & Company and IBM. Mr. DeFalco is a Director of BioProcessors Corporation, the Sciex Joint Venture with PerkinElmer and the Sciex Joint Venture with Applied Biosystems, Inc. (now part of Life Technologies).

Andy Boorn, PhD, joined MDS Inc. in 1983, and since then has held a number of positions, including Senior Research Scientist, Vice-President, Business Development, and Senior Vice-President, Operations. He was appointed President of MDS Sciex in January 2000. In 2007, MDS Inc. acquired Molecular Devices Corporation which joined with MDS Sciex under the new name of MDS Analytical Technologies.

David Spaight joined MDS as President, MDS Pharma Services, in April 2006. He has more than 20 years of experience in the global life sciences industry — most recently as Senior Vice-President, Global Sales and Marketing, Fisher Scientific Products. Prior to that, Mr. Spaight was Vice-President, Global Sales and Marketing at PerkinElmer, Inc., where he led a workforce of more than 1,400 people in 40 countries, and was responsible for $1.1 billion in revenues.

Steve West joined MDS Capital Corp. in 2001 as a senior partner after serving as President, DiverseyLever Canada. His background includes various CEO assignments in Asia and the Pacific Rim, as well as international business-development responsibilities in the specialty chemicals field. He was appointed to his current position at MDS Nordion in April 2003.

Doug Prince joined MDS in March 2007. He has more than 28 years of experience in finance and operations management, most recently as Vice-President Finance at PerkinElmer, Inc. Prior to that, Mr. Prince spent 17 years with General Electric, where he led strategic turnarounds, acquisitions, integrations and productivity initiatives. He also held leadership roles with Aeroquip-Vickers and AlliedSignal.

Prior to joining MDS, Gary Goertz was Executive Vice-President and CFO, TELUS, and prior to that, Senior Vice-President and CFO, Federal Industries. He has been Executive Vice-President Finance and CFO at MDS since September 1999.

Tom Gernon joined MDS Inc. as Chief Information Officer (CIO) in September 2005. Prior to joining MDS, Mr. Gernon was Chief Operating Officer of D2Hawkeye Inc., a healthcare software development company. Tom has held CIO positions at both PerkinElmer Inc. and J.P. Morgan Investments, as well as senior management positions at Staples Inc. and Fidelity Investments.

Ken Horton joined MDS Inc. as Vice-President, Corporate Development and General Counsel in December 2005. Prior to joining MDS, Mr. Horton was Vice-President, Acquisitions, Ventures and General Counsel for the Analytical Sciences business unit at PerkinElmer, Inc. While at PerkinElmer, he led the planning, negotiation and closing of numerous strategic transitions, and managed relationships with the United States Food and Drug Administration and other global regulatory agencies. Prior to joining PerkinElmer, Ken practised corporate law with Ropes and Gray in Boston, and was previously a strategy consultant in the U.S. and Europe.

Janet Ko was appointed Senior Vice-President, Communications, in April 2008. Since joining MDS in November 2003, Ms. Ko has held increasingly senior roles in Communications and Organizational Development. Prior to joining MDS, she was head of communications for Pharmacia Canada, and held senior communications posts at GlaxoSmithKline and Ontario's Ministry of the Attorney General.

Prior to joining MDS in 1992, Rob Breckon was a Partner with Ernst & Young Consulting. He has been the Senior Vice-President Corporate Development since May 2001.

Mary Mogford, 64, of Newcastle, Canada, was appointed to the Board of the Company in 1998. She is a Corporate Director and a former Deputy Minister of Finance and Deputy Minister of Natural Resources for the Province of Ontario. Ms. Mogford is also a Director of the Potash Corporation of Saskatchewan and the SickKids Foundation Board. She was made a Fellow of the Institute of Corporate Directors in 2002 in recognition of her contribution to corporate governance in Canada. In 2004, Ms. Mogford was one of the first Directors accredited to the ICD/Rotman School of Management Directors Education Program.

Wilf Lewitt has been with MDS since 1970. He has held the positions of President and CEO and Chairman and CEO, and is currently Chairman.

Gregory P. Spivy has been a director since March 1, 2006. He is a Partner of ValueAct Capital. Prior to joining ValueAct Capital in September 2004, Mr. Spivy worked with Gryphon Investors, a private equity fund managing approximately $500 million. Previously, Mr. Spivy was a Managing Director at Fremont Partners ( Fremont ), overseeing a $605 million private equity fund. Prior to joining Fremont, Mr. Spivy was a Director with The Bridgeford Group, a mergers and acquisitions advisory boutique. Mr. Spivy began his career in the mergers and acquisitions department of Lehman Brothers. Mr. Spivy currently serves as chairman of the board of MSD Ignition, is a director of MSC.Software and is a former director of Kerr Group, Inc. He has a B.A. from Northwestern University.

James MacDonald, 63, of Toronto, Canada, was appointed to the Company's Board of Directors in July 2005, and became Chairman in November 2008. Mr. MacDonald is Chairman and Managing Partner of Enterprise Capital Management Inc. Prior to 1997, Mr. MacDonald was Deputy Chairman of Scotia McLeod Inc., having joined a predecessor to that company in 1969. He is also a Director of Cinram International Income Fund, Cymbria Corporation, Manitoba Telecom Services Inc. and Superior Plus Inc., and non-executive Chairman of Cormark Securities Inc.

Prior to joining MDS in 1992 as President of MDS Nordion, John Morrison was Director and member of the Executive Committee of CCL Industries Inc.

Kathleen O’Neill, 55, of Toronto, ON, has served on the Board of the Company since 2005. Ms. O’Neill was an Executive Vice President with BMO Bank of Montreal until January 2005. Prior to joining BMO Bank of Montreal in 1994, Ms. O’Neill was a partner at PricewaterhouseCoopers. Ms. O’Neill is a Fellow of the Institute of Chartered Accountants of Ontario. She is a director of TMX Group Inc. (formerly TSX Group Inc.), Finning International Inc. and Canadian Tire Bank. Ms. O’Neill is Chair of St. Joseph’s Health Centre Foundation and a past Chair of the Board of St. Joseph’s Health Centre in Toronto. She is also active on several other non-profit boards. In 2005, Ms. O’Neill was accredited to the ICD/Rotman School of Management Directors Education Program.

Nelson Sims, 61, of Key Largo, FL, has served on the Board of the Company since 2001. Mr. Sims was an executive with Eli Lilly and Company for 28 years, prior to his retirement in 2001. His assignments included President of Eli Lilly Canada from 1991 to 1999. Mr. Sims was President and CEO of Novavax, Inc. from 2003 to 2005, and he has served as a Corporate Director and Consultant for several biotech companies. He currently serves on the board of Aastrom Biosciences, Inc.

Paul S. Anderson, a director since 2002, is former vice president at Bristol-Myers Squibb. Previously, he was VP for chemistry at Merck's West Point, PA facility, and senior VP for DuPont Pharmaceuticals. He has been involved in research leading to Zocor, Trusopt, Aggrastat, Crixivan and Sustiva. He has a Ph.D. from the University of New Hampshire.

Richard McCoy has been a director of Gerdau Ameristeel since 2006. He has been in the investment banking business for over 35 years. Prior to retiring in October 2003, Mr. McCoy was Vice Chairman, Investment Banking at TD Securities Inc. Prior to joining TD Securities Inc. in May 1997, Mr. McCoy was Deputy Chairman of CIBC Wood Gundy Securities. Mr. McCoy serves as a director and/or trustee of the following Canadian public entities: Aberdeen Asia-Pacific Income Investment Company Ltd., Ace Aviation Holdings Inc., Jazz Air Income Fund, MDS Inc., Pizza Pizza Royalty Income Fund, Rothmans Inc., Air Canada and Uranium Participation Corporation. Mr. McCoy holds a Masters of Business Administration from Richard Ivey School of Business Administration, University of Western Ontario.

Bob Luba, 66, of Toronto, Canada, was appointed to the Board in 1996. Mr. Luba is President, Luba Financial Inc. Prior to 1994, he was President and Chief Executive Officer of Royal Bank Investment Management Inc., President of Crown Life Insurance Company and Senior Vice-President of John Labatt Limited. Mr. Luba is also a Director of AIM Trimark Investments and Softchoice Corporation.

Dr. Caskey serves as Managing Director of Cogene BioTech Ventures Ltd., where he focuses on expansion-stage investments in the biopharmaceuticals and biotechnology sectors. Dr. Caskey served Baylor College of Medicine for nearly 30 years in several senior positions, including Chairman of the Department of Molecular and Human Genetics, where he continues to be an adjunct professor. He was Senior Vice-President, Human Genetics and Vaccines Discovery at Merck Research Laboratories, and Trustee and President of the Merck Genome Research Institute. He also served as President of the American Society of Human Genetics and the Human Genome Organization. Dr. Caskey has been awarded numerous academic and industry-related honours for his work in human genetics, and currently serves as the President of the Texas Academy of Medicine, Engineering and Science. He is a member of the Institute of Medicine and the National Academy of Sciences, and serves on the Boards of a number of private and public corporations, including Lexicon Genetics Inc. and Luminex Corp. Dr. Caskey is a graduate of the University of South Carolina and holds a Doctor of Medicine degree from the Duke University School of Medicine.

Bill Etherington, 67, of Toronto, Canada, has served on the Board of the Company since 2001. Mr. Etherington is Chairman, Canadian Imperial Bank of Commerce. Prior to 2001, Mr. Etherington was Senior Vice-President & Group Executive, Sales & Distribution, IBM Corporation and Chairman, President and Chief Executive Officer, IBM World Trade Corporation. Mr. Etherington is also a Director of Celestica Inc., Onex Corporation, SS&C Technologies, Inc., and St. Michael's Hospital. He is also a member of the President’s Council, University of Western Ontario.

William A. Etherington was elected as one of our directors in May 2006. He currently serves as Chairman of the Board of the Canadian Imperial Bank of Commerce (CIBC). Mr. Etherington retired from IBM in September 2001 as Senior Vice President and Group Executive, Sales and Distribution. Mr. Etherington spent over 37 years with IBM and was a member of IBM’s Operations Committee and Worldwide Management Council. He also serves on the boards of directors of Celestica Inc. and MDS Inc.

Bill Dempsey, 57, of Green Oaks, US, was appointed to the Board in 2008. Mr. Dempsey was an Executive with Abbott Laboratories for 25 years, prior to his retirement in 2007. His assignments included Executive Vice-President of the Pharmaceutical Products Group and Senior Vice-President of International Operations. Mr. Dempsey is a former Director of TAP Pharmaceutical Products Inc., and is currently a Director of TyRx, Inc., Landauer Inc. and the MPD Foundation.
