Mr. Novak, 63, is President and Chief Executive Officer of Millennium Bankshares Corporation since May 5, 2009, having served in an interim capacity as President and Chief Executive Officer from January 12 through May 4, 2009, under special circumstances. Mr. Novak was previously Executive Vice President and Chief Operating Officer of the holding company and Bank since 2007. From 2005 to 2007, he served as Executive Vice President and Retail Business Banking Manager of the Bank. He serves as a member of the Executive Committee. He also is a director of Millennium Bank, N.A., and resides in Ellicott City, Maryland.

Mr. Phelps, 53, is Executive Vice President, Treasurer and Chief Financial Officer of Millennium Bankshares Corporation, since 2005. He served as interim President and Chief Executive Officer from April 1 through July 17, 2007. He also is Executive Vice President and Chief Financial Officer of Millennium Bank, N.A., since 2005, and served as interim President and Chief Executive Officer of the Bank from April to July 2007. Prior to joining Millennium, Mr. Phelps served as Chief Financial Officer of Community Bank of Northern Virginia in Sterling, Virginia, from 2002 to 2005.

Mr. Hanes, 71, was elected a director of Millennium Bankshares Corporation in 2005 and elected Chairman of the Board in 2009. He is a Partner of Reed Smith LLP, an international law firm headquartered in Pittsburgh, Pennsylvania, with 1,500 attorneys, since 1999. Mr. Hanes's office is located in Falls Church, Virginia. He currently serves as a Member of the Executive Committee and Nominating and Governance Committee. Mr. Hanes also is a director of Millennium Bank, N.A., and resides in Fairfax, Virginia.

Ms. Wortley, 59, was elected a director of Millennium Bankshares Corporation in 2007. She is the Assistant to the Chairman of Liberty Research, Inc., a medical research company in Waverly, New York, since 1993. Ms. Wortley is the Owner and Managing Member of Liberty Industries, L.C., a Florida limited corporation and manufacturer of broadcast and cellular towers located in Newburgh, Indiana, since 2006. She is the Owner and Chairman of the Board of Liberty Polyglas, a company that manufactures fiberglass reinforced copolymers and is located in West Mifflin, Pennsylvania, since 2002. Ms. Wortley serves as a Member of the Executive Committee and Nominating and Governance Committee and as Chairman of the Compensation Committee. She also serves as a director of Millennnium Bank, N.A., and resides in Boca Raton, Florida.

Mr. Wolfe, 53, was elected a director of Millennium Bankshares Corporation in 2007. He is the Founding Partner and Chief Executive Officer of J Street Consulting, LLC, a firm specializing in new venture creation and international development, located in Washington, D.C., since 2001. Mr. Wolfe serves as an Assistant Professor, School of Management, and the current Entrepreneur-in-Residence of George Mason University, Fairfax City, Virginia, since 2006. He also served as an Adjunct Professor of the Robert H. Smith School of Business at the University of Maryland in College Park, Maryland, from 1997 to 2005. Mr. Wolfe currently serves as a member of the Audit Committee and Compensation Committee. He also is a director of Millennium Bank, N.A., and resides in Reston, Virginia.

Mr. Paulini, 54, was elected a director of Millennium Bankshares Corporation in 2006. He is a Consultant, providing consulting services related to international manufacturing and importing, since 2008. He was President and Managing Member of Express Greeting Cards, L.L.C., an international manufacturing and importing business located in Vienna, Virginia, 2003 to 2008. He served as a director of Millennium Bank, N.A., from 1999 to 2003 and was reelected a director in 2008; he was elected Chairman of the Board in 2009. Mr. Paulini serves as Chairman of the Audit Committee and a Member of the Executive Committee, Nominating and Governance Committee, and Compensation Committee. He resides in Vienna, Virginia.

Mr. Smoot, 58, was elected a director of Millennium Bankshares Corporation in 1998 and served as Chairman of the Board from 2006 to 2008. He is Chief, Office of Cost Estimating and Architect/Engineer Evaluation Service, U.S. Department of Veterans Affairs in Washington, D.C., since 1981. He also is the Managing Member of C-Squared Management & Development, L.L.C., in Great Falls, Virginia, since 1996. He serves as a Member of the Audit Committee, Nominating and Governance Committee, and Compensation Committee. He also is a director of Millennium Bank, N.A., and resides in Great Falls, Virginia.
