Modtech Holdings Inc.

Mr. Dennis L. Shogren, joined Modtech in June 2003 as its Chief Financial Officer and Senior Vice President of Finance and was elected as President, Chief Executive Officer (“CEO”) and a Director in June 2006. Prior to joining the Company, Mr. Shogren held senior level positions at Haskel International from 2001 to 2003 and for Ameron International from 1997 to 2001, where he was responsible for corporate finance and reporting, manufacturing, engineering and support functions, with additional emphasis on lean manufacturing improvements. He holds an MBA degree from the University of Rochester’s William E. Simon Graduate School of Business Administration and a Bachelor of Science degree in accounting from the State University of New York at Brockport.

Mr. Ronald Savona joined the Company in January 2003 as Director of Marketing and has served in various capacities since then. He currently serves as Senior Vice President of Operations and Corporate Officer of the Company. Mr. Savona has more than 30 years of experience in top management positions in the modular building and construction industry. From 2000 through 2002, Mr. Savona was Chief Executive Officer of Eco Building Systems, Inc., a manufacturer of modular buildings utilizing a patented glass fiber reinforced concrete wall system. While the CEO of Eco Building Systems, Inc., Mr. Savona was primarily responsible for the manufacturing operations and growth of the company. During 2002, an involuntary petition for reorganization was filed against Eco Building Systems, Inc. under Chapter 11 of the Bankruptcy Code. Mr. Savona left Eco Building Systems, Inc. in December of 2002. He is a graduate of the UCLA executive management program.

Karen Andreasen, is responsible for contracts/legal, risk management, human resources, Information technologies, and will also oversee communications, workers compensation, and safety and environmental issues. She joined Modtech in April 2004 as Director of Human Resources. Prior to joining Modtech, Ms. Andreasen was Corporate Director of Human Resources (HR) at Paragon General Contractors and Cabinetmakers, Inc., where she established effective HR programs, directed safety and risk management, and was a member of the management team responsible for setting and implementing strategies to meet company objectives. Prior to Paragon, Ms. Andreasen was HR and Administrative Manager and EEO/AA Officer for Ray Wilson Co. She holds a Bachelor of Science degree in accounting and management and marketing from Illinois State University and holds a Senior Human Resources management certification.

Mr. Robert W. Campbell, who was elected to the Board of Directors of the Company in 1991, has been the Managing Director of Corporate Finance at B. Riley & Co. Inc. since August 2003. From 1995 to August 2003, Mr. Campbell was Managing Director of Corporate Finance at L.H. Friend, Weinress, Frankson & Presson, LLC. Prior to 1995, among the corporate finance and accounting firms Mr. Campbell was associated with were the Seidler Companies, Inc. and Peat, Marwick, Mitchell & Co.

Mr. Daniel J. Donahoe III, who was elected to the Board of Directors of the Company in 1998, is co-founder and President of Red Rock Resorts, which operates special, unique boutique resorts in the Western United States. He also serves as Chairman of Daybreak Investments, a privately-held investment company. Mr. Donahoe has been actively involved in the commercial and residential real estate market in the southwest over the past 30 years.

Mr. Myron A. Wick III, became a director of the Company in June 1994. Mr. Wick is currently a managing director and co-founder of McGettigan, Wick & Co., Inc., an investment banking firm formed in 1988, and a general partner of Proactive Investment Managers, L.P., the general partner of Proactive Partners, L.P., a merchant banking fund formed in 1991. Mr. Wick co-founded CTC Media (formerly StoryFirst Communications, Inc.) in 1989 and served as Chairman of the Board from 1993 through 2004. He currently serves as a director of Citizens Communications, Inc., Microislet, Inc., Tankology, Inc. and Micro Analytical Systems, Inc. and is Chairman of Horizon Fuel Cell and the Hoffman Institute.

Mr. Gaines was elected to our Board of Directors on May 26, 2006. Since August 2000, Mr. Gaines, has served as a director and member of the audit committee of ModTech Holdings, Inc., a national designer and manufacturer of modular buildings. Mr. Gaines served as the Chairman and CEO of GNB Inc., an automotive and industrial battery company, from 1982 to 1988. Prior to GNB, Inc., Mr. Gaines was Senior Vice President, International from 1981 through 1983 and Group Vice President, Batteries from 1971 through 1981 for Gould Inc., an international and diversified manufacturer. In addition, Mr. Gaines serves as a director of the Battery Council International and as a director and an executive committee member of Students in Free Enterprise. Mr. Gaines attended the University of Virginia and the Harvard Business School Advanced Management Program.
