Morgans Hotel Group Co. is a fully integrated hospitality company that operates, owns, acquires, develops and redevelops boutique hotels primarily in gateway cities and select resort markets in the United States, Europe and in select international locations. Over our 25-year history, we have gained experience operating in a variety of market conditions. At December 31, 2008, we owned or partially owned, and managed a portfolio of twelve luxury hotel properties in New York, Miami, Los Angeles, Scottsdale, San Francisco, London and Las Vegas, comprising approximately 3,700 rooms. In addition, we have two hotel developments, in Boston and New York, and a hotel expansion in Las Vegas with identified financing, representing an estimated 1,300 additional guest rooms and currently scheduled to open in late 2009 or early 2010. We have five other hotel development projects, including projects to be developed by third-parties but managed by us upon completion, in various stages of advancement and pending financing, representing an estimated 1,900 additional guest rooms. These potential development projects are located in Miami, Dubai, Palm Springs and Las Vegas.

Fred J. Kleisner is our President, Chief Executive Officer and one of our Directors. Mr. Kleisner has been one of our Directors since February 2006 and has been our President and Chief Executive Officer (including interim President and Chief Executive Officer) since September 2007. From March 2000 to August 2005, Mr. Kleisner was the Chief Executive Officer of Wyndham International, a hotel company that owned, leased, managed and franchised hotels and resorts in the U.S., Canada, Mexico, the Caribbean and Europe. Scott Williams is our Executive Vice President & Chief Marketing Officer. Williams oversees all of Morgan Hotel Groups brand strategy, marketing, advertising, market research and public relations. Williams joins us from Starwood Hotels & Resorts Worldwide where he served as the Chief Creative Officer, Senior Vice President Advertising since 1999. He set the company's global visual and verbal communications strategy and oversaw all of Starwood's advertising, marketing and creative products. Tim Miller is our Chief Branding Officer and Executive Vice President of Brand. Since originally joining us in 1989, Tim has launched each of our hotels into its marketplace. Tim held operational positions in all of our hotels and served as General Manager at several of our properties. Tim was the Founder and President of Alden Hotels and rejoined MHG in 2006 to lead the expansion of our brands. Tim previously worked in the entertainment industry working as an actor on stage and screen in New York, Los Angeles and around the U.S. Tim holds a Bachelor of Fine Arts from the University of Cincinnati.

David Weidlich plays a crucial role in the continued success of Morgans Hotel Group, from ensuring the brand vision informs every detail of every property, to carrying that vision into an ever-expanding network of extraordinary hotels. He came to the task after four years as Regional Vice President and General Manager for the West Coast, which grew out of his successful tenure managing Mondrian, the premier southern California location for Morgans Hotel Group. Prior to Morgans, Mr. Weidlich served as Executive Director at one of the world’s legendary sites: The Plaza Hotel. Kathy joins us from Bowne Global Solutions, where she was Senior Vice President. In her role, Kathy assessed the business development and design company development programs for the CEO, performed the full range of HR functions and implemented structural changes that impacted profitability, values and the working climate. Prior to Bowne Global Solutions, Kathy gained a solid background in the creative and hospitality industries, working in music, film, publishing and hotels. Mr. Tamis was appointed to the VCA in January 2008. He is the Area Vice President for Morgans Hotel Group, which operates the Delano and The Shore Club in Miami Beach. He is also involved with new property development in Florida, the Bahamas and Caribbean, which includes Mondrian South Beach and The Gate, both located on Miami Beach. Mr. Tamis has been in the hotel business for over 20 years. A 24-year veteran of the hospitality industry, Rebecca has successfully led the development of high-impact strategies for specific challenges within hotel operations including growing revenues, search engine marketing and optimization, effecting customer share shift and retention, improving marketing and operations efficiencies, strengthening guest loyalty and driving brand awareness. Rebecca is a strong advocate of maintaining a global perspective while concurrently focusing on local and regional markets to achieve successful results. As the founder of Momentum Hospitality, Rebecca is responsible for leading the development and execution of strategies for the Optimal*ogy division. Armed with a degree in Finance from California State University, Hayward, Rebecca's career in hotel sales and marketing include a range of senior sales director and marketing management roles with Four Seasons Hotels and Resorts; Ian Schrager Hotels (now Morgans Hotel Group) and Rosewood Hotels and Resorts. In 2004, Rebecca founded Interim, a management group that advised under-performing hotel assets on improving bottom-line performance while simultaneously implementing on-property strategies. Thomas L. Harrison is one of our Directors. Mr. Harrison is Chairman and Chief Executive Officer of Diversified Agency Services ("DAS"), a group of marketing services companies. A division of the Omnicom Group, DAS provides a broad range of marketing communication services. Mr. Harrison has been the President of DAS since 1997 and was named Chairman and Chief Executive Officer in 1998. Prior to joining DAS, Mr. Harrison was Co founder and Chairman of Harrison & Star Business Group. Mr. Harrison serves on the boards of The Children's Hospital at Montefiore and the New York Chapter of the Arthritis Foundation. He currently serves as the Managing Director of Fortress Investment Group LLC, a global alternative investment and asset management firm. Mr. Malone retired from Bank of America in November 2007, after nearly 24 years of service as Senior Executive Banker and Managing Director. Over those years Mr. Malone worked in and ran a number of investment banking businesses for the bank and its subsidiary, Banc of America Securities. Those included: real estate, gaming, lodging, leisure, and the financial sponsors businesses. Mr. Malone received a Bachelor of Science degree in General Studies from the University of Kentucky.

Robert Friedman is a Co-Chairman of our Compensation Committee and Chairman of our Corporate Governance and Nominating Committee, and has been one of our Directors since February 2006. Mr. Friedman is President of Media & Entertainment for Radical Media, a multi-disciplinary integrated media company. From 1991 to 2003, Mr. Friedman held a variety of senior positions at AOL Time Warner, including as Head of Corporate Marketing for Time Warner and President of AOL, Interactive Marketing & TV. Mr. Friedman was President of New Line TV and Co-Chairman of Worldwide Theatrical Marketing, Licensing and Merchandising. Mr. Friedman was a member of the original development team of MTV Networks from 1981 to 1989. Mr. Friedman serves on the board of directors of Vassar College, Columbia Business School, The Mount Sinai Medical Center and The Big Apple Circus. Mr. Friedman also serves on the International Advisory Board for New Zealand. Mr. Friedman received a Bachelor of Arts from Vassar College and a Master of Business Administration from Columbia University.
