Motient

Mr. Hazard has over 30 years of finance and operations experience in the telecommunications industry. He also serves as Chief Financial Officer of Motient subsidiary TerreStar Networks. Prior to joining Motient, he served COO and CFO of publicly-held Primus Telecommunications Group, completing the company's initial public offering and four subsequent high yield debt offerings, a secondary equity offering, and a convertible debt offering totaling over $1.5 billion. He held finance and product marketing roles with MCI Communications Corporation. Additionally, he was CFO for Overseas Telecommunications, a start-up international satellite telecommunications carrier, and Assistant Vice President, Finance, for Hughes Network Systems. Mr. Hazard received a Bachelor of Engineering Science degree from Johns Hopkins University, a Masters of Science in Computer systems Manager from the University of Maryland, and an MBA from Harvard University. He is a Certified Public Accountant and a Certified Management Accountant.

Mr. Loiacono is the Chief Accounting Officer and Principal Financial Officer for TerreStar, and is responsible for the Company's financial planning and analysis, and treasury activities. Mr. Loiacono joins TerreStar with over 25 years of finance, accounting, and operations experience. Prior to joining TerreStar, Mr. Loiacono was Senior Vice President and Corporate Controller of WorldSpace, Inc., a satellite-based radio and data broadcasting service, which operated in countries in Africa, Asia and Western Europe, where he was responsible for all global accounting activities, including compliance and controls, financial reporting, accounting transactional work processes and financial information systems, as well as financial standards, planning and financial support to its global businesses. He also successfully completed WorldSpace's initial public offering of $221 million. Previously, Mr. Loiacono served in senior financial management roles in AT&T Government Solutions and Nextel Communications; and held senior manager and manager roles at public accounting firms KPMG and Deloitte and Touche. Mr. Loiacono has a bachelor of business degree in accounting from Bernard Baruch College. He is a Certified Public Accountant and a member of the American Institute of Certified Public Accountants and District of Columbia Society of CPAs.

Doug Teitelbaum is co-owner and a managing partner of Bay Harbour Management, LC. Mr. Teitelbaum served on NextG's Board of Directors for four years and continues to be actively involved. Bay Harbour is an SEC registered Investment Advisor providing investment management services to various domestic and offshore institutional and private investors. Bay Harbour invests in mispriced securities and seeks capital appreciation, value creation and, in some cases, current income through the management of a diversified portfolio of event-driven distressed, private equity and special situation investments. Specifically, within the telecommunications sector, Doug Teitelbaum and Bay Harbour have had active investment roles in companies such as TelCove, Inc. (formerly Adelphia Business Solutions), NextWave Communications, Motient Corporation, MSV Investors, and NEON Communications, among others. Aside from his various business interests, Doug Teitelbaum is an active fund raiser and supporter of medical research foundations and community advancement organizations, and in 2004 raised over $1.4 million net for the Ovarian Cancer Research Fund to establish a grant in his wife's mother's name.

Douglas Brandon is General Counsel and Secretary of TerreStar Corporation and its majority-owned subsidiary TerreStar Networks. He is responsible for the management of all legal matters for the Company. Prior to joining TerreStar, Brandon was Vice President of External Affairs & Law, Chief Counsel for Federal Affairs, and Associate General Counsel at AT&T Wireless Services, Inc. Prior to AT&T Wireless; Brandon had been a Vice President of McCaw Cellular Communications, Inc. Brandon is a member of the New York, District of Columbia and Virginia (Corporate Counsel) Bars. He is also admitted to appear before the Supreme Court of the United States and the U.S. Court of Appeals for the Second, Ninth and District of Columbia Circuits. He was a law clerk to the Honorable William H. Timbers of the U.S. Court of Appeals for the Second Circuit. Brandon received his bachelor's degree from the University of Virginia and his law degree from Vanderbilt University.

William M. Bill Freeman has served as a director since November 2007. Mr. Freeman served as Chief Executive Officer and President of Arbinet from November 2007 until September 2008. Mr. Freeman served as Chief Executive Officer and director of Leap Wireless International, Inc., a wireless communications carrier, from May 2004 to February 2005 and as President of the Public Communications Group of Verizon Communications Inc., a communications services provider, from 2000 to February 2004. Mr. Freeman served as President and Chief Executive Officer of Bell Atlantic-New Jersey, a telephone company, from 1998 to 2000, President and Chief Executive Officer of Bell Atlantic-Washington, D.C., a telephone company, from 1994 to 1998, and in a number of other executive and management positions at Verizon since beginning in 1974. Mr. Freeman serves as a director of CIT Group Inc., a finance and leasing capital company, a director and chairman of Terrestar Corp. (previously Motient Corp.), a wireless communications company, and a director of Value Added Holdings, Inc., a privately held communications company. Mr. Freeman is a founder and co-owner of Synthesis Security LLC, a/k/a dsynthesis LLC, a software based security systems integrator. Mr. Freeman serves on the Board of Trustees of Drew University. Mr. Freeman received a B.A. in Economics from Drew University and an M.B.A. from Rutgers University.

Mr. Williamson became a Director in October 2005. Mr. Williamson has been an attorney with the Law Office of Barry Williamson since 1999 and represents clients in matters involving energy, utilities, telecommunication, transportation, environment, deregulation, and advanced technology. From 1992 to 1999, Mr. Williamson served a six-year term on the Texas Railroad Commission, serving as its Chairman in 1995. From 1988 to 1992, Mr. Williamson worked in the Reagan Administration as a principal advisor to the U.S. Secretary of Energy, and then in the administration of President George H.W. Bush, as the Director of the Minerals Management Service, in the U.S. Department of Interior. Mr. Williamson currently serves on the board of SPACEHAB, Inc., a publicly traded commercial and government space services company, and Motient Corporation, a publicly traded provider of wireless mobile data services and wireless internet services. Mr. Williamson holds a B.A. in Political Science from the University of Arkansas and a J.D. from the University of Arkansas Law School.

Dean Olmstead serves as the President of EchoStar Satellite Services. He is responsible for developing that branch of our business utilizing our satellites, FCC licenses, digital broadcast centers and fiber optic capacity. Before joining the company in January 2008, Olmstead served as an advisor to Loral Space & Communications on strategic and growth opportunities for its satellite service businesses and served on its board of directors. Additionally, he was President of Arrowhead Global Solutions, President and CEO of SES Americom and held leadership positions with DirecTV Japan, NASA and the U.S. State Department.
