Mr. Wienkoop joins MSC Software from BDNA Corporation where he served as the president and chief operating officer. Mr. Wienkoop has held the position of president and chief operating officer at Portal Software where he was responsible for all company operations and the development of a new enterprise corporate strategy. He served as president and chief operating officer at Structural Dynamics Research Corporation (SDRC) prior to its acquisition by EDS in 2001. During his tenure at SDRC he led the transformation from a packaged software provider to an integrated enterprise solutions provider with Teamcenter becoming the PLM leader ultimately resulting in SDRC's acquisition. Before SDRC Mr. Wienkoop was the division president at Cognex Corporation. He also held several executive positions at Honeywell-Measurex Corporation including division president, executive vice president of marketing and engineering, vice president corporate business development, and vice president of sales and services. Mr. Wienkoop completed executive programs at Massachusetts Institute of Technology, California Institute of Technology and Stanford University. He holds an MBA from the University of West Florida and a masters and bachelors degree in engineering from Georgia Institute of Technology.

Mr. Murphy has held several strategic sales positions within MSC.Software since joining the Company in 1989. Most recently, Mr. Murphy was the senior vice president, Americas operations that comprised 35% of MSC.Software's worldwide business. Prior to that role, Mr. Murphy held the position of senior vice president, global sales operations, responsible for the field sales teams in the Americas, Europe, and Asia Pacific. He also held the position of vice president, growth industries responsible for the sales, marketing and business development of a global business unit. Mr. Murphy was the district sales representative at Aries Technology prior to its acquisition by MSC.Software. He also held the position of mechanical engineer at Ford Aerospace.

Mr. Mobayen is responsible to further drive the company's evolution and performance, effectively uniting the existing regional Sales and Services operations into a single, globally connected, field organizational structure. Mr. Mobayen, who holds a Bachelor of Science degree in Mechanical Engineering from California State University, Northridge, joined MSC.Software in October 2001, bringing his 12 year pedigree of international general management experience and success he gained in his roles as AVNET's Executive Vice President EMEA Field Operations and prior to that in the U.S. based role of Senior Vice President responsible for Global Supplier Relations for IBM. Throughout his six years as Senior Vice President of MSC.Software's EMEA operations, Mr. Mobayen lead the Sales and Technical Services organization, achieving continuous profitability and the development of close strategic relationships with many of MSC.Software's key customers.

Mr. Howaniec joins MSC.Software with more than 20 years of enterprise software experience and was most recently president and CEO of Cohesia, an early stage enterprise software company. Prior to Cohesia, Mr. Howaniec was regional president at EDS, where he was responsible for the sales, services, and marketing of the UGS PLM line of enterprise software products in the Americas. Prior to EDS, Mr. Howaniec held executive positions at Structural Dynamics Research Corporation (SDRC), including that of vice president, eastern region operations, vice president of operations, Metaphase Technology Division and Regional manager of PDM sales. While at SDRC, Mr. Howaniec was essential to the product development and market deployment of enterprise Product Data Management (PDM) solutions.

Mr. Mongelluzzo is responsible for management of MSC.Software's business administration and legal activities, facilities management, information technology and other operational activities. Prior to joining MSC.Software in March of 2005, Mr. Mongelluzzo served as counsel at the law firm of Vorys, Sater, Seymour and Pease LLP, where he counseled companies in the areas of general corporate law, commercial transactions, intellectual property, computer technology and licensing, government regulation and mergers and acquisitions. He previously served as senior vice president of business administration, secretary and general counsel at Structural Dynamics Research Corporation (SDRC) prior to its acquisition by EDS in 2001. During his 17 year tenure at SDRC, Mr. Mongelluzzo directly participated in all aspects of SDRC's business and was responsible for legal and contractual support of SDRC's sales, services and product development organizations, and management of all acquisitions, divestitures, mergers and joint ventures. Mr. Mongelluzzo holds a bachelors degree in Political Science from the University of Cincinnati and a J.D. from the Capital University College of Law.

Mr. Meyer has over 20 years of senior marketing and management experience with software and technology-based companies. He joins MSC from Worksoft where he served as vice president of marketing. During his tenure, he successfully led product strategy, product management as well as marketing communications. Prior to Worksoft, Andrew spent four years at Websense as their vice president of marketing where as a senior member of the management team they became the dominant leader in their market - growing revenue from $17 million in 1999 to more than $110 million in 2003. His tenure also included the introduction of a business model that led to one of the most successful IPOs of 2000. His prior experience includes serving as vice president and general manager of the manufacturing systems division and vice president product marketing for Epicor Software. Andrew was also the director of product marketing at Sales Technologies and Scientific-Atlanta. Mr. Meyer began his career as a mechanical engineer for McDermott International. He holds a master's degree in business administration from the University of New Orleans and a bachelor's degree in mechanical engineering from the Georgia Institute of Technology.

David Jones joins MSC.Software from Sun Microsystems where he held the position of chief technologist for the global data center practice in the client solutions organization providing leadership and definition to the solutions brought to market as well as providing support to strategic global projects. Prior to this role, Mr. Jones held several critical leadership positions at Sun including principal engineer, US data center solutions director and chief architect of the Western field organization. His valuable experience in the Industry is diverse and includes parallel processing research for a major oil company, clinical trial systems for life sciences, as well as research for the USDA. Mr. Jones has 20 years of experience in architecture, engineering and IT management with degrees and credentials in chemistry, computer science, and computer engineering from the University of Irvine and California State Polytechnic University.

Mr. Kovacs has more than 20 years of experience in the software industry and joins MSC.Software from SupportSoft, where he served as vice president of strategic sales and strategic partner development. Prior to SupportSoft, Mr. Kovacs held executive positions at Portal Software, including vice president of the IBM global strategic alliance, vice president and general manager of Australia and New Zealand, and vice president of corporate communications. Mr. Kovacs was the vice president of strategic alliances at EDS PLM Solutions and also held several executive positions at SDRC prior to its acquisition by EDS in 2001, including vice president of strategic business alliances, vice president of marketing, and vice president of sales and marketing of Asia Pacific. Prior to SDRC, Mr. Kovacs was director of corporate accounts for BasicComputer, a key IBM business partner.

Gerard Rego is a seasoned international software executive with 15 years of extensive experience in the areas of high technology, enterprise software and information communication and technology. Gerard joins MSC from Liqwid Krystal where he served as chief technology officer. Prior to Liqwid Krystal, he served as the founder and chief executive officer of eSymmetryx technologies. Gerard also served as the chief executive officer of Baron Hexa. During his career, Gerard has become a member of numerous professional organizations, been selected as a professional mentor by key institutions and published over 50 articles. He became a Wharton Fellow in 2005, a Reuters Digital Vision Fellow in 2006 and is a visiting scholar at Stanford University. Gerard is currently pursuing a master's in philosophy, holds a master's degree in sociology and bachelor's degree in mathematics.

Mr. Varney has over 20 year of marketing and sales training knowledge with both technology and enterprise software firms and was most recently the director of global sales training at Electronic Data Systems. He also held senior sales training and marketing positions at Standard Register and Pitney Bowes.

Dr. Sadeghi is currently the CTO of MSC.Software, with responsibility for strategy and development of MSC products. Prior to the merger of MARC Analysis Research Corp. and MSC.Software, he was responsible for the company's overall operations. Before joining MARC Analysis Research Corporation, he was responsible for the simulation methods group at Goodrich aerospace, where he led the development of a number of math based tools for design and manufacturing of commercial and military jet engine nacelle structures. He has more than 10 years of teaching experience in the filed of Computational mechanics and math based modeling. He has been asked to serve on a number of science and technology review boards, among them the U.S. Department of Energy and the U.S. Department of Defense, as well as authored a number of papers in the field of computational mechanics and math based modeling.

Mr. Bodnar joins MSC.Software with 17 years of marketing and product management experience in the CAD/CAM/CAE, PLM, and enterprise software industries. Prior to joining MSC.Software, Mr. Bodnar has served in several executive roles including director of market development for EDS' PLM Solutions and as vice president of the collaborative solutions group at Structural Dynamics Research Corporation (SDRC). Before SDRC, Mr. Bodnar was the director of product marketing for Parametric Technology Corporation (PTC). Mr. Bodnar was a founding member of Auxilium, Inc. where he was the director of product management prior to its acquisition by PTC in 1999. He also served at Chrysler Corporation for 10 years in the engineering CAD/CAM/CAE group.

An MSC Software board member since 1998, Mr. Glickman currently serves the board on the governance and nominating committee and the audit committee. He was also recently appointed as Lead Director to act as the principal liaison between the board and the Company's executive management Since 1992, Mr. Glickman has been a general partner at J.F. Lehman Company where he manages a private equity fund. Prior to his current position, Mr. Glickman has held executive finance and investment banking positions at Peter J. Solomon Company, Shearson Lehman Hutton, First National Bank of Chicago and Suez-American Corporation. Mr. Glickman holds a bachelors of science degree in mechanical engineering from Cornell University and an MBA from the Harvard Graduate School of Business Administration.

Mr. Riordan served as Chairman of the Board of MSC Software from February 1997 until December 1998. Mr. Riordan currently serves the board on both the compensation committee and the governance and nominating committee. Since 1991, Mr. Riordan has been a financial consultant who advises corporations in financing, recapitalization, mergers and acquisitions and leveraged buyouts. Prior to his current position, Mr. Riordan was an investment banker - as an officer or managing director - at a number of investment banks in both New York City and Los Angeles, including Lehman Brothers, Blyth, Paine Webber, Prudential Bache and Dean Witter Reynolds. Mr. Riordan has served as a director for a number of publicly held companies including Arctic Enterprises, Visual Graphics Corporation, Quantronix Corp., Pancho's Mexican Buffet and Louis Galoob Toys. Mr. Riordan holds a bachelors of science degree from Cornell University and an MBA from the Harvard Graduate School of Business Administration.

Gregory P. Spivy has been a director since March 1, 2006. He is a Partner of ValueAct Capital. Prior to joining ValueAct Capital in September 2004, Mr. Spivy worked with Gryphon Investors, a private equity fund managing approximately $500 million. Previously, Mr. Spivy was a Managing Director at Fremont Partners ( Fremont ), overseeing a $605 million private equity fund. Prior to joining Fremont, Mr. Spivy was a Director with The Bridgeford Group, a mergers and acquisitions advisory boutique. Mr. Spivy began his career in the mergers and acquisitions department of Lehman Brothers. Mr. Spivy currently serves as chairman of the board of MSD Ignition, is a director of MSC.Software and is a former director of Kerr Group, Inc. He has a B.A. from Northwestern University.

An MSC Software board member since 1998, Mr. Grun currently serves the board on the audit committee and as chairman of the governance and nominating committee. Mr. Grun is a private investor and consultant with extensive experience in successfully managing companies in the software, engineered products and professional services businesses. From 1996 to 1999, Mr. Grun served as President and Chief Operating Officer of Optum Software. Prior to that he was an executive with AlliedSignal (now Honeywell International) where he held several positions including President of Aerospace Systems and Equipment. Mr. Grun holds a bachelors of science degree in industrial engineering from Cornell University and an MBA from the Harvard Graduate School of Business Administration.
