NCI Building Systems Inc.

Bradley D. Robeson has held the position of President of the NCI buildings division since April 2008. Mr. Robeson was the President of the metal coil coating division from February 2006 until April 2008 and was Vice President of Operations for the metal coil coating division from October 2005 until February 2006. From February 2001 to October 2005, Mr. Robeson was Vice President and General Manager of Metal Prep, a company within the metal coil coating division. From 1996 until February 2001, Mr. Robeson served as Plant Manager for NCI’s building companies. Prior to March 1996, he held various managerial positions with a component company ultimately acquired by NCI. Mr. Robeson has more than 18 years of industry experience.

Keith E. Fischer accepted the position of President of all Robertson-Ceco Divisions in September 2006. Mr. Fischer served as Executive Vice President of Sales and Marketing for NCI’s former NCI Building Systems LP building division and as President of Metallic Building Company from April 2002 until September 2006. Before joining NCI in April 2002, Mr. Fischer was employed by American Buildings Company, a metal building manufacturer, for more than seven years, of which during the last two years he served as President. Mr. Fischer has more than 29 years of experience in the metal building industry.

Eric Brown has been our Executive Vice President and CIO since December 2007 and Vice President and CIO since June 2004. Before joining NCI, Mr. Brown was CIO of the Punahou School in Honolulu from 2002 until he joined NCI. From 2000 to 2002, Mr. Brown was CIO of Petrocosm Corporation. From 1992 to 2000, he served as a Director at KPMG Consulting LLC.

Mark Johnson has served as NCI’s Executive Vice President, CFO and Treasurer since April 2008. He was our Chief Accounting Officer from August 2006 until April 2008 and was Executive Vice President and Controller from December 2007 until April 2008. He came to NCI as our Vice President and Controller in February 2006. Before joining NCI, Mr. Johnson was employed by Vector ESP, Inc., a company providing information technology services, where he served as a Corporate Controller from 2000 to 2003 and CFO and Senior Vice President from 2002 to August 2005, when the company was acquired. From 1989 to 2000, Mr. Johnson was employed by Ernst & Young LLP.

Todd Moore has served as our Executive Vice President and General Counsel since December 2007 and as our Vice President and General Counsel since March 2003. Mr. Moore has been Vice President and General Counsel of all NCI divisions since 1999 and has been Corporate Secretary since March 2005. Before joining NCI in January 1999, Mr. Moore was employed by Gardere Wynne Sewell LLP, a Dallas law firm, for more than nine years, the last two years as a partner.

Mark Golladay has served as NCI’s Vice President of Corporate Development since December 2007 and as our Vice President of Corporate Purchasing since March 2006. Before joining NCI, Mr. Golladay was employed by Butler Manufacturing Company, a company that produces metal building systems and architectural products for the non-residential construction market, where he served as Finance Director for Butler Europe from 1999 to 2002, Director of Business Development from 2002 to 2003, Finance Director for Butler De Mexico from 2003 to 2004 and Managing Director for Butler De Mexico from 2004 to 2006.

Ed L. Phipps joined NCI’s Board of Directors in January 2008 and serves on the Audit Committee. He served as President and CEO of Balfour Beatty Construction, Inc., a heavy, civil construction contractor, from 2004 until his retirement in 2007. Balfour Beatty Rail, Inc. also reported to Mr. Phipps from 2005 until his retirement. From 2000 to 2003, Mr. Phipps was President of shipyards held by Atlantic Marine Holding Company: Atlantic Marine-Mobile Shipyard from 2000 to 2003, and the Alabama Shipyard from 2001 to 2003. From 1999 to 2000, Mr. Phipps was a manufacturing and corporate equity investment consultant for Meshekow Oil Recovery Corporation, and from 1993 to 1999 he served as Vice President of both Manufacturing and Equipment Products Operations of Halliburton Energy Services, a company that provides products and services for oil and gas exploration, development and production. Mr. Phipps has also served as an Advisory Board Member for Carter Group L.L.C. and as a Director of the Alabama Institute for the Deaf and Blind. From 1973 to 1993, Mr. Phipps held various executive positions at General Electric.

Mr. Forbes, age 63, has served as one of our directors since December 1991. Mr. Forbes serves on the Executive Committee and Compensation Committee and is the Chairman of the Audit Committee of our board of directors. In addition, Mr. Forbes is our designated audit committee financial expert. Mr. Forbes has been a Senior Vice President of Equus Total Return, Inc., an investment company, since November 1991. Mr. Forbes is also a director of Consolidated Graphics, Inc., a commercial printing company and Carriage Services, Inc., a death-care services company. Mr. Forbes is a certified public accountant.

George Martinez is CEO of Allegiance Bank Texas, whose mission is to serve the financial needs of growing small to medium-sized businesses in the Houston area. He also is the former chairman of the board of Sterling Bancshares, Inc., a Houston, Texas-headquartered public company traded on Nasdaq, and its subsidiary, Sterling Bank, a commercial bank that operates 36 full-service banking offices in Houston, Dallas and San Antonio. He was one of the founders of the bank in 1974. He serves on various non-profit organization boards. A native Texan and longtime resident of Houston, Mr. Martinez received his Bachelor of Arts degree in Business Administration and Economics from Rice University in 1963.

Phil Hawk is Chairman and Chief Executive Officer of Team, Inc., a provider of specialized industrial services related to the construction and maintenance of pressurized piping and process systems. Headquartered in Alvin, Texas, the Company operates in over 50 customer service locations throughout North America. Team, Inc. common stock is traded on the NASDAQ under the ticker symbol "TISI." Prior to joining Team in November 1998, Phil was President and CEO of EOTT Energy Partners, a publicly traded MLP in the energy marketing industry. Previously, he was also a partner with McKinsey & Company. Phil is a Director of NCI Building Systems (NYSE: NCS), a leading manufacturer of metal buildings and components. He is also a member of the Board of Visitors for Duke's Pratt School of Engineering. Phil is a graduate of Duke University and Harvard Business School.

Philip J. Hawk joined NCI as a Director in July 2004. He serves on both the Audit Committee and the Compensation Committee of our Board of Directors. Since November 1998, Mr. Hawk has been the Chairman of the Board of Directors and CEO of Team, Inc., a leading provider of specialty contracting and maintenance services to the process, power and heavy manufacturing industries. From 1993 to 1998, Mr. Hawk held the position of President and CEO of EOTT Energy Partners, L.P., an energy marketing and service company.

W. Bernard Pieper has served as an NCI Director since December 2000. Mr. Pieper is on the Compensation Committee and is the Chairman of the Nominating and Corporate Governance Committee of our Board of Directors. Mr. Pieper, now retired, is a private investor who has served as a member of Rice University’s Board of Trustees beginning in 1996 and completed his second term in May 2004. He also served on various other boards and committees of Rice University. From 1957 until 1992, Mr. Pieper was employed by Brown & Root. From 1992 until 1996, Mr. Pieper was Vice Chairman of Halliburton Company, a provider of energy services and related engineering and construction services, during the last two years of which he was COO.
