Charles M. Boesenberg, age 60, has served as a director of Callidus since February 2006, as Chairman of the Board since November 2008, and as Executive Chairman of the Board from November 2007 to November 2008. Mr. Boesenberg also currently serves on the boards of Rackable Systems, Inc., a developer of scalable rack mount servers and Keynote Systems, Inc., a provider of on-demand test and measurement products for mobile communications and Internet performance. Prior to its acquisition by Autonomy Corporation in March 2009, Mr. Boesenberg served as a director for Interwoven, Inc., an enterprise content management provider. Prior to its acquisition by Attachmate Corporation in June 2006, Mr. Boesenberg served as chairman and CEO of NetIQ Corporation, a leading provider of integrated systems and security management software solutions, from August 2002 and served as President and CEO of NetIQ from January 2002 to July 2002. Mr. Boesenberg also served as lead independent director of Maxtor Corporation, a provider of hard disk drive storage products and solutions, from January 2002 until its merger with Seagate Corporation in 2006, and as a director of Onyx Software Corporation, a provider of enterprise customer processing software solutions. Mr. Boesenberg also previously served as a member of the Boards of Directors of Symantec Corporation, a provider of Internet security technology, from June 1994 until September 2002, Macromedia, Inc., a developer of software that helps create and deliver effective user experiences on the Internet, fixed media, and wireless and digital devices, from December 2004 to December 2005, Epicor Software, a provider of integrated enterprise software solutions for mid-market companies, from December 2000 until May 2003. Prior to joining NetIQ, Mr. Boesenberg was President of Post PC Ventures, a management and investment group from March 2000 to December 2001. From December 1998 to February 2000, Mr. Boesenberg served as director, President and Chief Executive Officer of Integrated Systems, Inc., a provider of embedded systems software. Before joining Integrated Systems, Mr. Boesenberg was President and Chief Executive Officer of Magellan Corporation, which was the surviving corporation of a merger with Ashtech, Inc., a position that he assumed in January 1995 with Ashtech. Magellan specializes in satellite navigation and communication products. Mr. Boesenberg has held senior executive positions with a number of technology companies including International Business Machines Corporation and Apple Computer, Inc. James Richardson has led an illustrious career in high tech over the past 25 years, and now acts as a consultant to high tech companies. His experience includes service as senior vice president and chief financial officer of WebTrends Corporation, which merged with NetIQ Corporation in March of 2001. Prior to WebTrends, Richardson was vice president and chief financial officer at Network General Corporation. There he managed the $1.2 billion merger with McAfee Associates, resulting in the creation of Network Associates. Before that, Richardson was vice president and chief financial officer of Logic Modeling Corporation, now a division of Synopsis, and vice president and chief financial officer of Advanced Logic Research. Additionally, Richardson is a member of several committees including, FEI Company-Audit Committee Member, Digimarc Corporation-Audit Committee Chair, Governance Committee Member and Plumtree Software-Compensation Committee Chair & Audit and Nominating Committee Member. He holds a doctorate degree in law, cum laude, from Northwestern School of Law of Lewis and Clark College and a master's degree in business administration from the University of Portland.

Marc Andrews is chief operating officer (COO) with responsibility for the day-to-day operations of the NetIQ Business Unit, managing all aspects of product development and delivery as well as sales, support and service to NetIQ customers. Andrews has more than 15 years' experience in the information technology industry, specifically focused on enterprise software, distributed systems management and networking. He previously held executive and managerial positions at BMC Software, Computer 2000 and Novell Inc. While at BMC, he held dual positions of vice president of Enterprise Systems Management and vice president of Marketing at BMC Software for the EMEA region, with responsibility for defining, building and executing the overall go-to-market strategies for BMC Software.

Angelo joined the VirnetX board of directors in July 2007. He is currently chief security architect at NetIQ Corporation, a provider of comprehensive systems and security management solutions. Prior to joining NetIQ, he was security architect and manager of government engagements within Microsoft Corporation. Angelo is very active in the security and technology area as the sub-chairman for the Common Infrastructure and Service Delivery (CISD) review as part of the National Institute of Standards and Technology Board of Assessment for the Programs/National Research Council, responsible for fiscal years 2000-2001 and 2001-2002. He has been a technology contributor and participant for the U.S. Commerce Department's Information Systems Technical Advisory Council (ISTAC) since 1999. In addition, he was named a distinguished lecturer in 2004 and 2005 by Sigma XI, the Scientific Research Society. Angelo currently holds 49 patents, most of them in the areas of security and authentication. He was named the 2003 Inventor of the Year for the city of Houston by the Houston Intellectual Property Lawyers Association.

Olivier Thierry Senior Vice President, Worldwide Marketing and Alliances Olivier J. Thierry is senior vice president Worldwide Marketing and Alliances at NetIQ and is responsible for the company's worldwide corporate and product marketing, communications strategies and strategic partnerships. The marketing group runs integrated campaigns that include branding, advertising, public relations, events, customer communication and packaging. With more than twenty years' experience in several areas of computers and software systems, Thierry has rich experience in building, implementing, selling and marketing software, both domestically and internationally, with organizations such as Mission Critical Software (which merged with NetIQ in 2000), Antares Alliance Group (JV EDS-Amdahl), Boole & Babbage, KPMG Peat Marwick, and Burroughs. He received his Bachelor of Commerce degree with a joint major in Marketing and Computers and Systems from McGill University.

As Vice President of Products and Marketing, Chris Pick provides strategic direction and ensures solid execution for all communications and marketing internationally for the Systems and Security Management products. He leads a global team responsible for product and solutions marketing, field and channel marketing, branding, advertising, marketing communications, public relations, and industry analyst relations. Chris also oversees product management and the corporate strategy and development process. Prior to Attachmate, Chris spent more than 10 years in marketing and product management positions at NetIQ, PentaSafe, and e-Security. He is a former auditor with Ernst and Young and is a recognized expert in the field of computer security and regulatory compliance.

As Vice President of Worldwide Services and Support, Mike Steinmetz is responsible for ensuring customer satisfaction and managing post-sale support globally, including maintenance renewals, professional services, and technical support. Prior to joining NetIQ in 2004, Mike worked at BMC Software, where he held many positions, including Manager, Professional Services; Technical Services Director; Business Unit Field Director for the Scheduling and Output Management business units (European assignment); and Manager, Global Sales Support. Mike leverages his broad knowledge and expertise in the IT industry, inclusive of technical development and support, to deliver comprehensive solutions to customers. Mike holds a Bachelor of Science degree in Computer Science and English from La Salle University in Philadelphia, Pa.

Craig Nelson is a seasoned professional with more than 20 years of experience in the software industry. For the last 15 years he has dedicated his efforts to enabling companies to more effectively market and sell. Nelson has held a variety of leadership roles and has been instrumental in the growth of several startup companies. As the Senior Director of Worldwide Sales Operations for NetIQ Corporation the company grew license revenues from $8MM pre-IPO to over $320MM to become an industry-leading, publicly traded software company. Prior to his work with NetIQ Corporation, as a Senior Director, Nelson played a major role in the launch of LBMS, which went public on the NASDAQ and was subsequently sold to Platinum Technology. Nelson holds a B.S. in Computer Science and Interdisciplinary Computer Science from Minnesota State University.
