Since our inception in September 1987, we have been engaged in the discovery and development of drugs. We have not derived any revenue from product sales and have incurred, and if we continue the development of our drug candidates we expect to continue to incur, significant losses prior to deriving any such product revenues or earnings. Revenues to date have come from six collaborative research agreements, one license agreement and one technology transfer agreement. We have not derived any revenue from product sales to date. If we continue to develop our drug candidates, we would expect to incur substantial and increasing losses for at least the next several years and would need substantial additional financing to obtain regulatory approvals, fund operating losses, and if deemed appropriate, establish manufacturing and sales and marketing capabilities, which we would seek to raise through equity or debt financings, collaborative or other arrangements with third parties or through other sources of financing. In such scenario, there could be no assurance that such funds will be available on terms favorable to us, if at all. Steve assumed the role of Chief Executive Officer of Neurogen on February 5, 2008. He had previously served in various roles including Executive Vice-President and Chief Operating Officer. Steve has played key roles in the operations of Neurogen since joining the Company in 1994. He established drug discovery and development partnerships for Neurogen valued at over $400 million and has also guided the Company in raising over $200 million in equity financings, as well as providing critical business and marketing perspectives to scientific decisions. Al started with Neurogen in 1989, and has been the cornerstone of our medicinal chemistry and informatics initiatives, where he was instrumental in developing our Accelerated Intelligent Drug Discovery (AIDD ) technology. Al has helped Neurogen become a world leader in developing compounds for challenging drug targets. Jim's research has focused on investigating the structure and function of G-protein coupled receptors and ion channels that are predominantly expressed in the nervous and endocrine systems of the body. These studies have encompassed: receptor molecular cloning, functional expression, structure-activity relationships evaluations, physiological functions and the regulation of gene expression in the central nervous system. Prior to joining Neurogen he held a succession of positions of increasing responsibility at the Washington University School of Medicine in St. Louis, Missouri. He was a tenured faculty member in the Department of Anatomy and Neurobiology, and most recently was Professor of Neurobiology and Co-Director of the Washington University Medical Scientist Training Program. Jim holds a B.S. degree in biology and a Ph.D in physiological chemistry from the University of Wisconsin.

Charles is responsible for research informatics and information technologies, biophysical properties research, and computational chemistry. Joining Neurogen in 1993, he's played a prominent role in the development and implementation of our Accelerated Intelligent Drug Discovery (AIDD ) technology, which integrates high speed compound synthesis, high throughput screening and advanced informatics. Charles is the architect of the informatics system used in the AIDD program and is responsible for the integration of computational chemistry and informatics with automation and control of the chemical synthesis and screening robotics. AIDD can generate drug discovery data in as little as a two-week period, which compares to a several month-long cycle in other drug discovery programs at both large and small pharma companies. His research interests include the development of automated and assisted methodologies for pharmacophore recognition and model development, as well as molecular level interactions key to drug receptor molecular recognition and the conveyance of drug-like properties. Prior to joining Neurogen, Charles held positions of increasing responsibility in chemistry at Eli Lilly and Dow Elanco. Charles holds a B.S. degree in chemistry from the University of North Carolina, Greensboro, and a Ph.D in chemistry from Harvard University in Massachusetts.

George is responsible for the full range of functions required to advance compounds from the preclinical development stage into Phase 1 clinical studies, or to human testing, including pharmaceutical sciences, process chemistry, and preclinical safety. He joined the medicinal chemistry group at Neurogen in 1997 as Senior Research Fellow and assumed several positions of increasing responsibility at the Company, being promoted to Executive Director, Early Development in 2006 and then to Vice-President in 2007. Prior to joining Neurogen, George had served on the scientific staff of Hoechst Marion Roussel Inc., Cincinnati Research Institute, now part of Sanofi-Aventis, where he was a discovery chemist project team leader. Ken has been responsible for all clinical development activities for our most advanced compound, adipiplon, for the treatment of insomnia--eight clinical studies in over 600 subjects, including two successful Phase 2b studies announced in June 2007. He has also been a key contributor to building the Company's clinical development infrastructure, which has been critical to Neurogen's transition from an early-stage discovery company to a mid-stage drug development firm. Ken joined Neurogen in January 2005 as Senior Director, Clinical Development and Operations and was promoted to Executive Director the following year. Before joining Neurogen, he had served as Global Clinical Leader for new chemical entities at Bayer Pharmaceuticals in West Haven, Connecticut, where he headed clinical development for vardenafil (Levitra ) and was also closely involved with registration, launch, and marketing planning. Vardenafil was approved by the FDA in 2003. Previously Ken was Medical Director for Bayer in South Africa, where he was responsible for the Company's Pharmaceutical Medical Department and Bayer's medical affairs in African countries. Prior to his experience at Bayer, he practiced as a pediatrician and pediatric cardiologist at hospitals in Durban and Cape Town. Dr. Felix J. Baker has served as a director of Neurogen Corporation since May 1999. Dr. Baker is a Managing Member of Baker Bros. Advisors, LLC, which he and his brother, Julian Baker, founded in 2000. James Gregory is Chief Software Architect of Core Informatics, bringing over 16 years of experience in software engineering, system design, project management and science to Core Informatics. He has significant experience in both academic and pharmaceutical research settings. As head of the Research Informatics department at Neurogen Corporation, Jim lead a team of software engineers that developed a fully integrated drug discovery platform that encompassed all phases of the small molecule drug discovery process from synthesis, QA/QC, High Throughput Screening, secondary screening, Drug Metabolism and PK to in-vivo efficacy studies. This system was a key component of Neurogen's AIDDO (Accelerated Intelligent Drug Discovery) platform that was licensed to Pfizer for $29M and has helped Neurogen raise over $250M and identify more than 10 drug candidates that entered clinical trials. Jim's work experience includes Yale University and Neurogen Corporation where he worked with increasing levels of responsibility from biologist to Chief LIMS Architect. In those roles, he oversaw the drug discovery and development efforts of over 12,000 employees in the United States, Europe, and Asia. He graduated cum laude from Boston College with a B.S. in Chemistry, received a Ph.D. from the University of New Hampshire in Organic Chemistry, and then was a National Institute of Health Post Doctorate Fellow at Princeton University. Dr. LaMattina is the author of numerous scientific publications and U.S. patents and serves on the Board of Trustees of Boston College and Worcester Polytechnic Institute and as a director of the Terri Brodeur Breast Cancer Foundation.
