Shai N. Gozani, M.D. Ph.D.
Chairman of the Board, President and Chief Executive Officer
Shai N. Gozani, M.D., Ph.D. founded our company in 1996 and currently serves as Chairman of our Board of Directors and as our President, Chief Executive Officer and Secretary. Since founding our company in 1996, Dr. Gozani has served in a number of positions at our company including Chairman since 1996, President from 1996 to 1998 and from 2002 to the present, Chief Executive Officer since 1997 and Secretary since July 2008. Dr. Gozani holds a B.S. in computer science, an M.S. in Biomedical Engineering and a Ph.D. in Neurobiology, from the University of California, Berkeley. He also received an M.D. from Harvard Medical School and the Harvard-M.I.T. Division of Health Sciences at M.I.T. Prior to forming our company, Dr. Gozani completed a neurophysiology research fellowship in the laboratory of Dr. Gerald Fischbach at Harvard Medical School. Dr. Gozani has published articles in the areas of basic and clinical neurophysiology, biomedical engineering and computational chemistry.

Joseph A. Calo is an independent financial consultant and has served as our Acting Chief Financial Officer and Treasurer since July 2008. Mr. Calo has provided consulting services to us since March 2004. Prior to becoming an independent financial consultant in 2004, Mr. Calo had been the Chief Financial Officer at Softscape Inc., a provider of human capital management software to Fortune 1000 companies, from 2002 to 2004. At Softscape, he was responsible for financial operations, raised private equity financing from several venture capital firms and completed the acquisition of a medical imaging services company. Prior to Softscape, Mr. Calo was the Vice President of Finance and Chief Financial Officer at Sychronicity, Inc, a company providing electronic design software to the high technology industries, from 1998 to 2002. Previous positions held by Mr. Calo include Vice President of Finance at Viewlogic Systems and various senior financial positions for Prime Computer, Inc. Mr. Calo received his M.B.A. from Babson College. Mr. Calo has a B.S.B.A. in accounting from Western New England College.

Michael Williams, Ph.D. has served as our Senior Vice President of Engineering since July 2003 and, prior to that time, as our Vice President of Engineering since May 2000. From March 1996 to January 2000, Dr. Williams served as Division President at Radionics, where he was responsible for all software-based products, including treatment planning and image-guided surgery. Prior to Radionics, he served as an engineer at Hughes Aircraft Space & Communications Group. Dr. Williams received a B.S. in physics and mathematics from University of Puget Sound and an M.S. and Ph.D. in Physics from Brown University.

Mr. MacDonald has been with NeuroMetrix since September 2000. As Vice President of Marketing, he is responsible for Marketing, International Sales, Healthcare Economics, Account Management and Corporate Accounts.
Mr. MacDonald has over 17 years of marketing & sales management experience in the medical device industry. Since joining NeuroMetrix he has had various Sales & Marketing roles of increasing responsibility including Market Manager, Region Sales Manager, Director of Marketing, Director of Strategic Marketing and Vice President of Healthcare Economics.
Prior to joining NeuroMetrix, Mr. MacDonald held various marketing positions at Smith & Nephew Endoscopy, a world leader in minimally invasive surgical devices. These responsibilities were focused on leading the company’s efforts to diversify into the additional minimally invasive markets with the development of new, less invasive surgical techniques and devices. Prior to Smith & Nephew, he held a number of positions with progressive marketing responsibility at Deknatel, Inc., which specializes in the development of products for cardiovascular and other specialty surgery markets.
Mr. MacDonald holds a B.S. degree in Business Administration from Northeastern University.

Dr. Kong joined the company in 1999. As VP of Research, his group's primary responsibilities include 1) to develop scientific and engineering solutions to meet the challenges of existing and new product development; 2) to identify and formulate new product concepts that leverage company's core competence in science, medicine, and engineering; 3) to partner with internal clinical and engineering staff, consulting scientific and clinical experts to accumulate company's intellectual capital for future product development; and 4) to advance scientific and clinical knowledge by disseminating research findings through peer-reviewed publications and professional meeting presentations.
Prior to joining the company, Dr. Kong was a tenured associate professor in the Department of Electrical Engineering at Northern Illinois University (Dekalb, IL). As a principal investigator, he successfully led many federally and industrially funded projects in signal processing research and bio-electric signal analysis applications. He has published numerous papers in leading signal processing, biomedical engineering, and clinical neurophysiology journals. He is a senior member of IEEE and a member of Eta Kappa Nu and Beta Gamma Sigma. He is certified as professional risk manager by PRMIA. Dr. Kong received his Ph.D. from The Johns Hopkins University and MBA from Boston University.

Mr. Fendrock has been with NeuroMetrix since December 2001 and is responsible for the business relationship with all contract manufacturers, for controlling inventory levels, for product distribution, and for the introduction of new products into production. He is also responsible for the intellectual property activities of the company and for strategic innovation. Mr. Fendrock has held management positions of increasing responsiblilty at both large and small medical and other technology firms, including Abbott Laboratories/MediSense, Aspect Medical Systems, Hewlett Packard Medical Products Group (now part of Philips), and Symbolics, Inc. He holds numerous domestic and international patents. Mr. Fendrock holds a B.S. in Electrical Engineering from M.I.T. and an MBA from Boston University.

Dr. Hinkle is responsible for medical management and clinical services. Prior to joining Tufts Health Plan, Dr. Hinkle served as medical director and vice president for Health Care Quality, Policy & Innovation at Blue Cross Blue Shield of Massachusetts, where he was responsible for medical quality, corporate peer review, medical policy, health services evaluation, and innovation. His strategic work included the redesign of health management, including disease management, trend management, predictive modeling, high-risk/specialty case management, and e-health. As Medical Director, Dr. Hinkle was a liaison with Marketing and Sales, meeting with benefit consultants, brokers, and large national and local accounts. Dr. Hinkle also chaired the Clinical Improvement and the New England BCBS Medical Directors Committees and served as lead staff for the Health Care Quality & Cost Committee. Prior to that, Dr. Hinkle had similar responsibilities as corporate medical director for Anthem Blue Cross Blue Shield of New Hampshire, where he designed, built, and managed the disease management program and received two BCBS National Awards for Best Practices and Innovations. Dr. Hinkle holds three patents for medical applications: scented pediatric anesthesia facemasks, a pediatric emergency system that identifies medical equipment with color-coded packs, and a system for collecting and sharing patient information from remote sites to caregivers via the Internet. Dr. Hinkle was the director of pediatric anesthesia and the director of the Anesthesia Residency Training Program at Dartmouth-Hitchcock Medical Center in Hanover, N.H. He is an Associate Professor of Anesthesiology and Pediatrics at Dartmouth Medical School and a faculty member at the Tufts University School of Medicine in Boston. Dr. Hinkle is the author of several papers about pediatric anesthesiology and co-author of Managing Variation in Managed Care. He is board certified in pediatrics and anesthesiology. Dr. Hinkle received his medical degree from Albert Einstein College of Medicine in New York and his B.S. from the University of Massachusetts at Amherst.

Since 1979, David has been actively involved in managing and investing in over 50 high growth venture capital backed companies, primarily in the medical device industry. He joined Delphi Ventures in 1990. Prior to joining Delphi, David was a General Partner at Matrix Partners focusing on medical device investments. From 1984 to 1986, David served as Chief Operating Officer at Paladin Software Corporation, responsible for operations, R&D, finance and administration. From 1979 to 1983, David served as Vice President of Finance and Administration at Collagen Corporation. He was responsible for several private equity financings, as well as Collagen's initial public offering. Before joining Collagen, David was a consultant with McKinsey & Company and Teaching Fellow at Athens College in Greece. David is a trustee of the Stanford University DAPER Fund and is a member of the Stanford University School of Education Advisory Board. He has served as a director of the Stanford University Athletic Board. Additionally, David is an Adjunct Professor at The University of Hawaii teaching New Venture Management and is a member of the Medical Industry Group of the National Venture Capital Association. Previously, he served as a director of the Western Association of Venture Capital. Recently, David was named to the Forbes Midas List recognizing the top 100 venture capital investors.

Dr. Aaron I. Vinik, M.D., Ph.D., FCP, FACP is Professor of Internal Medicine and Pathology/Neurobiology, Director, Strelitz Diabetes Research Institutes, Eastern Virginia Medical School. Dr. Vinik is an internationally acclaimed expert on diabetic neuropathy and is the author of numerous papers on this subject. Dr. Vinik is actively involved in basic research on the molecular basis of diabetic neuropathy and also in the clinical management of patients with diabetes.

From October 1999 to April 2000, Dr. Lord served as president of Health Dialog, a health information provider, and from April 1997 to October 1999, he served as chief operating officer of the American Hospital Association, a national organization representing hospitals, health care networks and their patients. Dr. Lord received a B.S. degree in chemistry and a M.D. degree from the University of Miami. John Patience has served as a director since our incorporation in March 1989. He is a co-founder and partner of Crabtree Partners LLC, a private investment firm in Lake Forest, Illinois, which was formed in June 1995. From January 1988 to March 1995, Mr. Patience was a general partner of a venture capital firm that he co-founded which led our initial capitalization. He received B.A. and LL.B. degrees from the University of Sydney in Sydney, Australia, and a M.B.A. degree from the Wharton School of Business of the University of Pennsylvania.

Joseph C. Arezzo, Ph.D. is Professor, Departments of Neuroscience and Neurology at Albert Einstein College of Medicine. Dr. Arezzo is a leading neurophysiologist and an internationally recognized thought leader in the use of nerve conduction studies to track systemic and toxic neuropathies. He has extensive experience in the evaluation of new treatments to prevent or reverse the progression of neuropathic disease.
Mark Upfal, M.D. is Corporate Medical Director at Detroit Medical Center, Department of Occupational Health Services and Associate Professor at Wayne State University, where he developed its residency training program in occupational medicine. Dr. Upfal is board certified in Occupational Medicine and serves on the Board of Directors of the American College of Occupational and Environmental Medicine (ACOEM). He chairs the ACOEM Academic Council, as well as the Examination Development Committee for the Medical Review Officer Certification Council.

W. Mark Lortz has served as a member of our Board of Directors since June 2004. Since 2004, Mr. Lortz has served as an independent consultant providing services to medical device companies. Mr. Lortz served as President and Chief Executive Officer of TheraSense, Inc., a medical device company, from 1997, and as Chairman of TheraSense from 1998, until Abbott Laboratories’ acquisition of TheraSense in April 2004. From 1991 to 1997, Mr. Lortz held various positions, including Group Vice President for Worldwide Operations and International Franchise Development, Group Vice President for Worldwide Business Operations and Vice President of Operations, for LifeScan, Inc., a division of Johnson & Johnson that specializes in medical device technology. Mr. Lortz currently serves as a director of Cutera, Inc., a medical device company that designs and develops laser and other light-based aesthetic systems. Mr. Lortz holds a B.S. in Engineering Science from Iowa State University and an M.B.A. in Management from Xavier University.
