Timothy J. Conway is our Chief Executive Officer and President and was elected to serve as Chairman of our Board of Directors in September 2006. He has been our Chief Executive Officer and President and has served on our Board of Directors since our inception in June 2004. From July 2002 to June 2004, Mr. Conway worked full-time on our founding. From 1996 to July 2002, Mr. Conway was a Managing Director at FleetBoston Financial Corporation or its predecessors responsible for Corporate Finance and Capital Markets. From 1987 to 1996, Mr. Conway held various senior management positions at Citicorp Securities, Inc. He was a Managing Director and Senior Securities Officer and was responsible for the bank's private placement, loan syndication and acquisition finance businesses. Mr. Conway received his undergraduate degree from Fairfield University and his masters of business administration from the University of Connecticut.
Mr. Bray is responsible for all finance and administration functions, including accounting, technology and operations. Prior to joining NewStar, Mr. Bray held a number of positions at Fleet since 1979. In the spring of 2003, Mr. Bray was named Director of Finance - Line of Business where he was responsible for all financial management of revenue producing divisions. From 2001 through 2003, he was Director of Finance for the Wholesale and International Banking Divisions. In this role, Mr. Bray was responsible for all financial management issues of this sector, including controllership, planning and analysis and management of strategic financial issues. Between 1998 and 2001, he served as Executive Vice President and Chief Financial Officer of Fleet Credit Card Services where he was responsible for all accounting, financial, treasury and compliance activities including the unit's securitization program involving road shows, rating agency presentations, and new issues. Prior to 1998, Mr. Bray held numerous senior financial positions, including Director of Corporate Regulatory Compliance and Senior Vice President of Government and Corporate Affairs. Mr. Bray holds a B.A. in Economics from Holy Cross and an MBA from the University of Hartford.

Bob Clemmens serves as a Managing Director of the Company and Chief Credit Officer of Structured Securities, encompassing asset-backed and commercial mortgage-backed securities. He is a member of the firm's Management and Underwriting Committees. Mr. Clemmens has over 29 years of banking experience in Canada, the United Kingdom and the United States, focused on credit and risk management. He spent the majority of his career with Barclays Bank Plc (and its subsidiaries), where he held various positions of increasing leadership and executive management responsibility. Most recently, he served as Managing Director and Head of Risk for the Americas with primary responsibility for group-wide credit and market risk across the Americas. He was a member of the U.S. Executive Management Committee, Chairman of the Credit Committee and a voting member of the Group Credit Committee. He also served as a member of the counterparty Risk Management Policy Group formed by a consortium of financial institutions following the collapse of Long-Term Capital Management and, as a member of the Risk Management Committee of the Bond Market Association. Mr. Clemmens holds a Bachelor of Commerce degree from Laurentian University and an MBA from York University.
Bill Mallon serves as a Managing Director of the Company and Chief Credit Officer of Commercial Real Estate. He also serves on the firm's Management and Underwriting Committees. Mr. Mallon has over 30 years of credit and risk management experience. He was most recently an Executive Credit Officer at FleetBoston Financial Corporation. There, he led a 34-person Risk Management Group that managed a $16 billion loan portfolio (commitments of $36 billion) in middle-market commercial, health care and private client sectors. Mr. Mallon also led teams to integrate portfolios and personnel of acquired companies and oversaw training of all acquired risk and relationship management teams. Previously, he was also Chief Credit Officer of Shawmut Bank (acquired by Fleet) where he oversaw a $21 billion portfolio, including commercial and industrial, commercial real estate and consumer loans. At Chemical Bank, Mr. Mallon was Group Chief Credit Officer of the Commercial Real Estate Group where he was responsible for a $12.5 billion commercial real estate loan portfolio. At Mellon Bank, he was Senior Credit Officer for Middle Market and (later) Real Estate Workout Head. He spent the first 14 years of his career in various lending, credit and workout oriented roles at Chemical Bank. Mr. Mallon has a B.A. from Boston College and a J.D. from the Fordham School of Law. He is admitted to the New York Bar.

Austin Dean joined NewStar in 2006 after nearly eight years with Banc of America Securities LLC, where he most recently worked as a Vice President in the Leveraged Finance Group. In this role, he originated, structured, and executed senior debt, second lien, and mezzanine transactions for the bank's middle market financial sponsor clients. Prior to joining the Leveraged Finance Group, Mr. Dean was a Vice President for Banc of America Mezzanine Capital, a $500 million fund that underwrote and bridged mezzanine transactions for the bank's corporate and sponsor clients. He originated, structured, executed, and distributed over $800 million of mezzanine debt. Mr. Dean graduated with a B.A. in Economics from Davidson College.

David Belanger joined NewStar from Fleet Bank where he was a Vice President in the bank's Media & Entertainment lending group. John Woods joined NewStar in April 2005 and serves as Assistant Corporate Controller. Prior to joining NewStar, John was a Senior Auditor with Deloitte & Touche in Boston, where he serviced Banking and Investment Management clients. Previously, John spent five years at Evergreen Investments serving in various capacities, including Managerial roles in Fund Treasury and Corporate Accounting & Finance. John holds a B.A. in Accounting from Saint Anselm College and an MBA from Suffolk University. He is a Certified Public Accountant.
Keith joined the Company in 2004 from FleetBoston Financial, where he was an underwriter in the Financial Sponsors group. In this role, he worked on leveraged finance transactions for a variety of industries and served as portfolio manager for over ten senior lending relationships and a $200 million structured finance portfolio. Prior to receiving his MBA, Keith was a team leader designing Command Ships and Assault Ships for the US Navy. Keith holds an MBA from the Yale School of Management and a BS in Mechanical Engineering, cum laude, from Tufts University.
Ken Pulido joined NewStar in 2006 from Calpine Corp, where he was a Director of Finance supporting the company's business development and corporate finance activities. In that role Ken participated in over $1Bn of transactions including asset divestitures and sales, corporate financings and contract restructurings. Ken's previous experience includes positions at FleetBoston Financial originating and structuring senior debt financings for customers in the Energy and Utilities sectors and at Enron Capital and Trade Resources in the Structured Commodity Finance group. Ken holds an MBA from the Stanford University Graduate School of Business and a B.S. in Mechanical Engineering from the University of California, Irvine.

Levi Richardson joined NewStar in 2006 from Citizens Asset Finance where he was a Vice President in the indirect leasing group. At Citizens, Mr. Richardson was responsible for identifying, underwriting and presenting various operating lease transactions for the buy-side portfolio. Before joining Citizens, Mr. Richardson was an Associate Vice President at CoBank, a $34 billion cooperative lender based in Denver, Colorado. He focused on underwriting both direct and indirect transactions within the telecommunications portfolio. While at CoBank, Mr. Richardson completed their credit and management training program. Prior to a career in finance, Mr. Richardson served as a Director at the US-ASEAN Council, a private, non-profit international business association whose mission is to promote trade and business within Southeast Asia. Mr. Richardson was responsible for identifying investment opportunities and leading trade development missions to the region. Mr. Richardson holds a Bachelor of Arts Degree from Trinity College and an MBA from The Johnson Graduate School of Management at Cornell University. Prior to obtaining his undergraduate degree, Richardson served in the United States Marine Corps.

Michael Eisenstein joined NewStar in early 2005 from the Bank of Tokyo- Mitsubishi Capital Corporation where he was a Quantitative Analyst structuring and executing transactions in the aviation, rail, marine and energy industries. In that role, Mr. Eisenstein focused on the analysis and engineering of asset backed securitizations, CDO's, derivatives, structured financings and sophisticated lease products. Nicholas Edmonds joined NewStar in August 2005. Zibby Shiver joined NewStar in August 2005. Until 2003, Ms. Shiver was a Senior Investment Analyst in the Asset, Liability, & Risk Management group at Prudential Financial. During her four years at Prudential, Ms. Shiver's responsibilities included analyzing and executing tax-advantaged and structured transactions as well as monitoring a portfolio of existing investments. Ms. Shiver has an MBA from Columbia Business School and a BSE in Civil & Environmental Engineering from Duke University.
Steve Hohl joined NewStar in 2005 and serves as the Vice President of Information Technology for the Company. Mr. Hohl is responsible for all technology related functions including hardware, networking, software, applications, telecommunications, security, and data. Mr. Hohl joined the Company from Tallan, Inc., a technology services firm where he served as the Director of Design & Development for the Boston office. There, he headed up the EMC Technology Services Division that provided specialized knowledge for applications utilizing EMC storage. In addition, Mr. Hohl was responsible for managing various clients in the banking, investment services, insurance, telecommunications, and retail industries. He managed the successful completion of engagements related to web development, content management, CRM, data warehousing, business intelligence, and network design. Prior to joining Tallan in 1996, Mr. Hohl was a Senior Consultant with Gemini Consulting. Mr. Hohl received a B.S. in Mechanical Engineering from UCLA and an MBA from the University of Notre Dame.

Prior to Greystone, Mr. Walsh worked for CapitalSource Finance as a Senior Investment Associate with responsibility for prescreening transaction, assisting in finalizing deal structures, negotiating terms sheets and finalizing loan documents. Before joining CapitalSource, Mr. Walsh spent six years with Wells Fargo Foothill were he was involved in the due diligence on prospective and existing high risk borrowers. Mr. Walsh holds a B.A. in Marketing from Assumption College.

Bruce Catania joined the company in 2006 from Citigroup Alternative Investments where he was a Managing Director with CVC International running their Latin American and US Hispanic private equity investments. Mr. Catania was responsible for direct investments in the Latin America from 1998 to 2005, focused mainly in Mexico, Brazil and Chile. Mr. Catania was a member of the investment committee for CVC International and served on the boards of directors of many of the group's portfolio companies. Previously, Mr. Catania was a Managing Director in Citicorp's Restructuring Department advising clients in the negotiation and execution of out-of-court restructurings and acquisitions of bankrupt companies. Buck Burnaman serves as a Managing Director of the Company and Head of its Structured Products division, which originates loans for structured finance transactions and invests in securities created in structured transactions. He also sits on NewStar's Management and Asset/Liability Management Committees. Prior to joining NewStar Financial in June 2004, Mr. Burnaman was Senior Managing Director and global head of ING Bank's Strategic Trading Platform, a 15 billion euro proprietary trading and investing business. He also was a member of the Management Committee of ING Financial Markets and co-chair of the firm's Underwriting Committee. At ING, Mr. Burnaman managed a team of 75 people and coordinated the group's strategy, activities, budgets and focus on proprietary investing activities. During his ten years with ING, his focus was on structured products (primarily MBS/ABS), distressed investments, and real estate-related securities. Mr. Burnaman has been involved with mortgage-backed, asset-backed and real estate-related securities since 1984. He began his career in equity trading at EF Hutton & Company in 1983, and has worked in the mortgage area at Hutton, Financial Security Assurance (FSA), Voute, Coats Stuart & O'Grady and Citicorp Securities Inc. He was a founding governor of the Commercial Mortgage Securities Association and chaired the Investors' Committee of that body. Mr. Burnaman is a graduate of Harvard College and received an MBA from the Stern School of Business at New York University.
Dan Adkinson serves as a Managing Director of the Company and Head of its Commercial Real Estate lending division. He also serves on the firm's Management Committee. Mr. Adkinson has more than 20 years experience in the origination, underwriting, management and workout of portfolios of senior and subordinated real estate debt investments. For the past decade he has been a portfolio manager at JP Morgan Fleming Asset Management working in both the Fixed Income and Real Estate Investment Groups. Most recently, Mr. Adkinson was the Director of Debt Capital Markets for the Real Estate Investment Group responsible for building an investment business in high yield real estate debt and providing liability management for the group's real estate funds and accounts totaling over $16 billion in net asset value. Prior to joining the Real Estate Investment Group, he was the portfolio manager heading the private real estate debt business within the Fixed Income Group of JP Morgan. In the private real estate debt business, Mr. Adkinson's responsibilities also included heading the credit, risk management and investment production functions. Prior to his tenure at JP Morgan, Mr. Adkinson's real estate career included positions as a workout specialist in the real estate group at Aetna Life Insurance Company and as production and servicing manager for the southern Connecticut office of Fowler, Goedecke, Ellis and O'Connor, a large regional commercial mortgage banking firm. He began his career with Manufacturers Hanover Trust Company as a trainee and loan officer in middle market corporate lending. Mr. Adkinson has served as a member of the Board of Directors of ARCap REIT, Inc and a member of the Board of Managers of ARCap Investors, L.L.C., a leading investor in high yield commercial mortgage-backed securities. He is an adjunct professor at the Graduate School of Business of Columbia University. Mr. Adkinson is a graduate of Williams College.

David R. Dobies serves as a Managing Director of the Company and Co-Head of its Middle Market lending division. He also serves as a member of the firm's Management Committee. Mr. Dobies joined the Company from Fleet Securities, Inc. where he was a Managing Director and Head of the Media, Entertainment and Sports Finance syndication businesses. Under his leadership, the media origination and syndication effort grew to a top five media lead arranger ranking in 2003. As Head of the Media Syndication business, he provided strategic counsel to clients, senior management and a 35 member industry coverage team regarding transaction structure, capital market solutions, due diligence, credit analysis, rating agency strategy and multi-product capital markets support. The group originated, structured, priced and executed over 100 syndicated transactions during that time period raising in excess of $25.0 billion in debt capital. Prior to joining Fleet, Mr. Dobies worked in a new business development role at The Bank of New York and The Bank of Nova Scotia. Over his 14 year career, he has developed numerous relationships within the issuer, investor (finance company, commercial bank, and portfolio management), private equity, financial sponsor and rating agency communities. Mr. Dobies holds a Bachelor of Science in Business Administration from Villanova University and an MBA from The William E. Simon School of Business at the University of Rochester.

Donald (Don) Davis spent the past eight years with PNC Bank where he worked as a Managing Director running the New York Corporate Finance office. He served as a relationship manager for large corporate relationships, supervising and developing clients in the Northeastern United States and servicing a portfolio of approximately thirty-five clients and credit exposure totaling $4 billion. Prior to PNC, Don was a VP/Team Leader in the Real Estate Finance Group at Chemical Bank and Chase Manhattan Bank. While there, he performed a hybrid of real estate assignments for 100+ properties valued in excess of $900 million and loans totaling $400 million, including asset management, problem loan workouts and sales and disposition of each category of commercial and residential property. From 1984-1986, Don was an attorney with the Comptroller of the Currency (OCC) Enforcement Division conducting bank investigations and litigating actions in administrative legal proceedings and a White Collar Crime Seminar instructor. He also served from 1977 to 1981 with the U.S. Army and attained the rank of Captain. In addition to his other accomplishments, Don has Bar memberships in the Commonwealth of Pennsylvania, State of New York, State of Connecticut and District of Columbia. He is also a licensed real estate broker in Connecticut and New York.

Jeff French serves as a Managing Director of the Company and head of its middle market lending activities on the West Coast. Mr. French joined the Company in 2006 from GE Capital where he worked for six years in the Global Sponsor Finance Group, Strategic Initiative Group and Global Enterprise Group. Scott Poirier serves as a Managing Director of the Company and Head of Sales and Trading. He also serves as a member of the firm's Management Committee. Mr. Poirier is a member of the team which founded the Company. Prior to that, he was Managing Director and Group Head of the European Debt Capital Markets Group in London with Fleet Boston. There, he had responsibility for the bank's European syndications and acquisition finance businesses, as well as evaluating and purchasing financial sponsor-related transactions. Before that, he served as a Managing Director in Fleet's Bank Loan Syndication Group in Sales & Trading. Earlier, Mr. Poirier was the Head of Fleet's Sports Finance Group after starting as a member of the Private Placement Group. Previous to joining Fleet in 1996, Mr. Poirier was with Citicorp Securities Inc., starting in 1992, where he managed Sales & Trading for the Private Placements Group and attended credit training. Robert A. (Bob) Kosian joined the Company in April 2005 serves as a Managing Director of the Middle Market lending division and head of origination for the southeastern region of the United States. Mr. Kosian has over 25 years of Banking and Merchant Banking Experience in the United States, the UK and Europe with Citigroup, Prudential Securities and as Chairman of High Voltage Holdings, LLC a Boutique Merchant Bank he founded in 1998. During his career, Mr. Kosian arranged or invested in over 200 transactions representing $20 billion of debt and equity capital employed. Since 1987, he has specialized in transactions with non investment grade companies. He has extensive experience over the entire corporate finance spectrum, including asset based finance, mezzanine, high yield and equity for both public and private companies. In addition, Mr. Kosian has completed several M&A and restructuring transactions and served on the Board of Directors of several companies. His industry expertise includes: Consumer Products, Retail & Catalogue, Utilities, Chemicals & Pharmaceuticals, Transportation & Distribution, and General Manufacturing. Mr. Kosian, a native of Duluth, Minnesota, is a graduate of the University of Pennsylvania and received his MBA from Wharton.

Tom Calhoun joined the Company from Fleet Securities, Inc. where he was a Director and a senior originator for Fleet's asset-backed commercial paper conduits. He managed deal teams responsible for new business origination, structuring, negotiation and distribution across a variety of asset classes. Mr. Calhoun has negotiated and executed transactions backed by trade receivables, credit card receivables, leases, consumer and commercial installment loans, intellectual property, film rights and securities. During his securitization career, Mr. Calhoun has established and maintained relationships with key securitization constituencies including conduit and term investors, the rating agencies, attorneys and monoline insurers. Prior to joining the securitization group, Mr. Calhoun served as a Director at Fleet M&A Advisors assisting companies seeking advisory services involving sales & divestitures, mergers & acquisitions, capital raising, recapitalizations, going private initiatives, and management buyouts. Mr. Calhoun joined Fleet in 1992, completed Fleet's officer training program in 1993, and spent several years supporting Fleet's mergers & acquisitions, strategic planning and internal consulting processes as a member of Fleet's Strategic Planning and Corporate Development group prior to joining Fleet's corporate finance unit in 1996.

Timothy Shoyer serves as a Managing Director of the Company and Co-Head of its Middle Market lending division. He also serves as a member of the firm's Management Committee. Mr. Shoyer joined the Company from Fleet Securities, Inc where he was the Managing Director responsible for all of the bank's junior capital origination efforts including second lien, mezzanine and high yield bond financings. Jeff Greene joined NewStar after spending the last four years as the owner and operator of Sea Fever Fishing, LLC, a commercial fishing enterprise in Harwich Port, MA. Sea Fever Fishing targeted giant bluefin tuna which were distributed for auction to the Tsukiji market in Japan. Prior to that experience, Jeff spent the previous nine years at Fleet where he served as a Director in Fleet's Media & Telecommunications Finance Group. As a member of that Group, Jeff managed a $400 million portfolio that consisted largely of Fleet-led middle market transactions throughout a variety of industries including; cable television, publishing and various telephony segments. Jeff worked closely with entrepreneurs as well as Syndications to structure and syndicate numerous leveraged debt capital transactions. Jeff completed a two year Management/Commercial Credit Training Program at Fleet National Bank in Providence, RI in 1992. Jeff attended Bentley College where he earned a B.S. degree in Finance.

Dan Crowley joined the Company in August 2004 and serves as Director of Accounting & Finance. Prior to joining the Company, Dan was a Divisional Controller for the Debt Capital Markets Group at FleetBoston Financial, Inc. where he provided financial support to the following groups; High Yield Originations and Trading, Bank Loan Syndications and Trading, Mezzanine Financing and M&A Services. Previously, Dan filled several financial management roles with BTM Capital Corp., a leading provider of debt and equity, cross border financing, leasing and portfolio management. Prior to BTM Capital, Dan was an Audit Manager with a regional public accounting firm in Boston. Dan holds a Masters in Finance Degree and a Bachelors Degree in Accounting both from Northeastern University.
David K. Roberts joined the Company after working as an independent consultant to several investment management companies including Cerberus Capital Management, Inc, CypressTree Investment Management Co, Harborview Capital Management, Inc. and Bain Capital, Inc. As a consultant, he designed the in-house loan operation and administration functions for his clients as well as managed the implementation and integration of the Wall Street Office loan administration system. Since 1999, Mr. Roberts has been involved in servicing over 15 securitized loan vehicles and has significant experience with CLO indentures, compliance and waterfall payments. Previously, Mr. Roberts was a lead consultant for Deloitte & Touche, LLP where he focused on internal control reviews and SAS70's for the mutual fund industry.
Jason joined the Company in 2006 from GE Financial Services where he served as Vice President and Senior Risk Manager. In his most recent role Jason led due diligence and deal execution teams acquiring stakes in Asian banks as well as purchasing large portfolios of distressed/non-performing loans in Europe and Asia. During eight years with GE he held roles in underwriting, valuation and portfolio management with Equity Capital Group, Structured Finance Group and Global Financial Restructuring. In an assignment with GE headquarters, Global Risk Management, Jason led the development of corporate-wide credit risk analytics, implementation of capital allocation strategies and other portfolio management initiatives. Jason has a Ph.D. in International Economics from Cornell University, a MS in Physics from University of California at Berkeley and graduated summa cum laude from Rutgers University with BA/BS degrees in Physics and Mechanical Engineering.
Karen joined NewStar in 2005 and has a degree in dental hygiene. She previously worked as an Administrative Assistant to the principal of Weston High School in Weston, Connecticut.
Mark Douglass joined NewStar as a Managing Director in February 2006 from Fitch Ratings where he served as the Head of RMBS Research and Modeling with responsibility for all U.S. RMBS research publications, as well as the development of the analytical models used for rating analysis. In addition, while at Fitch Mark served as an interim team leader managing a ratings team, chaired the criteria committee for the RMBS group and served as a voting committee member for the group level Structured Finance Criteria Committee. Prior to joining Fitch, Mr. Douglass was a founding member of a start-up mono-line insurance company as Senior Managing Director, Chief Underwriting Officer, and Global Head of Structured Products Underwriting; and previous to that he spent five years as the Head of Global ABS Credit at General Re Financial Products in which his primary responsibilities included direct oversight and analysis of derivatives in global structured finance transactions. Mr. Douglass also spent two years at Moody's Investors Service as a Senior Analyst with primary focus on consumer assets such as credit cards. Prior to Moody's, Mark spent five years at Bear Stearns as a CMO and ABS trader where he was instrumental in the establishment of the ABS trading desk. Mr. Douglass is a former Captain in the U.S. Air Force. Mr. Douglass holds a B.S. in Engineering from Washington University in St. Louis which he attended on a 4-year Air Force ROTC scholarship, and an MBA from the University of Chicago with a major in Finance, and a concentration in Statistics and Econometrics.

Maureen O'Hara is the Robert W. Purcell Professor of Finance at the Johnson Graduate School of Management, Cornell University, where she joined the faculty in 1979. She has had visiting appointments at UCLA, the London Business School, the University of New South Wales, Cambridge University, and Hong Kong University of Science and Technology. She has served as President of the Western Finance Association and recently served as President of the American Finance Association. Ms. O'Hara currently serves on the Board of Directors of Investment Technology Group, Inc., where she has been lead director since January 2005 and where she has served on the Compensation Committee, Audit Committee and Nominating Committee. Samir Yajnik joined NewStar in 2006 after 6 years with GE Capital, where he most recently worked as an Assistant Vice President in the Commercial Finance Group. In this role, he originated and structured debt and debt and equity financing deals across the West Coast region. Zibby Shiver joined NewStar in August 2005. Until 2003, Ms. Shiver was a Senior Investment Analyst in the Asset, Liability, & Risk Management group at Prudential Financial. During her four years at Prudential, Ms. Shiver's responsibilities included analyzing and executing tax-advantaged and structured transactions as well as monitoring a portfolio of existing investments. Ms. Shiver has an MBA from Columbia Business School and a BSE in Civil & Environmental Engineering from Duke University.

Andre Paquette joined NewStar Financial, Inc. from Bank of America Securities LLC where he was a Vice President in the Middle Market Syndicated Finance business. Andre spent the last three years providing strategic counsel to middle market clients, senior management and industry coverage teams regarding transaction structure, capital market solutions, due diligence, credit analysis, rating agency strategy and multi-product capital markets support. Previous to his position in Syndicated Finance, Andre spent four years originating and executing senior debt financings for customers in the Media and Entertainment sectors in addition to managing a portfolio of over 20 media accounts covering the broadcasting, cable, and publishing industries. Andre started his career working at KPMG Peat Marwick as a Certified Public Accountant performing financial audits of middle market customers across a broad spectrum of general industries. Over his 10 year career, he has developed numerous relationships within the issuer, investor, and equity sponsor communities.
Brian is a Partner of O'Connor and supervisor of development as well as new business originator for New England. He joined O'Connor from Extell Development, where he was a Partner and responsible for a number of condominium and hotel projects- most recently the successful completion of the InterContinental Boston Hotel. Prior to Extell, Brian spent 20 years with Meredith & Grew as a Partner and Director where he supervised the development of numerous mid and high- rise office and other assets for various institutional owners. Mr. Fallon is a graduate of Siena College (B.A. 1972) and The Maxwell School at Syracuse University (M.P.A 1993).

Joseph W. Saunders was named Chairman and Chief Executive Officer of Visa Inc. in May 2007 after having been designated Executive Chairman in February 2007. Prior to this role, he served Visa International as Executive Chairman of the transition governance committee and officially began serving as Chairman and Chief Executive Officer of Visa Inc. upon its formation in May 2007.
Prior to joining Visa International, he served as President of Card Services for Washington Mutual, Inc. since the acquisition of Providian Financial Corporation in October 2005. Mr. Saunders was President and Chief Executive Officer of Providian from November 2001, and Chairman of the board of directors from May 2002, until Washington Mutual’s acquisition of Providian in 2005. From 1997 until 2001, Mr. Saunders served as Chairman and Chief Executive Officer of Fleet Credit Card Services at FleetBoston Financial Corporation.
Mr. Saunders served as a member of the board of directors of Visa U.S.A. from October 2002 to February 2007 and Visa International from October 2005 to February 2007, when he resigned from the boards of directors of Visa U.S.A. and Visa International to take the Executive Chairman position of the Visa transition governance committee. From 1993 to 1997, while Mr. Saunders was at Household Finance Corporation, he served as a member of the boards of directors of MasterCard International Inc. and MasterCard U.S.A., and was elected Chairman of MasterCard International’s board of directors in 1996.
He holds a Bachelor of Science degree in Business Administration and a Master of Business Administration degree, both from the University of Denver.

Maureen O’Hara has been the Chairman of our Board of Directors since May 2007 and a director since January 2003. She was our Lead Director from January 2005 until May 2007. She is the Robert W. Purcell Professor of Finance at the Johnson Graduate School of Management, Cornell University. She holds degrees from the University of Illinois (B.S. Economics) and Northwestern University (M.S. Economics and Ph.D. Finance). In December 2006, Ms. O’Hara joined the board of directors of NewStar Financial Inc. Ms. O’Hara joined the faculty at Cornell in 1979. She has had visiting appointments at UCLA, the London Business School, the University of New South Wales, Cambridge University, and Hong Kong University of Science and Technology. Ms. O’Hara’s research focuses on issues in market microstructure, and she is the author of numerous journal articles as well as the book Market Microstructure Theory (Blackwell: 1995). In addition, Ms. O’Hara publishes widely on a broad range of topics in finance, including banking, law and finance, and experimental economics. She has served as President of the Western Finance Association and recently served as President of the American Finance Association.
Paul Holian joined NewStar from FTI Consulting, Inc. where he worked for two years as a Director in FTI's Business Restructuring Practice. Mr. Holian worked with large manufacturing, retail and service companies focusing on liquidity and working capital management, cost reductions, asset divestitures, and bankruptcy planning. Prior to joining FTI, Mr. Holian spent eight years with Fleet Bank working in the Middle Market Lending and Acquisition Groups. Mr. Holian was responsible for structuring, underwriting, and closing senior and subordinated debt transactions supporting both leverage buy-outs as well as general corporate purposes for numerous companies. While working at Fleet (formerly Bank of Boston), Mr. Holian completed the bank's Credit Training Program.
Peter Faigl joined the Company in April 2005 from UBS Investment Bank, where he was a Director in the Asset Backed Finance Group for the past two years. In this role, he was responsible for valuation, structuring and optimal execution of their Home Equity Loan principal activities as well as some of their third party ABS transactions. Prior to UBS, Mr. Faigl spent four years in the Global ABS Group of Banc of America Securities where he structured mortgage backed related deals and assisted with transaction marketing and management. Mr. Faigl is a Chartered Financial Analyst and holds Bachelor of Science degrees in Quantitative Finance and in Economics with a minor in Mathematics from James Madison University.
