Lawrence Investments has invested in numerous technology, medical, and biotechnology companies, several of which are now public. Previously, Mr. Fink was a founding partner, Managing Director and Vice Chairman of Knowledge Universe, a company formed to acquire, build, incubate and manage companies in the education industry. The aggregate revenue of the various companies exceeds $2 billion. Knowledge Universe was one of the world's largest pure education companies. Mr. Fink serves as Chairman of the Board of LeapFrog Enterprises (NYSE: LE), Vice Chairman of Heron International, a European real estate company, and is a director of Nobel Learning (NASDAQ: NLCI) and several other companies, and was a director of NetSuite until just prior to its S-1 filing. He has extensive expertise spanning acquisitions analysis, corporate financing and business operations and development. Mr. Fink is a member of the UCLA Foundation Board and the American College of Physicians Foundation Board. Ms. Farrington served on the board of NetSuite with Mr. Fink for the past several years.

Dr. Osborne F. Abbey, Jr., Born in rural, northwestern Pennsylvania in 1945, Dr. Abbey completed his normal school education in the Bradford Public Schools. Graduating in 1964, he moved on to Waynesburg College, a small liberal arts school in the southwest corner of Pennsylvania. At Waynesburg, Dr. Abbey majored in psychology and minored in philosophy. Upon graduating in 1968 with a Bachelor of Arts degree in psychology, he enlisted in the U.S. Navy. Dr. Abbey served in Vietnam, receiving a battlefield promotion, and in London, England with the Commander-in-Chief, U.S. Naval Forces, Europe. Dr. Abbey received an honorable discharge in 1972 and began his distinguished career in education. He has served as a classroom teacher, Assistant Superintendent, Superintendent of Schools, and as a member of the New Jersey State Department of Education. In addition to his bachelor's degree, Dr. Abbey holds two masters degrees and a doctorate along with several administrative licenses. Dr. Abbey is a member of a variety of professional organizations and was nominated to Who's Who in American Education. He is also an IDEA Fellow and carries a Registered Diplomate in educational administration. In addition to his academic endeavors, Dr. Abbey has served in Rotary and as an adjunct professor specializing in student assessment, curriculum, and research. He currently serves as Vice President of the Early Care and Education Consortium based in Washington, D.C. and is immediate past Secretary of the National Child Care Association. He has also served on the board of Total Education Solutions, Inc., a California based school manpower company. Dr. Abbey is Chair of Nobel Learning's National Education Advisory Board. Prior to joining Nobel Learning Communities, Inc. as Vice President and Chief Education Officer, Dr. Abbey was a lead administrator with the Union, New Jersey public schools, focusing on projects dealing with the infusion of technology into the educational process, affirmative action policy, and conforming special education programming. He is also a resource on action research, multiple intelligences, labor negotiations, teacher observation/evaluation, and zero-based budgeting. DAVID L. WARNOCK was elected as a Director of the Company in October 1998 and, since that time, he has also served on the Company's Compensation Committee. Since 1999, Mr. Warnock has been President and Chief Executive Officer of both Camden Partners, Inc. and Camden Partners Holdings, LLC, each of which is an affiliate of Cahill Warnock. Mr. Warnock is a founding partner of Cahill, Warnock & Company, LLC, an asset management firm established in 1995 to invest in small public companies. From 1983 to 1995, Mr. Warnock was with T. Rowe Price Associates in senior management positions, including President of the corporate general partner of T. Rowe Price Strategic Partners and T. Rowe Price Strategic Partners II, and as the Executive Vice President of T. Rowe Price New Horizons Fund. Mr. Warnock also serves on the Boards of Directors of Blue Rhino Corp., Bridges Learning Systems, Concorde Career Colleges, Inc., Environmental Safeguards, Inc., the National Alliance to End Homelessness, the Center for Fathers, Families and Workforce Development, Nobel Learning Communities, and CardSystems Solutions, Inc. Dr. Cathy Collins Block is a professor in the Department of Curriculum and Instruction at Texas Christian University where she teaches graduate and undergraduate courses. She has directed seven nationally funded research studies concerning literacy development, and currently serves as co-director of the National Consortium of Best Research-based Practices in Comprehension Instruction. Dr. Block has authored, edited or co-edited 29 books, with her most recent being Comprehension Instruction: Research-based Best Practices (Guildford Publishers); Literacy Difficulties: Diagnosis and Correction (Allyn & Bacon); Improving Comprehension Instruction (JosseyBass and International Reading Association), Learning to Read: Lessons from Exemplary First-Grade Classrooms (Guildford). She has been an elementary classroom teacher in Wisconsin, Oklahoma, and Texas, and the Director of Reading for a Texas Teacher Center. She is the co-author of the Stanford Early School Achievement Test, Literacy Place for Scholastic, and Yale Assessment of Thinking Abilities. She has written more than 75 research articles in journals such as the Reading Research Quarterly, Journal of Adolescent and Adult Literacy, The Reading Teacher, Journal of Educational Research, Elementary School Journal, Gifted Child Quarterly, Instructor, and Teaching Thinking and Problem Solving. Her primary research interests are in the fields of literacy achievement, comprehension, cognitive strategies, curriculum development, and teacher education. Dr. Block recently served as Chairperson of the Educational Leadership Board for IBM, Chairperson for the National Commission to Infuse Critical Thinking Into the Curriculum of the US Department of Education, and as an Educational Advisor for Walt Disney, Inc. She also serves on the Board of Directors for the International Reading Association (2002-2005) and Nobel Learning Communities (1995-present). She is on the Editorial Boards of the Reading Research Quarterly, National Reading Conference Yearbook, Journal of Educational Psychology, and The Reading Teacher. She is the Educational Advisor for the PBS television series Wishbone, Guilford Press, and has served as a consultant for more than 200 school districts and educational agencies in the United States, Mexico, Canada, Germany, Russia, and Hungary. She recently received the Paul A. Witty award for Meritous Service from the International Reading Association, and has received the TCU School of Education award for Distinguished Research and Creative Activity in 1987 and 1999. She also Received the Outstanding Professor Award from the University of Notre Dame's Master of Education Program in 2000. She is a member of Who's Who in the World, Who's Who in America, 200 Outstanding Scholars in 21st Century, and Who's Who Among America's Teachers.

Dr. John N. Mangieri received his Ph.D. in reading and language arts from the University of Pittsburgh. He has served as the Chairman of the Reading Department at the University of South Carolina, as Dean of the School of Education at Texas Christian University, and as a university President. Dr. Mangieri, a Fulbright Scholar, is the author or co-author of 87 professional articles and books. He is the co-author of the Reading Skills Kit (Scholastic) and is the chief author of Elementary Reading: A Comprehensive Approach (McGraw-Hill) as well as Teaching Language Arts: Classroom Applications (McGraw-Hill). He has served as a member of the Classroom Management Committee of the International Reading Association and was the reading representative on the U.S. Office of Education's National Task Force on Urban Education. He has been a consultant to Wishbone, an educational television series for children, and to the Education Division of the Walt Disney Corporation. Dr. Mangieri presently serves as the Director of the Institute for Literacy Enhancement located in Charlotte, North Carolina.

Joseph W. Harch has been a member of GNC s board of directors since February 2004. Mr. Harch was a practicing Certified Public Accountant from 1974 until 1979 and has been in the securities business since 1979. Mr. Harch founded Harch Capital Management, Inc. ( HCM ) in 1991.
