Sterling Du, has served as our chief executive officer and chairman of our Board since March 1997 and as a Class I Director since June 2001. He also served as our chief financial officer from March 1997 to March 1999. From May 1995 to March 1997, Mr. Du was president and chief executive officer of O2Micro, Inc. Mr. Du received a bachelor of science degree in chemical engineering from National Taiwan University and a master of science degree in electrical engineering from the University of California, Santa Barbara.

Ivan Chang, aged 46, has served as our vice-president, fi nance since February 2003. He also served as our controller from July 1999 until February 2003. Mr. Chang received a Bachelor of Science degree in Accounting from Soochow University and a Master of Science degree in Accounting Information from University of Maryland, College Park.

Johnny Chiang, aged 51, has served as our vice-president, logistics and backend since February 2003. He also served as our director of operations from March 1999 to February 2003 and our operations manager from November 1997 to March 1999. Mr. Chiang received a Bachelor of Science degree in Industrial Engineering from Chung Yung University

James Keim, has served as a Director since March 1999 and as Head of Marketing and Sales since December 2001 and a Class II Director since June 2001. He also served as our chief operating officer from June 1998 to June 2001. From March 1995 to June 1998, Mr. Keim was a principal in Global Marketing Associates, an international consulting firm. Prior to March 1995, he had been vice president of sales at Alliance Semiconductor Corporation, vice president of marketing at Performance Semiconductor Corporation and worldwide linear marketing manager at Fairchild Semiconductor Corporation. Mr. Keim received a bachelor of science degree in engineering from Iowa State University, a master of science degree in electrical engineering and a master of business administration degree from the University of Illinois.

Ms. Rogers' practice is diverse, demonstrating her expertise in several areas of law including business and corporate, nonprofit organizations, estate planning, probate and trusts, collection and mechanic's liens and employment. She heads the firm's employment law practice and has assisted for profit and nonprofit employers with all types of employee-related issues. Ms. Rogers publishes the firm's annual Employment Law Update which advises clients about changes in employment law. Ms. Rogers has considerable expertise in the unique area of nonprofit law from formation and acquisition of tax exempt status to maintenance, counseling boards of directors, mergers and dissolution. She has handled the mergers of several large nonprofit organizations, represented San Diego-Imperial Counties Developmental Services Foundation in the purchase of its headquarters, financed by $10,750,000 in tax-exempt bonds and assisted another nonprofit client in obtaining over $4 million in HUD refinancing. Her experience with probate and trust matters has proven very effective in assisting her nonprofit clients in obtaining charitable bequests. Combining her significant business and nonprofit organization expertise, Ms. Rogers successfully negotiated lease and research agreements for Hubbs-SeaWorld Research Institute to lease an off-shore oil rig for state-of-the-art, deep water mariculture research sponsored by Chevron Environmental Services. She also represented this client's unique interests in an agreement with Cabrillo Power for use of Aqua Hedionda Lagoon for its white sea bass hatchery. Mr. Ravich, who holds a Masters of Law degree in taxation, has extensive expertise in the areas of federal and state tax matters. He has done a significant amount of transactional work in the areas of real estate acquisitions, sales, exchanges, and financing of apartment complexes.

Jane Liang, aged 40, is a fellow of the Association of Chartered Certifi ed Accountants and a member of the Chinese Institute of Certifi ed Public Accountants. Prior to being appointed our Qualifi ed Accountant, Ms. Liang held positions as a senior fi nance manager with Bausch & Lomb (Shanghai) Trading Co. and as an accounting supervisor with Exxon Chemical (Shanghai) Trading Co. Ms. Liang holds a master and a Bachelor degree in Philosophy from Fudan University

Mr. Stephens is a nationally known litigator with considerable expertise in the areas of business, real estate and personal injury litigation. His 27-year legal career is full of unique highlights, including clerking for Joseph L. Alioto, the former mayor of San Francisco and renowned anti-trust attorney; working with Fred Friendly, the former President of CBS News, on the PBS series "Media, Law & Society;" and serving as a staff attorney for the Legal Action Center for the City of New York, Inc., a non-profit public-interest law corporation then chaired by Arthur Liman, former chief counsel to the Senate during the Iran-Contra hearings. Mr. Stephens' litigation career has included many complex jury and bench trials in federal and state courts and he has prosecuted and defended a number of appeals, several of which have resulted in published opinions. His considerable range of litigation experience includes breach of contract, unfair competition, misappropriation of trade secrets, land use, construction, environmental law, insurance bad faith, media law and related tax issues. Mr. Stephens also has represented foreign and domestic entities in international litigation. His many notable cases include a lawsuit against England's oldest insurance company on behalf of 500 U.S. investors seeking $200 million in damages. In another case, after a four-week trial, the nation's largest telecommunications company paid his client $2.87 million to settle a pay-phone dispute. Mr. Stephens represented clients who received a $1.56 million settlement from a university fertility clinic that became internationally infamous for switching patients' embryos. He was co-counsel in a federal inverse condemnation trial that resulted in a $1 million judgment and in a trade secret case that settled for $3 million after a month-long trial. On a select basis, Mr. Stephens also handles significant personal injury cases. He recently obtained a $1.275 million settlement from the City of Lemon Grove on behalf of a mother and infant injured in a hit-and-run accident, one of several multi-million dollar settlements and judgments he has obtained. Mr. Stephens has been personally involved in real estate and business transactions since before his legal career and often works with the firm's transactional attorneys. Many of his clients are San Diego based entities that are involved in real estate and interstate commerce and need business as well as litigation advice.

Mr. Wertz is an accomplished personal injury plaintiffs' attorney having represented clients in personal injury and wrongful death matters throughout California. He has obtained multiple, significant awards and settlements for his clients including a $1 million settlement in an accident case in a Northern California county, one of the largest ever in that area. Mr. Wertz also obtained a jury verdict of $615,000 from a national airline for a victim assaulted by an airline employee and a $1.6 million settlement from a trucking firm on behalf of a family in a wrongful death case. Mr. Wertz also has extensive expertise in civil litigation for over 30 years, including class actions, construction, antitrust and unfair competition matters, and Americans with Disabilities Act claims. During this period, he has secured over $30 million in verdicts and settlements for his clients. For more than 20 years, Mr. Wertz has been the "go to" attorney chosen by San Diego's mayors, city council members, and County of San Diego elected officials to defend them in high profile, public accusations and cases involving ethical compliance. As one of the firm's political law attorneys, Mr. Wertz has represented three San Diego mayors, including winning an acquittal and finding of innocence for former Mayor Susan Golding on accusations brought by the 1999 San Diego County Grand Jury. He also served as legal counsel for the successful 1988 San Diego District Elections' initiative. In addition, he has substantial experience in governmental relations, political advocacy, and general business counsel. Mr. Wertz is a second generation attorney - his father has practiced law for 65 years in Chappell, Nebraska.

As a former criminal defense attorney, Mr. Moot represented the first FBI agent to be charged with espionage. In civil trials he has obtained large verdicts for buyers of commercial buildings where the seller failed to disclose information material to the sale and successfully defended businesses from claims of unlawful termination. His extensive knowledge of land use, planning and governmental relations issues is from an insider's perspective. Mr. Moot served for several years as both a city council member and deputy mayor of the City of Chula Vista and was also a member of the Chula Vista Planning Commission. Mr. Moot is a fourth generation attorney. His great-grandfather, grandfather and father practiced in Buffalo, New York at firms bearing the Moot name.

Mr. Lavelle has extensive jury trial experience and has been responsible for more than $12 million in jury verdicts and settlements. His practice focuses primarily on the representation of plaintiffs throughout California in personal injury and wrongful death cases. His career highlights include the recovery of $1.6 million on behalf of the family of a 71-year old automobile accident victim and a jury verdict of $600,000 to his client, a 73-year old woman who fell in a fast food restaurant. Recently, he recovered in excess of $600,000 for a woman injured in an automobile accident in Laguna, California, in excess of $300,000 for a couple who suffered food poisoning and in excess of $200,000 each for two customers of a nail salon who were injured while receiving pedicures. Mr. Lavelle also has extensive experience in business and real estate litigation, including construction defect suits. In addition to his legal practice, Mr. Lavelle has served as an adjunct professor in the Physical Education Department of San Diego State University, his alma mater, and is an avid runner and triathlete.

Ms. Lewin has a wide range of expertise in multiple areas of law. Her career highlights including successfully representing a local Westfield shopping center in landlord/tenant disputes. Ms. Lewin also succeeded in having a judgment amended to name a member of a LLC as an alter ego after the member transferred assets of an LLC to herself during litigation. During law school, Ms. Lewin was an intern with the California Department of Transportation where she was involved with eminent domain, land use, and personal injury matters.

Ms. Michael's practice is focused in the areas of land use, natural resources, and governmental relations. She works with clients throughout the permitting and approval processes to ensure that their projects get off the drawing boards and become a reality. Throughout her 27-year legal career in San Diego, Ms. Michael has been involved with many notable projects, including Point Loma Nazarene University, the Fenton Marketplace in Mission Valley and Cathedral High School. Ms. Michael served on the citizen advisory committee that updated the San Diego City zoning code to create the Land Development Code. She presented a firm seminar on the new code, appeared on television to explain it and published articles in multiple publications analyzing the new laws and ramifications. A highly-sought speaker and author, Ms. Michael has lectured extensively on land use, environmental matters and lobbyist regulations for local, state and national organizations including the San Diego County Bar Association, the Construction Industry Federation, and the Association of Environmental Professionals. She has published articles on multiple land use issues including growth management issues.

Mr. Forsyth has extensive expertise in multiple areas of corporate law. He has handled numerous public and private securities offerings for companies in the electronics, bio-medical, real estate, and hospitality industries and has represented domestic and foreign companies in international business transactions, including forming joint ventures and drafting distributorship, sales agency and licensing agreements. Mr. Forsyth has been involved in the raising of hundreds of millions of dollars in private and public offerings. Additionally, he has been involved in strategic partnering of numerous technology companies. For his work in trade and commerce, Mr. Forsyth has been recognized by the San Diego World Trade Association. He has taught at the University of San Diego School of Law and speaks frequently on issues involving international business practices and corporate securities laws. He is the past chairman of both the Business Law and International Law sections of the San Diego County Bar Association. He was appointed as an expert on trade issues to the San Diego and Imperial Export Council by the U.S. Secretary of Commerce. He is currently the chairman of the Council.

Ms. Brower has appeared before city and county administrative boards, tried lengthy and complex cases in both state and federal courts, and appeared before the California and United States Supreme Courts. She has tried several landmark cases involving environmental, land use and condemnation matters which have resulted in published appellate opinions. She represented several property and business owners in the City of San Diego's eminent domain actions to acquire land for Petco Park, including the largest property owner in the baseball stadium's footprint. Ms. Brower has represented the San Diego Unified School District in over 100 eminent domain actions to acquire properties for over 20 new school sites.

Ms. Lanham received her B.A. from the University of California, Berkeley in 1994 in just three and one-half years and earned her J.D. from the University of California, Davis in 2000. While at Davis, Ms. Lanham was an intern at the Department of Fair Employment and Housing and a volunteer with Legal Services of Northern California. She also represented clients in federal district court and in the Ninth Circuit as a student lawyer with the Civil Rights Clinic. Prior to her legal career, Ms. Lanham worked with developmentally disabled adults throughout San Diego County as the Case Management Specialist for the Arc of San Diego.

Keisuke Yawata, has served as a Director since October 1999, as a member and the chairman of the audit committee since August 2000 and July 2001, respectively, and as a Class III Director since June 2001. Mr. Yawata has been a partner and director of Start-up101, a venture capital firm, since 1999 and is the chief executive officer of The Future International, a consulting firm he founded in 1997. From 1995 to 1997, he was the president and chief executive officer of Applied Materials Japan and a senior vice president of Applied Materials, Inc. From 1985 to 1994, he was at LSI Logic KK, serving as president and chief executive officer from 1985 to 1992, and as chairman of the board from 1993 to 1994. From 1958 to 1984, he was employed by NEC Corporation and its subsidiaries where he held various positions, the last position being president and chief executive officer of NEC Electronics, Inc. from 1981 to 1984. He received a bachelor of science degree in electrical engineering from Osaka University in Osaka, Japan and a master of science degree in electrical engineering from Syracuse University.

Lawrence Lin has served as a Class II Director, and member of the audit committee and chairman of the compensation committee since June 2003. He is a Certified Public Accountant in Taiwan. Since 1990, Mr. Lin has been a partner of UHY L&C Company, Certified Public Accountants, which is an independent member firm of Urbach Hacker Young International. Mr. Lin was a director of Urbach Hacker Young International from October 1994 to October 1998. Prior to UHY L&C Company, he was a partner at T N Soong & Co. Mr. Lin serves as independent nonexecutive director and chairman of the audit committee of Yageo Corporation, director of Arima Communications Corporation, and corporate supervisor of Tex Year Industries Inc., all of which are Taiwan listed public companies. He graduated from Taipei Vocational Commercial School in 1969.

Michael Austin, has served as a Director since October 1997 and as a Class III Director since June 2001. Mr. Austin is a resident of the Cayman Islands and is a Chartered Accountant. Mr. Austin was admitted as an Associate of the Institute of Chartered Accountants in England and Wales in 1964 and as a Fellow in 1969. Mr. Austin is also an Associate Member of The Chartered Institute of Taxation, a Member of the Society of Trust and Estate Practitioners, and a Notary Public of the Cayman Islands. Mr. Austin served as the managing partner of the Cayman Islands office of KPMG Peat Marwick, an international accounting firm, for 23 years. Since retiring in July 1992, Mr. Austin has been a consultant and currently serves as a non-executive director on several company boards, including those of a number of mutual funds, trust and insurance companies. He serves as a director of Scottish Re, a public company. Mr. Austin served as a director of the Cayman Islands Monetary Authority from January 1997, and was appointed Chairman of the Board in January 2003, a position he held until his retirement on July 31, 2004. He has also served on a variety of other government committees and government related boards, including the Cayman Islands Agricultural and Industrial Development Board, as Chairman; the Stock Exchange Committee; and the Government/Private Sector Consultative Committee. In 1990 Mr. Austin was awarded an M.B.E. by Her Majesty the Queen in recognition of services to the public and business community.
