T. Jay Collins, President and Chief Executive Officer, joined Oceaneering in 1993 as Senior Vice President and Chief Financial Officer. In 1995, he was appointed Executive Vice President Oilfield Marine Services. He was appointed our President and Chief Operating Officer in 1998 and our Chief Executive Officer in 2006. He was elected a director of Oceaneering in March 2002.

M. Kevin McEvoy, Executive Vice President, joined Oceaneering in 1984 when we acquired Solus Ocean Systems, Inc. Since 1984, he has held various senior management positions in each of our operating groups. He was appointed a Vice President in 1990, a Senior Vice President in 1998 and Executive Vice President in 2006.

June 12, 2008 – Houston, Texas – Oceaneering International, Inc. (NYSE:OII) announced the promotion of Mr. James (Jim) Buchli to Vice President & Program Manager. In this capacity, he will lead Oceaneering’s efforts to design and build America’s next generation space suit, the Constellation Space Suit System (CSSS), for NASA. Mr. Buchli’s career includes 25 years in the Marine Corps, where he achieved the rank of Colonel and was a highly decorated infantryman and aviator, and 13 years at NASA. He became an astronaut in 1979 and is veteran of four Space Shuttle flights, orbiting the earth 319 times and traveling over 7.7 million miles. After leaving NASA, Mr. Buchli spent the next 15 years as an aerospace industry executive at the Boeing Co. and United Space Alliance (USA), and joined Oceaneering in 2007. He received a Bachelor of Science degree in Aeronautical Engineering from the United States Naval Academy, and a Master of Science degree in Aeronautical Engineering Systems from the University of West Florida. Mark Gittleman, Vice-President and General Manager of Oceaneering Space Systems, said, “Jim’s promotion to Vice President & Program Manager recognizes his outstanding leadership, his recent increase in responsibility for the CSSS program, and our commitment to the CSSS program’s success. Jim’s proven experience in leading large NASA programs will be extremely valuable in partnering with NASA to ensure success on this critical program.” Oceaneering is a global provider of engineered services and products primarily to the offshore oil and gas industry, with a focus on deepwater applications. Through the use of its applied technology expertise, Oceaneering also serves the aerospace and defense industries.

HARRIS J. PAPPAS, 63, has been Chief Operating Officer and a director of the Company since March 2001. He is a member of the Executive Committee and the Personnel and Administrative Policy Committee. Mr. Pappas graduated from Texas A&M University with a Bachelor of Business Administration in Finance and Accounting. Mr. Pappas also has been President of Pappas Restaurants, Inc. since 1980. He is a director of Oceaneering International, Inc. and an advisory director of the Boys and Girls Clubs of Greater Houston. Mr. Pappas is also an advisory trustee of Schreiner University and an advisory board member of Frost National Bank-Houston. He served as an advisory director of Memorial Hermann Affiliated Services from 2002 to 2004, and as a Corporate Member of Memorial Healthcare System from October 2004 to October 2006.

Mr. Hughes, 70, has been owner of The Broken Arrow Ranch and affiliated businesses, which harvest, process and market wild game meats, since 1983. He has been associated with Oceaneering since its incorporation, serving as Chairman of the Board from 1970 to 1980 and from 1984 to 1990. He is Chairman of the Nominating and Corporate Governance Committee of Oceaneering s Board and a member of the Audit Committee of Oceaneering s Board. Mr. Hughes has been a director of Oceaneering since 1970.
