Louis Hernandez, Jr., has served as one of our directors since May 2009. Mr. Hernandez serves as chairman of the board and chief executive officer of Open Solutions Inc. In addition to his leadership duties at Open Solutions, he serves on the board of HSBC North America Holdings Inc., the North American holding company for the consumer lending arm and principal banking subsidiaries in the U.S. and Canada of one of the largest banking and financial services organizations in the world. He also serves on the board of directors of HSBC USA Inc., an indirectly-held wholly-owned subsidiary of HSBC North America Holdings Inc. and one of the 10 largest bank holding companies in the U.S. by assets, and its principal subsidiary, HSBC Bank USA, N.A. Mr. Hernandez also serves on the board of Avid Technology Inc. (Nasdaq: AVID). Additionally, he has served in numerous governor-appointed executive roles on key economic and technology boards in Connecticut, as vice chair of the Governor's Council on Economic Competitiveness and Technology, as chair of the Connecticut Technology Council, and as vice chair of the Commission for Educational Technology.

Mr. Bennett joined Open Solutions from NexPress Solutions LLC, a joint venture between Eastman Kodak and Heidelberg AG of Germany. Prior to NexPress, Mr. Bennett was vice president & general manager of Worldwide Service at Kodak Professional and spent more than 12 years with NCR Corporation in a variety of leadership roles including AVP of Worldwide Multivendor Services, Director of Global Programs and a variety of regional and district management roles within the Asia-Pacific group. Mr. Bennett is a seasoned executive with 20 years experience operating high-tech service businesses, worldwide. A native of Australia, Mr. Bennett has lived and worked around the world and has extensive experience with virtually every aspect of high-tech operations including strategy, marketing, planning, sales, logistics, IT, call center and field operations. Mr. Bennett is a Six-Sigma Quality "Black-Belt" and is certified in the PMI global project management discipline.

Ken Saunders joined Open Solutions in January 2006 as EVP & CFO. Prior to joining Open Solutions, Mr. Saunders served as executive vice president and chief financial officer for Peregrine Systems, Inc., which was recently acquired by Hewlett-Packard Company. He had joined Peregrine in August 2004 as executive vice president with interim responsibilities for managing the company's financial operations and infrastructure until he transitioned to the role of Chief Financial Officer. Mr. Saunders was appointed EVP and CFO on November 1, 2004, and was instrumental in the successful turnaround of this company.

Prior to joining Open Solutions in 1994, Mike Nicastro spent 10 years with the Data Services Division of the NCR Corporation in the marketing and management of micro based financial systems, leaving NCR as the National Product Manager of Platform/Branch Automation. While with NCR, Mr. Nicastro was one of 15 employees worldwide to win the "Chairman's Customer Satisfaction Award." Mr. Nicastro spent the nine years prior to NCR working in the banking industry with Connecticut based Bristol Savings Bank, as well as New York based Citicorp. During his tenure with these organizations he held positions in branch management, lending, underwriting and marketing. Mr. Nicastro holds a Bachelors Degree in Marketing from Central Connecticut State University and a Juris Doctor from Western New England College, School of Law.

Rashid Desai joined Open Solutions in May 2007 as senior vice president and chief technology officer. He is responsible for overseeing Open Solutions' worldwide product development efforts. Mr. Desai joins Open Solutions from Equifax, where he was senior vice president of technology responsible for leading the development of business and consumer data products and platforms for B2B and B2C customers. In his previous role at Equifax, he was responsible for setting up a Global Project Management Office, which established an application portfolio based project planning and management methodology for technology. Additionally, Desai was responsible for setting up the Global Development Center program for Equifax by establishing software development centers across the globe. Prior to joining Equifax, he was director of technology at Fujitsu Consulting, leading enterprise solution delivery for its clients.

Dave Krystowiak joined Open Solutions from Still Point Advisors, LLC, where he was president of the independent consulting firm that focused on the development of strategic growth plans for small entrepreneurial businesses. Prior to Still Point, Mr. Krystowiak spent more than 15 years with Fiserv, Inc. where he began as vice president in the core processing business unit and held several other senior management positions before being appointed a division president in 2000. As division president, he was responsible for four business units that provided technology based services for financial institutions and private label credit services to captive finance companies. Mr. Krystowiak began his career with Marine Bank Corporation, now Bank One, in Milwaukee where he held positions in technology outsourcing, bank credit card processing and merchant services.

Tom Tartaro leads the company's Legal Department and is responsible for overseeing the company's worldwide legal affairs including mergers & acquisitions, corporate financing, intellectual property, litigation and strategic alliances. He is also responsible for Open Solutions' corporate governance and the internal audit and compliance functions. Mr. Tartaro joined Open Solutions in 2001. Since joining the company, he has overseen the company's Initial Public Offering in 2003, Follow-on Offering in 2004, Senior Subordinated Convertible Notes Offering in 2005 and 18 acquisitions and related debt financings including the Company's go-private transaction in January 2007. Prior to joining Open Solutions, Mr. Tartaro was in private practice in the Washington, D.C. area, starting in the Washington D.C. offices of LeBoeuf, Lamb, Leiby & MacRae LLP and Preston Gates & Ellis LLP. Tom holds a J.D. from The George Washington University Law School and a B.A. in Political Science from Hofstra University.

Tim joined Open Solutions in January 2007. He brings more than 20 years of sales and sales management experience to his position. Prior to joining Open Solutions, Tim spent seven years as SVP of sales at P&H Solutions, Inc., the leading provider of Web-based corporate cash management solutions. His focus was on strategic account planning and long term business relationships. Tim's focus at Open Solutions is to grow the client base for our expanding suite of complementary products through sales to both core and non-core clients, as well as through channel relationships. He works closely with the Strategic Solutions Group, IPTG and Corporate Financial Services.

Mr. Ginn joined Open Solutions in 2005 from the Misys Retail Banking Division where he served as Chief Executive Officer and was responsible for directing the division's global strategy, customer satisfaction, revenue growth and profitability. Prior to joining Misys in 2003, Mr. Ginn held senior management positions as Senior Vice President of System Access (Europe) Ltd (2000 - 2002), and Senior Vice President/Managing Director, ALLTEL, EMEA (1996-2000). In his capacity as Senior Vice President of System Access (Europe), he chaired and spoke at many international banking technology conferences primarily in Central and Eastern Europe. Mr. Ginn is a well-known figure within banking technology solutions providers with 30 years experience of delivering IT solutions to global financial institutions, 21 of these years spent with ALLTEL in various operational and management roles. During his tenure as Senior Vice President/Managing Director, ALLTEL, the EMEA region saw rapid growth with revenues increasing above and beyond projected forecasts within new territories for the company in Central Eastern Europe and the Middle East.

Greg O'Brien joined Open Solutions in 2004 as vice president, Human Resources. He has more than 20 years' executive level experience in international human resources and operations in both public and private firms. His broad range of functional executive experience includes human resources, business strategy, realignment, finance, project management, M&As and IPOs. Before joining Open Solutions, Mr. O'Brien was VP, Human Resources, Worldwide, at Mercator Software Inc, a public international business integration software solutions company. While there he directed HR programs and operations in 12 countries. Mr. O'Brien has his MBA in Management from Pace University, New York.

Gary Daniel joined Open Solutions in 2001 from ALLTEL Information Services (now Fidelity National Financial), a large publicly traded software and services provider to the financial services industry, where he was senior vice president of the Community Financial Institution Group. Earlier in his 35-year career in the financial services industry, Mr. Daniel was executive vice president of a $10 billion bank which provided data processing services for community banks. He was also general manager of a company providing software and services to credit unions and also served on the board of directors of a large credit union. He began his career at a large computer manufacturer and he was a charter member of the Electronic Funds Transfer Association. Additionally, Mr. Daniel is a member of the American Management Association as well as the Sales & Marketing Executives Association. Mr. Daniel is well-recognized in the financial services industry and is a frequent writer and speaker on financial services topics. He is on The Credit Union Journal's Technology panel and recently spoke at the National Association of Federal Credit Unions conference, the BAI/RDS conference, the National Credit Union Conference for Directors and Senior Management and the CUNA Business/SEG Services Committee at the CUNA Future Forum.

Mr. Kelso joined Open Solutions Canada after spending 14 years as a partner of TCS (Canada) Limited. At TCS, he built the company from a start-up to become the largest ATM network in Canada and a major supplier of transaction delivery software around the world. He lead product development, sales, and operations, heading a staff of over 80 technologists in building and deploying transaction processing systems for major banks. Mr. Kelso has headed the Payment Solutions Group since it was formed and has overseen its continued growth and market leadership.

Phyllis is the Senior Manager of Human Resources at Open Solutions. She has been an active contributor to the group while at both ACL Services and at Backbone Entertainment. Currently she is the Co-Chair of the Programs & Events portfolio, assisting with determining speakers and content for HR Tech Group regular meetings.

Carlos Naudon serves as a director. Mr. Naudon has served as the President and CEO of Banking Spectrum Inc. and a partner of Allister & Naudon, counselors at law, both since 1984. Mr. Naudon received his Bachelors in economics and computer science from the University of Maryland in 1972, his MBA (Accounting, Finance and Operations Management) in 1974 from the University of Rochester and his law degree from Brooklyn Law School in 1981. Mr. Naudon is a retired Certified Public Accountant.
