Gerald Held, Ph.D., has served as a Director of the Company since his appointment in April 2005. Since 1999, Dr. Held has been Chief Executive Officer of Held Consulting Group, LLC where he is a strategic consultant to chief executive officers and senior executives of technology firms ranging from startups to large, publicly-traded organizations. From 2000 to 2001, Dr. Held was the acting Chief Executive Officer of Cantiga Systems. In 1998, Dr. Held was Chief Executive Officer-In-Residence at the venture capital firm of Kleiner Perkins Caufield & Byers. From 1993 to 1997, Dr. Held was Senior Vice President of Oracle s server product division, where he led Oracle s database business as well as the development of pioneering interactive multimedia technology that included some of the earliest e-commerce application trials. Prior to Oracle, Dr. Held spent eighteen years at Tandem Computers, Inc. Dr. Held is the Chairman of the Board of Directors of Software Development Technologies, Inc. He is also a member of the Board of Directors and Vice Chairman of The Tech Museum of Innovation and a member of the Board of Trustees of Montalvo Arts Center. Dr. Held received a BS in electrical engineering from Purdue University and his PhD from the University of California, Berkeley, in computer science, where he led the initial development of the INGRES relational database management system. Dr. Held also completed a Stanford Graduate School of Business Executive Education Program.

Ken Denman is chief executive officer for Openwave Systems (NASDAQ: OPWV) where he is focused on executing Openwave's corporate strategy and growing the company's global market share with innovative software infrastructure products and services for mobile and broadband operators. Ken's career spans more than 20 years in the global telecommunications and IT industries. Before Openwave, Ken served as chairman and CEO of iPass, a world leader in platform-based enterprise mobility services where he guided the company in leveraging the explosion in new broadband and wireless access technologies to make them real and globally available to any enterprise or service provider. Under Mr. Denman's leadership, iPass grew its revenue by 200 percent and went public in 2003. Before joining iPass, Ken was the founder, president and CEO of AuraServ Communications, a managed service provider of broadband voice and data applications. Earlier, he served as senior vice president at MediaOne's National Markets Group (now part of Comcast) where his teams exceeded new subscriber growth targets and dramatically reduced customer churn. He also served as chief operating officer of MediaOne's International Wireless Group, leading international joint ventures including what would become the leading wireless providers in Poland, Hungary and the Czech Republic. Ken also serves on the board of ShoreTel, Inc., (NASDAQ: SHOR), a leading provider of Pure IP unified communications systems headquartered in Sunnyvale, California. Ken holds an MBA from the University of Washington and a BS in accounting from Central Washington University.

As senior vice president, general counsel and secretary Bruce Posey will lead Openwave's legal team, oversee vital regulatory and governmental relations efforts, and lead secretarial matters for the board of directors. Bruce comes to Openwave from iPass Inc. where he managed their legal team and played a key role in setting policies and developing standards and practices across the company. Prior to joining iPass, Bruce served as general counsel and corporate secretary at AuraServ Communications, a managed service provider of broadband voice and data applications. Earlier, he was senior vice president of federal relations and regulatory law for US WEST Communications, and vice president of public policy and external affairs for MediaOne.

In his role as senior vice president of engineering, Martin McKendry is responsible for the worldwide engineering and quality teams. Martin brings to Openwave a wealth of executive leadership experience in leading global engineering organizations. Most recently, Martin was vice president of R&D at Avaya, where he led a team of 700 engineers in 10 locations around the world. During this time, he introduced Agile development processes and shipped Avaya's first J2EE product. Prior to Avaya, Martin served as vice president for applications at Siebel where he led the application group through four major releases during the five-year period of explosive growth. Martin has undergraduate degrees from New Zealand, and holds a Ph.D. in Computer Science from the University of Illinois at Urbana. He served on the faculties of Carnegie-Mellon University and Georgia Institute of Technology.

Retained directly by Ray Bingham, then chairman and CEO of Cadence, Devine Capital Partners placed Tim Burch as senior vice president of human resources and organizational development. There he reported directly to Binghamand tapped his extensive hands-on experience in global HR to guide the company's worldwide HR and organizational development teams, including CadenceUniversity. Previously Burch was with Inktomi, where he was vice president of human resources. Before that he was vice president of human resources at Raychem and held various HR leadership roles at General Electric. Burch has a bachelor's degree in sociology from LafayetteCollege. He is currently the senior vice president of human resources at Openwave Systems.

Dan Nguyen is vice president of Product Management at Openwave, responsible for the planning, development and go-to-market strategy for Openwave's product portfolio globally. Dan has more than 19 years of software experience in product management, marketing, and software development, spanning wireless, Internet, and enterprise applications. During his tenure at Openwave he has been responsible for the management of several key product lines and initiatives, including mobile infrastructure; advertising and personalization; next generation messaging; and the developer software group. Prior to Openwave, Dan held management positions at Sun Microsystems, consumer and enterprise Internet startups, and Procter & Gamble early in his career. Dan holds a BS in Operations Research & Industrial Engineering from Cornell University and an MBA from Harvard University.

As President and COO of Dynavar, Mr. Sean MacNeill is responsible for running the day-to-day operational, financial, and strategic initiatives and activities of the company. In this role, Sean is instrumental in setting the strategic direction of the organization, transforming the corporate vision and strategy into reality, advancing the market position of the company, as well as directing the development of the business to ensure long-term growth and success while maintaining financial integrity and profitability. Mr. MacNeill joined Dynavar in the fall of 2000 as Vice President of Sales for Western North America where he managed all aspects of sales in this region, including the maintenance of key relationships with manufacturers and customers. His success and contribution to the company led to his promotion in 2002 to Senior Vice President of Sales and General Manager, overseeing all sales activity worldwide. In this role, Sean planned and directed all aspects of the company's marketing and sales policies as well as developed and oversaw the organization's expansion into the United States and the Mexico CALA region. Not only was he responsible for developing and leading strategic business initiatives that resulted in increased productivity, dramatic increases in revenues, and valuable new alliances, but also he was instrumental in leading the company through one of the most challenging periods in the Telecom industry's history while ensuring the sustained profitability of the organization. In 2005, Sean assumed the role of President and COO of Dynavar. Mr. MacNeill brings to Dynavar over fourteen years of management, sales, and marketing experience with a proven ability to build and lead high-growth companies. Prior to joining Dynavar, Sean was the Director of Sales and Marketing for VocalScape Communications, a Voice over Internet Protocol software developer and Internet Telephony service provider. Before that, he was the Sales Development Manager for Intrinsyc Software, a high tech software and hardware developer for embedded systems solutions. Aside from his professional endeavors, Mr. MacNeill has a Master in Business Administration degree and a Bachelor of Arts degree from the University of Victoria.

Mark has been working in the communications technology industry for the last 24 years and is currently a Senior Systems Engineer at Openwave Systems of Redwood City, CA. Previous to joining Openwave, he worked at TELUS Communications, a leading Canadian national wireless and wireline telephone carrier and at Develcon Electronics in Saskatoon, Saskatchewan, Canada and Pleasanton, California, USA. He has also held technology positions within departments of the Saskatchewan Provincial Government. Mark is a long standing member of the Association of Professional Engineers of Alberta. Also a native of Canada, Mark holds a B.S. in Electrical Engineering from the University of Saskatchewan and currently resides in Edmonton, Alberta with his wife and two children.

"Director since 2007 Jones, 64, is chairman of the board for Lattice Semiconductor and an active board member for Genesys SA, Smarttrust AB, and Epocrates. He was chairman of the audit committee for mobile messaging leader Mobile 365, acquired by Sybase in 2006. Previously, Jones served as senior vice president and chief financial officer for Gemplus International SA, a $1 billion revenue company which he assisted in taking public in December 2000. Prior to Gemplus, he was vice president and corporate controller at Intel Corp. Jones also served as chief financial officer at LSI Logic, and he began his career at IBM."
